ORACLE PROPRIETARY/CONFIDENTIALJAVA BINARY LICENSE AND REDISTRIBUTION AGREEMENTThis Java Binary License and Redistribution Agreement (“Agreement”) is between Oracle America,Inc. and the individual or entity identified below in the signature block. The Agreement includes theterms and definitions set out below and any Ordering Documents You submit. This Agreement isnot effective until accepted by Oracle. If accepted, Oracle will notify You and the terms of thisAgreement will govern.1. DEFINITIONS1.1. “End User” refers to a third party that is licensed to use the Java Application Productsubject to the terms of an End User License Agreement as further provided for in thisAgreement.1.2. “End User License Agreement” refers to a legally binding written Agreement as furtherdefined in Section 6.1.3. “Field of Use” refers to the scope of use as defined in the Java Application ProductRegistration Form. All other fields of use not specified on the Java Application ProductRegistration Form including, but not limited to, embedded applications, embedded devices, cellphones, wireless devices, TV devices, telematics devices, home gateway devices, andindustrial control systems are excluded.If the Program is a Java Restricted Use Binary (as identified in the Java Application ProductRegistration Form), then distribution of the Programs is subject to the following additional Fieldof Use: the Program must be bundled with a Java Application Product that is intended to runon the Java Platform, Standard Edition platform on Java-enabled “General Purpose DesktopComputers and Servers”, as defined in the then-current version of the Oracle Binary CodeLicense Agreement for Java SE Platform Products (“Java BCL”),1.4. “Java Application Product” refers to a Java application program and/or a physical devicethat includes a Java application program that is developed by You and into which thePrograms are embedded or bundled. Each Java Application Product must comply with thefollowing requirements: the Java Application Product must (1) have a principal purpose whichis substantially different from that of the stand-alone Programs; (2) represent a significantfunctional and value enhancement to the Programs; and (3) operate in conjunction with thePrograms. You must complete a separate Java Application Product Registration Form foreach Java Application Product, which is subject to Oracle’s review and approval.1.5. “Ordering Document” refers to any applicable Oracle Java Distribution Client ReportingForm.1.6. "Programs" refers to (a) the Java software products in binary code form owned byOracle (including, but not limited to, libraries, source files, header files, and data files) that arespecified on the Java Application Product Registration Form, (b) Program Documentation, and1.7. “Program Documentation” refers to the Program user manual and Program hnicalsupport.manuals, and any terms contained in the Program’s “README” file.License Java BLRA v101714Q9702987 BLRA v01Page 1 of 14

ORACLE PROPRIETARY/CONFIDENTIAL1.8. “Separate Terms” refers to separate license terms that are specified in the ProgramDocumentation, readmes, thirdpartyreadmes, or notice files and that apply to SeparatelyLicensed Third Party Technology.1.9. “Separately Licensed Third Party Technology” refers to third party technology that islicensed under Separate Terms and not under the terms of this Agreement.1.10. “Services” refers to technical support services which You have ordered.1.11. “You” and “Your” refer to the entity that has executed this Agreement with OracleAmerica, Inc. (“Oracle”) to incorporate Oracle’s Java technology into Your Java ApplicationProduct for distribution and Your wholly and majority owned subsidiaries that You bind to thisAgreement (“Subsidiary”). You warrant that You have the authority to bind Your Subsidiariesto the terms of this Agreement and any applicable Ordering Document with Oracle and furtherwarrant that You shall be responsible for a breach of such terms by Your Subsidiaries.2. SEGMENTATIONThe purchase of any Programs and related Services are all separate offers and separate fromany other order for any Programs and related Services You may receive or have received fromOracle. You understand that You may purchase any Programs and related Servicesindependently of any other Programs or Services. Your obligation to pay for any Program andrelated Services is not contingent on performance of any other Services or delivery of any otherPrograms.3. OWNERSHIPOracle or its licensors retain all ownership and intellectual property rights to the Programs andanything developed by Oracle and/or delivered under this Agreement.4. RIGHTS GRANTED4.1. Upon execution of this Agreement and acceptance of Your Java Application ProductRegistration Form, You have a non-exclusive, non-transferrable, limited license without fees toreproduce and use internally the complete and unmodified Programs for the purpose ofdesigning, developing, and testing Your Java Application Product.4.2. Oracle grants You a non-exclusive, non-transferable limited license within the Field of Usedefined in the Java Application Registration Form to (a) duplicate the Programs for which Youhave received a license under this Agreement between You and Oracle and (b) to distribute toEnd Users the Programs as part of Your Java Application Product, directly or indirectly throughYour distributors, resellers, or OEMs. The Programs must be complete and unmodified andembedded within or bundled with Your Java Application Product and cannot be providedseparately. Your Java Application Product must add significant and primary functionality to thePrograms. You must be in compliance with Oracle's then-current, generally applicablecompatibility requirements for the Programs. You may not distribute additional softwareintended to replace any component(s) of the Programs. You may not remove or alter anyproprietary legends or notices contained in the Programs. You may only distribute thePrograms subject to a license agreement that protects Oracle's interests consistent with theterms of this Agreement and in accordance with Section 6 of this Agreement.4.3. The reproduction, use, and distribution of the Programs is subject to the terms containedin the Program Documentation, the restrictions in Section 5, and the reporting requirementsLicense Java BLRA v101714Q9702987 BLRA v01Page 2 of 14

The Programs may contain or require the use of third party technology that is provided withthe Programs. Oracle may provide certain notices to You in Program Documentation, readmesor notice files in connection with such third party technology. Third party technology will belicensed to You either under the terms of this Agreement or, if specified in the ProgramDocumentation, readmes or notice files, under Separate Terms. Your rights to use (includingwithout limitation the right to distribute) Separately Licensed Third Party Technology underSeparate Terms are not restricted in any way by this Agreement. However, for clarity,notwithstanding the existence of a notice, third party technology that is not Separately LicensedThird Party Technology shall be deemed part of the Programs and is licensed to You under theterms of this Agreement.You must include with the distribution all such notices and any associated source code forSeparately Licensed Third Party technology as specified, in the form and to the extent suchsource code is provided by Oracle, and You must distribute Separately Licensed Third PartyTechnology under Separate Terms (in the form and to the extent Separate Terms are providedby Oracle).5.2. You may not:a. distribute the Programs under this Agreement unless embedded or bundled with theJava Application Product;b. use the Programs except as expressly provided in this Agreement;c.remove or modify any Program markings or any notice of Oracle’s or its licensor’sproprietary rights;d. cause or permit reverse engineering (unless required by law for interoperability),disassembly, or decompilation of the Programs (the foregoing prohibition includes butis not limited to review of data structures or similar materials produced by Programs);e. disclose results of any Program benchmark tests without Oracle’s prior written consent;f.engage in any conduct that may be detrimental to Oracle or to the Programs;g. enter into any agreement which requires You to take any actions that are in conflictwith the terms of this Agreement;h. permit End Users to install or to use the Programs separately and independently fromthe Java Application Product;i.permit End Users to redistribute the Programs.5.3. If Oracle Java Embedded Suite, Binary is to be embedded in Your Java ApplicationProduct, all components of the Oracle Java Embedded Suite, Binary must be embedded as anintegrated whole. You are not permitted to embed or distribute the components separately.5.4. You may not create, modify, or change the behavior of classes, interfaces, or subpackagesthat are in any way identified as "Java", "Javax", "Sun", “Oracle”, or similar convention asspecified by Oracle in any naming convention designation.5.5. Sourcecode may not be redistributed unless expressly provided for in this Agreement.5.6. You shall not use the Commercial Features (“Commercial Features”) of the Programs asdefined in Table 1-1 (Commercial Features in Java SE Productifor any of Your internalbusiness operations, including running Java applets or applications. In addition, You shall notenable the Commercial Features of the Programs You embed or bundle and distribute withYour Java Application Product unless expressly included as a Commercial Feature of Yourlicensed Program.6. END USER LICENSE AGREEMENTIt is Your responsibility to ensure that any distribution of the Programs and/or Services to anEnd User is subject to a legally binding End User License Agreement. The End UserLicense Agreement for a Java Application Product containing the Oracle Java SEEmbedded Binary, the Oracle Java SE Binary for embedded use cases, Oracle Java SEAdvanced Desktop for Independent Software Vendors, Oracle Java SE Advanced forIndependent Software Vendors, or Oracle Java SE Suite for Independent Software Vendors(collectively, "Java SE") must, at a minimum, include all of the following terms andconditions; and the End User License Agreement for a Java Application Product containingthe Oracle Java Embedded ME Client Binary (“OJEC”) must, at a minimum, includeprovisions a – d:a. Java Technology Restrictions.b. Trademarks and Logos.c. Source Code.d. Third Party Code.e. Commercial Features.7. TECHNICAL SUPPORT7.1. Technical support consists of Oracle’s annual technical support services You may haveLicense Java BLRA v101714Q9702987 BLRA v01Page 4 of 14

If ordered, annual technical support (including first yearand all subsequent years) is provided under Oracle’s technical support policies in effect at thetime the technical support services are provided. You agree to cooperate with Oracle andprovide the access, resources, materials, personnel, information and consents that Oracle mayrequire in order to perform the technical support services. The technical support policies areincorporated in this Agreement and are subject to change at Oracle’s discretion; however,Oracle policy changes will not result in a material reduction in the level of technical supportservices provided for supported Programs during the period for which fees for technicalsupport have been paid.7.2. If ordered, Your right to technical support is effective upon shipment or distribution ofYour Java Application Product. Your technical support is activated upon submission of anOrdering Document.7.3. Software Update License & Support (or any successor technical support offering toSoftware Update License & Support, “SULS”) acquired may be renewed annually, as long asit is offered.7.4. If You decide to purchase technical support for any Java Application Product within alicense set, You are required to purchase technical support at the same level for all JavaApplication Products within that license set. Oracle’s license set definition is available in thecurrent Technical Support Policies. If You decide not to purchase technical support, You maynot update any unsupported Java Application Products with new versions of the Program.7.5. You shall have the right to contact Oracle for technical support for the Program(s) and todistribute Program updates subject to Your payment to Oracle of the applicable annual feesfor technical support set forth in Section 13. If You contact Oracle for technical support forthe Program(s), or distribute any updates to the Program(s), then You must report suchservices to Oracle in accordance with Section 13 and pay any applicable technical supportfees. If You have purchased technical support, You are responsible for distributingall Program updates. Any technical support questions Oracle receives regarding anyof Your Java Application Product(s) will be referred to You.7.6. Upon expiration of this Agreement, You may continue to renew technical supportprovided that (a) this Agreement was not terminated due to Your breach of a materialterm of this Agreement and (b) You pay all applicable fees and comply with the reportingrequirements set forth in this Agreement. After expiration of this Agreement, renewal fees fortechnical support shall be invoiced by Oracle annually in advance. Renewal fees for technicalsupport shall be due and payable in advance 30 days from date of invoice.7.7. Annual technical support services are not available for custom binaries.8. TRADEMARKS, LOGOS, AND COPYRIGHTS8.1. You agree that Oracle owns the Java trademark and all Java-related trademarks, logosand icons including the Coffee Cup and Duke ("Java Marks"). You agree to: (a) comply com/us/legal/third-partytrademarks/index.html; (b) not do anything harmful to or inconsistent with Oracle's rights in theJava Marks; and (c) assist Oracle in protecting those rights, including assigning to Oracle anyrights acquired by the End User in any Java Mark. Your use of the Oracle trademarks andJava Marks inures to Oracle’s benefit. The Java Trademark Guidelines, incorporated into thisAgreement, are subject to change.8.2. You shall retain all notices, including copyright and trademark notices, on the Programsand any copies of the Programs.License Java BLRA v101714Q9702987 BLRA v01Page 5 of 14

You shall brand any JavaApplication Product integrating the Programs with the relevant Java technology compliancelogo under a separate trademark license between You and Oracle. If at any time You fail orcease to brand the Java Application Product and collateral materials with such compliance logoas required in the trademark license, then in addition to all breach of contract rights andremedies to which Oracle is entitled, the fees set forth in the Oracle Java Distribution ClientReporting Form shall be multiplied by 2 and You shall accordingly pay double such fees.9. Upon 45 days written notice, Oracle may audit Your use and distribution of the Programs.You agree to cooperate with Oracle’s audit and provide reasonable assistance and access toinformation. Upon Oracle’s request, You will also provide to Oracle a system generated list of the JavaApplication Products distributed to End Users under this Agreement during the time periodspecified by Oracle and any supporting documentation requested by Oracle pursuant to theterms of Section 13.1 for the purposes of validating completeness and accuracy of Yourreporting obligations under this Agreement.11.3. You agree to pay within 30 days of written notification any fees applicable to Your useand/or distribution of the Programs in excess of Your license rights and underpaid fees.
