CERTAIN AFFILATED RESORTS AS REPORTED ASAVAILABLE AT DECEMBER 31, 2021 HAVEIMPLEMENTED TEMPORARY RESORT CLOSURESOR REDUCED CAPACITY WHICH HAVE IMPACTEDMEMBERS’ ABILITY TO TRANSACT. The number ofMembers eligible to participate in the Program at eachsuch Affiliated Resort as of December 31, 2021 isattached hereto as the Members List. Members havingaccess to multiple RCI exchange programs are countedonly as being enrolled in their primary exchange program.The minimum duration of Vacation Time at eachAffiliated Resort is the duration established by thegoverning documents of the Affiliated Resort,although currently the Program will only acceptDeposits in 7-night increments and will only permitexchanges in 7-night increments. RCI reserves theright, in its sole discretion, to accept Deposits ingreater than, equal to and/or less than 7-nightincrements and/or permit Confirmed Exchanges ingreater than, equal to and/or less than 7-nightincrements.RCI may add new or remove existing Affiliated Resorts tothe Program in its sole discretion. RCI considers factorssuch as size, location, and quality of a Resort and itsaccommodations in making such determinations.PROGRAM STATISTICS. See Independent Accountant’s Report,Combined Statement of Key Operating Statistics for theRCI Weeks Exchange Program, and Notes to CombinedStatement of Key Operating Statistics for the RCI WeeksExchange Program, attached hereto as Attachment A tothe Disclosure Guide to the RCI Weeks ExchangeProgram. THE PERCENTAGE OF CONFIRMEDEXCHANGES IS A SUMMARY OF THE EXCHANGEREQUESTS FULFILLED BY THE EXCHANGECOMPANY IN THE REPORTED PERIOD. THEPERCENTAGE OF CONFIRMED EXCHANGES DOESNOT INDICATE THE LIKELIHOOD OF A MEMBER TOBE CONFIRMED TO ANY SPECIFIC CHOICE ORRANGE OF CHOICES, SINCE AVAILABILITY ATINDIVIDUAL LOCATIONS MAY VARY. In March 2020,the World Health Organization declared the outbreakof a novel coronavirus (“COVID-19”) as a pandemic,resulting in federal, state, and local governmentsmandating various restrictions, including travelrestrictions, restrictions on public gatherings, andstay at home orders. The Company’s results ofoperations for the year ended December 31, 2021include the impacts related to COVID-19. The spreadof COVID-19 has caused significant volatility in theU.S. and international markets. There continues to beuncertainty around the breadth and duration ofbusiness disruptions related to COVD-19, as well asits impact on the U.S. and international economiesand, as such, the Company is unable to determine thelength of time COVID-19 will continue to have animpact to its operating results.W4

TERMS AND CONDITIONSOF RCI WEEKS SUBSCRIBING MEMBERSHIPThese Terms and Conditions of RCI Weeks SubscribingMembership (the “Terms and Conditions”) govern asubscribing membership in the RCI Weeks ExchangeProgram (the “Program”). The Program is contained anddescribed in the Enrollment Application, the DisclosureGuide to the RCI Weeks Exchange Program and theseTerms and Conditions, as amended by RCI from time totime (collectively, the “Program Documents”).TheProgram Documents comprise the terms of a bindingcontract between RCI and Members and by becoming aMember of or participating in the Program, Membersagree to be bound by such contract.1. Definitions. The following definitions apply:A. “Affiliated Resort” means a Resort, or Inventoryprovider authorized by an effective Affiliation Agreementwith RCI to offer participation in the Program.B. “Affiliation Agreement” means the agreementbetween RCI and an entity owning, controlling, ormanaging a Resort or Inventory provider, to offerparticipation in the Program.C. “All-Inclusive Fees” means those fees charged bythe provider of an All-Inclusive Package.D. “All-Inclusive Package” means a package of food,beverages, or other amenities required or offered by anInventory provider, Ancillary Travel Product, or AlternateInventory provider for an additional fee.E. , products or services, which in some cases maybe acquired by RCI from third parties, not deposited by oron behalf of a Member, and which may be made availableto Members.F. “Ancillary Travel Products” means ancillarytravel-related or non-travel related products or servicesthat may be offered by the Network Administrator throughthird parties or affiliates of RCI, excluding access toInventory. To the extent the Network Administrator, in itssole discretion, elects to make Ancillary Travel Productsavailable to Members, it may do so through any meansand subject to any limitations and restrictions.G. “Ancillary Travel Product Provider” means thirdparties who may offer Ancillary Travel Products to certainMembers, in the sole discretion of the NetworkAdministrator.H. “Annual Membership Year” means the annualrecurring twelve (12) month period for each Member asdetermined by RCI after acceptance of the EnrollmentApplication and the Subscription Fee.I. “Combined Deposit” means a Deposit resultingfrom the combining of two or more Deposits and/orDeposit Credits. Combined Deposits may themselves becombined or combined with Deposits and/or DepositCredits to obtain a new Combined Deposit.J. “Confirmation” means a written or electronicacknowledgement to a Member that an ExchangeRequest has been fulfilled.K. “Confirmed Exchange” means a completedExchange Request.L. “Corporate Participant” means a person whoseannual Subscription Fee and/or Transaction fees may bepaid to RCI by an entity or organization with which RCIhas a contractual agreement to offer the Program. Unlessexpressly indicated otherwise, all references to “Member”or “RCI Weeks Subscribing Member” shall include aCorporate Participant.M. “Deposit” means a unit of Vacation Time for whichthe use rights have been relinquished to RCI for use byRCI as described in the Program Documents; Depositmay also include Deposit Credits and/or CombinedDeposits.N. “Deposit Credit” means a non-monetary creditthat may be used towards a future vacation, AncillaryTravel Product transaction, or Combined Deposit, placedon a Member’s account after the Member makes anexchange using a Deposit, Combined Deposit or otherDeposit Credit which has a higher Deposit Trading Powerthan the Exchange Trading Power of the ConfirmedExchange the Member has reserved.O. “Deposit Trading Power” is the symbolic valuederived by RCI and assigned to: (1) a unit of VacationTime upon Deposit of that Vacation Time; or (2) thesymbolic value derived when making a CombinedDeposit; or (3) the residual symbolic value of a DepositCredit.P. “Enrollment Application” means the form or formsprescribed by RCI from time to time for enrollment ofMembers in the RCI Weeks Exchange Program.Q. “Exchange Fee” means the amount paid to RCIto obtain a Confirmed Exchange or to initiate anExchange Request.R. “Exchange Request” means a Member’s formalrequest to obtain access to Inventory or, to the extentmade available, Alternative Inventory or Ancillary TravelProducts, in accordance with the Program Documents.Such Exchange Request requires the payment of anExchange Fee.S. “Exchange Trading Power” means the symbolicvalue required to obtain a Confirmed Exchange.W5

T. “Floating Vacation Time” means a type ofVacation Ownership in which the use rights to thatVacation Ownership may attach to a different week, unitor unit configuration from year to year.U. “Guest Certificate” means a certificate purchasedfrom or otherwise provided by RCI, in its sole discretion,allowing the use of Inventory or Alternative Inventory orcertain other benefits of membership, for noncommercialpurposes, as a gift to friends or family.V. “Guest Pass” means the giving of the benefits ofa Guest Certificate on multiple occasions during thestated period without having to pay an individual GuestCertificate fee for each Transaction.W. “Home Group” means a group of Resorts undercommon ownership, control or contractual arrangementwith a Home Resort or a group of Resorts which RCI hasdetermined qualifies as a Home Group.X. “Home Resort” means a Resort at which a personhas Vacation Ownership or a Resort at which a person isassigned Vacation Time for the purpose of depositingsuch Vacation Time with RCI.Y. “Internal Exchange” means an exchange by aMember back into the same Home Resort or Home Groupas the Deposit used for that exchange.Z. “Inventory” means any Vacation Time, good,service, benefit, or movable or immovable property that isutilized in the Program designed for separate occupancyor consumption, and includes, without limitation, any rightto occupy an apartment, condominium or cooperativeunit, cabin, lodge, hotel or motel room, campground orother private or commercial structure or improvement,whether situated on real or personal property.AA. “Member” or “RCI Weeks Subscribing Member”means someone who is authorized to participate in theRCI Weeks Exchange Program. The terms “RCI WeeksSubscribing Member” and “Member” shall be deemed toinclude a Corporate Participant unless expresslyindicated otherwise. Generally, membership denotes asubscription to the RCI Magazine; Program Benefits (asdefined hereinafter) are generally obtained via thissubscription.BB. “Platinum Membership” — a higher tier RCImembership which grants an RCI member certaindiscounts and/or benefits as further described in the RCIPlatinum Membership Tier Rules available atwww.rci.com.CC. “RCI Business Day” means the regular businesshours of operation for RCI’s Carmel, Indiana Call Center.DD. “RCI Magazine” means ENDLESS VACATIONmagazine or any successor thereto.W6EE. “Reservation” See Confirmed ExchangeFF. “Resort” means a resort, resort group, vacationclub, vacation plan, hotel, condominium, or other privateor commercial structure.GG. “Standard Membership” — the base tier RCImembership.HH. “Transaction” means any activity conducted bythe Member, through the Program, including but notlimited to any Exchange Requests; extending a Deposit;combining Deposits; transferring Vacation Time andpurchasing a Guest Certificate or Guest Pass.II. “Unaffiliated Resort” means a Resort that is notsubject to a current and valid Affiliation Agreement.JJ. “Vacation Owner” is a person, corporation orother entity who has Vacation Ownership and uponbecoming a Member may deposit his or her VacationTime in the Program.KK. “Vacation Ownership” means the legal right toown, occupy or use accommodations at a Resort.LL. “Vacation Ownership Expenses” means allobligations associated with or appurtenant to VacationOwnership by whomsoever levied (including but notlimited to Resorts, any state, local, federal or any othergovernment entity or its equivalent if the property islocated in a foreign country), including, but not limited to,any obligation for the payment of maintenance fees,assessments, common expenses, housekeeping fees,recreational fees, promissory notes, mortgage payments,taxes or applicable All-Inclusive Fees.MM. “Vacation Time” means use rights for a period oftime at a Resort which are deposited with RCI.2. Membership.Under the Program Documents, RCI allows participationin the Program to all Members who are in compliance withthe Program Documents and offers a subscription toRCI’s the RCI Magazine and access to other printed orelectronic publications, RCI’s website at www.rci.com, anexchange service for their deposited Vacation Time,Alternative Inventory, and other travel and leisure benefits(collectively, the “Program Benefits”). RCI reserves theright, in its sole discretion, and, without advance notice, toadd, modify or delete Program Benefits. Program Benefitsmay not be available to all Members.A. An initial RCI membership begins with RCI’sreceipt and acceptance of an Enrollment Application andthe applicable Subscription Fee. Some exceptions mayapply such as in the case of a Corporate Participant. RCIreserves the right to refuse any applications andSubscription Fees.

B. If the Vacation Time is owned by a proposedMember that is a corporation, partnership, trust or otherentity, the Enrollment Application must be completed onbehalf of the owner in the name of an individual officer,partner or trustee of the entity, and RCI shall be entitledto treat that named individual as the Member for allpurposes. No more than two co-owners of a singleVacation Time may apply for a single Programmembership. RCI may honor instructions from any personlisted in RCI’s records as a co-owner of Vacation Timeand, in the event of conflicting instructions, RCI, in its solediscretion, may refuse to honor any instructions received.Member acknowledges that the Network and/or theProgram are intended for personal use by Members orguests for vacation, travel, or other non-permanentleisure. Member also acknowledges that use of theNetwork and/or Program is subject to Member’s and anyguests’ compliance with all rules and policies of AffiliatedResorts as well as the rules and guidelines set forth in theTerms and Conditions. RCI reserves the right to restrictMember’s use of the Network, terminate or suspendMember’s membership, or take any other action it deemsnecessary if Member or Member’s guests use theNetwork and/or the Program in a manner inconsistent withtheir intended purpose or fail to adhere to and comply withapplicable rules, policies, and guidelines of RCI andAffiliated Resorts.C. The Program is for the personal use ofMembers and, if permitted, their guests, and neitherMembers nor guest may use the Program forcommercial purposes, for the purposes ofestablishing residency or permanent or semipermanent occupancy, or monetary or otherconsideration, including without limitation, auction,barter, rental, raffle or sale of a Confirmed Exchange,Deposited Vacation Time, Inventory or GuestCertificate, for example, and RCI reserves the right tolimit the number of Transactions by a Member. Anycommercial use shall be grounds for immediatetermination of Member’s membership and cancellation ofany Exchange Request, Confirmed Exchange or otherbenefits of the Program without prior suspension of ornotice to the Member and any other rights or remediesRCI may have at law.D. Membership Tiers. RCI in its sole discretionmay, but shall not be required to, offer membership tiers(including Platinum Memberships), which may includeadditional benefits. Such benefits may include but are notlimited to last minute unit upgrades, advance access tounique acquired inventory, waiver of certain fees, andrebates and discounts on other products and services,and may be offered on a first-come, first-served basis.Any additional fees or increased Subscription Fees whichmay be required, and the availability, type, and quantity ofsuch benefits shall be determined by RCI in its solediscretion and may change from time to time withoutadvance notice to the Member. RCI may discontinueoffering or administering any such membership tiers andbenefits therein any time in its sole discretion.Membership tiers may be subject to additional terms andconditions and other restrictions may apply. Transactionsmay require a combination of fees, cash paid andVacation Time use, and may be subject to applicabletaxes. Some products and services may be provided bythird parties and may be subject to separate terms andconditions of such third parties. RCI does not warrant andis not liable for the availability, value or safety of any suchthird party benefits. If membership tiers are available toMembers, terms and conditions of such membership tiers,including pricing information can be found atwww.rci.com. Membership tiers may not be available toall Members.E. It is the Member’s responsibility to promptlynotify RCI of any changes to Member’s informationincluding, without limitation, change of address,phone number, email address or ownership.3. RCI Inventory.RCI obtains Inventory from Members, as well as fromAffiliated Resorts and other sources. Members may berequired to comply with additional terms, conditions, feesand any applicable taxes in order to use a particular unitof Inventory.4. Affiliated Resorts.A. RCI authorizes Affiliated Resorts to providecopies of the Program Documents to people whopurchase Vacation Ownership at or through an AffiliatedResort, so that any such purchasers can considerwhether to become a Member. RCI is a separate anddistinct entity from Affiliated Resorts, developers,marketers, or sellers of Vacation Ownership, AncillaryTravel Products Providers, or other providers of Inventoryor Alternative Inventory used in the Program. AffiliatedResorts are subject to Affiliation Agreements, and are notpermitted to make any representations about RCI or theProgram that are different from the statements in theProgram Documents.B. RCI was not and will not be a party to any contractor agreement that the Member may have entered into withan Affiliated Resort or other seller for the purchase of aVacation Ownership. The Affiliated Resort or other sellerof Vacation Ownership are separate and distinct fromRCI, and any contract that the Member may have with anAffiliated Resort or other seller of Vacation Ownership isseparate and distinct from the Program Documents.5.
