4Terms and ConditionsCREDIT TERMS1. PAYMENT: Net 30 Days2. FOB: Factory or manufacturing location3. CREDIT APPROVAL: Seller reserves the right at any time to revoke any creditextended to Buyer as a result of Buyer’s failure to pay for merchandise when due orfor any other reason deemed good and sufficient by the Seller and in such event torequire payment prior to shipment.ORDER HANDLING1. ACCEPTANCE & APPROVAL: Buyer’s orders submitted shall becomebinding and effective only upon acceptance & approval by the Seller at it’soffice in Cadillac, Michigan2. BUYER’S CONFIRMATION OF TELEPHONE ORDERS: Buyer mustconfirm all telephone orders in writing to the Seller’s representative with whom theverbal order was placed. If the written order is not marked “confirming” and duplicateshipment results, freight, restocking and other charges are the responsibility of theBuyer.3. ACKNOWLEDGMENTS: When required, Seller will mail writtenacknowledgments to the Buyer for all Buyer’s accepted and approved orders.4. ADDITIONS TO PURCHASE ORDERS: Additions to purchase orders that havealready been processed by the Seller will create delays in production of the itemsordered. It is to the Buyer’s benefit to enter a separate purchase order for these items.Every effort will be made to see that these orders ship on a common bill of lading withthe original order when requested by Buyer; however, Seller accepts no responsibilityfor freight charges in the event this request cannot be met.PRICING POLICIES1. TAXES: Prices do not include federal, state or local taxes.2. PRICE CHANGES: B&P reserves the right to make any price changes as needed.CONDITIONS OF SALE1. LOSS OR DAMAGE IN TRANSIT: Seller inspects and makes delivery to thecarrier at the shipping point in good condition. Carrier acts as Buyer’s agent.Seller shall not be liable for non-arrival made under this contract which may be lost intransit; nor for losses, damages or delays in transportation. Loss or damage should benoted on the delivery receipt and claims should be made directly to the transportationcompany immediately.g. Returns will not be allowed on any “Special” items determined solelyobsolete products and products in non re-salable condition.6. FIELD REPAIR AUTHORIZATION (FRA):Before repairing any product on which a claim will be made, it is necessary to contact us for approval. Approval occurs only when FRA numberis given. A written confirmation of the FRA will be mailed to youconfirming the item involved, nature of repair and approved expenditurepayment. Under no circumstance should you repair an item withoutprior FRA.7. DELAYS IN SHIPMENT: Seller will make every effort to makeshipments in accordance with the acknowledged scheduled shippingdate, but Seller assumes no responsibility for any loss or inconveniencecaused by non-shipment at a specified time. Cancellation requests dueto delays in shipment shall be handled in accordance with Section 4titled “Cancellations”, unless Buyer and Seller mutually agree on a“No Later Than” date and order is acknowledged to that effect.8. OSHA: Seller certifies that all terms furnished comply with Seller’sinterpretation of the Occupational Safety and Health Act of 1970 standards and regulations at time of shipment. Seller shall not be responsible for fines and penalties under this act or for losses sustained byimproper use of any item. This is the sole certification and supercedesany, and all prior expressed or implied certifications.9. FREIGHT COST QUOTED BY B&P MANUFACTURING:Upon dealer request, B&P Manufacturing will obtain a freight quotationfor shipment FOB, Cadillac, Michigan or point of manufacture. Thisservice is advisory only. Responsibility for correct freight costs restswith dealer.3. PRODUCT SPECIFICATIONS: We reserve the right to make any changes inproduct specifications and designs without liability. Weights are approximate and forinformational purposes only. Seller assumes no further liability, expressed or implied.10. WARRANTY: The seller warrants to the original Purchaser that theitems covered by this agreement shall be free from defects in materialand workmanship under the normal use and service for a period of oneyear from the date of shipment to the seller. If within such a period anysuch product is proved to be so defective, such product shall be repairedor replaced at Seller’s option. Seller’s obligation is limited to such repairand replacement and is conditioned upon Seller’s receiving writtennotice of any alleged defects within the warranty period and no morethan (10) days after its discovery. After written approval by the Seller,the product or defective part must be returned to the seller, FOB, its factory. The term “Original Purchase” as used in this warranty shall meanthe person or entity to whom such product was shipped by Seller or it’sdistributor or Seller’s agent.4. CANCELLATIONS: Orders, once acknowledged by Seller, can be cancelled onlywith Seller’s consent and upon terms and conditions that will indemnify seller againstlosses.This warranty shall not apply to products or parts repaired or altered byother than the Seller or subject negligence, accident, abuse, misuse ordamage.5. RETURNED GOODS AUTHORIZATION (RGA):a. Before returning any merchandise for any reason whatsoever, it isnecessary to contact us for approval. If approval is given, an RGA number will begiven by us to the dealer. This RGA number must appear on all documents involvingthe returned goods. Under no circumstances will returned goods be accepted at ourdock without an RGA number shown on the shipping papers.b. A written confirmation of each RGA will be mailed by B&P to distributor.c. Freight charges on all RGA’s must be prepaid.d. RGA numbers will not be issued after thirty (30) days from date of shipment byB&P Manufacturing except on warranty claims. Issued RGA’s will expire in thirty(30) days if returned goods have not been received by B&P Manufacturing or itdesignated representative. Applicable goods will not be accepted thereafter.e. A minimum restocking charge of 20% will be made on all merchandise except asallowed under warranty claims.f. Additional charges will be determined solely by B&P Manufacturing if the productis in a non-resalable condition.This warranty does not apply to parts subject to wear.2. ROUTING: Shipments will be routed “BEST WAY” transportation chargeCOLLECT unless otherwise requested. Every effort will be made to comply withdesired routing. “Prepaid” freight cost will be invoiced directly to the Buyer.With respect to parts not manufactured by Seller, the warranty obligations of the Seller shall in all respects conform and be limited to thewarranty actually extended to seller by the supplier.THE FORGOING WARRANTY IS EXCLUSIVE AND EXPRESSLY INLIEU OF ALL OTHER EXPRESS AND IMPLIED WARRANTIESWHATSOEVER. INCLUDING BUT NOT LIMITED TO IMPLIEDWARRANTIES OF MERCHANTABILITY AND FITNESS FOR APARTICULAR PURPOSE.
