3.RIA Industry ExpoRules andRegulationsFollowing its submission byExhibitor/Sponsor, theContract shall become bindingupon acceptance by themanagement (hereinafterreferred to as “RIA”) of theInternational Convention andIndustry Expo (hereinafterreferred to as the “Show”).References to RIA herein shallbe deemed to include any dulyauthorized representative,agent or employee of RIA.1.2.No one other than the officialcontractor (hereinafter referredto as “Show Contractor”), asdesignated by the RIA, or suchcontractors as have beenapproved in writing by RIA orthe Show Contractor, shallconnect or disconnect utilityservice(s), install wiring,spotlights or do other electricalor carpentry work, and all suchwork shall be at theExhibitor/Sponsor’s expense.No Exhibitor/Sponsor shallexhibit or permit to be exhibitedin the space allotted to him anymerchandise, product or serviceother than that which relates tothe businesses of cleaning,restoration, or environmentalremediation and as specified bythe Exhibitor/Sponsor in thecontract. Space shall not besublet without the writtenpermission of RIA and thesharing of space by theExhibitor/Sponsor or use of thespace by persons or in a mannernot authorized by RIA isprohibited. Neither shallExhibitor/Sponsor market,advertise or promote anyproduct or service which maydirectly compete with those ofRIA without prior writtenpermission from RIA.4.5.RIA shall have the right to adoptsuch rules and regulations as tothe conduct of parties prior to,during and after the Show whichin its discretion it deems to be inthe best interest of the Show,and the Exhibitor/Sponsoragrees to abide by and be boundby all rules and regulationsadopted by RIA as well as allrules and regulations of generalapplication that may be issuedby the Show venue and all lawsand regulations of municipal,county and state authorities asmay apply to the Show.The Exhibitor/Sponsor’sproperty shall be placed ondisplay and exhibited at its ownrisk and neither RIA, ShowContractor nor Show Venue shallbe responsible for any losssuffered by Exhibitor/Sponsorfor any reason; and neither RIAnor Show venue shall beresponsible for the death orinjury to any person or fordamage, including consequentialdamages, or loss of property ofthe Exhibitor/Sponsor, itsofficers, agents, employees, orinvitees resulting from any causewhatsoever and theExhibitor/Sponsor herebyindemnifies and holds RIAand/or the Show venueharmless for any suit, action orclaim arising out of any act ofcommission or omission by theExhibitor/Sponsor; and theExhibitor/Sponsor shall secureand furnish upon demandevidence of comprehensivegeneral liability coverageadequate, therefore.If the Exhibitor/Sponsor fails tocomply in any respect with theterms, conditions, rules orregulations of this contract, allrights of the Exhibitor/Sponsorhereunder shall cease andterminate. Any payment madeby the Exhibitor/Sponsor onaccount hereof will be retainedby RIA as liquidated damages forbreach of this contract and RIAmay thereupon rent the space.Once the contract has beensigned by both parties, theentire rental for the spacebecomes payable under termsas stated herein or elsewhere in6.7.8.9.Show documents. All and anymoneys paid are nonrefundable.Should any contingencyinterrupt or prevent the holdingof the Show including but notlimited to acts of God,pandemics, labor disputes,individual or civil disturbances,acts of terror, failure to securematerials or labor, fire, lightning,tempest, flood, explosion,government order impacting theShow either directly orindirectly, or any other cause,then RIA shall in no waywhatsoever be liable to theExhibitor/Sponsor, other than toreturn such portion of anyamounts paid as may bedetermined to be equitable byRIA, in its sole opinion, afterdeduction of such amounts asmay be necessary in RIA’s soleopinion, to cover all expensesincurred by RIA in connectionwith the Show and/orpromotion and publicity.Exhibitor/Sponsor agrees thatRIA may make any changesdeemed, in RIA’s sole andunfettered discretion, necessaryto the best interests of theShow, including reassignment ofcontracted exhibit space,changes of show hours, or suchother changes as exigencies maydemand and that in such casesthe contract remains in full forceand effect. If for any reason RIAdetermines that the location ofthe Show should be changed, orthe dates of the Showpostponed or changed, norefund will be made but RIAshall assign to theExhibitor/Sponsor, in lieu of theoriginal space, such other spaceas RIA deems appropriate andthe Exhibitor/Sponsor herebyagrees to use such space underthe same rules and regulations.Exhibitor/Sponsor further agreesthat RIA shall not be liable forunforeseen expenses incurredby Exhibitor/Sponsor due toterms of RIA’s contract withShow Venue.Exhibitor/Sponsor will exhibit ina proper manner and will keepthe Exhibit Space open andstaffed at all times during the

Show hours. RIA reserves theright to restrict exhibits to amaximum noise level and tosuitable methods of operationand display. RIA shall have thefinal decision as to whatconstitutes a proper exhibit andsuch decision shall be final andbinding. If for any reason anexhibit or its contents aredeemed objectionable by RIA,the exhibit will be removedwithout refund of any amountspaid. This provision includes10. persons, things, conduct, printedmatter or any item or attire thatRIA might considerobjectionable to the Show’sintent. RIA further reserves theright to relocate exhibits orexhibitions when in its opinionsuch relocations are necessaryto maintain the character and/orgood order of the Show.11. Exhibitor/Sponsor agrees thatno display may be dismantled,or goods removed during theentire period of the Show bysame. The booth display mustremain intact until the closinghour of the last day of the Show.Exhibitor/Sponsor agrees also toremove its exhibit, equipmentand appurtenances from theShow Building by the final moveout time limit, or, in the event offailure to do so,Exhibitor/Sponsor agrees to payfor such additional costs as maybe incurred by RIAconsequential toExhibitor/Sponsor’s failure tovacate in a timely fashion.12. Exhibitor/Sponsor shall notinsert nails, hooks or screws intothe Building and theExhibitor/Sponsor shall be liablefor any damage caused by sameto the Building floors, walls, orcolumns or to the property ofother Exhibitor/Sponsors.Exhibitor/Sponsor may not applypaint, lacquer, adhesive or othercoatings to Building componentsnor shall he use any flammabledecorations or covering fordisplay fixtures. All fabrics orother decorative or coveringmaterial used byExhibitor/Sponsor for anypurpose shall be flameproof andshall meet all requirements offire safety authorities.13. Exhibitor/Sponsor shall abide bythe terms and conditions of anyagreements and/or contractsexisting between RIA, the Showvenue, the Show Contractor andsuch other parties as may becontractually bound or entitledto service the Show and any ofthe aforementioned entities.14. The Exhibitor/Sponsor shall not:A. Commit any nuisance. B.Cause any unusual orobjectionable odor to emanatefrom its Space. C. Do anythingwhich would interfere with theeffectiveness of any utility,electrical, gas, heating,ventilating, air-conditioning, orconveyance systems in theBuilding or interfere with freeaccess or passage to the publicareas of the Building or areasadjoining thereto. D. Overloadany floor, ceiling or wall. E. Door permit to be done any actwhich might invalidate anyinsurance policy carried by RIAor the Show Venue. F. Sell,market, or solicit outside ofExhibitor/Sponsor’s contractedspace.G. Take up a collection or soliciton the premises of the Show,including within theExhibitor/Sponsor’s contractedspace, without the writtenpermission of RIA.14. In the event theExhibitor/Sponsor has failed tocomplete installation of its displayprior to the time set out by RIA, thenRIA has the sole and unfettereddiscretion to determine whether theExhibitor/Sponsor may be deemed tobe in breach of this contract and maybe thereby prohibited from enteringthe Building and setting up its display.RIA may at its sole discretion retainthe monies paid as liquidateddamages.15. The Exhibitor/Sponsor will confineits activities to the Exhibit Space thatis defined as the lateral dimensions ofthe contracted space up to but notexceeding a height of 8 feet abovethe floor (inline/corner linear booths),12 feet above the floor (perimeterbooths) and 20 feet above the floorincluding signage (island booths); andwill not solicit beyond the boundariesthereof. No signs or advertisingdevices shall be displayed in areas ofthe Building other than thosespecifically assigned toExhibitor/Sponsor or set aside forsuch purposes and all such signs shallbe subject to the approval of RIA.15. Exhibitor/Sponsor acknowledgesreceipt and understanding ofExhibitor/Sponsor Information, Rulesand Policies, General Information,and Rental Agreement informationand the inclusion of same byreference within the terms andconditions of the Exhibit SpaceContract. No oral representations orstatements have been made by ofManagement, nor shall any such bebinding upon Management.16. Exhibitor/Sponsor agrees to abideby all terms of this agreement as wellas all Rule and Policies set forth byRIA and/or the Exhibit Decorator andfacility.
