User Non-Disclosure Agreement1END-USER LICENSE AGREEMENT FOR HONEYWELL SOFTWAREIMPORTANT-READ CAREFULLY.This Honeywell End-User License Agreement(this "Agreement") is a legal agreement betweenyou (either an individual or a single entity) andHoneywell International Inc. (including itssubsidiaries) for the Honeywell software productidentified above, which includes computersoftware and may include associated media,printed materials, and "online" or electronicdocumentation, and any future versions, releases,updates, patches, error fixes and bug fixes of theabove identified Honeywell software product thatis provided by Honeywell to you("HONEYWELL SOFTWARE").By installing, copying, or otherwise using theHONEYWELL SOFTWARE, you agree to bebound by the terms and conditions in thisagreement. If you do not agree to the terms andconditions in this agreement, do not install or usethe HONEYWELL SOFTWARE; you may,however, return it to your place of purchase for afull refund.Unregistered use of the HONEYWELLSOFTWARE is not authorized or permitted byHoneywell, and is in violation of U.S. andinternational copyright laws. Unauthorizedreproduction, distribution or use is subject to civiland criminal penalties.1.LICENSEThe HONEYWELL SOFTWARE includessoftware owned by Honeywell and softwarelicensed to Honeywell, and is protected byUnited States and international copyright lawsand treaties, as well as other intellectual propertylaws and treaties. The HONEYWELLSOFTWARE is licensed to you, not sold. Subjectto the terms below, Honeywell grants you, underthis Agreement, a limited, non-exclusive,non-transferable license (without the right tosublicense) to use one copy of the

2User Non-Disclosure AgreementHONEYWELL SOFTWARE, on one computeror workstation, for your internal personal orcommercial purposes, and not for re-sale orre-distribution.You are specifically prohibited from making anyadditional copies of the HONEYWELLSOFTWARE, for charging for any copies,however made, and from distributing such copieswith other products of any kind, commercial orotherwise, without prior written signedpermission from Honeywell.All rights of any kind in HONEYWELLSOFTWARE and all other rights of Honeywell,which are not expressly granted in thisagreement, are entirely and exclusively reservedto and by Honeywell. You may not rent, lease,copy, modify or translate HONEYWELLSOFTWARE, or create derivative works basedon HONEYWELL SOFTWARE. You may notalter or remove any of Honeywell's or itslicensor's copyright or proprietary rights noticesor legends appearing on or in the HONEYWELLSOFTWARE. You may not reverse engineer,decompile or disassemble HONEYWELLSOFTWARE. You may not make access toHONEYWELL SOFTWARE available to anythird party outside of your organization, nor areyou authorized to make the output generated byHONEYWELL SOFTWARE available to othersin connection with a service bureau, applicationservice provider, or similar business. TheHONEYWELL SOFTWARE is licensed as asingle product. Its component parts may not beseparated for use on more than one computer.The HONEYWELL SOFTWARE may contain orbe derived from materials of third party licensors.Such third party materials maybe subject torestrictions in addition to those listed in thisAgreement, which restrictions, if any, areincluded in the documents accompanying suchthird party software. You agree that any thirdparty supplier shall have the right to enforce this

User Non-Disclosure Agreement3agreement with respect to such third party'ssoftware.Nothing in this agreement shall restrict, limit orotherwise affect any rights or obligations youmay have, or conditions to which you may besubject, under any applicable open sourcelicenses to any open source code contained in theHONEYWELL SOFTWARE.2.KEYS AND ACCESSHoneywell shall provide you with any softwarekeys necessary to permit you to gain access to theHONEYWELL SOFTWARE contained on themedia shipped or copy provided to you. You shallnot disclose the software keys to any other personor entity. You shall not circumvent, or attempt tocircumvent, any license management, securitydevices, access logs, or other measures providedin connection with the HONEYWELLSOFTWARE, or permit or assist any other personor entity to do the same. You shall not attempt tomodify, tamper with, reverse engineer, reversecompile or disassemble the keys. Upon your useof a new key for the HONEYWELLSOFTWARE, you represent and warrant that youwill not use the superseded key to access theHONEYWELL SOFTWARE.3.SUPPORT SERVICESYou may separately contract with Honeywell toreceive support services related to theHONEYWELL SOFTWARE ("SupportServices"), subject to and governed by the termsof a separate support services agreement. Anysupplemental software code provided to you aspart of the support services shall be consideredpart of the HONEYWELL SOFTWARE andsubject to the terms and conditions of thisagreement. With respect to technical informationyou provide to Honeywell as part of the supportservices, Honeywell may use such informationfor its business purposes, including for productsupport and development. Honeywell will not

4User Non-Disclosure Agreementutilize such technical information in a form thatpersonally identifies you.In any event, you shall promptly report toHoneywell any errors or bugs with respect toyour evaluation and use of the HONEYWELLSOFTWARE. In any such report, you agree todesignate no more than two contacts who shall beresponsible for communicating with Honeywell.4. WARRANTY DISCLAIMERS ANDLIABILITY LIMITATIONSHoneywell software, and any and allaccompanying software, files, data and materials,are distributed and provided as is and with nowarranties or representations of any kind,whether express or implied. Honeywell expresslydisclaims any express or implied warranties,including warranties of non-infringement,merchantability and fitness for a particularpurpose. The entire risk arising out of use orperformance of HONEYWELL SOFTWAREremains with you.The maximum aggregate cumulative liability ofHoneywell arising out of or relating to your useof Honeywell software or otherwise arising out ofor relating to the transactions contemplated bythis agreement (regardless of legal theory,whether in tort, contract, or otherwise) will be theamount that you paid for the Honeywell software.In addition, in no event shall Honeywell, or itsprincipals, shareholders, officers, employees,affiliates, contractors, subsidiaries, or parentorganizations, be liable for any indirect,incidental, consequential, or punitive damageswhatsoever relating to the use of Honeywellsoftware, or to your relationship with Honeywell,even if Honeywell has been advised of thepossibility of such damages.5. TERMINATIONThe license granted in this agreement becomeseffective on the date you legally acquire theHONEYWELL SOFTWARE and will

User Non-Disclosure Agreement5automatically terminate if you breach any of itsterms or conditions, without prejudice to anyother rights or remedies available to Honeywell.If the HONEYWELL SOFTWARE is provided toyou on a subscription basis, then your right toposses or use the HONEYWELL SOFTWAREwill terminate at the end of the applicablesubscription period. Immediately upontermination or expiration of the license granted inthis agreement, you must destroy all copies of theHONEYWELL SOFTWARE and all of itscomponent parts from your systems, and eitherreturn to Honeywell or destroy the original andany stand-alone copies of the HONEYWELLSOFTWARE and all of its component parts.6. MISCELLANEOUSYou may not assign or transfer the license grantedhereunder or the HONEYWELL SOFTWAREwithout Honeywell's prior written consent. Anyassignment or transfer in contravention to theforegoing shall be null and void.This agreement is governed by the laws of theState of New York. Each of the parties heretoirrevocably consents to the jurisdiction of theFederal and state courts in New York, New York,to the exclusion of all other courts. If this productwas acquired outside the United States, then locallaw may apply.Honeywell has the right to audit your compliancewith the terms and conditions of this agreement,including without limitation, ensuring that youare not using more than one copy of theHONEYWELL SOFTWARE, or bypassing thesoftware keys to engage in unauthorized,unlicensed use of the HONEYWELLSOFTWARE, and to immediately terminate yourlicense in this agreement if an audit shows thatyou are in breach with any of the terms andconditions of this Agreement, as well as toenforce all other rights and remedies availableunder this agreement or otherwise under law or atequity.

6User Non-Disclosure AgreementThe failure of Honeywell to enforce at any timeany of the provisions of this agreement shall notbe construed to be a continuing waiver of anyprovisions hereunder nor shall any such failureprejudice the right of Honeywell to take anyaction in the future to enforce any provisionshereunder.It is understood and agreed that, notwithstandingany other provisions of this agreement, breach ofany provision of this agreement by you maycause Honeywell irreparable damage for whichrecovery of money damages would beinadequate, and that Honeywell shall therefore beentitled to obtain timely injunctive relief toprotect Honeywell's rights under this agreementin addition to any and all remedies available atlaw.Nothing contained herein shall be construed ascreating any agency, employment, relationship,partnership, principal-agent or other form of jointenterprise between the parties.The section headings appearing in this agreementare inserted only as a matter of convenience andin no way define, limit, construe, or describe thescope or extent of such section or in any wayaffect this agreement.Whenever possible, each provision of thisagreement shall be interpreted in such manner asto be effective and valid under applicable law.But, if any provision of this agreement is held tobe invalid, illegal or unenforceable in any respectunder any applicable law or rule in anyjurisdiction, such invalidity, illegality orunenforceability shall not affect any otherprovision in that jurisdiction, but this agreementshall be reformed, construed and enforced in suchjurisdiction as if such invalid, illegal orunenforceable provision had never beencontained herein. Further, such invalidity,illegality or unenforceability shall not affect anyof the provisions in this agreement in any otherjurisdiction.

User Non-Disclosure Agreement7This agreement constitutes the entire agreementbetween you and Honeywell and supersedes intheir entirety any and all oral or writtenagreements previously existing between you andHoneywell with respect to the subject matterhereof. This agreement may only be amended orsupplemented by a writing that refers explicitly tothis agreement and that is signed by dulyauthorized representatives of you and Honeywell.The preprinted terms and conditions of anyPurchase Order issued by you in connection withthis Agreement shall not be binding to Honeywelland shall not be deemed to modify thisagreement.Software and technical information deliveredunder this agreement is subject to U.S. exportcontrol laws and may be subject to export orimport regulations in other countries. You agreeto strictly comply with all such laws andregulations, and you shall be solely responsiblefor obtaining any import, export, re-exportapprovals and licenses required for such softwareany technical information, and retainingdocumentation to support compliance with thoselaws and regulations.
