Terms and Conditions for Cisco Fast Track Promotion (“Promotion”)Purchase necessary to participate in the Promotion.Information on the Promotion and how to enter form part of these Terms & Conditions.1. Eligibility: Entry is open to all companies in Australia, New Zealand, Singapore, Malaysia, Philippines,Thailand, Vietnam and Indonesia. (“Participants”). Participants must be over eighteen (18) years ofage. Promotion is not open to: (1) employees or internally contracted vendors of Sponsor, itssubsidiaries, agents and affiliates and; (2) employees of the promotional agencies associated with thisPromotion are not eligible to participate.IMPORTANT NOTICE: All Participants are responsible for compliance with any and all laws, rules,regulations, and employer’s policies regarding Participant’s eligibility to participate and/or receivereward(s) in this Promotion. Upon the receipt of the required information, Cisco will forward the same to its resellers who will uponverification provide the promotion offersall the above mentioned collectively (eligible “Entry”).Provided that, (i) each Participant is entitled to only one discount per product and cannot transfer it orcombine it with other offers; (ii) Participant complies with all Terms and Conditions. The decision of thereseller is final, binding and non-appealable.5. Lost or damaged Entry: Sponsor is not responsible for late, lost, delayed, damaged, misdirected,incomplete, void, corrupted, garbled, illegible, and/or unintelligible entries, or for any problems, bugs ormalfunctions that the Participants may encounter when submitting their Entries. Only complete validEntries will be accepted. Incomplete, garbled, corrupted or otherwise illegible, Entries are void and will notbe accepted. Sponsor reserves the right to disqualify false Entries or Entries suspected of being false. AllEntries submitted shall become the sole and exclusive property of Sponsor and will not be acknowledgedor returned. In the event of a dispute, the registered account holder of the email address used to submit areferral will be deemed to be the person who made the Entry. The authorized “account holder” is thenatural person assigned an email address by the Partner organization responsible for assigning emailaddresses for the domain associated with the submitted address.6. Right to modify: The Sponsor reserves the right to offer alternative discount without assigning anyreason whatsoever. The Sponsor also reserves the right to add, modify, change, improve, or discontinuethe Promotion, including any term, with or without notice. Without limiting the foregoing, if the Promotionis terminated, the Sponsor will use its reasonable endeavours to notify Participants.7. LIMITATIONS OF LIABILITY: BY PARTICIPATING IN THIS PROMOTION, EXCEPT FOR LIABILITYUNDER STATUTE WHICH CANNOT BE EXCLUDED, THE PARTICIPANT AGREES THAT SPONSOR,ITS SUBSIDIARIES, AFFILIATES, ADVERTISING AND PROMOTION AGENCIES, AND ALL OF THEIRRESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS, WILLHAVE NO LIABILITY WHATSOEVER FOR, AND WILL BE HELD HARMLESS BY WINNER FOR ANYCLAIMS, LIABILITY, OR CAUSE OF ACTION FOR ANY INJURY, LOSS OR DAMAGES OF ANY KINDTO PERSONS, INCLUDING WITHOUT LIMITATION PROPERTY, DUE IN WHOLE OR IN PART,DIRECTLY OR INDIRECTLY, FROM THE PARTICIPATION IN THIS PROMOTION, USE OR MISUSEOF THE PROMOTION, OR PROMOTION RELATED ACTIVITY. FOR THE AVOIDANCE OF DOUBT,NOTHING HEREIN EXCLUDES OR LIMITS THE SPONSOR'S LIABILITY FOR DEATH OR PERSONALINJURY RESULTING FROM NEGLIGENCE, FRAUD OR WILLFUL MISCONDUCT.8. Taxes: The Sponsor accepts no responsibility for any tax liability that may be incurred by any person inconnection with a Participant participating in this Promotion. All federal, provincial, local taxes, salestaxes, and any other costs, fees and expenses, duties, charges and surcharges are the sole responsibilityof the Participant.9. General Conditions: By entering, the Participant acknowledge that the Participant has read,understood, accept and agree to be bound by the terms and conditions, as they may be amended fromtime to time at Sponsor’s sole discretion. All Participants are responsible for compliance with anyapplicable laws, rules and regulations, contractual limitations and/or office policies, if any, regardingparticipation in events such as the Promotion. Sponsor reserves the immediate right to disqualify anyParticipant who, in Sponsor’s sole discretion: (i) is not in compliance with these Official Rules, (ii) tamperswith the entry process, the Promotion, or the Website; or (iii) is acting in an uncooperative,
unsportsmanlike, disruptive, abusive, or threatening manner. Sponsor shall not be liable to Participantsfor any force majeure event, technical or equipment failure, terrorist acts, labor dispute, or act/omission ofany kind (whether legal or illegal), transportation interruption, civil disturbance, or any other cause similaror dissimilar beyond Sponsors’ control. By registering for the Promotion, the Participant consents toreceiving email or other communications from Sponsor related to the Promotion. Participant assumes anyand all responsibility for delayed, failed, partial or garbled computer transmissions; technical failures ofany kind, including, but not limited to lost, interrupted or unavailable network, server, Internet ServiceProvider (ISP), website or other connections, availability or accessibility or miscommunications or failedcomputer, satellite, telephone or cable transmissions, lines or technical failures or difficulties; the incorrector inaccurate capture or failure to capture whether caused by site users, tampering, hacking, or by anyequipment or programming associated with or utilized in the Promotion, submission, or other information;the failure to capture any such information; or errors of any kind whether human, mechanical, electronic,network or otherwise arising out of or relating to the Promotion, theft, loss, destruction or damage toEntries, in whole or in part, or other factors beyond their reasonable control. Once submitted, answerscannot be modified, deleted or cancelled. Participant assumes any responsibility for injury or damage toParticipants’ or to any other person’s computer related to or resulting from participating in the Promotionor downloading materials from or use of the web site. Persons who tamper with or abuse any aspect ofthe Promotion or Website, as solely determined by Sponsor, will be disqualified. Any Participant whouses fraudulent entry methods, or otherwise attempts to participate with multiple e-mail and/or addressesunder multiple identities, or uses any device or artifice to participate multiple time will be disqualified.10. Force Majeure. To the maximum extent allowed by applicable law, the Sponsor, its affiliates,subsidiaries, and all of their respective officers, directors, employees, representatives and agents shallnot be liable, and accepts no responsibility, for (i) any delay, loss, damage, distress or inconvenience foror arising from the Promotion, including any delay, loss, damage, distress or inconvenience related to thePromotion howsoever arising; or (ii) for any force major event, technical or equipment failure, terroristacts, labor dispute, or act/omission of any kind (whether legal or illegal), transportation interruption, civildisturbance, or any other cause similar or dissimilar beyond Sponsors’ control; or (iii) any costs orexpenses associated with which are not expressly stated to be included in the Promotion, including,without limitation, taxes. Nothing in these terms excludes liability for death or personal injury caused bySponsor’s negligence or for any other liability that cannot be excluded by law.11. USE OF PERSONAL INFORMATION: Personal information submitted while participating in thePromotion will be used to contact potential customers unless the Participant has checked the Opt-In boxon the registration page. Personal information means any information that may be used to identify theParticipant making the entry including, but not limited to, a first and last name, email address, a home,postal or other physical address, other contact information, a title, a birth date, such Participant's gender,occupation or industry, or other information needed to meet the obligations of the Promotion. If the Opt-Inbox has been checked, the Participant grants to Sponsor and its affiliates an irrevocable right to print,reproduce, publish, use, edit, adapt, display, broadcast and/or modify worldwide in any way, in any and allmedia, now known or hereinafter developed (without compensation to the Participant), including, but notlimited to, the World Wide Web and the Internet, at any time(s), the Participant's name and logos, and thename, portrait, picture, voice, likeness, and biographical information of the Participant, as news,information and for advertising and Promotion purposes without additional compensation or review.Checking the Opt-In box further constitutes the Participant’s consent to assign and transfer irrevocably toSponsor any and all rights, title and interest in the Entry, without limitation, including all copyrights.12. Choice of Law: These validity, interpretation, and performance of any matters related to thePromotion (including these terms) shall be controlled by and construed under the laws of England andWales. All disputes arising out of or in connection with the Promotion shall be finally settled under thencurrent rules of the London Court of International Arbitration. In addition, judgement on the awardrendered by the arbitrators may also be entered in any court where the arbitration takes place, andapplication may be made to any such court for judicial acceptance of the award or order of enforcement.Within fifteen (15) days after the commencement of arbitration, each party shall select one arbitrator, andthe two selected shall select a third arbitrator within ten (10) days of their appointment. If the arbitratorsselected by the parties are unable or fail to agree upon the third arbitrator, the third arbitrator shall be
selected by the LCIA. The place of arbitration shall be London, England. The arbitration shall beconducted in English.
