Terms and Conditions for Bids and Bidders1.The Procurement Agency is:Special Technology Zones Authority (STZA)16th Floor, New State Life Tower, Plot# 61, Jinnah Avenue, Islamabad2. The STZA of Pakistan invites sealed bids from the principal’s authorizeddealers/distributors/partners/resellers based in Pakistan and registered with Federal Board ofRevenue/Respective Revenue Boards for Income Tax and Sales Tax and who are on Active TaxpayersList (Income and Sales tax) of the Federal Board of Revenue/Relevant Tax Authority forSTORAGE AREA NETWORKthroughSINGLE STAGE TWO ENVELOP METHOD.3. Bids shall comprise a single package containing TWO separate envelopes. The Bidder shallprepare one original (Master Copy) and one (1) number of copies/sets of the bid, clearlymarking each one as "TECHNICAL BID - ORIGINAL", "FINANCIAL BID - ORIGINAL" "TECHNICALBID - COPY NO. 1," " FINANCIAL BID - COPY NO. 1," etc., as appropriate. and provide the“TECHNICAL BID” in soft form as well in USB. In case any bidder submits more than one option against this invitation then bid bond/securityshall be submitted against highest quoted option.11. Only registered service providers who are on Active Taxpayers List (Income and Sales Tax) ofFBR are eligible to provide services to the Authority. Bids of all those bidderswho are In-Activeon ATL on the date of bid opening shall be rejected.12. After selection if any supplier is not available on ATL at the time of payment then his payment shallbe stopped till he files his mandatory returns and appears on ATL of FBR.13. Tax shall be deducted/withheld as per applicable sales tax and income tax law.14. STZA reserves the right to cancel this invitation and reject all bids at any stage of the bidding process.16. The bid validity period shall be 150 days.17. If the bid is withdrawn after bid opening time and before the expiry of bid validity the bidbond/security will be forfeited in favor of the STZA, Islamabad.18. The language of the bid is English and alternative bids shall not be considered.19. Amendments or alterations/cutting etc., in the bids must be attested in full by the person who hassigned the bids.20. The prices quoted shall correspond to 100% of the requirements specified. The prices quoted by thebidder shall not be adjustable. Changes or revisions in rates after the opening of the bids will not beentertained and may disqualify the original offer.21. The rates must be quoted strictly in accordance with our documents and Annex(s).22. Discounts (if any) offered by the bidder shall be part of the bid and for taxation purposes will be treatedin accordance with the applicable laws.23. Government of Pakistan (GOP). The bided price MUST be inclusive of all applicable taxes. The bidderis hereby informed that the Authority shall deduct tax at the rate prescribed under the tax laws ofPakistan from all payments for supply/services rendered by any responding organization who acceptsthe Purchase order or signs agreement with the Authority.25. Price inclusive of quoted tax, quoted by the bidder shall be considered for evaluation irrespective ofthe tax rate. The lowest evaluated/most advantageous bidder shall be responsible of the quoted taxin its bid and any demand from tax authorities shall bepayable by that bidder.26. In case applicable taxes have neither been included in the quoted price nor mentioned whetherquoted amount is inclusive or exclusive of such taxes, then quoted amount will be considered inclusiveof all taxes and selected service provider will have to provide the required services/equipment, ifselected and declared as lowest evaluated/most advantageous bidder.27. Selected service provider/supplier will have to provide the required services/equipment, if selectedand declared as lowest evaluated/most advantageous bidder. In case selected bidder is not willing tosupply on quoted amount then bid bond/security submitted with the bid will be forfeited in favor ofthe Authority.28. Bidder must have regular place of business, telephone numbers and email address and must provideproof of their existence in the business. A brief profile of the bidder, along with list of major customers(corporate sector) along with their contact details is required.29. Items included in Compulsory Certification Scheme of PSQCA shall be duly certified by an accreditedlaboratory and fulfill necessary conditions of PSQCA, if and as applicable.30. Bidder must submit following undertaking (on stamp paper of Rs.100/letter head), failing which thebid shall be rejected.a) Affidavit that the documents/details/information submitted is true andliable tobe rejected if proven false and, in that case, legal action is liable onthat bidder.b) Affidavit that the bidder has never been blacklisted by anyNational/Internationalorganizations.Note: In case any bidder is found in the list of “Blacklisted Firms-Pakistan” orrelatedlinks at https://www.ppra.org.pk/ then its bid shall be rejected31. Comprehensive warranty & onsite support for mentioned years shall be given for theequipment/software/renewal at Islamabad.32. All software-based items contain installation and configuration and end user orientation which isresponsibility of the supplier (if support is not provided by the principal).

33. The equipment/software/renewals supplied must be duty paid in respect of all applied duties andtaxes.34. The quantities required may increase/decrease according to STZA requirement.35. The end user License, end user warranties and end user support services will be in the name of STZAfor all equipment and software loaded on the equipment delivered.36. A copy of valid authorized agency/partnership/dealership/distributorship certificate from theirprincipals is to be submitted with the bid.37. Payment shall be made after delivery, installation, and commissioning of completeequipment/licenses/services/renewals. All payments shall be made after deduction of taxes and allpayments shall be made through cross cheque in Pak Rupees. Taxes will be deducted at source as perGovernment Rules at the time of payment.38. The bidders do not have the option of submitting their bids electronically. Telegraphic and conditionalbids will not be accepted.39. Only sealed bids will be opened at the time of bid opening and unsealed bids will be rejected.40. Sealed bids may be dropped at 16th Floor, New State Life Tower, F-7, Jinnah Avenue, Blue Area,Islamabad.41. The bid bond/security of successful bidder will be retained and after installation and commissioningof complete equipment/licenses/services/renewals of ordered items and will be released aftersuccessful completion of the warranty period and verification/ confirmation by IT Dept. However, bidbond/security of unsuccessful bidders will be returned after award of contract to successful bidder.43. During the retention period the bid bond/ security, no interest / markup will be provided on thisamount by Authority to bidder at the time of refund/ release of bid bond/ security.44. In case 1st lowest evaluated/most advantageous bidder is unable to supply ordered items then theAuthority reserve the right to award the contract to 2nd lowest evaluated/most advantageous bidder.In case 2nd lowest evaluated/most advantageous bidder is unable to supply ordered items then theAuthority reserve the right to award the contract to 3rd lowest evaluated/most advantageous bidder.45. Bid bond/security of the bidder who is unable to supply ordered items shall be forfeited in favor of theAuthority.

46. The Authority reserves the right either to sign an agreement with the successful bidder and/or PO. Thestandard form of the draft agreement is attached as Annexure to this RFP.47. Draft agreements provided in this RFP may be revised and new terms and conditions may be addedby the Authority.48. The bids received after the due date and time will not be entertained.49. (a)a person includes a legal or natural person and, if applicable, a reference to that person'slegal personal representatives, successors and permitted assigns; and(b)the singular includes the plural and vice versa (unless the context otherwise requires).2.CONFIDENTIALITY OBLIGATIONS2.1In consideration for the Parties making available to each other the Confidential Information, bothParties undertake to:(a)keep the Confidential Information confidential and not disclose, divulge, or provide it toanyone except as provided in Clause 3 below;(b)ensure that the Confidential Information is protected with security measures of areasonable degree of care and keep the Confidential Information in such a way as toprevent its unauthorised disclosure.(c)use the Confidential Information for the Permitted Purpose only.(d)to keep confidential and, except to any of its Authorised Recipients on a need-to-knowbasis only, not disclose to any person the fact that Confidential Information has beenmade available.(e)to keep confidential and, except to any of its Authorised Recipients on a need-to-knowbasis only, not disclose to any person any facts in relation to the Confidential Informationand its existence (including the existence and contents of this Agreement), without thedisclosing Party’s prior written consent.(f)not to seek disclosure of any information from the officers, employees or professionaladvisers of the disclosing Party or to make unsolicited contact with, or enquiries of thedisclosing Party from any of its officers, directors, employees or professional advisersrelating directly or indirectly to the business of the disclosing Party, without the priorwritten consent of a duly authorised representative of the disclosing Party;(g)recognise and accept, and advise its Authorised Recipients, that the ConfidentialInformation is given only for the purpose specified herein and the discussions are takingplace in confidence, and that neither it nor its Authorised Recipients should base anybehaviour in relation to qualifying investments, related investments or relevant productswhich would amount to market abuse under applicable laws, rules or regulations on theConfidential Information until after such information is made generally available to thepublic;(h)not use the Confidential Information, in whole or in part, for any commercial purposewhatsoever without the prior approval and agreement in writing of the disclosing Party;and(i)not create and/or store any copies of the Confidential Information of any kind, withoutthe prior written approval of the disclosing Party.
