GENERALINFORMATIONPrice/Terms Information PricesThese price pages apply to Challenge Authorized Dealers only, basedupon the terms and conditions of the Dealer Agreement and aresuggested selling prices. Challenge reserves the right to change allprices without prior notice and without incurring responsibility forexisting units. An appropriate Dealer Discount Schedule is providedaccording to your dealer classification. Terms of SaleGoods and Services are available to all qualified dealers inaccordance with the appropriate credit terms in effect at that time.Challenge reserves the right to quote directly on all bids issued bygovernmental agencies. Domestic Credit TermsA customer's credit privilege will be automaticallysuspended should their account become 60 days or morepast due and will not be reinstated until the delinquencyis cleared. Machine and Parts Orders: 1%/15 Days - Net 30, subject tochange upon written notice from Challenge. Invoices are payable in U.S. funds, drawn on a U.S. bank only. MasterCard and Visa are accepted. No discount allowed. C.O.D. (at CMC request). No Discount. No Drop Shipments. C.O.D. certified check will be required for dealers that havehad N.S.F. checks. 20.00 (Twenty dollars) banking fee for returned checks. Cash discounts offered in conjunction with the Terms of Sale areintended solely as an incentive to our customers to pay The ChallengeMachinery Company on a timely basis. Such discounts will beadministered by the Credit Department within the following guidelines:A) Envelope must be postmarked on or before the discountdate (currently 15 days past the invoice date).B) Customers' account must be current to qualify for the cashdiscount. A customers' account shall not be consideredcurrent if any of the following exist; (1) If there is a balanceover 60 days old. (2) If there is an outstanding balanceon a note taken to cure a prior delinquency. (3) If thereexists an unrecovered balance that has been referred toan outside Collection Agency. (4) If there is anunrecovered balance owing on a prior bad debt write-off.C) To qualify for the cash discount on dated billings, theentire invoice amount must be paid on or before thediscount date; that is, no partial payments allowed.D) Cash discount is not available on C.O.D. shipments.E) Cash discount is not available on orders paid prior toShipment unless specifically authorized by the CreditDepartment.All invoices not paid within the discount terms are Net Thirty- (30)Days from date of invoice.Challenge reserves the right to add late charges to any past dueaccount. GENERALINFORMATION Tax Exempt CertificateDomestic dealers must provide a current tax exemption certificate.If Challenge does not have one on file, sales tax will be charged oneach invoice until one is received. Any invoice over 60 days that hasbeen short paid by the sales tax amount will cause the customersaccount to be suspended. International DealersGoods and Services are available to all qualified dealers inaccordance with the appropriate credit terms in effect at that time.Acceptable means of payment include letter of credit, prepaymentand open terms to approved dealers. Wire transfers may be sent toStandard Federal Bank, 2600 W. Big Beaver Road, Troy, MI 48084USA. Routing #072000805, Acct. #1054529905, Swift #MICHUS33.Pro-Forma Invoices are available upon your request. Floor Plan TermsChallenge will provide, at its discretion, floor plan programs throughrecognized national financing companies, i.e. Textron FinancialCorporation. Dealers will, upon appropriate credit approval of thefinancing company, be entitled to have machines for demonstrationand inventory at his selling location. Most financing companiesrequire minimum two years financial information and completed creditapplication prior to approval. These floor plan arrangements couldentitle the dealer to have this equipment for period of 180 days withoutcost, depending on the program Challenge offers. The purpose of aFloor Plan program is an incentive for a dealer to have equipment athis selling location to provide for maximum selling exposure ofChallenge manufactured and distributed products. Annual financerates and re-payment matters will vary among financing companiesdepending on the program being utilized. Please note: You mustinform us at the time your order is placed if you will be using afinancing company. After an order has been shipped, we canno longer provide this service. Repair PartsPrices on Repair Parts for Challenge equipment are available uponrequest. Phone OrdersOrders placed for parts and/or equipment by telephone MUST befollowed by a written confirming order. Challenge will not beresponsible for parts and/or equipment furnished incorrectly if aconfirming order is not supplied.Challenge will make every reasonable effort to process priority ordersreceived at our offices prior to 4:15 PM (ET), so long as the accountis in current status with Credit Department. Challenge reserves theright to deny premium charges if shipment was delayed through nofault of its own. Cancellation of Machine OrdersValid purchase orders that have been entered into the Challengeproduction schedule and then canceled later will be assessed a 2%cancellation penalty.4Prices Effective December 6, 2004

GENERALINFORMATIONShipping Information Freight DiscountTraffic policy regarding outbound freight shipments: terms of saleare F.O.B. Norton Shores, MI, or as otherwise stated. All shipmentswill be prepaid except as otherwise requested at the time the orderis placed.Challenge has negotiated a rate reduction package through twocommon carriers. We share the majority of this reduction with ourdealers.Exception to the freight discount include, but are not limited to,minimum charge freight bills, some Canadian shipments, internationalshipments, shipments from points other than Norton Shores, MI, andshipments to direct points not served by the carrier.Challenge has also negotiated an agreement with several air freightcompanies for products approximately 100 pounds or less. Most ofthese air shipments can be made for the same freight charges orless than those by truck. If you receive a shipment by air, Challengehas determined it to be the lowest freight cost available. PackingThe prices include standard commercial packing. For export packing,fax, write, or call for prices. All orders include a handling fee of 10.00in addition to the shipping cost. Please note: The 10.00 handlingfee can not be billed to your UPS or Federal Express account. Itwill be billed with the parts on your invoice. Shipping WeightsApproximate shipping weights for each machine are listed under"Specifications". DeliveryArrangement for sidewalk or inside delivery is the dealer'sresponsibility. The dealer also must advise Challenge of the carriercontact and phone number. Challenge can specify on the waybill,but cannot guarantee, that the delivery carrier will have the necessaryequipment. Any extra charges, such as storage and redeliverycharges, are the responsibility of the dealer. Claims & CreditsTHE RESPONSIBILITY FOR THE SAFE ARRIVAL OF YOURMERCHANDISE IS TRANSFERRED TO THE CARRIER UPONPICKUP AT CHALLENGE. ALL SHIPMENTS SHOULD BEINSPECTED UPON ARRIVAL AND CLAIMS FOR DAMAGES ORSHORTAGES MUST BE REPORTED TO THE CARRIER BEFORESIGNING RECEIPT DOCUMENTS. ALL OF OUR MACHINERY ISSENT OUT WITH A LABEL EXPLAINING WHAT TO DO IF THECARTON IS DAMAGED. THE RESPONSIBILITY FOR FILINGFREIGHT CLAIMS RESTS WITH THE RECEIVER OF THE GOODS.Prices Effective December 6, 20045

GENERALINFORMATIONReturnsClaims for incorrect or missing items must be made to Challengewithin 15 days from the date of shipment for invoice adjustmentconsideration. Freight damaged orders must be filed with theappropriate carrier immediately upon receipt of goods. If damagedmachines need to be returned, they should be shipped back by thesame carrier that made the original delivery.Machine ReturnsTo be considered for credit, any machine with a serial numbermust receive a numbered and approved Return Authorizationform issued by authorized Challenge Machinery personnel only.This form must accompany any returned shipment. All machinesare subject to inspection prior to credit being issued. Allauthorized return shipments must be shipped on a pre-paidbasis. Any collect shipments received, unless authorized inwriting prior to shipment, may be refused at Challenge's request.Parts ReturnsTo be considered for credit, parts (items without serial numbers)MUST be accompanied with the Challenge Parts Return AuthorizationForm. This form can be obtained from Challenge and may bereproduced as necessary. Return authorization numbers are onlyrequired for machines.Returned merchandise, parts or machines, that were correctlysupplied according to the customer order, will be subject to a handlingcharge to cover the cost of inspecting and repacking. This chargewill be 15% if returned within 45 days from date of shipment; 30% ifreturned between 46 and 90 days of shipment. No credit will begiven if returned more than 91 days from date of shipment. If anyreconditioning is necessary, the net cost of such work will be deductedfrom the credit issued.Returned merchandise that was ordered as a warranty claim, mustbe returned within 45 days of shipment in order to receive full credit(if appropriate); if returned between 46 and 90 days of shipment, a15% handling charge will be applied; if returned more than 91 daysafter shipment, the amount of credit will be determined by Challenge'sability to return purchased components to it's supplier.All returned merchandise must be shipped freight charges prepaid(no freight discounts on returned machines). At Challenge'sdiscretion, freight credits will be limited to ground rates only. Allparts must be returned in "as new" condition or credit will bedenied.Please note: Parts "special ordered" for discontinued machinescannot be returned for credit.Electrical EquipmentSpecial electrical wiring to meet local codes is the responsibility ofthe purchaser.6Prices Effective December 6, 2004
