THE RIGHT NETWORKS MSP PARTNER PROGRAM1. What is the Right Networks MSP Partner Program?A reseller or referral program for US-based Managed Services Providers (MSPs) who wish tooffer QuickBooks Cloud Hosting packages from Right Networks to their customers.Members of the Right Networks MSP Partner Program can choose the Reseller Partner option,where they aggregate and bill on behalf of their customers and are then billed monthly byRight Networks. The Reseller Partner receives a volume discount based on their level ofprojected business for that calendar year and is adjusted up or down for the following yearbased on the prior year’s actual business performance.The Referral Partner option allows an MSP to refer their customers directly to Right Networksfor QuickBooks Cloud Hosting packages and receive revenue share based on the volume ofbusiness achieved over the course of that calendar year. The revenue share is payable for aslong as the MSP’s referred customers remain active with Right Networks. MSPs build and earna recurring revenue stream based on the referral business they create with Right Networks.2. Who should MSPs refer to Right Networks QuickBooks Cloud Hosting?MSPs understand best the most commonly felt pain points by their customers—and howQuickBooks Cloud Hosting could potentially help them. The 2020 global pandemic furtheraccentuated these pain points by limiting face-to-face interactions and forcing offices to shut down.This has created an opportunity to start or enhance the use of cloud technology to make workfrom-home workflows easier to run better accounting, tax, bookkeeping firms, or small businesses.Here are a few example scenarios to help MSPs decide whom to refer to Right NetworksQuickBooks Cloud Hosting: A client working for an accounting, tax, or bookkeeping firm or small business usesQuickBooks Desktop and discusses how difficult it has been to adjust to working-from-home. A client working for an accounting, tax, bookkeeping firm or small business expressesfrustration with having to worry about managing their applications, software updates,backups, and other IT concerns vs. running their business. How does the Right Networks MSP Partner Program work?Right Networks has made it simple for MSPs to resell or refer our market-leading QuickBooksCloud Hosting solution and earn attractive discounts or a revenue share in the process—here’show it works:1. MSPs sign up to be a Reseller or Referral Partner for Right Networks QuickBooks CloudHosting packages.2. How does an MSP sign up for the Reseller Program?An MSP would click on the website link provided in the email invite from Right Networks to learnmore about the program.The link will guide the MSP to a website page where they will obtain increased insights intothe program including access to a detailed FAQ and form to fill out and submit to arrange aconversation with one of our program specialists.After speaking to Right Networks and determining that the Reseller Program best fits the MSP’sneeds they will be sent a follow-up email containing the Reseller Program Terms and Conditionsto click through. Once that is completed the MSP is contacted for setup into the programincluding access into the MyAccount portal where the MSP can add and manage their ownclients as they grow their business with Right Networks. Prior to access the MSP will also needto accept and click through the terms and conditions of our QuickBooks Cloud Hosting, whichincludes use of MyAccount.The MSP will also speak with their Right Networks Customer Success Manager who will workwith them to finalize defined roles between Right Networks, the MSP and their customer forhow account administration, billing and support will be managed moving forward.MSP RESELLER PARTNERSFor MSPs who become Resellers, Right Networks and the MSP will agree to a discount levelprojection and operate under that discount level for that calendar year. The discount percentage isbased on the volume of seats acquired.If the MSP Reseller Partner exceeds the projected volume level at the end of that calendar year,their discount will increase to the appropriate level designated for the following calendar year.If the MSP Reseller Partner ends at a volume level below what was projected for that calendaryear, their discount is reduced to the level matching their end-of-calendar-year volume.MSP Reseller Partners who sign up mid-year (after July 1) will receive a discount based on theprojected volume of referrals for the following calendar year.The discount levels for the Reseller Partners are:Volume per YearDiscount %Up to 10 Seats15%11–50 Seats20%51–99 Seats25%100 Seats30%The MSP Reseller is responsible for sellingtheir customers the Right NetworksQuickBooks Cloud Hosting packages ofchoice and billing their customers everymonth as part of their typical customerbilling activities.Right Networks will centrally bill the MSPReseller for the appropriate volume ofbusiness conducted by the MSP with all oftheir aggregated customers every month.From an operational perspective, there are varied roles that an MSP, their customers, andRight Networks assume to ensure a successful experience.Continued next page.rightnetworks.com 888.210.0237 Pg 2

MSP REFERRAL PARTNERSMSP Referral Partners refer their customers directly to Right Networks for the purchaseof QuickBooks Cloud Hosting packages.For “Qualified Referrals” (defined here), MSP Referral Partners obtain a revenue share derived as a% of the Monthly Recurring Revenue (MRR) based on the level of business (# of seats) sold duringthat calendar year.The revenue share is paid for “Qualified Referrals” for as long as they are an active customerof Right Networks.The MSP Revenue Share structure is:Volume per Year5–9 SeatsRevenue Share5% of MRR10–49 Seats7.5% of MRR51–99 Seats8.5% of MRR100 Seats10% of MRRThe MSP Referral Partner obtains access to a program portal (powered by PartnerStack) to tracktheir business with Right Networks.The portal includes access to a Right Networks marketing kit, which contains sales materialsfor MSPs to use when explaining the benefits of QuickBooks Desktop Hosting packages to theircustomers and prospects, and a unique referral link, allowing all referrals to be associated withtheir MSP for tracking purposes.Before gaining access to the portal, the MSP must accept the referral program Terms and Conditions.rightnetworks.com 888.210.0237 Pg 4

8. How does an MSP submit a Referral candidate? How does an MSP obtain their unique referral link?Once accepted into the Right Networks MSP Partner Program as a referral partner, and after theMSP agrees with the program’s Terms and Conditions, the MSP can obtain their unique referrallink from either the Home page (Image 11) or Links page (Image 12) in the PartnerStack portal: HomeImage 11: Unique Referral link on the Home page LinksImage 12: Unique Referral link from the Links page10. Where are MSPs allowed to share their unique referral links?MSPs can share their unique referral link anywhere they feel it will help reach the right audience.Typically, that includes their professional network and clients via: Social media Email Blog postsOnce a Referral candidate clicks on an MSP’s link, they are directed to submit the “Get in touchwith Sales” form on the Referral sign-up ign-up.The submitted form is then tracked and attributed to the MSP whose referral link was used.rightnetworks.com 888.210.0237 Pg 9
11. Can an MSP see anybody who has clicked on their unique referral link?No. MSPs can only see the Referral candidates who have clicked on their unique referral linkand completed the “Get in touch with Sales” form located on the sign-up ign-up.Referrals that click and sign up using an MSP’s unique link are tracked in the Referrals sectionof the portal. Until there is a status change, a Referral’s status will read: “Signed Up.”12. What if a Referral candidate signs up but forgets to use the uniquereferral link?A Referral is attributed to an MSP if they have clicked through the MSP’s link or clicked on itin the past 90 days.If a Referral purchases Right Networks QuickBooks Cloud Hosting without using the MSP’s link,the Referral is manually imported into the system by PartnerStack, the technology providerpowering the Right Networks MSP Partner Program portal.The reward will then be generated for the referring MSP, if applicable.TRACKING REFERRALS13. Can MSPs track the status of their Referrals?Yes. MSPs are provided with a portal powered by PartnerStack, to track Referrals’ statuses.Clicking on the Referrals tab, located in the left-hand navigation within the portal, will givethe MSP a Referral status.14. How does an MSP know if their Referral has been accepted?A referral submitted by the MSP using the Submit a Referral form located on the Referralssection of the MSP portal will populate with a New status until Right Networks has reviewed it.If the Referral is accepted, the status will change from New to Paid.15. Can MSPs track the progress of their Referral?Yes. MSP’s can track the progress of their Referral by reading their status, located on theReferrals page in the MSP portal. Referral statuses include New, Signed Up, and Paid. New: The MSP has submitted the Referral candidate using the Submit a Referral buttonlocated on the Referrals page on their portal. Signed Up: The Referral candidate has submitted their contact information on the referralsign up page: p Paid: When the Referral has been an active customer with Right Networks QuickBooksCloud Hosting for two (2) thirty (30) day billing cycles, this qualifies the MSP for theirrevenue share.rightnetworks.com 888.210.0237 Pg 10
16. How does an MSP know if their Referral becomes a customer?If MSP’s Referral has become a Right Networks QuickBooks Cloud Hosting customer,the Referral will have a Paid status on the Referrals page of their MSP portal.17. Is there a limit to the number of customers an MSP can refer?No.MSP REFERRAL CRITERIA18. What does an MSP have to do to be eligible to start earninga revenue share?An MSP must meet the following conditions to be eligible to start earning a revenue share: MSP must complete the program sign-up procedures, be approved as an MSP Referralmember by Right Networks, and accept the program’s Terms and Conditions.19. Which conditions must a Right Networks QuickBooks Cloud HostingReferral meet for an MSP to earn their revenue share?A Referral must be a “Qualified Referral” for an MSP to earn their revenue share.A Right Networks QuickBooks Cloud Hosting Referral can become a Qualified ReferralONLY if the following conditions are met: The MSP referred the Referral to Right Networks following the procedures outlinedin Questions 7 and 8. Right Networks has no pre-existing record of the Referral in connection withRight Networks Products. Another MSP or Customer has not already referred the Referral. When the Referral is made to Right Networks by the MSP, the Referral is not involved inany contractual relations or ongoing negotiations with Right Networks connected withthe Right Networks Products being referred. Following the MSP’s Referral, the Referral has purchased the Right Networks QuickBooksCloud Hosting product and has completed and paid in full two (2) thirty (30) day billin
