If you are a prospective selleror landlord (owner) or a prospective buyer or tenant(buyer), you should know that the broker who liststhe property for sale or lease is the owner’s agent. Abroker who acts as a subagent represents the ownerin cooperation with the listing broker. A broker whoacts as a buyer’s agent represents the buyer. A brokermay act as an intermediary between the parties if theparties consent in writing. A broker can assist you inlocating a property, preparing a contract or lease,or obtaining financing without representing you. Abroker is obligated by law to treat you honestly.IF THE BROKER REPRESENTS THEOWNER:The broker becomes the owner’s agent by enteringinto an agreement with the owner, usually through awritten - listing agreement, or by agreeing to act as asubagent by accepting an offer of subagency from thelisting broker. A subagent may work in a different realestate office. A listing broker or subagent can assistthe buyer but does not represent the buyer and mustplace the interests of the owner first. The buyer shouldnot tell the owner’s agent anything the buyer wouldnot want the owner to know because an owner’s agentmust disclose to the owner any material informationknown to the agent.IF THE BROKER REPRESENTS THEBUYER:The broker becomes the buyer’s agent by entering intoan agreement to represent the buyer, usually througha written buyer representation agreement. A buyer’sagent can assist the owner but does not represent theowner and must place the interests of the buyer first.The owner should not tell a buyer’s agent anything theowner would not want the buyer to know because abuyer’s agent must disclose to the buyer any materialinformation known to the agent.IF THE BROKERINTERMEDIARY:ACTSASANA broker may act as an intermediary between theparties if the broker complies with The Texas RealEstate License Act. The broker must obtain the writtenconsent of each party to the transaction to act as anintermediary. The written consent must state whowill pay the broker and, in conspicuous bold orunderlined print, set forth the broker’s obligationsas an intermediary. The broker is required to treateach party honestly and fairly and to comply with TheTexas Real Estate License Act. A broker who acts as anintermediary in a transaction:(1) shall treat all parties honestly;(2) may not disclose that the owner will accept aprice less than the asking price unless authorizedin writing to do so by the owner;(3) may not disclose that the buyer will pay aprice greater than the price submitted in a writtenoffer unless authorized in writing to do so by thebuyer; and(4) may not disclose any confidential informationor any information that a party specifically instructsthe broker in writing not to disclose unlessauthorized in writing to disclose the informationor required to do so by The Texas Real EstateLicense Act or a court order or if the informationmaterially relates to the condition of the property.With the parties’ consent, a broker acting as anintermediary between the parties may appoint aperson who is licensed under The Texas Real EstateLicense Act and associated with the broker tocommunicate with and carry out instructions of oneparty and another person who is licensed under thatAct and associated with the broker to communicatewith and carry out instructions of the other party.If you choose to have a brokerrepresent you,you should enter into a written agreement with thebroker that clearly establishes the broker’s obligationsand your obligations. The agreement should state howand by whom the broker will be paid. You have theright to choose the type of representation, if any, youwish to receive. Your payment of a fee to a broker doesnot necessarily establish that the broker representsyou.
