ARTICLES of INCORPORATIONofTHE BAPTIST CONVENTION OF NEW MEXICO(As Amended October 27, 1999)Pursuant to the provisions of Section 53-8-37 NMSA 1978 of the Nonprofit CorporationAct the undersigned Corporation adopts the following Articles of Amendment to itsArticles of Incorporation:1. The name of the Corporation is The Baptist Convention of New Mexico.2. The following amendment to the Articles of Incorporation was adopted by theCorporation on the 27th day of October, 1999, in the manner prescribed by the New MexicoNonprofit Corporation Act:The present Articles of Incorporation as amended are deleted in their entirety and thefollowing Articles of Incorporation are substituted in their place:ARTICLE ONE: Name. The name of the Corporation is The Baptist Convention of NewMexico.ARTICLE TWO: Duration. The period of its duration is perpetual.ARTICLE THREE: Purpose. The purposes for which the Corporation is organized arepurely religious. These purposes include missionary, educational and charitable purposes,the carrying on of missionary work, the support of public worship and the spread of theGospel of Jesus Christ throughout the world, and the education, training and enlistment ofthe people and ministering to the needs of the sick, helpless, aged or infirm.ARTICLE FOUR: Charitable Nature. No part of the net earnings of the Corporation shallinure to the benefit of, or be distributable to its members, trustees, officers, or other privatepersons, except that the Corporation shall be authorized and empowered to pay reasonablecompensation for services rendered and to make payments and distributions in furtheranceof the purposes set forth herein. No substantial part of the activities of the Corporation shallbe the carrying on of propaganda, or otherwise attempting to influence legislation, and theCorporation shall not participate in, or intervene in (including the publishing or distributionof statements) any political campaign on behalf of or in opposition to any candidate forpublic office. Notwithstanding any other provision of these Articles, the Corporation shallnot carry on any other activities not permitted to be carried on (a) by a corporation exemptfrom federal income tax under section 501(c)(3) of the Internal Revenue Code, or thecorresponding section of any future federal tax code, or (b) by a corporation, contributionsto which are deductible under section 170(c)(2) of the Internal Revenue Code, or thecorresponding section of any future federal tax code.ARTICLE FIVE: Members.A. The Members of this Corporation shall be members of Baptist churches which are infriendly cooperation with the Convention and which are sympathetic with the Convention'spurposes and work, and who are elected by their churches as messengers to the Convention13

in session, and who are properly registered and seated by the Convention.B. These Members shall be called "messengers." The messengers shall constitute theConvention in session. A messenger enjoys rights as a member of the Corporation onlyduring the period of the specific meeting to which the messenger has been elected by themessenger's church and seated and not unseated by the messengers constituting theConvention in session.C. The rights of individual messengers, and the rights of the messengers constituting theConvention in session, shall be those described in these Articles of Incorporation and theBylaws. A messenger must be present to vote. In addition to any right granted a messengeror the messengers constituting the Convention in session found elsewhere in these Articles,in the Bylaws, or as Members under the provisions of the New Mexico NonprofitCorporation Act, as it may be amended, messengers shall have the right to vote on: theamendment of the Articles of Incorporation; the amendment of the Bylaws; merger orconsolidation and dissolution; the sale, lease, exchange, mortgage, pledge or otherdisposition of all or substantially all, the property and assets of the corporation; the electionand removal of those persons constituting the State Executive Board, the committees of theConvention, and officers as provided in the Bylaws; the adoption of the Convention'sannual budget; and to allow the Convention to become the Member of, and to exercise therights of The Baptist Convention of New Mexico as the Member of, any other corporation.ARTICLE SIX: Meetings of the Messengers.A. Annual Meeting. Unless an emergency is declared by the State Executive Board, thereshall be a two-day annual meeting of the messengers constituting the Convention at suchtime and place as the messengers may select, this selection being made at least two yearsin advance. In the event of an emergency, the State Executive Board may cancel or changethe time and place upon giving reasonable notice to the churches.B. Special Meeting. A special meeting of the messengers may be called by the messengersin session, by the State Executive Board, or by any two of the following officers: thePresident, the Executive Director, or the Chairman of the State Executive Board. The bodyor persons calling the special meeting shall, at least twenty days prior to the meeting, notifythe churches of the meeting, its time, place and purpose, in writing by mail, and shall causenotice to be published in Baptist New Mexican. No other notice of meetings shall berequired.C. Quorum. The presence of a majority of the registered and seated messengers shallconstitute a quorum.ARTICLE SEVEN: Composition of the Board of Directors. The Board of Directors ofthis Corporation shall be called the State Executive Board. The State Executive Board shallbe composed of the President of The Baptist Convention of New Mexico and thirty personselected by the messengers constituting the Convention in session as provided in the bylaws.Vacancies occurring other than as the result of the expiration of a term or as the result ofan increase in the number of persons constituting the State Executive Board may be filledtemporarily by the affirmative vote of a majority of the remaining directors, though lessthan a quorum of the State Executive Board, until the messengers constituting the14

Convention in session fill the vacancy for the remainder of the term of the person vacatingthe position.ARTICLE EIGHT: Duties of the State Executive Board. The State Executive Board shallexercise the rights and powers granted to a board of directors by the New Mexico NonprofitCorporation Act, these articles and the bylaws. The State Executive Board shall act for TheBaptist Convention of New Mexico on all matters not reserved in these Articles and thebylaws as matters to be acted upon by the messengers constituting the Convention insession. In the event the messengers constituting the Convention fail to act, or act on thebasis of demonstrably incorrect or misleading or insufficient information, the StateExecutive Board may act on a matter otherwise to be acted upon exclusively by themessengers constituting the Convention. The State Executive Board may exercise theConvention's right as the Member of another corporation to remove a director of thatcorporation if the Board of Directors of that corporation requests the removal.ARTICLE NINE: Books and Records. The Corporation shall keep correct and completebooks and records of account and shall keep minutes of the proceedings of its members,board of directors and committees having any of the authority of the Board of Directors.The Corporation shall keep at its registered office or principal office in New Mexico, andduring a period when messengers constitute the Convention at the site of the session, arecord of the names and addresses of its members entitled to vote at that moment and thoseentitled to vote in the previous session of the Convention. All books and records of theCorporation may be inspected by any messenger, his agent or attorney, during the periodwhen the person is a messenger, and for any proper purpose and at any reasonable time.ARTICLE TEN: Registered Office and Agent. The address of its registered office and thename of its registered agent at such address is: Dr. Joseph Bunce, Executive Director, 5325Wyoming Blvd., Albuquerque NM 87109.ARTICLE ELEVEN: Dissolution. Upon the dissolution of the Corporation, assetsremaining after all liabilities and obligations shall be paid and discharged, or adequateprovision shall be made therefore, shall be distributed as provided in the New MexicoNonprofit Corporation Act to one or more organizations which are organized and operatedexclusively for one or more purposes described in section 501(c)(3) of the Internal RevenueCode, or the corresponding section of any future federal tax code.ARTICLE TWELVE: Amendment. These Articles may be further amended in thefollowing manner: The State Executive Board shall adopt
