LOS ANGELES KINGSPARTIAL SEASON TICKET LICENSE & AUTOMATIC PAYMENT AGREEMENTTHIS AGREEMENT RENEWS AUTOMATICALLY UNLESS YOU CANCELSee below for details.This Los Angeles Kings Partiall Season Ticket License & Automatic Payment Agreement, as amended from time to time pursuant to Section11(G) below (the “Agreement”) governs your relationship with The Los Angeles Kings Hockey Club, L.P. (the “Kings,” “we,” “our,” or “us”) as aseason ticketholder. It applies to the 2022-23 National Hockey League (“NHL”) season, and any future seasons in which you purchase ticketsduring the term of this Agreement, unless we enter into a new agreement.THIS AGREEMENT INCLUDES AN ARBITRATION PROVISION WITH A CLASS ACTION WAIVER. PLEASE READ IT CAREFULLY.1. Tickets.(a)This Agreement grants you a revocable license to use the seats listed in the attached invoice (the “Seats”) for thoseselected 2022-23 NHL preseason and regular season games played by the Kings at Crypto.com Arena (the “Arena”) as identified on the invoice(collectively, the “Kings Home Games” and each individually, a “Kings Home Game”) (and future preseason and regular season games pursuantto the auto renewal provisions herein). These rights are subject to the terms and conditions of this Agreement.(b)Provided that you are not in breach of your obligations under this Agreement, this license shall also include the use of theSeats for select playoff and select Stanley Cup games that may be played by the Kings at the Arena while this Agreement remains effective at aprice and on terms and conditions designated by the Kings in our sole discretion and which games shall be identified in your Partail SeasonTicket package by the Kings. Any use of the Seats for such playoff and Stanley Cup games by you shall be subject to the same terms andconditions of this Agreement. You shall be given an option to opt out of purchasing such playoff and Stanley Cup games (a “Playoff Opt-Out”),which you must exercise in writing and provide to us within thirty (30) days of the Kings’ delivery to you of an invoice for those playoff games tobe played at the Arena for the applicable NHL season as described in more detail below. If you do not properly and timely exercise your PlayoffOpt-Out as set forth in this Agreement, you will be responsible for payment of all fees associated with the invoiced playoff and Stanley Cup gamesfor such season.Your tickets do not include special events (such as any NHL European Global Series games, NHL China games, NHL Winter Classic, NHLHeritage Classic, NHL Stadium Series, NHL All-Star or NHL Draft event) or other events involving the Kings or Kings players or personnel(such as Tip-a-King). The Kings may (and often do) offer to sell or give you tickets to such events, but we are not required to do so.Your tickets do not give you any property interest in the Seats, the Kings or the Arena. The Kings may revoke your season tickets andterminate this Agreement at any time, for any reason, in our sole and absolute discretion. For example, we may revoke your season tickets ifyou fail to make payments when due, violate this Agreement, or violate Arena policies.If you choose to purchase or renew season tickets for the subsequent season, and provided you have paid the License Fee (applying anyapplicable Abatement in accordance with the terms set forth herein), you must select your seats for the upcoming season using the Kings’ onlineSelect- A-Seat link (or such other program as may be designated by the Kings in their sole determination) when notified. Your partial seasonseat location is not guaranteed for future seasons. All partial season ticket members must select their seats using Select-A-Seat each season(or such other program as may be designated by Kings). If you do not select your Seats when required via Select-A Seat (or such other programas may be designated by the Kings), the Kings will assign your Seats for the upcoming season. Kings reserve the right to relocate your Seatswhether your Seats were selected or assigned; provided, however, if we do relocate your Seats; you may terminate this Agreement by providingwritten notice to the Kings within twenty (20) days after Kings have provided You written notice of the relocation of your Seats.In the case of any season ticket member who does not have a disability requiring a wheelchair, and whose seats are located in a wheelchairand companion seating area, the Kings reserve the right to relocate such season ticket seat member if applicable laws require that the Kingsmake such seat(s) available for purchase by patrons with disabilities.You acknowledge and agree that the Kings and/or the NHL may cancel, postpone, reschedule or relocate games for any reason, for example,by moving a Kings regular season game from the Arena to an alternate venue for a special event, as determined in their sole discretion. Youalso acknowledge and agree that the Kings and/or the NHL may modify or discontinue, temporarily or permanently, any aspect of the rules,operations and presentations of NHL games and events. In the event that any game or event for which you have purchased tickets is notplayed or presented at the Arena for any reason, including, but not limited to, any preemption of such game or event, it shall in no way bedeemed, argued or construed to be a breach by Kings of any terms, conditions, agreement or any other duties or obligations in connection withthe sale and use of these tickets and, in such event, your sole remedy shall be an Abatement as specified in Section 3 of this Agreement andyou hereby waive and release any and all claims you may have against the Kings, the Arena, and/or the NHL with respect to such game(s) orevent not played or presented at the Arena.Page 1 of 8

PAYMENT OPTIONS & PAYMENT SCHEDULES2. Payment Options. For each NHL season, the Kings will determine the annual fee associated with your season ticket(s) andparking if elected by you (the “License Fee”). The total amount of this License Fee will be provided to you in an annual invoice.You may pay the License Fee in one of four (4) ways (percentages are rounded):A.Pay in Full (“Option 1”): pay the entire License Fee upon execution for the first NHL season under this Agreement, andthen on or before March 20th for later NHL seasons.B.Three Payments (“Option 2”): pay 5% of the License Fee upon execution for the first NHL season under thisAgreement, and then on or before March 20th for later NHL seasons . Pay 47.5% of the License Fee on or before June 20th each NHLSeason, and pay the remaining 47.5% on or before August 20 each NHL Season.C.Five Payments (“Option 3”): pay 5% of the License Fee upon execution for the first NHL season under thisAgreement, and then on or before March 20th for later NHL seasons. Pay the remainder of the License Fee as follows:PaymentDue DateAmount1st PaymentJuly 20th23.75% of the License Fee2nd PaymentAugust 20th23.75% of the License Fee3rd PaymentSeptember 20th23.75% of the License Fee4th PaymentOctober 20th23.75% of the License FeeD.Eight Payments (“Option 4”): pay 5% of the License Fee upon execution for the first NHL season under thisAgreement, and then on or before March 20th for later NHL seasons. The parties agree that if you select Option 2, 3 or 4 and execute thisAgreement after any scheduled payment(s) for such selected option was due prior to the date of execution, then you shall have two options topay the balance of the License Fee, described below:(i)Initial catch-up payment. The first License Fee payment for the first NHL season will include all payments for suchoption that were due on or before the date of execution, and the remaining number of payments shall be adjusted accordingly (for example, asa new season ticket member executing this Agreement on August 25, 2022 and selecting Option 4 above, your first payment upon execution ofthis Agreement for the first year shall include the 5% initial payment, plus the 1st, and 2nd, payments above, and the balance of the LicenseFee shall be paid in five (5) equal installments beginning with the 3rd payment above). Payments for any later NHL seasons shall be as setforth under the selected option above.(ii)Equal payments. Pay the balance of the License Fee for the first NHL season in equal payments, adjusted accordinglyby the scheduled payments remaining (for example, as a new season ticket member executing this Agreement on August 25, 2022 andselecting Option 4 above, your first payment upon execution of this Agreement for the first year shall be 16.66% of the License Fee, and theremaining balance of the License Fee shall be paid in five (5) equal installments of 16.66% of the License Fee). Payments for any later NHLseasons shall be as set forth under the selected option above.F.Automatic Payments.(i) If you select Option 1, please execute and send this Agreement with full payment of the License Fee; or(ii) If you select Options 2, 3 or 4, please execute and send this Agreement and the Automatic Payment Authorization (“APA”) whichhas also been provided. By submitting an APA, you understand that you are authorizing the Kings to charge your Card and/or Account (asthose terms are defined in the APA), to pay the License Fee and any other amounts owing under this Agreement in accordance with thepayment plan option you selected.Page 2 of 8

G.Playoff Pay-As-We-Play. Unless you timely and properly exercise your Playoff Opt-Out for the applicable NHL seasonas set forth in Section 1(b) above, you will be charged the License Fee designated by Kings for your pre-assigned first LA Kings home playoffgame as determined by the Kings of Round 1 during any season in which the Kings qualify for the playoffs. You will then be charged for yourpre-assigned LA Kings home playoff games of subsequent rounds as determined by Kings during any season in which the Kings qualify for theplayoffs as and at the time that Kings qualify for such games as confirmed by the NHL, through Round 4, if applicable. If any payment declines,you agree that a service charge (which will not exceed 5.00) may be assessed on all declined transactions. You authorize the Kings to separatelyinitiate a Charge (as defined in the APA below) or electronic funds transfer (“EFT”) to your Card or Account for any service charge you areassessed. In the event that a Charge or EFT is not successful, you authorize the Kings to reinitiate the Charge or EFT in accordance withapplicable network rules. You understand that your financial institution may charge you a fee in addition to any service charge you may owe usif any payment authorized above is dishonored or returned unpaid, and you agree that we will have no liability regarding any such fees.H.Default. If you fail to pay any sums owing under the Agreement, fail to submit a completed APA by the applicable duedate, or fail to make a partial payment by the applicable due date, the Kings may terminate this Agreement and sell your tickets to another partywithout further liability to you. Subject to the Arbitration Provision below, the Kings may use all legal rights of enforcement, such as sendingyour account information to a collections agency or initiating arbitration. If the Kings prevail in an action or arbitration proceeding to enforce thisAgreement, you will pay the Kings’ reasonable costs of collection, including attorneys’ fees, and court costs, to the extent permitted byapplicable law.I.Damages Determination in Event of Your Default. Although we agree to use commercially reasonable efforts torelicense your Seats if we terminate this Agreement due to your default, you acknowledge that your Seats are not unique, and as long as otherseats in the Arena remain unlicensed for viewing Kings games, relicensing your Seats will not necessarily mitigate our damages, as we mayhave otherwise been able to license other unsold seats had you not defaulted. You and we agree that for purposes of this Agreement, andwithout changing the character of the Agreement as a license, the Kings shall be considered to be in a position akin to that of a “lost volumeseller” under California law in the event of your default. Therefore, the amount, if any, we may receive from the relicensing of your Seats aftertermination of this Agreement due to your default shall not be taken into account in determining our damages unless and until all of the seats inthe Arena are licensed.3. Abatement. If the Kings do not play a scheduled Kings Home Game at the Arena for any reason, you will be entitled to anabatement (the “Abatement”). The Abatement shall be calculated by multiplying the total License Fee by a fraction, the numerator of which isthe number of unavailable Kings Home Games and the denominator of which is the total number of scheduled Kings Home Games during thepreseason and regular season.If, for any reason the Kings do not play a scheduled playoff game for which you have prepaid under the provisions of Section 2(F)above, you will be entitled to refund of the License Fees attributed to such unplayed playoff game (“Playoff Refund”).You may elect to have this Abatement or Playoff Refund, as applicable applied to your first License Fee payment due for the nextNHL season, or paid to you within 60 days after the current season ends. However, if you do not elect to apply the Abatement to your LicenseFee, the Kings cannot guarantee your Seats will be available to you in the next NHL season. The Abatement shall be your sole and exclusiveremedy for “lost games.”For any other default by the Kings under this Agreement, you may seek damages available under applicable law, but the Kings willnot in any event be liable for damages greater than the License Fee paid by You in the year of the alleged default under this Agreement.4. Access. A valid ticket is required to enter the Arena to view a Kings game. A valid ticket may include, without limitation, aphysical printed ticket, an electronic ticket delivered via AXS Mobile ID, Flash Seats or such method of delivery as determined by the Kings.No ticket holder will be permitted to enter the Arena if his or her ticket is lost, stolen, or otherwise misplaced. Each ticket allows access only tothe Seat listed on the ticket during the game listed on the ticket, and areas within the Arena the Kings open to the holder of that ticket. Ticketholders are not entitled to access any other parts of the Arena. Tickets or seat locator should be retained throughout the game to allow yourSeat location to be verified. Once you have entered the Arena, you will not be permitted to leave and re-enter.YOUR PERSON AND YOUR BELONGINGS MAY BE SEARCHED UPON ENTRY INTO THE ARENA. BYPRESENTING YOUR TICKET AND ENTERING THE ARENA, YOU AND EACH GUEST CONSENT TO SUCHSEARCHES AND WAIVE ANY AND ALL RELATED CLAIMS THAT YOU MIGHT HAVE AGAINST THE KINGS, THENHL, ITS MEMBER CLUBS, ITS AFFILIATES, AND/OR ITS AGENTS. IF YOU ELECT NOT TO CONSENT TOTHESE SEARCHES, YOU WILL BE DENIED ENTRY INTO THE ARENA.Page 3 of 8

5. Conduct. You and all persons who use your season tickets or season ticketholder benefits (“Guest(s)”) shall conduct yourselvesappropriately at all times and comply with all applicable laws, Arena policies, and directions of governmental authorities and Kings or Arenapersonnel. You and your Guest(s) agree to comply with all policies, rules, and regulations established from time to time by the Kings in theirsole discretion. If you or your Guest(s) violate any of these policies, rules, regulations, or directions, the Kings have the absolute right to ejectyou and your Guest(s) and/or terminate this Agreement. You and each of your Guest(s) agree to indemnify, defend, and hold harmless theKings, the Arena, the NHL, and each of their agents, employees, owners, partners, trustees, and related entities, from any and all claims,demands, liabilities and/or damages arising from your conduct or omissions and/or the conduct or omissions of your Guest(s) during any Kingsgame or event. You shall not mar, deface, or otherwise damage the Seat(s) associated with your tickets, or any other Arena property. Youshall be responsible for and shall reimburse the Kings for any and all costs for repairs to your Seat(s) that are not the result of normal wear andtear.6. No Advertising. No one may use your ticket(s) to enter the Arena or otherwise use your ticket(s) for advertising, promotion orother commercial purposes, including without limitation contests, sweepstakes, and giveaways, without the express written consent of the NHLand the Kings.7. Resale of Tickets. You acknowledge that it is unlawful to sell or resell tickets on Arena or adjoining property without writtenpermission as required by L.A. Municipal Code § 42.03. Violation of this ordinance or the resale of tickets in violation of state law (CaliforniaPenal Code § 346) may result in fine, imprisonment or both. You acknowledge and agree that your ticket resale, transfer, or trade activity maybe monitored and tracked by the Kings. In the event that you (1) sell, attempt to sell, or engage a third party to sell on your behalf, a substantialportion of your season tickets, or (2) the Kings determine that you have purchased season tickets for the primary purpose of financial gain orbenefit, the Kings reserve the right to terminate this Agreement immediately upon written notice to you. In the event your season tickets areterminated for this reason, the Kings will provide you with written notice of such election, and will refund any pre-paid portion of the License Feefor which you have not received a benefit. However, and without limiting any of our rights or remedies in connection with any such breach, youshall be obligated to pay (and the Kings may retain) that portion of the License Fee which relates to Kings games which occurred beforeexercise of these termination rights.8. Risks Assumed/Waiver of Liability. THIS IS AN IMPORTANT PROVISION. PLEASE READ IN FULL BEFORE SIGNING. Byentering into this Agreement, you voluntarily assume all risks and dangers incident to attending hockey games and all other events you arepermitted to attend as a season ticket member, whether such risks and dangers occur before, during, or after the game or event. Such risksand dangers include, but are not limited to, any and all personal or property injury or death and also include those risks and dangers inherent toand arising out of exposure to the novel coronavirus (“COVID-19”). COVID-19 has been declared a worldwide pandemic by the World HealthOrganization. COVID-19 is an extremely contagious disease that is believed to be spread mainly from person-to-person contact, which canlead to serious illness and other health complications, including death. According to the Centers for Disease Control, senior citizens andpeople with underlying health conditions are especially vulnerable. An inherent risk of exposure to COVID-19 exists in any public place wherepeople are gathered. As a result, federal, state and local governments and federal, state and local health agencies recommend socialdistancing and following certain safety measures. Attending events at the Arena may involve coming into close contact with other individuals.To help reduce the likelihood of exposure to COVID-19, patrons are expected to follow CDC guidelines, which include but are not limited to, thewearing of facial coverings, washing their hands, maintaining social distancing, covering their mouth when sneezing and avoiding touching theireyes, nose and mouth while in the Arena. While the Arena will take preventative measures designed to reduce the spread of COVID-19,neither the Arena nor the Kings can guarantee that you or your Guest(s) (including your child(ren)) will not become infected with COVID-19 byattending a hockey game or other event at the Arena. By signing below, you acknowledge that you have read this paragraph and that youknow, understand and appreciate the risks associated with attending events at the Arena, including that you or your Guest(s) (including yourchild(ren)) may be exposed to or infected with COVID-19 and that such exposure may result in personal injury, illness, permanent disabilityand/or death. You acknowledge that, notwithstanding the foregoing, by signing below, you are voluntarily attending such event at the Arenaand in doing so you are assuming all of the inherent risk of doing so.In consideration for being permitted to attend events at the Arena as permitted hereunder, You, on behalf of yourself, and yourGuest(s) and on behalf of all respective heirs, successors and assigns of You and your Guest(s), hereby forever release, hold harmless,discharge and agree to indemnify L.A. Arena Company, LLC, The Los Angeles Kings Hockey Club, L.P., the NHL and all of its member clubs,Anschutz Entertainment Group, Inc. and all respective franchisees, sponsors, tenants, licensees, landlords, subsidiaries, parents, heirs,successors, owners, members, officers, managers, directors, representatives, employees, agents, affiliates, designees, licensees, and assignsthereof (“Released Parties”), from and against any and all losses or injuries including personal and/or property injury\ies, disabilities, deaths,illnesses, damages, claims, expenses judgments, executions, demands, actions or causes of action, or any other liabilities, either at law or inequity, whether known or unknown, asserted or unasserted, suspected or unsuspected, that may, directly or indirectly, arise from or in any wayrelate to COVID-19 (and variations or mutations thereof and any related epidemics, residual effects, economic impact and results thereof)(“Released Claims”), even if the Released Claims that are released by this release arise out of the ordinary negligence or carelessness,whether active or passive, of any of the Released Parties, or from any hidden, latent or obvious defects in any of the facilities used. Yourecognize and agree that this release and waiver of liability is a full general and final release and waiver of all Released Claims. You furtheracknowledge that you have read Section 1542 of the Civil Code of the State of California, which provides as follows:A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOWOR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER,WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.Page 4 of 8

You understand that, pursuant to Section 1542, you have the right not to release existing claims of which you are not now aware,unless you voluntarily choose to waive this right. Even though you acknowledge that you are aware of such right, by signing below, younevertheless hereby voluntarily waive such rights and elect to assume all risks for claims that now exist in your favor, known orunknown, arising from the subject matter of the waiver of liability and release set forth herein.If you or your Guests bring a minor to a game or other event, you and/or your Guests shall be deemed to have given all of theforegoing grants of rights, releases and waivers on behalf of such minor(s) as their parent or guardian or as the authorized agent of their parentor guardian. If you or your Guest(s) do not wish to or are not authorized to grant such rights, releases and waivers on behalf of theaccompanied minor(s), you and/or your Guest(s) should immediately leave the Arena or other event venue with the minor(s).9. Contacting You. You authorize us and our affiliates, agents, representatives, assigns and service providers (collectively, the“Messaging Parties”) to contact you using automatic telephone dialing systems, artificial or prerecorded voice message systems, textmessaging systems, email, or any similar methods then in use and automated email systems in order to provide you with information about thisAgreement and your season tickets and related benefits, including information about payments and games. You authorize the MessagingParties to make such contacts using any telephone numbers (including wireless, landline and VOIP numbers) or email addresses you supply tothe Messaging Parties in connection with this Agreement, your season tickets, or any other matter. You understand that anyone with access toyour telephone or email account may listen to or read the messages the Messaging Parties leave or send you, and you agree that theMessaging Parties will have no liability for anyone accessing such messages. You further understand that, when you receive a telephone call,text message or email, you may incur a charge from the company that provides you with telecommunications, wireless and/or Internet services,and you agree that the Messaging Parties will have no liability for such charges. You expressly authorize the Messaging Parties to monitor andrecord your calls with the Messaging Parties. You agree that, unless you withdraw your consent as explained below, the authorizations youprovide in this section shall survive the termination of this Agreement.You understand that, at any time, you may withdraw your consent to receive text messages and calls to your cell phone or toreceive artificial or prerecorded voice message system calls by calling 888.KINGS.LA (546.4752) or writing to LA Kings, 555 N. Nash Street, ElSegundo, CA 90245 or such other address designated by the Kings. To stop text messages, you can also simply reply “STOP” to any textmessage the Messaging Parties send you. To stop emails, you can follow the opt‐out instructions included at the bottom of the MessagingParties’ emails.10. Military Lending Act Disclosure. Federal law provides important protections to members of the Armed Forces and theirdependents relating to certain extensions of consumer credit. In general, the cost of consumer credit to a member of the Armed Forces and hisor her dependent may not exceed an annual percentage rate of thirty-six percent (36%). This rate must include, as applicable to the credittransaction or account: the costs associated with credit insurance premiums; fees for ancillary products sold in connection with the credittransaction; any application fee charged (other than certain application fees for specified credit transactions or accounts); and any participationfee charged (other than certain participation fees for a credit card account). Please call us at 888.KINGS.LA to receive oral disclosures of theMilitary Lending Act disclosure above and a description of the payment obligation.11. Miscellaneous.A.Waiver; Remedies. No failure or delay by the Kings to insist on the strict performance of any term of this Agreement, orto exercise any right or remedy in case of a breach of this Agreement, shall constitute a waiver of any breach or any subsequent breach ofsuch term.B.Governing Law. Except as otherwise stated in the Arbitration Provision below, any claim, dispute or controversy arisingfrom or relating to this Agreement, whether based in contract, tort, equity, statute or otherwise, and regardless of the place of your residence, isgoverned by, and construed in accordance with, federal and California law, without regard to conflict of laws principles.C.Joint and Several Liability. If any holder of a ticket is composed of more than one person, or is a partnership or jointventure, the respective individuals, partners, or joint venturers shall be jointly and severally liable for any holder of a ticket’s obligations underthis Agreement, whether or not the individual partners or joint venturers are signatories to this Agreement.D.Labor Disruptions. Notwithstanding anything else to the contrary in this Agreement, in the event any Kings homegame(s) at the Arena are not played due to a strike, lockout, or other work stoppage (collectively, a “Labor Disruption”), you will remainobligated to make all payments. The Kings will hold such funds as a credit on your season ticket account and apply such credit towards ticketsafter the conclusion of the Labor Disruption.E.Kings’ Excuses from Performance. The Kings shall be excused from the performance of any of our obligations underthis Agreement so long as we are prevented by any Act of God, weather conditions, war or other national emergency, act of terrorism, any civildisturbance, pandemic, epidemic, Labor Disruption, unavailability of materials or transportation facilities, the orders or directives of any court orgovernment agency or any other circumstance beyond our control.F.Intentionally Omitted.Page 5 of 8

G.Changes to Agreement. We may add to, delete from, or change the terms of this Agreement at any time. We will informyou of changes when legally required or when we deem it appropriate to do so in our sole discretion. We may communicate changes by eithermail, email or a notice on our website, and will make the updated terms available on our website. You agree that by using or allowing others touse the Seats or other rights or privileges under this Agreement after the date that changes are posted to our website, such changes will beeffective for Kings Home Games, Kings playoff games and related events at the Arena after that date, whether or not you access the website orotherwise receive actual notice of the changes. If you do not agree with a change, no later than thirty (30) days following the date that the changewas posted to our website, you may terminate this Agreement by: (i) using the cancellation option in your Kings season ticket online account atlakings.com/myaccount; (ii) calling 1.888.KINGS.LA ; (iii) sending an e

This Los Angeles Kings Partiall Season Ticket License & Automatic Payment Agreement, as amended from time to time pursuant to Section 11(G) below (the "Agreement") governs your relationship with The Los Angeles Kings Hockey Club, L.P. (the "Kings," "we," "our," or "us") as a season ticketholder.
