TOYOTA & LEXUS VEHICLE SPECIAL PURCHASE PROGRAMFREQUENTLY ASKED QUESTIONS (FAQ’S)What is the Vehicle Special Purchase Program?The Vehicle Special Purchase Program (VSPP) is a vehicle purchase program. One of the significant program features isNational Special Purchase Incentives that are applicable for most vehicle purchases and are updated on a monthly orquarterly basis.How long is the VSPP available?The Vehicle Special Purchase Program has been available to Team Members, Retirees, and their Eligible FamilyMembers since December 17, 2008 and will continue to be offered at six (6) month program period increments indefinitelyor until Toyota terminates the Toyota and Lexus Vehicle Special Purchase Program.What are the highlights of the VSPP?The highlights are: Team Members and Retirees can take advantage of National Special Purchase Incentives that have been createdespecially for Toyota employees and Retirees and are updated on a monthly or quarterly basis. Eligibility includes Team Member and Retiree spouses, parents, grandparents, children, siblings, aunts/uncles,and same-gender domestic partners ("in law" or step relationships for all eligible family members are alsoincluded). Each Team Member, Retiree, and their Eligible Family Members may purchase one new vehicle through theToyota & Lexus Vehicle Special Purchase Programs.How many purchases can be made under the Vehicle Special Purchase Program?Each Team Member, Retiree, and their Eligible Family Members can purchase one (1) vehicle from a Participating Dealerthrough the Toyota and Lexus Vehicle Special Purchase Program in each six (6) month program period per the followingperiods: January to June July to DecemberHow is the Special Purchase Price “Preferred Price” for Toyota vehicles calculated?The Preferred Price is the Toyota Dealer’s Total Invoice Price, MINUS “Reserve” (Holdback). MINUS “Wholesale Finance Reserve”. MINUS National Special Purchase Incentives as listed on Attachment A to the Buyer’s Certificate as applicable. PLUS any dealer installed options and accessories (not on invoice). PLUS applicable document fees, taxes, title, and registration. To see an example of a Preferred Price, please refer to the following question.Where can I get vehicle pricing to decide if I want to purchase a Toyota vehicle under the Vehicle SpecialPurchase Program?Contact a Participating Toyota Dealer to obtain the vehicle’s Dealer Invoice and to determine the Preferred Price on avehicle. Vehicle Special Purchase ProgramPage 5 of 8; Rev. 01/21/14How do I or my eligible family members purchase a Toyota or Lexus vehicle under the Program?When you or your Eligible Family Member is ready to purchase a vehicle under the Vehicle Special Purchase Program,you should use the following process:1. Obtain and complete a Buyer’s Certificate, Attachment A (contains the Eligible Vehicles and National SpecialPurchase Incentives), and a list of the Participating Dealers from your Vehicle Services Administrator.2. If applicable, you will send the original Buyer’s Certificate and all other documentation to your Eligible FamilyMember.3. The Buyer will choose a Participating Dealer and bring the original signed Buyer’s Certificate to the dealership.4. Upon receipt of the Buyer’s Certificate, the Participating Dealer will check the following:a. That the Buyer’s Certificate is an original and not a copy;b. That the Buyer’s Certificate and Attachment A have not expired.5. The Participating Dealer will provide a copy of the vehicle’s Dealer Invoice to the Buyer (see an example of adealer invoice in the previous question).6. The Participating Dealer then facilitates the sale of an in-stock Eligible Vehicle at the Preferred Price. In addition,the dealer should apply any applicable National Special Purchase Incentives listed on Attachment A to theBuyer’s Certificate.7. The Buyer should verify the Preferred Price is correct before completing the vehicle transaction (see method ofobtaining the Preferred Price in the previous question).How do I or my eligible family member purchase a Scion?In order to purchase a Scion,1. Contact your Vehicle Services Administrator to obtain a Scion Purchase Program reimbursement form.2. Refer to the reimbursement for instructions.3. Go to the Scion dealer of your choice.4. Follow the normal vehicle purchase process at any dealership.5. After the vehicle has been purchased, submit the completed form to your Vehicle Services Administrator forreimbursement.Where can I find Scion Purchase Program pricing?You will pay the Dealer MSRP (including any other charges and dealer installed accessories), freight charges, and anydealer installed accessories. The reimbursement amount is the difference between the MSRP & Dealer Cost, less fuel,sales tax, title and any misc. fees (i.e. doc fees). For specific pricing, contact the Scion dealer of your choice.What are the Toyota and Lexus National Special Purchase Incentives that are applicable to this Program?The National Special Purchase Incentives are only those incentives listed on Attachment A. Under the Program, theBuyer may choose to receive the benefit of any applicable special purchase incentive as listed on Attachment A. If theBuyer purchases a Toyota, they have the choice to apply those monies to the transaction, or receive a check from Toyotafor the incentive amount. If the Buyer purchases a Lexus, they may only apply those monies to the transaction. TheNational Special Purchase Incentives can by contacting your Vehicle Services Administrator.Why aren’t there any National Special Purchase Incentives included on Scions?Scions have special pricing separate from Toyota and Lexus vehicles which makes them ineligible for any incentivesunder the Vehicle Special Purchase Program or public retail incentives. Scion has set pricing that cannot be negotiated.This means you will pay the Dealer MSRP (including any other charges and dealer installed accessories) in addition tofreight charges and any dealer installed accessories. TEMA will reimburse the TM the difference between MSRP &Dealer Cost, less fuel, sales tax, title and any misc. fees (i.e. doc fees)Do the National Special Purchase Incentives expire?Yes, National Special Purchase Incentives expire at the end of every month or quarter. The expiration date is noted onAttachment A.

The followingday, the incentive increased for the next month or quarter. Can I collect the additional incentive amount?No, you can only take advantage of the National Special Purchase Incentives that are eligible on the day of your vehiclepurchase. National Special Purchase Incentives may vary. They may increase, decrease, or remain the same dependingon market conditions. For example, if there is a 3,000 incentive on a vehicle on June 30th and you purchase that vehicleon that day, you will only receive that incentive amount. If the incentive on that vehicle increases to 3,500 on July 1st, youwill not be eligible to collect the additional 500.What if the Buyer wants to take advantage of the regional retail incentives & offers advertised by the local media?If the Buyer wishes to take advantage of any other incentives not listed on Attachment A, whether offered by TMS or thedealer, the purchase will not be part of the Preferred Price. The dealer is not bound by program policies and thetransaction should be handled in the dealer’s ordinary course of business. For example, special offers such as 0%financing cannot be combined with the Preferred Price. An exception is the Buyer may combine the National Incentives inAttachment A with the Military, Recent College Graduate or T-DRiVE incentives (when available).If I purchase a Toyota (Lexus purchases are not applicable), how do I indicate if I want to apply the NationalSpecial Purchase Incentive to the purchase transaction or I want to receive a check?On the reverse side of the Buyer’s Certificate, the Buyer must initial one of the following three options listed in the“COMPLETED BY BUYER” section:1. I, the Buyer, want the consumer cash check made out directly to me at the address shown on the Bill of Sale.Please allow four to six weeks from receipt of request for delivery of your check. (Note: the request is submittedby the Participating Dealer when the Participating Dealer requests reimbursement for their Courtesy Delivery Feepayment).2. I, the Buyer, have applied the consumer cash toward my deal and therefore, I assign the consumer cash paymentdirectly to the Participating Dealer. I release Toyota Motor Sales, U.S.A., Inc. from any further claim or obligationfor payment to me for this vehicle.3. I, the Buyer, have chosen an Eligible Vehicle that does not have a National Incentive.Why do I need to request an original Buyer’s Certificate from my Vehicle Services Administrator?Each Buyer’s Certificate contains a unique serial number necessary for verification, tracking and auditing purposes.Therefore, your Vehicle Services Administrator will record which certificates have been issued to each Team Member orRetiree. Mechanical reproductions or facsimiles are not valid and each Buyer’s Certificate may not be used for more thanone transaction.Can I pick up a certificate from the dealer if I have my badge and prove that I work for Toyota?No, the Buyer’s Certificates are only available through your Vehicle Services Administrator. The dealers do not havecertificates available and are not able to sell a vehicle at the Preferred Price without the Buyer’s Certificate.Is there an expiration date on the Buyer’s Certificate?Yes, there is a date range listed on the Vehicle Special Purchase Program certificates that the certificates are valid. TheProgram will be evaluated on a monthly or quarterly basis and new certificates issued accordingly.

Vehicle Special Purchase ProgramPage 7 of 8; Rev. 01/21/14Why was the eligible family members list extended to aunts and uncles and not cousins and grandchildren?During Vehicle Special Purchase Program design discussions, it was determined that purchase eligibility would beextended to aunts/uncles, aunts/uncles-in-law, and step aunts/uncles as well as spouses, parents, parents-in-law,stepparents, grandparents, grandparents-in-law, step grandparents, children, son-in-law, daughter-in-law, step children,siblings, siblings-in-law, step siblings, and same-gender domestic partners. The decision to expand eligibility further willbe evaluated and may be modified as business conditions dictate.How does the vehicle need to be titled?The vehicles must be titled or co-titled in the name of the Team Member, Retiree, or their Eligible Family Member.Are we required to keep the new vehicle registered in the buyer’s name for 12 months?Yes, the Team Member, Retiree, and their Eligible Family Members must retain their new vehicle for a minimum of twelve(12) months before reselling.What vehicles are eligible and restricted under the Vehicle Special Purchase Program?Eligible Vehicles are the vehicles that can be purchased from dealer stock under the Program and will be identified inAttachment A which can be obtained by contacting your Vehicle Services Administrator. Vehicles without incentives thatare listed on Attachment A are eligible to be purchased under the Preferred Pricing.If I am interested in a vehicle that is listed in Attachment A as an ineligible vehicle, can I still purchase thevehicle through the Vehicle Special Purchase Program?No, if a vehicle is listed as an ineligible Vehicle in Attachment A, then it is not available for purchase through the VehicleSpecial Purchase Program.What dealers are participating in the Vehicle Special Purchase Program?For the most current list of Participating Dealers, contact your Vehicle Services Administrator.What are the options for my eligible family members that do not have a Participating Dealer in town?Eligible family members may travel to their nearest Participating Dealer to purchase a vehicle.How can I be assured that the Participating Dealer is selling the vehicle to me under the Preferred Pricing?Participating Dealers have signed agreements that require that they adhere to the Vehicle Special Purchase ProgramToyota Dealer Policy and Procedures when they are presented with a Buyer’s Certificate and extend the Preferred Priceto the Team Member, Retiree, or eligible family member. The Dealer will also provide the Buyer with a copy of thevehicle’s Dealer Invoice on request so the Buyer can verify the Preferred Pricing.My local Dealer did not have the vehicle I wanted in stock, so they charged me a “Finders Fee” to get the vehiclefor me from another location. Is that a legitimate fee?If Dealers transport a vehicle from another location to their dealership on your behalf, they may charge a fee to cover thetransportation costs.Can I negotiate with the Participating Dealer?No haggling or negotiating is permitted regarding any cost components pertaining to the vehicle’s Dealer Invoice.However, other items, such as dealer installed options or a vehicle trade-in can be negotiated.Under the Program, can the dealer refuse to sell a vehicle to me at the Preferred Price?Each Buyer who brings a valid Buyer’s Certificate to a Participating Dealer is entitled to purchase an Eligible Vehicle atthe Preferred Price.Will the dealer take my trade-in?Trade-ins are independent of the Preferred Pricing and will be at the sole discretion of the dealership.Is the TMS lease program part of the new Vehicle Special Purchase Program?The lease program and the Vehicle Special Purchase Program are separate programs. TMS continues to study the leaseprogram and its eligibility.

Vehicle Special Purchase ProgramPage 8 of 8; Rev. 01/21/14What vehicle financing is available for the Buyer?The Buyer should obtain vehicle financing through a financing resource of their choice.Can I or my Eligible Family Member obtain a lease/retail finance plan through Toyota Financial Services (TFS)?Yes, Participating Dealers can arrange financing through Toyota/Lexus Financial Services (excludes SET and based uponcredit approval).In order for Toyota to sell more vehicles through the Vehicle Special Purchase Program, why doesn’t ToyotaFinancial Services (TFS) offer 72-month, 0% financing to employees only?The rates that TFS provide are based on the best standard rates offered in the nation. The further the rate is decreased,the more expensive it becomes for Toyota. There are special APR rates offered on select vehicles throughwww.BuyAToyota.com, please refer to that website for more information.Can I or my Eligible Family Member purchase a discounted Extended Warranty for a new vehicle purchase?Yes, Toyota vehicles are eligible for a “New Vehicle” Vehicle Service Agreement (VSA) for 36 months or 36,000 miles,whichever comes first. Lexus vehicles are eligible for a “New Vehicle” VSA for 48 months or 50,000 miles, whichevercomes first.
