OUTLINE TERMS OF REFERENCE FOR CONSULTANTSThe proposed transaction technical assistance (TA) facility will provide project preparatoryassistance, technical support, policy advice, and capacity building to strengthen due diligenceand improve project readiness to Pacific developing member countries (DMCs) for a series oflending projects and programs identified in the operations business plans. Asian DevelopmentBank (ADB), through the Pacific Energy Division, will administrate TA activities working closelywith respective Pacific DMC governments.1.The TA will help Pacific DMCs assess sector problems and challenges, conduct optimalpower system planning and tariff analysis, understand the recent technological advancements inrenewable energy, battery storage, energy efficiency and smart grids, analyze the costs andbenefits of available energy investment options. The TA will also plan, design and prioritizeinvestments, assess technical suitability, economic, financial and social viability, capacity andinstitutional issues, address environmental and social safeguards, and identify measures tostrengthen project implementation capacity of energy investment projects. At the same time, thecountries need to develop institutional, policy and human resource capacity to effectively plan andmanage energy investments. The proposed TA will serve as a facility to support Pacific DMCs inmaking informed and strategic decisions on sustainable energy investments by supportingnecessary activities such as capacity development, training, knowledge sharing anddissemination, technical advice, peer reviews, etc.2.The TA will support project preparation activities related to (i) Climate Resilient Energyand Water Project (Federated States of Micronesia), (ii) Electrification Project (Republic of theMarshall Islands), and (iii) Sustainable Solar Energy Development Investment Program (SolomonIslands). These energy sector projects require similar preparation, due diligence, design andreadiness activities and therefore, this TA will reduce transaction costs through minimizing theneed for stand-alone transaction TAs.3.A.FSM Climate Resilient Energy and Water ProjectConsulting FirmExpertiseSummary TasksQualification Manage overall consulting team and ensure quality output (i.e., preparingfeasibility study). Review financial management capabilities and financial performance,including internal control mechanism of EAs/IAs. Review funds flow and disbursement mechanisms for the ensuing project,based on financial management assessment (FMA) of EA/IAs. Identify any further capacity building (financial management and ADB’sdisbursement procedures) that will be necessary for the project, based onthe results of the FMA. Review and update EAs/IAs 10-year financial projections. Ensure adequacy of environmental assessment and review framework forthe 2030 investment plan and project environmental impact assessment(EIA). Review survey plans for projects including flora and fauna. Review mitigation measures and ensure adequately preparedenvironmental management plans (EMPs). Assist assessment of the possibility for clean development mechanism orequivalent support on greenhouse gas reductions. Consult with stakeholders and ensure effective public consultation. Review social, gender and poverty analysis, and prepare a necessarystrategy and measures including assessment of country systems andgaps. Ensure adequacy of resettlement and indigenous peoples planningframework for the FSM energy projects and project resettlement plans,indigenous peoples plan (as required) including land acquisitionrequirements. Review appropriate compensation methodologies where required andensure all mitigation measures into cost estimates. Review the program/action plan for surveys and meaningful consultationincluding grievance redress mechanisms. Prepare summary poverty reduction and social strategy as well as genderaction plans for the project. Prepare strategic procurement plan in line with latest ADB guidance notes. Prepare the program integrated risk mitigation and provide inputs tofiduciary assessment and integrated risk mitigation plan. Prepare the project’s bidding documents in accordance with ADB’sProcurement Framework (2017). Assist the EA/IA in addressing clarifications during procurement process. Assist the EA/IA in evaluating bids and preparing bid evaluation reports. Recommend necessary procurement capacity building that need to beaddressed under the ensuing project.PUBLIC.
