TD AmeritradeBrokerage AccountoverviewWhat is the TD AmeritradeBrokerage Account?The TD Ameritrade Brokerage Accountis available to you as an additionalinvestment option available throughyour employer-sponsored retirementPlan (Plan), referred to as the “coreaccount” administered by VoyaRetirement Insurance and AnnuityCompany. This option gives you thefreedom to invest a portion of yourplan assets in a brokerage accountthat provides access to a wide array ofopen-end mutual funds.How is the TD AmeritradeBrokerage Account differentfrom a typical brokerageaccount?Since the TD Ameritrade BrokerageAccount is an investment optionunder your Plan it is regulated by theInternal Revenue Code Section thatgoverns your plan, other laws and thePlan document. Therefore, the samerules and restrictions that governyour core account apply to the dollarstransferred to your TD AmeritradeBrokerage Account.The TD Ameritrade Brokerage Accountcan only be funded through transfersfrom one or more of the Plan’s coreinvestment options. Only open-endmutual funds are available through theTD Ameritrade Brokerage Account.How are the investment choicesin the TD Ameritrade BrokerageAccount different from thoseavailable through my employer’sretirement Plan?There is a significant differencebetween the investment choicesavailable through your employer’sretirement plan and the investmentsavailable through the TD AmeritradeBrokerage Account.Investment options offered throughyour Plan are selected by a thoroughdue-diligence process which helpsensure that you are offered a diverseand balanced array of appropriatelong-term investments.The investment choices availablethrough TD Ameritrade, however, arenot approved, selected, monitoredor reviewed by Voya Financial, Inc.(“Voya”). or by Smith College, the PlanSponsor for the Smith College DefinedContribution Retirement Plan.When you elect to open a TDAmeritrade Brokerage Account, youassume the sole responsibility forresearching, selecting, monitoringand managing the investmentsin your TD Ameritrade BrokerageAccount. As an investor, you need tobe aware of the additional risk thatmay be present in the mutual fundsavailable through this option.Is a Brokerage Accountright for me?A TD Ameritrade Brokerage Account isdesigned for the experienced investorwho wants to independently andactively manage an even greaterchoice of mutual funds and is willingto pay additional fees and acceptfull responsibility for researching,selecting, monitoring and managingtheir investments. Additionally, Voyaand its affiliated companies, its officers,agents or employees cannot adviseconcerning the suitability of a securityor investment strategy, nor can theyprovide financial, legal or tax advice.If you are confident with anindependent approach to activelymanaging the retirement assets you’veinvested in the Plan, the TD AmeritradeBrokerage Account may be right foryou. Keep in mind, however, that ifyou choose to open a TD AmeritradeBrokerage Account, you also assumethe added responsibility for activelymanaging the mutual funds in youraccount. If you are not comfortableactively choosing your own investmentportfolio, it’s likely the core investmentsin the Plan will help meet your needs.What should I consider beforeopening a TD AmeritradeBrokerage Account?The TD Ameritrade Brokerage Accountis designed for the experiencedinvestor. Before using this optionas part of your retirement savingsportfolio, you should consider whethera TD Ameritrade Brokerage Accountis appropriate for your long-terminvestment needs. If all of the followingdescribes you as an investor, thebrokerage account may be right for you: I have access to the Internet. I am knowledgeable aboutinvestment matters. I am comfortable with, andunderstand risk, and I am capableof making my own personalinvestment decisions. I have experience using theInternet to research and managemy investments. I have the time and investmentexpertise to research, evaluateand select investments consistentwith my investment strategy andpersonal risk profile. I have the time to monitor andmanage my retirement plan portfolio. I am willing to pay additional feesand charges to invest in investmentchoices not available within mycore account.I 02

Am I Eligible?To open a TD Ameritrade BrokerageAccount, you must have a balance ofat least 3,500 in your core investmentoptions. The minimum transfer amountis typically 2,500 and you mustmaintain a minimum core accountbalance of 1,000. This minimum coreaccount balance will be monitoredeach time you request a transfer.1Please contact Customer Service at(800) 584-6001 for more details.Your investments in the TD AmeritradeBrokerage Account are made throughtransfers from your core account.Your payroll contributions cannot bedirected to TD Ameritrade – they mustcontinue to be directed to one or moreof the Plan’s core investment options.Remember, your TD AmeritradeBrokerage Account is an investmentchoice under the Plan administeredby Voya, so only assets held in yourPlan may be transferred to the TDAmeritrade Brokerage Account.Broader choice ofinvestment optionsWhat investments are available?Through your TD Ameritradeaccount you can select from a broadrange of mutual funds, includingNo Transaction Fee (NTF) mutualfunds.2 Using TD Ameritrade’s onlinescreening tools, you will be ableto research and access in-depth,independent information about theinvestments that you are considering.As a plan participant in a tax-deferredretirement plan, you should be awarethat certain funds, such as tax-exemptmunicipal bond funds and retail versionsof the Plan’s core options, may not beappropriate investments because oftheir fund and/or fee structure.You should consider the investmentobjectives, risks, charges and expenses ofthe investment company carefully beforeinvesting. To obtain a prospectus containingthis and other important information, pleasecall a TD Ameritrade representative at866-766-4015. Please read the prospectuscarefully before investing.03I1 If total plan assets invested in the TD AmeritradeBrokerage Account exceeds 10%, Voya reserves theright to restrict participant transfers to the TD AmeritadeBrokerage Account as follows: Participants must have atotal account balance of 5,000. Generally, 50% of theparticipant’s core account balance may be transferredto the TD Ameritrade brokerage account. A minimumtransfer amount of 2,500 is required for all transfers. 2 No-Transaction-Fee (NTF) mutual funds are no-loadmutual funds for which TD Ameritrade does notcharge a transaction fee. NTFs, as well as other funds,have other continuing fees and expenses describedin the fund’s prospectus. TD Ameritrade receivesremuneration from fund companies for record-keeping,shareholder and other administrative services. Theamount of remuneration is based in part on the amountof investments in such funds by TD Ameritrade clients.Almost all funds held 90 days or less will be subjectto a short-term redemption fee of 49.99. This fee isin addition to any applicable transaction fees or feesdescribed in the fund’s prospectus.What are No Transaction Feemutual funds?The No Transaction Fee (NTF) programallows you to place orders withcertain mutual funds without paying atransaction fee. Shares of mutual fundsin the NTF program must be held for90 days from the date of purchase.Funds redeemed or exchangedwithin 90 days of the purchase datemay incur a transaction fee. The NTFeligibility applies only to the initialtransaction fee associated with thepurchase of the fund. It does notapply to the management fee or otherexpenses associated with the fundincluding any redemption fees. For fulldetails on expenses/fees, please referto the mutual fund prospectus. Logon to your core product account atsmithcollege.prepare4myfuture.comand select Forms to access theTD Ameritrade material (CommissionSchedule and Participant Guide).If you have ROTH contributions, youwill need to open an additional ROTHBrokerage Account so your ROTHinvestments can be kept segregatedfrom your other investments. Pleasecontact TD Ameritrade ParticipantServices at 866-766-4015 torequest an application to open aTD Ameritrade SDBA.2. Complete and return theapplication(s) to TD Ameritrade.TD Ameritrade will open yourAccount(s) within 2 (two) businessdays. Once the account is opened,TD Ameritrade will send you aWelcome Kit that includes yourbrokerage account number andexplains their brokerage accountservices, procedures, commissionsand fees. Additionally, you willreceive a Personal IdentificationNumber (PIN) under separatecover. This will arrive separately forsecurity purposes. Please note thatyou will need both your accountnumber and PIN to access youraccount through TD Ameritrade atwww.tdameritraderetirement.com.Furthermore, you will receive twoWelcome Kits if you open a ROTHBrokerage Account in addition to aregular Brokerage Account.3. Logon using your TD Ameritradeaccount number and PIN. You willthen be prompted to create a uniqueUser ID and password. At this pointyou will be required to read andaccept various agreements. A TDAmeritrade Brokerage Account canonly be funded through transfersfrom investment options in your coreaccount. You cannot make directdeferrals/contributions into the TDAmeritrade Brokerage Account orrequest a withdrawal directly fromthe account.

What are the fees and chargesassociated with the TDAmeritrade Brokerage Account?If you choose to open a TD AmeritradeBrokerage Account, you will becharged a 50 fee, annually onNovember 1st or the next businessday the New York Stock Exchange(NYSE) is open, irrespective of whenthe account was opened. This feewill be deducted from the coreinvestment options in your accountunder the Plan with Voya. Additionally,you will pay the brokerage accountcommission and fees as describedin the Commission Schedule. Pleaserefer to the mutual fund prospectusfor additional fees and charges thatmay apply to mutual fund trades.How do I transfer assetsto my TD AmeritradeBrokerage Account?To transfer assets to your TD AmeritradeBrokerage Account, you must logonto your core account at smithcollege.prepare4myfuture.com and selectManage Investments/Fund Transfer.Are there any restrictions ontransferring money to a TDAmeritrade Brokerage Account?The minimum transfer amount is 2,500. You must maintain a minimumcore account balance of 1,000.Please contact Customer Service at(800) 584-6001 for more details. Direct transfers from the fixedaccount may be subject to restrictionsand limitations. A confirmation of the transfer fromyour core account will be mailedimmediately following the transfer.Transferring assets from the coreaccount to the TD AmeritradeBrokerage Account will be processedas follows: Transfer instructions received by usin good order before the close of theNew York Stock Exchange (NYSE),typically 4:00 p.m. Eastern Time, will bevalued at the next determined close ofthe NYSE (generally, same day). Transfer instructions received on aday the NYSE is closed, or after theNYSE is closed, will be valued at thenext determined close of the NYSE(generally, the next business day). Once the funds have been transferredinto your TD Ameritrade BrokerageAccount, you may begin trading. Your assets will be transferred toa cash account and moved to amoney market fund the next businessday. This may result in your fundsbeing out of the market for onebusiness day. (An investment in amoney market fund is not insured orguaranteed by the Federal DepositInsurance Corporation or any othergovernment agency. Additionally, mutual funds tradedwithin the TD Ameritrade BrokerageAccount may be subject to initial andsubsequent investment minimums. Account StatementsWhat information will I receiveabout my TD AmeritradeBrokerage Account?You will continue to receive yourPlan’s regular quarterly statement thatshows the total account value of yourcore account investment options inaddition to the aggregate value of yourTD Ameritrade account. You will alsoreceive a separate statement fromTD Ameritrade for your BrokerageAccount detailing individual holdingsand transactions. You will receive thisstatement monthly when there is tradeactivity in your TD Ameritrade account,and quarterly when there is no activity.You can designate how you wouldlike to receive statements andtrade confirmations by logging onto your brokerage account atwww.tdameritraderetirement.com.Electronic statements and tradeconfirmations are available.You will also receive fundprospectuses, semi-annual and annualreports for the investments in your TDAmeritrade Brokerage Account.How do I transfer backto my core account?To transfer assets back to yourcore account, you may first needto redeem/sell the securities heldin your TD Ameritrade BrokerageAccount. Once the trades have settled(generally one to three businessdays, you can request a transfer toyour core account at smithcollege.prepare4myfuture.com. SelectManage Investments/Fund Transfer.05ILoans and distributionsfrom my TD AmeritradeBrokerage AccountAre distributions available fromthe TD Ameritrade BrokerageAccount?Loans and all distributions can only bemade from the core account investmentoptions; your TD Ameritrade BrokerageAccount cannot be directly accessed forany type of distribution. All distributionsfrom the Plan, including amounts in theTD Ameritrade Brokerage Account,are subject to the requirements of theInternal Revenue Code Section thatgovern your Plan, other laws, and thePlan document.WithdrawalsIf you request a withdrawal from thePlan for any reason, only the assetsin your core account can be usedfor the withdrawal amount. If theamount of the withdrawal is greaterthan the amount available in yourcore investment options, you willneed to transfer assets from your TDAmeritrade Brokerage Account to yourcore account, prior to your withdrawalrequest being processed.LoansLoan disbursements can only bewithdrawn from assets in your coreinvestment options. Assets held inyour SDBA will be included in thecalculation of the maximum loanamount available to you. However, onlyassets in your core investment optionswill be used to disperse the loanamount. If you require a loan amountgreater than the assets available inyour core investment options, you mayneed to liquidate securities in yourTD Ameritrade Brokerage Accountand transfer the assets to your coreaccount, to satisfy the loan amount.Systematic distribution optionsIf you elect a Systematic DistributionOption from your core account, you willbe required to liquidate the securities inyour TD Ameritrade Brokerage Accountand transfer the assets to your coreaccount. Voya will not process yoursystematic distribution request until theassets have been transferred to yourcore account. Systematic distributionswill be taxed as ordinary income in theyear the money is distributed to you.Account values fluctuate with marketconditions, and the principal value maybe worth more or less than its originalamount invested.Profile Changes to my TD Ameritrade Brokerage AccountPlease contact Voya at 800-584-6001 to make profile changes to yourTD Ameritrade Brokerage Account such as name or address.
