Part 35, PJMInterconnection, L.L.C. (“PJM”) submits to the Commission revisions to the Amended andRestated Operating Agreement of PJM Interconnection, L.L.C. (“Operating Agreement”),Schedule 12 and Reliability Assurance Agreement among Load Serving Entities in the PJMRegion (“RAA”), Schedule 17, to reflect the permanent termination of Entrust Energy East, Inc.(“Entrust”) as a PJM Member in accordance with Operating Agreement, sections 15.1.6(c) and4.1(c). Entrust was notified of PJM’s intention to seek permanent termination of its membershipin a correspondence dated March 2, 2021, issued by PJM Settlement, Inc.1Beginning January 1, 2011, the administration of PJM’s credit practices and requirements are coordinated by PJMSettlement, Inc. In addition, PJM Settlement, Inc., serves as the counterparty to transactions occurring under thePJM Open Access Transmission Tariff (“Tariff”) and Operating Agreement, and invoices Members for thetransactions in PJM Markets. See, PJM Interconnection, L.L.C., 132 FERC ¶ 61,205 (2010). As the independentregional transmission organization (“RTO”) and administrator of the Tariff, PJM has the authority to submit theseTariff and Operating Agreement revisions pursuant to the Federal Power Act, section 205. See, Tariff, section 9.2(providing PJM with exclusive and unilateral section 205 filing rights regarding changes to the terms and conditionsof the Tariff, except for those provided to the Transmission Owners as specified in the first sentence of section 9.1);Operating Agreement, section 18.6(a) (providing the procedures for amending the Operating Agreement, consistingof a review by the PJM Board and approval by the Members Committee).1

Bose, SecretaryMarch 12, 2021Page 2PJM requests that the Commission issue its order accepting the enclosed revisions by nolater than May 12, 2021, which is at least 60 days from the date of this filing, with an effectivedate of May 12, 2021, for the Operating Agreement and RAA revisions.I.BACKGROUNDA.Operating Agreement, Section 15.1.6 – Termination of Member FollowingDefaultOperating Agreement, Section 15.1.6(c) provides for a tiered limitation of reinstatementrights for Members that have been declared in collateral and/or payment default (after theapplicable breach-cure period) of their obligations under the Operating Agreement and/or thePJM Open Access Transmission Tariff (“Tariff”).2 If during any rolling 12 month period aMember fails to make timely payments when due twice, or adhere to any of its credit obligationsto PJM three times, then its membership shall be terminated in accordance with OperatingAgreement, section 4.1(c)3 and its forward market positions will be liquidated.4 Pursuant toOperating Agreement, section 15.1.6(c), PJM must make a FPA section 2055 filing topermanently effectuate termination of the membership as provided for in Operating Agreement,section 4.1(c).2Pursuant to Operating Agreement, section 15.1.6, a Member that has been declared in default or fails to otherwisecomply with PJM’s credit policies once in any rolling 12 month period may be reinstated in full after remedyingsuch default. However, if a Member fails to make timely payments when due once, or fails to follow any othercredit policies twice, during any 12 month rolling period, then the Member loses PJM voting rights and access toany unsecured credit for the subsequent 12 month period.Operating Agreement, section 4.1(c) provides: “Any termination of this Agreement or withdrawal of any Memberfrom the Agreement shall be filed with FERC pursuant to the Federal Power Act, section 205 and shall becomeeffective only upon FERC’s approval, acceptance without suspension, or, if suspended, the expiration of thesuspension period before FERC has issued an order on the merits of the filing.”34Operating Agreement, section 15.1.6(c).516 U.S.C. § 824d.

Bose, SecretaryMarch 12, 2021Page 3B.Termination of Membership – EntrustPJM’s determination to seek permanent termination of Entrust as a PJM Member is theresult of Entrust’s defaults and the corresponding default notifications issued to Entrust forfailing to make payments when due twice during a 12 month period. Entrust was declared inpayment default on:(i)February 23, 2021, for failing to pay its February 1 to February 10, 2021, monthto-date invoice in the amount of 263,628.53 when due and payable on February19, 2021; and(ii)March 2, 2021, for failing to pay its February 1 to February 17, 2021, month-todate invoices in the amount of 566,338.33 when due and payable on February26, 2021.6Accordingly, Entrust’s rights to conduct market transactions in the PJM markets andparticipate at PJM committee meetings were indefinitely suspended in accordance with theapplicable provisions of the Operating Agreement and PJM now permanently terminatesEntrust’s PJM membership pursuant to Operating Agreement, sections 15.1.6(c) and 4.1(c).Termination of Entrust’s membership does not relieve Entrust of any obligation incurred orassessed by PJM prior to the termination date.76PJM anticipates weekly payment defaults may continue for the next few weeks until previously acquired energytransactions have cleared PJM markets.7See Operating Agreement, section 18.18.3
