The Virginia Community College SystemState Board for Community CollegesThe State Board for Community Colleges is the body responsible for the control, administration, andsupervision of all public community colleges in the Commonwealth of Virginia. It is the governingboard for the Virginia Community College System and Lord Fairfax Community College.The State Board consists of 15 members appointed by the governor subject to confirmation by theGeneral Assembly. The members are charged with the responsibility of serving the best interests ofthe whole state. A principal objective of this Board is to provide and maintain a system ofcomprehensive community colleges through which appropriate educational opportunities andprograms shall be made available throughout the state. In providing these offerings, the State Boardrecognizes the need for excellence in all curricula and endeavors to establish and maintainstandards appropriate to the various purposes the respective programs are designed to serve.The State Board has the right to confer diplomas, certificates, and associate degrees. It alsoestablishes the policies providing for the creation of the Lord Fairfax Community College Board andthe procedures and regulations under which the local board operates.The ChancellorThe Chancellor is the chief executive officer of the Virginia Community College System and isappointed by the State Board for Community Colleges.It is the duty of the Chancellor to formulate such rules and regulations and provide such assistancein his office as will be necessary for the proper performance of the system. The State Boardprescribes the duties of the Chancellor in addition to those duties otherwise prescribed for him bylaw; and, in its discretion, approves the appointment by the Chancellor of such agents andemployees as may be needed by the Chancellor in the exercise of the functions, duties, and powersconferred and imposed by law in order to effect a proper organization to carry out these duties.(See Appendix A for a map of VCCS community colleges and a current list of the 23 colleges inthe Virginia Community College System with names of the respective presidents and contactinformation.)LORD FAIRFAX COMMUNITY COLLEGE BOARD MANUAL1

Lord Fairfax Community CollegeFounded in 1970, Lord Fairfax Community College (LFCC) is a comprehensive, multi-campus publicinstitution of higher education. Through its four locations — the Fauquier and MiddletownCampuses, the Luray-Page County Center, and Vint Hill — the College serves eight localities in theShenandoah Valley and Piedmont regions. The localities are the counties of Clarke, Fauquier,Frederick, Page, Rappahannock, Shenandoah and Warren and the city of Winchester. (See AppendixB for a map of LFCC’s service region and LFCC campus maps.)LFCC offers more than 65 associate degree and certificate programs in a wide variety of disciplines,in addition to providing access to bachelor's, master's and doctoral degree programs offered on siteand online by a four-year institution. LFCC also serves the business community by offeringworkforce preparation programs for employees and employers. Helping each studentachieve his or her future goals is the focus of the College.HistoryLFCC is located in an historic cultural area of Virginia. The College was named for Thomas, 6th LordFairfax who in 1747 established his residence, Greenway Court, at nearby White Post. For 34 years,Lord Fairfax managed his vast property of more than five million acres that extended fromVirginia’s Northern Neck to Fort Duquesne, now Pittsburgh. Born at Leeds Castle in 1693, LordFairfax graduated from Oxford College and first came to America in 1735 to inspect his inheritancefrom his grandfather, Lord Culpeper. The Fairfax landholdings included thousands of acres in theShenandoah Valley encompassing the present counties of Clarke, Frederick, Page, Shenandoah andWarren, as well as a substantial portion of West Virginia.Lord Fairfax was a respected force in the formation of the new America. He befriended many,including George Washington, his surveyor. He supported General Braddock and was known andrespected by ‚King‛ Carter, William Byrd and Governors Gooch, Dinwiddie and Dunmore. LordFairfax died at age 88 in 1781 at Greenway Court and was buried at Christ Church in Winchester.Lord Fairfax Community College pays homage to his respected name and legacy.LFCC opened its doors in September 1970 to 577 students. Two years later in June 1972, theCollege held its first Commencement ceremony at which 92 students received degrees. The Collegereceived accreditation from the Southern Association of Community and Junior Colleges on Dec. 18,1972. The first College president, William H. and served until 2003. John J. “Ski‛ Sygielski became the College’s third president in August 2003and served LFCC until June 2008. Cheryl Thompson-Stacy became the College’s fourth president inJanuary 2009. Duties and Responsibilities of Local College BoardsDuties and Responsibilities Section 2A.IX.D.7 of the VCCS Policy Manual includes the followingprovisions: A College Board shall perform such duties with respect to the operation of a communitycollege as may be delegated to it by the State Board for Community Colleges. In general, a CollegeBoard is responsible for assuring that the community college is responsive to the needs existingwithin its service region within the statewide policies, procedures and regulations of the StateBoard for Community Colleges. The specific duties of a College Board include the following:A. The College Board shall elect a Chairman and other such officers from its membership asit deems necessary and shall adopt such rules and regulations as are considered necessaryto conduct its business in an orderly manner.B. The College Board and the members thereof shall serve as channels of communicationbetween the State Board for Community Colleges and the governing bodies of the localpolitical subdivisions.C. The College Board shall submit its recommendations to the State Board for CommunityColleges for a name for the community college and each campus of a multi-campus college.In the name of each community college shall be included the phrase “Community College.”The College Board shall be authorized to provide names for any facilities on the collegecampus.D. The College Board shall provide recommendations to the State Board for CommunityColleges on the development of the site plan and on the design, and construction, of facilitiesfor the community college.E. The College Board shall participate with the Chancellor of the Virginia CommunityCollege System and the State Board for Community Colleges in the selection, evaluation andremoval of the President of the community college in accordance with procedures adoptedby the State Board for Community Colleges.F. The College Board shall participate with the college President, the Chancellor and theState Board for Community Colleges, in the development and evaluation of a program ofcommunity college education of high quality in accordance with procedures adopted by theState Board for Community Colleges.G. The College Board shall be responsible for eliciting community participation in programplanning and development, establishing local citizen’s advisory committees for specializedprograms and curricula, and approving the appointment of all members to thesecommittees.H. The College Board shall review all new curricular proposals for the community collegeand shall recommend those proposals that it supports to the State Board for CommunityColleges. It shall also review proposals for the discontinuation of programs and shallcommunicate its recommendations on such proposals to the State Board for CommunityColleges.LORD FAIRFAX COMMUNITY COLLEGE BOARD MANUAL4

I. The College Board shall oversee the development and evaluation of the communityservice program for the community college and may authorize the President to grant an“award of completion” to a person successfully completing an approved non-creditprogram. (This function has been delegated through the President of the college to the VicePresident for Workforce Development.)J. The College Board shall make recommendations concerning the biennial budget programproposal for the community college as prepared by the college President within the StateBoard guidelines and shall submit this program proposal to the State Board for CommunityColleges for action; the College Board shall be kept informed of the fiscal status of thecollege by the college President and shall receive summaries of the biennial financial planand the annual spending plans. (This provision is required only if initiated by the Chancellorof the Virginia Community College System.)K. The College Board shall review and approve a detailed local funds budget for thecommunity college as prepared by the college President within State Board guidelines andshall submit this proposed budget to the State Board for Community Colleges for review (ifrequired) at the time of its submission to the local political subdivisions represented by theBoard members. In addition, the College Board shall submit a financial statementshowing detailed expenditures of such local funds to the local political subdivision (Boardmember representative) and the State Board for Community Colleges at the end of the fiscalyear.NOTE: This provision for reporting to the State Board for Community Colleges is requiredonly if initiated by the Chancellor of the Virginia Community College System. Local FundsBudget is normally provided to the Board for approval and the Local Capital Funds requestin normally made directly to the local political subdivision with members of the Boardpresent.L. The College Board shall be responsible for reviewing and approving local regulations onstudent conduct developed by the college President within the guidelines of the State Boardfor Community Colleges.M. The College Board shall be responsible for the review and approval of a budget preparedby the college President for the expenditure of revenues from vending commissions andauxiliary enterprises, including the student activity fund, within guidelines established bythe State Board for Community Colleges. The College Board shall be responsible forreviewing and approving periodic reports of revenues and expenditures within these funds.(This is integrated into the Local Board Budget approval process).N. The College Board shall be responsible both for reviewing reports of audit and forreviewing the college President’s response to those reports of audit. (If required to do so.)O. The College Board shall be informed of personnel matters by the college President.P. The College Board shall be responsible for reviewing and approving a written annualreport regarding the operation of the college as prepared by the college President inconformity to general guidelines of the State Board for Community Colleges. than three months after the end of the fiscal year. (This provision is required only ifinitiated by the Chancellor of the Virginia Community College System.)Any local College Board, or its authorized representative, may appear before the State Board simplyby notifying the Secretary of the State Board (Chancellor) 15 days prior to a regularly scheduledmeeting so that the matter may be placed on the agenda.LORD FAIRFAX COMMUNITY COLLEGE BOARD MANUAL6

These Bylaws are subject to all rules, regulations, directives, policies andprocedures as established by the State Board for Community Colleges of the Commonwealth ofVirginia.ARTICLE TWOCOLLEGE BOARDSection 1. The local affairs of the College shall be managed by its College Board.Section 2. The Lord Fairfax Community College Board shall exercise theresponsibilities prescribed for local community college boards by the Code of Virginia and the StateBoard for Community Colleges.Section 3. The number of Board members shall be fourteen (14). The Board membersshall be appointed by the political subdivisions participating in the support of the College. Thesepolitical subdivisions are the Counties of Clarke, Fauquier, Frederick, Page, Rappahannock,Shenandoah and Warren and the City of Winchester. Each political subdivision shall berepresented by two members on the Board, with the exceptions of the Counties of Clarke andRappahannock, which shall have one member, each subject, however, to the provisions forreallocation of Board members as established by the State Board for Community Colleges. Eachmember shall serve for a term of four (4) years and may serve two successive terms.Section 4. Regular meetings of the Board shall be held during the months of August,October, December, February, April, and June, the time and place for holding said regular meetingsto be as directed by resolution of the Board.Section 5. Special meetings of the Board may be called by or at the request of theChair, the President of the College, or any two Board members.LORD FAIRFAX COMMUNITY COLLEGE BOARD MANUAL8

Section 6. All meetings, both regular and special, shall be held at the Middletown orFauquier Campus of the College, or at such other place as the members of the Board may determine.Section 7. Notice of any special meeting of the Board shall be given at least five (5)days previously thereto by written notice delivered personally or sent by mail, e-mail or fax to eachBoard member at his/her address as shown by the records of the College. If mailed, such noticeshall be deemed to be delivered when deposited in the United States mail in a sealed envelope soaddressed, with postage thereon prepaid. Any Board member may waive notice of any meeting.The attendance of a Board member at any meeting shall constitute a waiver of notice of suchmeeting except where a Board member attends a meeting for the express purpose of objecting tothe transaction of any business because the meeting is not lawfully called or convened. Thebusiness to be transacted at the meeting need not be specified in the notice or waiver of notice ofsuch meeting, unless specifically required by law, by these Bylaws, or by order of the State Boardfor Community Colleges.Section 8. A majority of the members of the Board shall constitute a quorum for thetransaction of business at any meeting of the Board; but if less than a majority of the Boardmembers are present at any meeting, a majority of the Board members present may adjourn themeeting from time to time without further notice.Section 9. The act of a majority of the Board members present at a meeting at which aquorum is present shall be the act of the Board, unless the act of a greater number is required bylaw or by these Bylaws.Section 10. Any vacancy occurring in the Board shall be filled by the politicalsubdivision that the vacating Board member represented. Any College Board member who missesthree (3) consecutive regularly scheduled meetings, may be dismissed by the College Board. Forpurposes of this section, attendance during any part of the official meeting is considered attendingthe meeting. The Secretary of the Board shall notify the Chair of the Board of any member who hasmissed three (3) consecutive regular meetings. The Chair shall investigate to determine if therewere extenuating circumstances that caused the member to miss the three (3) meetings. Theinvestigation must include a discussion with the member and the Chair may consult the Vice Chairconcerning the member and the circumstances. If after consultation, it is the opinion of the Chairthat the member does not have good cause for missing the meetings, the Chair shall request theBoard to consider whether replacement of the member is in the best interest of the college. If theBoard votes to replace the member, the Board shall notify the sponsoring subdivision of the needfor a replacement.ARTICLE THREEOFFICERSSection 1. The officers of the Board shall be a Chair, Vice Chair, a Secretary and suchother officers as may be elected in accordance with the provisions of this article. The Vice Chair willbe considered to be the Chair Elect. The Secretary shall be the President of the College. The Boardmay elect or appoint such other officers as it shall deem desirable, such officers to have theauthority and perform the duties prescribed, from time to time, by the Board.Section 2. meeting to serve from July 1 immediately following. If the election of officers is not held at suchmeeting, such election shall be held as soon thereafter as is convenient. Nominations for the officesof Chair and Vice Chair during an election year will be proposed by a nominations committeeconsisting of the Chair, Vice Chair and a Board member appointed by the Chair, preferably a pastChair if available. The nominations committee shall be sensitive to locality representation andBoard rotation in its proposed nominations which will be provided in writing to the Board prior tothe election. New offices may be created and filled at any meeting of the Board. Each officer shallhold office until his successor has been duly elected and qualifies, except that an officer whose termof office on the Board has expired and who is not eligible for re-appointments shall hold office onlyuntil his term has expired.Section 3. Any officer elected or appointed by the Board may be removed by theBoard by a two thirds vote of the Board whenever in its judgment the best interest of the Collegewould be served thereby.Section 4. A vacancy in any office because of death, resignation, removal,disqualification or otherwise, may be filled by the members of the Board for the unexpired portionof the term.Section 5. The several officers shall have such powers and perform such duties asmay from time to time be specified in resolutions or other directives of the Board or of the StateBoard for Community Colleges or the Commonwealth of Virginia and that publication in theMinutes shall constitute sufficient notice.ARTICLE FOURCOMMITTEESSection 1. The Board, by resolution adopted by a majority of the members of theBoard in office, may designate one or more committees, not having and exercising the authority ofthe Board in the management of the College. Except as otherwise provided in such resolution,members of each such committee shall be members of the Board and the Chair of the Board shallappoint the members thereof. Any member thereof may be removed by the Chair whenever inhis/her judgment the best interests of the College shall be served by such removal.ARTICLE FIVEEDUCATIONAL FOUNDATION BOARD MEMBERThe College Board will recommend a College Board member, to be considered formembership on the Foundation Board to serve a one-year term. The recommendation will be madeafter the College Board member is approached by the chair and vice chair and agrees to benominated for membership on the Foundation Board. The Foundation Board will follow its normalBoard member selection process. The Foundation Board chair will inform the nominated CollegeBoard member and College Board chair of the Foundation Board’s decision in writing. For CollegeBoard members who do not serve full terms on the Foundation Board, their successors will beselected using the aforementioned process.LORD FAIRFAX COMMUNITY COLLEGE BOARD MANUAL10

ARTICLE SIXWAIVER OF NOTICEWhenever any notice is required to be given under the provisions of the law, theseBylaws or under any provision or regulation formulated by the State Board for CommunityColleges, a waiver thereof signed by the person or persons entitled to such notice whether before orafter the time stated therein, shall be deemed equivalent to the giving of such notice.ARTICLE SEVENAMENDMENT OF BYLAWSThese Bylaws may be altered, amended, or repealed, and new Bylaws may be adoptedby a majority of the Board members present at any regular meeting or at any special meeting, if atleast ten (10) days notice is given of intention to alter, amend, or repeal or to adopt new Bylaws atsuch meeting.I, Cheryl Thompson-Stacy, Secretary of the College Board of Lord Fairfax CommunityCollege, do certify that the foregoing is a true and correct copy of the Bylaws of the Board dulyadopted at a meeting of the Board held on the eighth day of February, 2007.
