This is the 22nd public auction under my administration, and as aninvestor or future new home owner, we welcome your interest East Orange.I don’t need to tell you about the tough times we all face due to the recent stock marketplunge, the difficulties our National and State Governments are experiencing, and themany different challenges facing the local housing market today. However, it is believed,and I agree, that the continued investment in neighborhood housing is probably a betterinvestment than the Stock Market at this time.We are truly proud of the teamwork and cooperation of investors like you and what hasbeen accomplished throughout the City. REGISTRATION1.In order to bid on auction properties, each bidder must have ten percent of the minimum bidin the form of a certified check, cash, cashier’s check and/or money order (e.g., if theminimum bid is 2,500 then 250.00 is needed). Personal or Business Checks will notbe accepted for the above.2.All bidders must appear in person at the auction and are required to register. On the date ofthe auction, registration will begin at 4:30 p.m. and close at the start of the auction. II. RESTRICTIONSa. Who may not bid3.Anyone who had previously been selected as the successful bidder on the same property andwho through no fault of the City of East Orange failed to close title to that property.4.If a successful bidder is or has been a tenant of the City and is more than one (1) month inarrears for rent due or is indebted to the City as a result of a prior tenancy, then he/she shallbe disqualified as a bidder and any deposit given by such unqualified bidder shall beforfeited to the City. In addition, the City may pursue all other legal remedies that it mayhave against the unqualified bidder.5.A successful bidder who is currently in arrears in taxes and/or is currently in non-compliancewith the Standard Conditions of Sale on previously purchased auctioned property and whoas a result of said non-compliance and/or arrearage has forfeited his/her deposit and/or hasbeen sanctioned by the Department of Property Maintenance, Building Division.6.Except in such cases as permitted in Article V, Section C-23 of the Code of the City ofEast Orange, no sale shall be made to any elected or appointed officer of the City of EastOrange. Any sale not in accordance with Article V, Section C-23 of the Code of the Cityof East Orange shall be null and void.b. Auctioned Property7.All prospective purchasers are put on notice that no employee, agent or officer of the Cityof East Orange has authority to waive, modify or amend any of the conditions of sale.8.Bidders shall not rely on pictures and/or information on property found in the auctionbook. It is conclusively presumed that a bidder prior to making the bid has done thefollowing: (a) checked the exact location including the correct street address and lot size ofthe property on the Official Tax Maps which are available at the Department of PublicWorks, City Hall, (b) checked the zoning restrictions to ascertain the legal use of theproperty (this information can be obtained from the City Zoning Office, 44 City Hall Plaza)and (c) made a personal inspection of the property’s exterior prior to bidding on a piece ofproperty. (d) checked the current assessment and potential taxes with the Tax Assessor’sOffice. Responsibility for failure to comply with the above-mentioned conditions andguidelines will be fully assumed by the bidder.9.The sale is to be made subject to such state of facts as an accurate survey and/or title searchmay disclose, existing tenancies, rights of persons in possession, zoning ordinances, land userestrictions, easements, conditions, covenants and restrictions, codes and ordinances of theCity of East Orange. No representations of any kind are made by the City of East Orangeas to the condition of the property. Said premises are being sold in the present condition“AS IS” subject to the aforementioned.October 23, 2008 Auction-2-

All prospective purchasers are put on notice that the City of East Orange does not infer,claim or promise that they will receive any financial assistance from the City of East Orangefor the development of the auctioned property. Prospective purchasers should contact theHousing Manager in the Neighborhood Housing and Revitalization Office on the lower levelof City Hall if they would like to be directed to private, state or federal funding sources.10.The City shall not be responsible for environmental remediation including the removal of gasor oil tanks. It is the responsibility of the successful bidder to abate all environmentalhazards and violations.“If applicable, as directed by the City through the Office of the Corporation Counsel, thesuccessful bidder shall be responsible for providing financial assurances to the City of itsability to cleanup any hazardous materials including but not limited to depositing funds intrust with the City, executing a Memorandum of Agreement with the New Jersey Departmentof Environmental Protection, posting a bond, developing a cleanup plan or reimbursing theCity for any funds expended pursuant to the Environmental Cleanup Responsibility Act(ECRA) or other applicable statute, law, rule or regulation.”11.The sale price, as may result from this auction sale, may not be used before any CountyBoard of Taxation, State Board of Tax Appeals, or in any other court of this State tochallenge the assessment with respect to the subject property nor may same be used as acomparable sale to challenge assessment with regard to other properties.12.This sale is also subject to the further conditions that if the State of New Jersey or any uplandowner has any rights or claims to the land being sold herein by reason of a riparian interestor otherwise, any charges levied or so levied by the State of New Jersey or upland owner forsaid riparian interest or otherwise, are to be borne by the successful bidder in addition to thesale price for said property.13.If the Successful bidder was a member of a partnership, held an interest in a corporation orwas the sole or part owner of the property to be sold at the time the City acquired title by atax foreclosure, said bidder may only reacquire the property directly or indirectly bycomplying with the following condition: PAY THE CITY, AT THE CLOSING OFTITLE, THE DIFFERENCE, IF ANY, BETWEEN THE TOTAL AMOUNT OFTAXES, PLUS INTEREST AND PENALTIES DUE AT THE TIME THEJUDGMENT OF FORECLOSURE WAS ENTERED AND THE AMOUNT OF THESUCCESSFUL BID.14.All sales are subject to present tenancies. There is no representation made that any tenancywill continue beyond time of closing title. Leases, if any, are available for review anddiscussion at the Department of Property Maintenance, 44 City Hall Plaza, East Orange, NJon business days between the hours of 8:30 a.m. - 4:30 p.m. Call for an appointment at (973)266-5320. 16.The Successful bidders shall not sell or otherwise transfer title to the premises, or any partthereof, to a non-profit or non-taxable organization for a period of five (5) years.17.The purchaser may not convey property and/or transfer ownership interest 1in the propertyfor a period of two (2) years from the date of closing of title unless the following applies:a.b.c.A new structure has been constructed on a vacant lot, orAn investment property has been rehabilitated and a Certificate of Conformity,Certificate of Occupancy or a Certificate of Continued Occupancy has been issuedby the City, andCorporation Counsel or his designee approves the sale in writing.III. CONTRACT OF SALE18.Each person successfully bidding at the auction must be prepared on the date of the auctionto execute the contract of sale immediately upon request.19.In order to sign the contract of sale, each successful bidder must deposit 10% of thesuccessful bid with the City. As stated above, ten percent (10%) of the minimum bid mustbe in the form of a certified check, money order or cash. The remaining balance may be inthe form of certified check, money order, cash, personal or business check. Any checksaccepted must be dated the date of the auction. The combined forms of deposit must equal10% of the total sale price. All monies so received will be credited to the total sale price.20.Failure to execute the contract of sale and/or have the required 10% of the successful bidupon request shall result in rejection of the bid. The property shall then be re-auctionedimmediately following the auction of the last property on the auction list or held to the nextauction. The person whose bid is so rejected may not re-bid on the subject property.21.The 10% deposit of the successful bid is non-refundable. The purchaser is not entitled to arefund of this deposit in any case except where the City is unable to convey marketable title,as indicated in Paragraph 23 herein.22.Each bid is subject to the rejection or acceptance by the Municipal Council, which shalloccur no later than at its second regular meeting following the auction sale. TheMunicipal Council reserves the right to reject each bid. If action is not taken by theCouncil on a particular bid, that bid will be deemed to be rejected.1Transfer of ownership interest shall be defined as conveyance of the successful bidders interest in a property to anotherindividual(s), partnership, limited liability corporation and/or corporation.October 23, 2008 Auction-4-

23.Notice of any alleged defect in title or claim of unmarketable properties shall be given to theCity in writing no later than thirty (30) days after the date of confirmation of the sale by thegoverning body of the City of East Orange. If the title to this property shall prove to beunmarketable, the liability of the City shall be limited to the repayment to the purchaser ofthe deposit without any liability for costs, expenses, damages, attorney fees or claims.Failure to give such notice within the time stated shall be deemed conclusive evidence thatthe purchaser accepts the title in its then present condition. The aforementioned thirty (30)day time period may be extended at the discretion of the Corporation Counsel upon writtenapplication to the Corporation Counsel by the bidder prior to the expiration of said period.24.The contract of sale is not subject to the successful bidder obtaining a mortgage. Thus,deposits will not be refunded as a result of his/her failure to obtain a mortgage.IV. TITLE CLOSING25.All conveyances shall be by deed of bargain and sale. Title is to close within sixty (60) daysafter confirmation of the bid by the Municipal Council at the City's Office of CorporationCounsel, 44 City Hall Plaza, East Orange, NJ 07019, between the hours of 9:00 a.m. and4:00 p.m. prevailing time. The Corporation Counsel or his designee shall set the exactclosing date and time. Time is of the essence. NO POSTPONEMENT OF CLOSING ISPERMITTED UNLESS:a.The City's title is unmarketable in which event the City shall be allowed a reasonabletime to perfect title and to close. If the unmarketability of title relates to a validFederal lien against the purchased property, the City, after being timely notified ofthis defect by the purchaser, will endeavor to obtain within a reasonable time aftersuch notification a release or discharge of such lien. If the City is successful in thisregard, then part of the consideration to be paid by the successful bidder of saidproperty shall be in the form of a certified check payable to the United States ofAmerica for the amount to be paid for such release or discharge; orb.Upon written request containing the reasons therefore made by the purchaser withinthirty (30) days after the confirmation of the sale by City Council. This request issubject to the approval of the Corporation Counsel or his designee; orShould the title fail to close within the above-mentioned sixty (60) days as a result ofparagraph b above, the successful bidder shall forfeit ½ his deposit monies and shall berequired to bring at the time of closing ½ of deposit to replace forfeited monies in additionto the remaining balance of the purchase price and closing costs.Should the title fail to close within (90) days as a result of paragraph b above, the successfulbidder shall forfeit his/her entire deposit money and shall be required to bring at the time ofclosing the entire deposit to replace forfeited monies in addition to the remaining balance ofthe purchase price and closing costs.October 23, 2008 Auction-5-

26.The successful bidder, prior to closing of title, will not be permitted to assign his bid, nor anyright, title or interest in the property on which the bid was made unless approved by theCorporation Counsel or his designee in writing.V. CLOSING COSTS27.Payment in full shall be made to the City of East Orange upon final closing in the form ofa certified check, cash, cashier’s check and/or money order. Personal or Business checkswill not be accepted at closing. In addition to the purchase price, the purchaser is requiredto pay the following closing costs:a.b.c.d.e.f.Advertising fees (cost incurred to advertise the property for auction);Recording fees (Successful bidders agree that the deeds shall be recorded on behalfof the purchaser by the Corporation Counsel of the City of East Orange);Title closing fees (cost incurred with respect to foreclosure of the property);Pay for all heating oil on the premises on the day of closing;If the property is an occupied dwelling (as defined by the Division of Housing of theNew Jersey Department of Community Affairs), the purchaser is further required topay all State inspection fees outstanding as of date of closing. The City will adjustfor rents it collected in the month of closing.Change of document fee (cost incurred, if any, to change requested documents)Note: Tax liability on any property purchased from the City of East Orange begins the dateof acquisition of the property from the City.VI. ESCROWS28.The successful bidder shall also be required to deposit at the time of the closing five (5%)percent of the purchase price in a non-interest bearing escrow account of the City.29.The escrow monies shall be held for a period of 19 months unless one of the followingoccurs:a.b.The owner has complied with the Conditions of Sale and has obtained a Certificateof Occupancy, Certificate of Continued Occupancy or Certificate of Conformity andhas requested same in writing to the Department of Property Maintenance with acopy to the Office of Corporation Counsel.The owner has breached the contract prior to the expiration of nineteen (19) monthsand the Corporation Counsel and/or his designee has advised the Tax Collector totransfer escrow monies to general funds.October 23, 2008 Auction-6-

VII. COMPLIANCE *All Properties30.All properties must be fenced and graded (if applicable) no later than thirty (30) businessdays from the time of closing. At that time, the purchaser must request in writing aninspection of the property to verify that pursuant to the conditions of sale said grading (ifapplicable) has been completed and the fence erected.31.In cases where the Owner has elected to begin new construction and/or rehabilitation and/ordemolition of the property, in addition to the thirty (30) days fencing notification, see (a)above, the Owner shall give notice that construction/ rehabilitation/demolition has begunwithin ten (10) business days of issuance of permits.32.The Owner of one to four family residential property shall complete the repairs, alterationsand improvements and must apply for and obtain a Certificate of Occupancy, Certificate ofContinued Occupancy or Certificate of Conformity from the City within five (5) months ofissuance of permits.33.The Owner of commercial, industrial, mixed use, or five (5) or more family residentialproperty shall complete the repairs, alterations and improvements and must apply for andobtain a Certificate of Occupancy, Certificate of Continued Occupancy or Certificate ofConformity from the City within seventeen (17) months of issuance of permits.34.Where this condition applies the Owner shall repair, alter, improve, and/or demolish theproperty in accordance with the requirements of the Revised Ordinances of the City of EastOrange and the Uniform Construction Code of the State of New Jersey. Information for saidrequirements may be obtained by inquiry to the Department of Property Maintenance.35.Where the successful bidder chooses to demolish the existing structure, it must bedemolished, properly cleared of all debris and cleaned to the satisfaction of the BuildingDivision and the premises graded and fenced within fifteen (15) business days of issuanceof permits.36.Upon compliance of paragraphs 30 through 36 (where applicable), the Owner of previouslyauctioned City Property shall notify the Department of Property Maintenance, BuildingDivision, by Regular and Certified Mail Return Receipt and copy to the Office ofCorporation Counsel of the City of East Orange, that all applicable conditions are met.Note: Upon compliance with paragraphs 30 through 36, the City shall return the applicable depositheld in escrow.* CERTAIN PROPERTIES MAY BE LOCATED WITHIN THE REDEVELOPMENT AREA ANDADDITIONAL CONDITIONS MAY BE REQUIRED. SUCCESSFUL BIDDERS OF SUCHPROPERTIES MUST CONTACT THE DEPARTMENT OF POLICY, PLANNING ANDDEVELOPMENT REGARDING SAME.October 23, 2008 Auction-7-

VIII. LIQUIDATED DAMAGESThe deposit held in escrow shall be applied as liquidated damages if any one of thefollowing conditions occur:a. All Auctioned Properties37.Owner fails to construct a fence within ninety (90) days of closing. In no case shall barbedwire, wood or similar material dangerous to children be used,2 unless said requirementhas been waived by the Department of Property Maintenance, Building Division uponwritten request by the owner.338.If taxes are 30 days or more delinquent during any period within eighteen (18) months ofclosing.39.Owner fails to continuously maintain the fence, protect and clear the property of all debris,clean property to the satisfaction of the Department of Property Maintenance, during anyperiod within eighteen (18) months of closing.40.Owner fails to notify the Department of Property Maintenance by certified return receipt mailthat all of the conditions herein have been met within nineteen (19) months of closing.b. Rehabs/New Construction/Demolitions41.Owner fails to apply from the Department of Property Maintenance, Building Division forthe necessary building and/or construction and/or demolition permits within thirty (30)business days of closing.42.Owner fails to begin construction and/or demolition and/or rehabilitation within ten (10)business days of issuance of permits.43.Owner fails to apply for and obtain a Certificate of Occupancy, Certificate of ContinuedOccupancy or Certificate of Conformity from the City of East Orange within eighteen (18)months of closing.2Fencing mu st be constructed as follow s:(1) Minimum height - 6ft; (2) Material - galvanized metal of a minimum #9 gauge galvanized wire with a 2 inch mesh;(3) line posts- minimum 2 inches outside diameter galvanized pipe; (4) term inal posts, ga tes, end s, and corn er po sts minimum 21/2 inches outside diameter; (5) terminal posts must be set in concrete footings at a minimum of 30 inchesfrom the ground; (6) line posts- must be driven a minimum 30 inches into the ground; (7) coil spring minimum #7 gaugewire to provide proper tension.3Waiver may only be obtained wherein the property already has a fence which meets the specificationscontained herein.October 23, 2008 Auction-8-

IX. BREACH OF CONTRACT44.A failure by the purchaser to fully comply with the terms, conditions, requirements andregulations of sale as herein contained shall be considered, at the option of the City of EastOrange, as material breach of the condition of sale whereupon the City of East Orange maydeclare said contract or purchase terminated and at an end. All monies paid on behalf of thepurchase price by way of deposit or otherwise shall be retained by the City as its liquidateddamages and it may thereafter resell the said property and/or pursue such other and furtherlegal and/or equitable remedies as it may have and the defaulting purchaser shall continueto remain liable for all damages and losses sustained by the City of East Orange by reasonof any such default.45.Should the purchaser violate Paragraph 17 of the Conditions of Sale in addition to theremedies set forth herein, they shall also be fined up to 10% of the purchase price.X. REVERSION46.The City of East Orange shall have the right to seek the reversion of title where the purchaserfails to comply with the Conditions of Sale. This right of reversion shall be included in aclause contained in the deed of conveyance. In order for the City to reacquire the property,any one of the following must occur:a.Conveyance of the property within a five (5) year period to a non-profit in violationof Paragraph 16 of the Conditions of Sale. The City must file a Complaint seekingreversion within one (1) year from the filing of said conveyance with the CountyRegistrar.b.Conveyance of the property and/or transfer of ownership interest in property withina two (2) year period in violation of Paragraph 17 of the Conditions of Sale. TheCity must file a Complaint within one (1) year after filing of said conveyance withCounty Registrar.c.Failure to comply with the applicable provisions contained in Paragraphs 30-36.
