6GROUP MANAGINGDIRECTOR’S STATEMENTOn behalf of the Board of Directors, it is myhonour to present to you the Annual Reportand the Audited Financial Statements ofHong Seng Consolidated Berhad (“HongSeng”) or the (“the Company”) for thefinancial period ended 30 September 2021(“FPE 2021”)DATO’ SERI TEOH HAI HINGroup Managing DirectorI was on board at Hong Seng Consolidated Berhad (“Hong Seng”or “the Company”) and its subsidiaries (“the Group” or “Hong SengGroup”) less than two years, it has been a great journey where I havewitnessed the tremendous growth and expansion of the Group.With the new business ventures and opportunities arise from thepandemic, Hong Seng has gone through many changes and hasdiversified our business to include healthcare, glove manufacturing,Nitrile Butadiene Latex manufacturing and intergrated logistics relatedservices.As a result of these diversification efforts, Hong Seng has delivered acommendable performance on both financial and operational frontswith a profit for the financial period under review, after several years oflosses. The investments and improvements made after our venturesinto healthcare segment have gained traction and are yielding resultswhich will continue to deliver positive financial returns for comingyears. Despite a challenging market recently, the enlarged Hong SengGroup is expected to carry on in the same trajectory especially whenthe glove manufacturing business is in full force by end of this year.In closing, on behalf of the Board, I would like to express ourappreciation to all who have supported our operations, including ourvendors, employees and management team. Our achievement ofpositive results for the financial period under review for the first timeafter experience few years losses is a testament to you. In year 2010, his privateHong Seng Group of Companies (“HSG”) has been venturingand diversifying their businesses aggressively as the main soledistributors of the New China Brand Automobile CommercialTrucks including Heavy and Light Trucks, Agricultural andConstruction Heavy Machineries. Under his stewardship, Dato’Seri Teoh expanded and transformed Hong Seng business into abusiness conglomerate as the Group’s business also include assetsmanagement, property developer and constructions.Dato’ Seri Teoh was awarded the “2010 GoldenBull Award” by the organising committee and wasthe 7th place winner in the “Super Golden Bull”category in Malaysia. In addition, he was alsoawarded “Kwong Wah Yit Poh Centennial Awardin 2010” and the winner of the “Dr Sun Yat SenEnterprise Excellent Award”.He is currently the Group Managing Director of Hong SengConsolidated Berhad (“Hong Seng” or “the Company”) and itssubsidiaries (“Hong Seng Group” or “the Group”). He is responsibleof overseeing the Group’s operations and has been instrumental inthe growth and development of Hong Seng Group. In addition, healso sits as Board member of Hong Seng Group of Companies.Dato’ Seri Teoh has also been appointed as Honorary Secretaryto the Commercial Vehicles Rebuilders Association Malaysia since2008. He is also actively involved in social work and is the FinancialChairman of The Blessed Virgin Mary Church in Butterworth,Dato’ Seri Teoh is the father of Ms. Teoh Soon Hanwho is an alternate director to Dato’ Seri Teoh. Hisbrothers, namely, Teoh Hai Peng, Teoh Hai Bimand Teoh Hai Seng are former major shareholdersof the Company. He has no conflict of interest withthe Company and has not been convicted of anyoffences other than traffic offences within the pastfive (5) years and there was no public sanction orpenalty imposed by the relevant regulatory bodiesduring the financial period.Dato’ Seri Teoh is a major shareholder of theCompany. During his stint as the AssistantManager, he was responsible in ensuring timely preparation of allrelevant documents and assist in reviewing documents to ensurehigh professional quality is maintained while providing support ininitial public offers, merger and acquisition, disposal and othercorporate transactions and others.Then in 2011, he was appointed as an Equity and TechnicalResearch Analyst at RHB Research Institute and has experiencedealing with both institutional and retail clients. His coverageincludes the rubber glove and healthcare companies as well astechnical analysis.Subsequently, he joined UOB Kay Hian as the Head of RetailResearch/Senior Analyst from 2013 until 2017. He was taskedto conduct detailed equity research, including analysing andforecasting industry trends and articulating recommendation onsectors and stocks in designated segments, oversee productionand coordination of retail research reports and events, overseeeducational seminars and presentations for retail investors, activemonitoring of the micro and macro factors affecting the sectorsand companies under coverage and etc.Lester had recently left UOB Kay Hian in October2020 as the Associate Director of Equity CapitalMarkets, a position he has held since 2017whereby he was responsible to oversee equityunderwriting and placement activities of company,access requirements, examine strategies, andpropose solutions for the capital raising needsof corporate clientele, conduct roadshows andpresentations to enhance and improve issuersaccess to capital markets among others.With more than twelve (12) years of experience inthe finance industry, he is currently in the midst ofestablishing his own business.Lester has no family relationship with any directoror major shareholder of the Company. Then, he served Axiom Corporationin the US as a business consultant before subsequently comingback to Malaysia in 1996.Next, Chris started his own company, eventually expanding thebusiness into a public-listed company known as The Media ShoppeBerhad. With more than twenty-five (25) years of experience inthe IT industry, Chris was involved in the overall management ofthe listed company and helped to develop the strategic directionof the group. His responsibilities included fund raising exercises,managing the initial public offering process, acquiring newcompanies, making strategic investments as well as developingnew local and global business partnerships. Eventually, Chris retiredas the Group Chief Executive Officer in 2015.Chris currently serves on the board and is a substantial shareholderof TMS Software Sdn. Bhd. (TMS) and Open Dynamics Sdn. Bhd.(ODSB). He also is a co-founder and shareholder of Joget Inc.,another software company based in the US where he served as asubstantial shareholder until 2020. In addition, he also serves asthe Director of eMedAsia Sdn. Bhd., a digital private healthcareplatform, and as the Director of Neogenix Laboratoire Sdn. Bhd.,a medical diagnostic and research lab.Hong Seng Consolidated BERHADIn 2001, Chris won the PIKOM-Computimes ICTAward for ICT Entrepreneur of the Year. He wasalso the finalist at the 2004 Ernst and Young ICTEntrepreneur of the Year Award. He also servedas President of the Technopreneurs Associationof Malaysia (TeAM) between 2003 and 2005.Chris had served as the industry representative onCradle (a venture capital agency under the Ministryof Science and Technology) between 2017 and2020. He currently serves as a member of IndustryAdvisory Board of Help University College.Chris has no family relationship with any directoror major shareholder of the Company. Bhd. During his five (5) years’ tenure, hehad started and headed the Purchasing Department. In addition,Mr. Yap had also put in place a stock system besides heading thePurchasing Department. He was also responsible for an integratedstamping, machining and surface grinding line and Sales andMarketing with clients that included Sanden, Sharp, Nippondenso,Matsushita, Clipsal and PDL Switch Gear Manufacturers. He wasalso responsible for a Licensed Manufacturing Warehouse, a JointVenture between three (3) Japanese manufacturers, namely Tomen,Matsushita, Meiwa and Kein Hing Industries Sdn. Bhd.Subsequently, he joined Polychem Sdn. Bhd. as Regional ProductManager which is a manufacturers agent for hand tools, cuttingtools and non-ferrous materials from United Kingdom, Europe andAustralia, where he had served a wide range of industries fromautomotive, mould and die, oil and gas and electrical, electronicsmanufacturers.In the last decade, he was appointed as the Regional SalesManager for Garryson (now under ATA Tools.), and responsible forthe Sales and Marketing for China, Indonesia, Malaysia, Singaporeand Thailand. During his tenure, he was involved inthe Business Development, Sales and Distributionchannels, Technical Training and Support to thedealers around the region.Mr. Yap has vast experience in Technical Salesand Cross Cultural marketing in Asia and hisprimary focus was in the oil and gas, aerospaceand shipping industry and is now the Director inTakaso Trading Sdn. Bhd.Mr. Yap holds another Independent Directorshipin Vortex Consolidated Berhad.Mr. Yap has no family relationship with any directoror major shareholder of the Company. In 1998, he obtained his Certificate in LegalPractice issued by the Legal Profession Qualifying Board.His early career started when he was recruited as a Police Inspectorwith the Royal Malaysia Police in 1982. He was then posted toserve in Sarawak and was promoted to Assistant Superintendentof Police. During his posting in Sarawak, he served in the CriminalInvestigation Department, General Duty, and Police Field Force.In 2003, Tuan Ng was transferred to Selangor Police ContingentHeadquarters. He was promoted to Deputy Superintendent ofPolice in 2005 and served in the Commercial Crimes InvestigationDepartment of Selangor Police Contingent Headquarters. Hewas then promoted to Superintendent of Police and was latertransferred to Johor Police Contingent Headquarters as DeputyHead of the Commercial Crimes Investigation Department in 2014.Later in the same year, he was posted to the Commercial CrimesInvestigation Department, Royal Malaysia Police Bukit Aman, as anAssistant Director in the Forensic Accounting Investigation Division.He was promoted to Assistant Commissioner of Police in 2016,and his last held post as Principal Assistant Director in ForensicAccounting Investigation Division, Commercial Crimes InvestigationDepartment, Royal Malaysia Police Bukit Aman.Hong Seng Consolidated BERHADThroughout his thirty-six (36) years’ servicein Royal Malaysia Police, Tuan Ng was verymuch involved in police investigations due tohis legal background. He specialises in criminalinvestigation across various fields, includingcommercial crime, general crime, and forensicaccounting, with comprehensive managementand special operations experience.Currently, Tuan Ng is an Independent NonExecutive Director of Dynaciate Group Berhadand CSH Alliance Berhad (formerly known as KTGBerhad). He held the position tillSeptember 2014 having served in Stamford College Berhad forwell over thirteen (13) years before deciding to pursue a career asa freelance Financial Consultant. He has retired since 2020.Prior to joining Stamford College Berhad, he worked as FinanceManager for a multi-national company specialising in themanufacture of packaging material for beverage and was postedto the People’s Republic of China (PRC) for seven (7) years. Hereturned to Malaysia in July 2001 and joined Stamford CollegeBerhad on 20 August 2001 as Deputy Director of Finance. Her roles andresponsibilities were to manage the daily transactions, bankingactivities and invoicing and providing overall support to the dailyoperations of the company.Ms. Teoh was appointed on the Board as Executive Director on 5August 2020. On 19 October 2020, Ms. Teoh was redesignatedas Alternate Director to his father, Dato’ Seri Teoh.Presently, Ms. Teoh is the Head of Treasury of HSG, a positionshe has held since 2015 whereby she is responsible to overseethe businesses and financial aspects of the companies under theGroup. 16ManagementDiscussion & AnalysisGROUP’S BUSINESS AND OPERATIONS OVERVIEWHong Seng Consolidated Berhad (“Hong Seng”) and itssubsidiaries (“the Group”) was formerly in the business ofdata (directory services) and a service provider to Googleand Alibaba as it had collected one of the largest businessdatabase in Southeast Asia region. Currently, the Grouphas valuable data from the directory service business anda financial services business providing flexible financingsolutions under its existing business arm.Over the past year, the Group has aggressively expandedto include four (4) key growth drivers (ie: Healthcare,Glove Manufacturing, Nitrile Butadiene Latex (“NBL”)and Integrated Logistics Services which are expected totransform Hong Seng into a conglomerate with diversebusiness segments that are all able to shine both locallyand internationally.Through its wholly-owned subsidiary, Hong Seng GlovesSdn. Bhd. (“HS Gloves”), the Group is in the midst ofcommissioning six (6) units of Nitrile Butadiene Rubber(“NBR”) double former glove dipping production lines inglove factory located at Sungai Petani, Kedah Darul Aman.The productions have commenced in October 2021.Subsequently, the Group plans to expand the productioncapacity up to 16 lines by end of 2022.Meanwhile, the Group through its wholly-owned subsidiary,Hong Seng Industries Sdn Bhd (“HS Industries”) hassigned an agreement with the Malaysian NorthernCorridor Implementation Authority (“NCIA”) to subleasea 102.6-acres industrial land located at Kedah RubberCity (“KRC”) for the purpose of setting up its world classintegrated NBL manufacturing plant with a plannedcapacity of up to 960KTPA in four (4) phases. NBL is theraw material required to produce nitrile gloves.This will enable us to be an integrated glove and NBLmanufacturer in Malaysia by having both upstream anddownstream segments of the glove manufacturing supplychain.
