California State University, StanislausStudent Nurses’ AssociationBYLAWSARTICLE I – NAME OF ORGANIZATIONSection 1.The name of this organization shall be the California State University, StanislausStudent Nurses’ Association (CSUSSNA).ARTICLE II – PURPOSE AND FUNCTIONSection 1.PurposeA. To assume responsibility for contributing to nursing education in order to provide forthe highest quality of care.B. To provide programs representative of fundamental interests and concerns to nursingstudents.C. To aid in the development of the whole person, including his/her professional role,his/her responsibility for health care of people in all walks of life.Section 2.FunctionA. To have direct input into standards of nursing education and influence the educationprocess.B. To influence health care, nursing education and practice through legislative activates asappropriate.C. To promote and encourage participation in community affairs and activities towardhealth care and the resolution of related social issues.D. To represent nursing students to the consumer, to institutions, and other organizations.E. To promote and encourage students’ participation in interdisciplinary activities.F. To promote and encourage recruitment efforts, participation in student activities, andeducational opportunities regardless of person’s race, color, creed, sex, life style (sexualorientation), national origin, age, or economic status.Rev. 8/20111

G. To promote and encourage collaborative relationships with nursing and health relatedorganizations.ARTICLE III – MEMBERS AND DUESSection 1.School ConstituentA. School constituent membership is composed of active or associate members who aremembers of the NSNA (National Student Nurses’ Association) and the state association(California Nursing Students’ Association) when one exists.B. California State University, Stanislaus Student Nurses’ Association (CSUSSNA) shallbe composed of at least 10 members from CSU Stanislaus or the total enrollment if lessthan 10. There shall be only one chapter on this school campus.C. For yearly recognition as a constituent, an officer of the CSUSSNA shall submitannually the Official Application for NSNA Constituency Status which shall includethe following areas of conformity: purpose and functions, membership, dues andrepresentation.D. A constituent association that fails to comply with the bylaws and policies of the NSNAshall have its status as a constituent revoked by a 2/3 vote of the NSNA Board ofDirectors, provided that written notice of the proposed revocation has been given atleast two months prior to the vote and the constituent association is given anopportunity to be heard.E. CSUSSNA is an entity separate and apart from the NSNA and its administration ofactivities, with the NSNA and CNSA exercising no supervision or control over theseimmediate daily and regular activities. The NSNA and the CNSA have no liability forany loss, damages, or injuries sustained by third parties as a result of the negligence oracts of the CSUSSNA or the members thereof. In the event any legal proceedings arebrought against the NSNA and the CNSA, CSUSSNA will indemnify and holdharmless the NSNA and CNSA from any liability.Section 2.Categories of Constituent MembershipMembers of the constituent associations shall be:A. Active Members (National and Local Membership)1. Maintain current membership in both local, CSUSSNA, and national, NSNA,nursing associations.2. Students enrolled in state approved programs leading to licensure as registerednurse.3. Registered nurses enrolled in programs leading to a baccalaureate degree with amajor in nursing.4. Must meet the minimum CSUSSNA participation requirements as set forth inArticle III – Members and Dues, Section 2.B.2.Rev. 8/20112

5. Active members shall have all privileges of membership including, but notlimited to, the right to vote.B. Associate Members (Local Membership)1. Pre-nursing students, including registered nurses, enrolled in college oruniversity programs designed as preparation for entrance into a program leadingto an associate degree, diploma, or baccalaureate degree in nursing.2. Participation requirementa) Members must attend a minimum of three CSUSSNA membership(a.k.a. business) meetings during a single program year (i.e. 1st and 2ndsemester is considered a single year) with notation in the official chapterminutes.b) Members may participate in two CSUSSNA events – other thanmeetings – as a substitution for one membership meeting in order tosatisfy the participation requirement.c) Failure to meet the minimum participation requirement will result inmember deduction from individual class participation for the given year.d) This participation requirement does not apply to pre-nursing, associatemembers or honorary members.3. Associate members shall have all the privileges of membership including, but notlimited to, the right to vote, except the right to hold office as president or vicepresident at state or national levels.C. Individual Members1. Individual membership shall be open at the national level to any eligible studentwhen membership in a constituent association is not available. Individualmembers shall have the privileges of membership as prescribed in the NSNAbylaws.D. Active and associate membership(s) shall be renewable annually, with the exception ofpre-nursing students which are renewable each semester.Section 3.Categories of Non-Constituent MembershipA. Honorary Members1. Honorary membership may be conferred by 2/3 vote of the CSUSSNA’s Boardof Directors to persons who have rendered distinguished service or valuableassistance to the CSUSSNA.2. Honorary membership shall be extended to any RN to BSN upgrade studentenrolled in CSU, Stanislaus.3. Honorary members shall have none of the obligations or privileges ofmembership.Rev. 8/20113

Section 4.Extended MembershipA. Active, associate, and individual NSNA membership may be extended six monthsbeyond graduation from a student’s program in nursing, providing membership wasrenewed while the student was enrolled in a nursing program.Section 5.DuesA. The annual NSNA dues for active and associate members shall be 35 (new)/ 40(renew) per member, plus the appropriate school (CSUSSNA) dues as outlined inArticle III – Members and Dues, Section 5.C. The dues for membership shall be for aperiod of twelve consecutive months.B. The annual NSNA dues for active and associate members joining for two years shall be 70 per member. The dues years for these members shall be for a period of twenty-fourconsecutive months. The appropriate school (CSUSSNA) dues will be an additionalcharge as outlined in Article III – Members and Dues, Section 5.C.C. The dues for CSUSSNA associate members (excluding pre-nursing, associatemembership) shall be 50 for all three years, 40 per member for the second and thirdyears combined, or 30 per member for the final year.1. Amount of dues are based on the year the new member joins CSUSSNA (i.e. if amember joins in their first year, the cost will be 50; if a member joins in theirsecond year, the cost will be 40; and if a member joins in their third (final) year,the cost will be 30).D. Payment of membership dues for pre-licensure students will only be accepted duringnew member’s first, third, and fifth semesters.1. Payments will be accepted up until March 1st of spring semesters and up untilOctober 1st of fall semesters.2. Payment of partial membership dues will not be acceptedE. The dues for CSUSSNA associate, pre-nursing members shall be payable on a semesterbasis at the rate of 10 per semester.1. Payments will be accepted until March 1st of spring semesters and until October1st of fall semesters.2. Payment of partial associate, pre-nursing membership dues will not be accepted.F. The CSUSSNA’s Board of Directors shall have the authority to change membershipdues, providing such dues do not exceed the amounts set forth in these bylaws.G. National and state dues shall be payable directly to NSNA. NSNA shall remit to eachstate constituent the dues received on behalf of the constituent. NSNA shall not collectnor remit school chapter dues.H. Any member who fails to pay current dues shall forfeit all privileges of membership.Rev. 8/20114

ARTICLE IV – BOARD OF DIRECTORSSection 1.CompositionA. The Board of Directors shall consist of: President, Vice President, Secretary, Treasurer,Community Projects Chairperson and Fundraising Chairperson, and MembershipChairperson, and Breakthrough To Nursing Chairperson.Section 2.EligibilityA. Current CSUSSNA members who shall be in the CSU, Stanislaus nursing program forthe duration of the term year are eligible for a position on the Board of Directors.B. No member shall hold more than one elected position on the Board of Directors at onetime.Section 3.ResponsibilitiesA. The Board of Directors shall be responsible for:1. Transacting business of the association between membership meetings and shallreport such transactions at the next regularly scheduled membership meeting.2. Filling vacancies in any office by two thirds majority vote of the Board ofDirectors, except the office of President.3. Reviewing monetary disbursements, acquisitions, and fund raising activities andshall be responsible for procuring persons for audit of accounts on an annualbasis.4. Administering funds in a manner consistent with these bylaws and any policyand procedures adopted by the board of directors.5. All cash monies received shall be documented in a duplicate receipt book.Section 4.Board of Directors MeetingsA. The Board of Directors shall have regular monthly meetings and may call specialmeetings as needed.B. A quorum for the board meeting (Board of Directors) shall be the President or VicePresident, three other board members, and one faculty advisor.C. In case of an emergency, votes by referendum vote or conference vote may be taken bythe Board of Directors, provided the content is conveyed in the same words to eachassociation member.Section 5.Duties of the Board of Directors shall consist of:A. President1. Shall serve as chairperson of the Board of Directors.2. Shall preside at all meetings of this association, appoint special committees asneeded, perform all other duties pertaining to the office and represent thisassociation in all matters to the local state nurses’ association, the local leagueRev. 8/20115

for nursing, state nursing student association (CNSA), National Student Nurses’Association, and other professional and student organizations.3. Shall be responsible for seeing that the actions of the Board are carried into effectand for reporting to the membership and the Board of Directors on the conduct ofthe affairs of the association.4. Shall schedule and reserve facilities for CSUSNA functions on campus.5. Attend student activities council meetings when obligated.6. Have an understanding of the CSUSSNA bylaws and the most current CSU,Stanislaus Student Club & Organization Handbook.B. Vice President1. Shall assume responsibility of the office of President in the event of the vacancyoccurring in the office until the next regular election.2. Shall preside at meetings in the absence of the President.3. Shall assist the President as delegated and act as advisor to the President.4. May assemble Community Project and Fundraising opportunities and to delegateapproved projects to the Community Project and Fundraising chairpersons.5. Shall attend student activities council meetings when obligated.6. Shall be the president-elect for the upcoming year when the current Presidentgraduates or resigns. For this reason, a class member who is not graduating inthat academic year should hold this position.7. Shall have an understanding of the CSUSSNA bylaws and the most current CSU,Stanislaus Student Club & Organization Handbook.C. Secretary1. Shall record and distribute the minutes of all meetings of this association asdirected by the President.2. Shall keep all reports, papers, bylaws, policies & procedures, and all minutes onfile as a part of the permanent record in a designated binder, which will be keptin the nursing office.3. Shall refer to dully appointed committees the necessary records for thecompletion of business.4. Shall forward minutes to the state nursing students’ association (CNSA), as wellas names and addresses of all officers and committee chairpersons after theirelection or appointment.5. Shall provide physical copies of the minutes to the treasurer when necessary.6. Shall monitor the email account for the chapter and respond to and/or route allcorrespondence to the appropriate individual in a timely manner.7. Shall notify newly elected Secretary that all association papers are kept in theCSUS nursing office.8. Shall attend student activities council meeting when obligated.Rev. 8/20116

9. Shall have an understanding of the CSUSSNA bylaws and the most current CSU,Stanislaus Student Club & Organization Handbook.D. Treasurer1. Shall serve as chairperson of the budget committee.2. Shall submit financial reports to the membership as directed by the President.3. Shall prepare financial reports submitted at the monthly Board of Directorsmeeting.4. Shall keep a permanent physical AND electronic record of all income anddisbursements.5. Shall attend student activities council meetings when obligated.6. Shall remit payment for approved debits according to the following:a) Disbursement of Funds1) Request for disbursement of funds shall be made in writing withthe signature of the treasurer.2) Present to the current membership at its regular meetings allrequests over 25.00 for approval.3) Upon approval, the Treasurer will cosign along with oneFaculty advisor, the Check Request to be given to the ASI, Incfor appropriate check issuance and funds disbursal. In the eventthat an additional signature is needed, any board member cancosign with the treasurer and faculty advisor.4) No funds will be disbursed without prior approval.5) Refer to policy and procedure for specific guidelines ondisbursement of funds.7. Shall have an understanding of the CSUSSNA bylaws and the most current CSU,Stanislaus Student Club & Organization Handbook.E. Community Projects Chairperson1. Shall serve as Chairperson of the Community Projects Committee.2. Shall attend student activities council meetings when obligated.3. Shall investigate and initiate opportunities for CSUSSNA to become involved inactivities and functions in the community.4. Shall be accountable to the membership for notification of pending studentactivities.5. Shall have an understanding of the CSUSSNA bylaws and the most current CSU,Stanislaus Student Club & Organization Handbook.F. Fundraiser Chairperson1. Shall serve as Chairperson of the Fundraising Committee.2. Shall attend student activities council meetings when obligated.3. Shall be accountable to the membership for notification of pending studentfundraising activities.Rev. 8/20117

4. Shall refer to Policy and Procedure for disbursements of fundraising funds.5. Shall have an understanding of the CSUSSNA bylaws and the most current CSU,Stanislaus Student Club & Organization Handbook.G. Membership Chairperson1. Shall serve as the chairperson of the Membership committee.2. Shall attend all student activities council meetings when obligated.3. Shall keep a permanent record of all dues and other income and disbursements inregards to membership. These records shall be kept in the master binder.4. Shall provide the membership with figures concerning participation bygraduating class a minimum of once per semester.5. Shall be accountable to the membership for notification of pending membershipissues.6. Shall refer to the policy and procedures regarding other membership tasks.7. Shall have an understanding of the CSUSSNA bylaws and the most current CSU,Stanislaus Student Club & Organization Handbook.H. Breakthrough To Nursing Chairperson1. Shall serve as the chairperson of the BTN Committee.2. Shall coordinate activities with the CNSA or NSNA Breakthrough to NursingProject.3. Shall work to develop nursing school recruitment materials and guidelinesappropriate to the local community’s recruitment needs.4. Shall provide a report at each of the regularly scheduled Board of Directorsmeetings.5. Shall be accountable to the membership for notification of pending BTNactivities.6. Shall have an understanding of the CSUSSNA bylaws and the most CSU,Stanislaus Student Club & Organization Handbook.I. SNA Class Representative1. Each SNA class representative shall be responsible to:a) Inform peers of upcoming SNA functions and all pertinent deadlines.b) Serve as a liaison between the Board of Directors and the individualclasses.c) Keep peers abreast of all matters relayed via the Board of Directorsconcerning CSUSSNA, CNSA, or NSNA.d) Dispense and collect absentee ballots, when necessary2. Must meet the same minimum eligibility as outlined in ARTICLE IV – BOARDOF DIRECTORS, Section 2.ASection 6. AbsencesA. Members of the Board of Directors who have missed more than two regularly scheduledmeetings of any current term year without prior notification to the Board of Directors andRev. 8/20118

who offer no valid reason for such absences may be removed from office by a pluralityvote of the current membership present at the next schedule meeting. The officer inquestion will be notified in advance of the meeting.B. An officer may also be removed from office by a plurality vote of the members of theBoard of Directors present at a meeting called for that purpose if that officer is deemednegligent in the functions of that office as stated in these bylaws.C. Prior notification of two weeks shall be given to the individual in questions and a specialBoard of Directors meeting shall be held to review the circumstances.Section 7. Resignation and VacanciesA. Any resignation from the Board of Directors or CSUSSNA class representative positionshall be verbally tendered to the President.B. Additionally, a written letter of resignation is required and must be kept in the CSUSSNAbinder in the nursing office.C. Upon the receipt of written notification, the resignation shall be effective immediately.D. Any candidate for a vacant position must meet the eligibility requirements outlined inARTICLE IV – BOARD OF DIRECTORS, Section 2.ARTICLE V- ELECTIONSSection 1.Election of the Board of DirectorsA. Elections shall be held at the first April business meeting of every year. The newlyelected officers will take office the first meeting of the new school year.B. All elections shall be executed by secret ballot.C. A 2/3 vote of those ballots cast shall constituted an official electionD. In the event of a tie, a revote shall be held.E. All nominations shall be made from the floor at the first March business meeting of everyyear.F. In the case that the president-elect is unable to fulfill his/her commitment, the traditionalelection process will proceed.Section 2.Special ElectionsA. Shall be held at a business meeting in the event of a Board of Directors vacancyexceeding 60 days from the regularly scheduled elections (the first April businessmeeting of the year).B. The membership must be notified of the vacancy and five business days shall be allowedfor open nominations for members that meet the eligibility requirements outlined inARTICLE IV – BOARD OF DIRECTORS, Section 2.C. Should a vacancy have no member nominations, the Board of Directors can fill theposition with an amenable member that meets the eligibility requirements outlined inARTICLE IV – BOARD OF DIRECTORS, Section 2 and a 2/3 vote.Rev. 8/20119

ARTICLE VI – MEETINGSSection 1.Membership MeetingsA. Meeting dates and times shall be established at the first officer meeting of each semesterupon review of the master School of Nursing schedule of classes.B. Meeting locations shall be on campus in a facility of adequate capacity.C. The President shall have the authority to convene a special meeting when deemednecessary and shall notify the general membership of such as meeting time, location andpurpose.Section 2.Board of Directors MeetingsA. Meeting dates and times shall be established by the Board of Directors on an as neededbasis with a minimum of three meetings per semester.B. Meeting locations shall be determined by the Board of Directors based on plurality voteand facility availability.C. The President shall have the authority to convene a special meeting when deemednecessary and shall notify the Board of Directors of the meeting time, location andpurpose.ARTICLE VII – COMMITTEESSection 1.AppointmentsA. Committee chair appointments shall be made by the Board of Directors and shall bedeemed standing committees unless otherwise stated at time of appointment.B. Committee members shall be appointed by the committee chairperson or selected by theBoard of Directors from a group of volunteers.Section 2.ResponsibilitiesA. All committees shall be responsible to the Board of Directors for reporting committeeactivities on a regular basis and shall, upon direction of the Board of Directors, reportsame to the general membership.Rev. 8/201110

ARTICLE VIII- DELEGATESSection 1.Purpose and FunctionA. To serve as spokesperson for this association at the annual state and national conventionsB. Present to the state and national organizations all proposed resolutions or amendments tobylaws or policies proposed by this association.C. Keep informed as to all current and proposed resolutions at the state and national levelsand report information to this association’s membership at regularly scheduledmembership meetings.D. Make available to members updates, explanations, and copies of current and proposedstate and national resolutions.Section 2.Qualification and AppointmentA. Any member maintaining a grade level of C or above, who is active in CSUSSNAprojects, and in nominated by current membership at a regularly scheduled meeting iseligible to hold the position of delegate.B. Appointment shall be for one (1) year and shall be made by nomination of those memberseligible and voted on by the current membership eligible to vote and voting. The nomineereceiving the majority of votes shall be awarded the position.Section 3.Delegate RepresentationA. CSUSSNA, when recognized as an official NSNA constituent, shall be entitled to onevoting delegate and alternate at the NSNA House of Delegates, and in addition shall beentitled to one voting delegate and alternate for every 50 members.B. The CSUSSNA delegate(s) and alternate shall be a member(s) in good standing in thechapter and shall be selected and/or elected by members of the school chapter at a propermeeting according to chapter bylaws. The school association may designate an alternatedelegate for each delegate by one of the following mechanisms:1. Selection and/or election by members of the school chapter according to chapterbylaws; or2. Written authorization to the State Board of Directors requesting them to appoint amember of the State Board to act as a state-appointed alternate for their school.a) School chapters shall approve the appointment.b) The State Board of Directors shall verify that any state-appointedalternate is a member in good standing of the NSNA and the stateassociation.c) A school chapter must have a selected and/or elected delegate present atthe NSNA Convention in order to have a state-appointed alternate seatedin the House of Delegates.d) All alternates, whether school selected or state-appointed, shall have thesame privileges as an elected delegate when seated in the House.Rev. 8/201111

3. The school association shall be entitled to delegates according to the number ofmembers in good standing in the NSNA. Delegates shall be computed in the basisof the number of members in each constituent as evidenced by the annual duesreceived by the NSNA on a date eight weeks prior to the annual meeting.ARTICLE IX – AMENDMENTSSection 1.A. Amendments to the Bylaws may be made with a 2/3 vote of the those present and votingat a membership meeting or absentee ballot provided that notice of proposed amendmentshas been sent to members at least one week prior to the meeting.B. Only proper amendments submitted in writing and carrying the proponent’s signaturewill be considered.C. Adopted amendments shall become effective automatically and immediately, unlessspecifically noted otherwise.ARTICLE X – PARLIAMENTARY AUTHORITYSection 1.A. All meetings of this association shall be conducted according to the parliamentary law asset forth in Robert’s Rules of Order Newly Revised where the rules apply and are not iniconflict with these bylaws.Rev. 8/201112
