1. The Repsol Foundation, organiser1.1. Repsol Foundation, Spanish company with tax identification number G-81251860 and registeredoffice at Calle Méndez Álvaro, nº 44 - 28045 Madrid, Spain (hereinafter "Repsol Foundation"), in itscommitment to promoting initiatives that respond to the social needs of the places where the RepsolGroup is present, is holding a call for proposals entitled "Entrepreneurial Volunteering" (hereinafterthe "Call for Proposals"), which will be carried out in accordance with the terms and conditions setout in these rules (hereinafter the "Terms and Conditions").1.2. Repsol Foundation will carry out the Call for Proposals in collaboration with Fundación Lealtad , aswell as those responsible from certain departments of the Repsol Group involved in itselaboration/management;Both the Fundación Lealtad as well as the aforementioned department managers of theRepsol Group will communicate to potential participants of the Call for Proposal, throuinralways, how to participate and the content of it.2. Purpose of the Entrepreneurial Volunteering Call for ProposalsThe Call for Proposals is part of Repsol Foundation’s Volunteering Plan, and its aim is to promote the socialcommitment and solidarity of its participants ― as described in point 6.1. below ―, and to channel theirsocial concerns so that they can design and propose volunteering projects in collaboration with non-profitorganisations, all in response to the social needs of their community (hereinafter the “Projects”).3. Period of the Call for ProposalsThe Call for Proposals will take place from 20 June 2022 ― when the period to submit Projects opens ―until 15 December 2023 ― when the execution of the Projects will end.4. CostThe Call for Proposals is free and therefore no additional payment is necessary to participate and win theprize. This excludes any expenses, fees, and/or taxes that may correspond to the selected Projects inaccordance with the Terms and Conditions.5. Acceptance of the Terms and Conditions of Participation5.1. Participation in this Call for Proposals implies full and unconditional acceptance of these Terms andConditions, without exception or reservation.5.2. Repsol Foundation reserves the right to modify, and even cancel, at any moment the Terms andConditions of this Call for Proposals, undertaking to publicise the new Terms or Conditions or, whe reappropriate, the permanent cancellation of the Call for Proposals through the same means used forthe dissemination of it.6. Requirements and procedure for the submission and selection of projectproposals6.1. Participating volunteers

6.1.1. Employees, 1former employees, and retirees from the Repsol Group, Repsol Foundation, RepsolImpacto Social, and participating companies from the Repsol Group will be able to submitProjects to the Call for Proposals, as long as: They reside in the countries where the Repsol Group is present They have registered as Repsol Foundation volunteers (hereinafter “PromotingVolunteers”) through the followingwebsite: www.voluntariado.fundacionrepsol.com/en External personnel, interns, or trainees will not be able to participate in the Call forProposals.6.1.2. The same Project may be submitted jointly by several Promoting Volunteers, as long as all ofthem, individually, have registered in the Call for Proposals indicating that they belong to thesame team. In that case, they must choose a team representative as a spokesperson, whowill be the person that will act as the team contact throughout the Period of the Call forProposals, as explained in detail in the following point.6.1.3. The Promoting Volunteers from the selected Projects, in their capacity as leaders of the Projects,shall act as a link between Repsol Foundation and the social organisations benefiting from theProjects. Consequently, for the time necessary for the development and implementationof the Projects, there shall be direct communication with the Promoting Volunteers of theselected Projects.6.1.4. The Promoting Volunteers undertake to collaborate with Repsol Foundation in the disseminationof the Call for Proposals and selected Projects. To this end, they shall participate ininterviews, photo shoots, and reports organised by Repsol Foundation, and mustcomplete in advance the corresponding form for the transfer of image rights that RepsolFoundation will provide them with for this purpose.6.1.5. The Repsol Foundation will not be liable for possible losses, deterioration, delays, or any othercircumstance attributable to third parties that may affect the development of the Call forProposals.The Repsol Foundation shall not be liable for any incident in which the Promoting Volunteersmay be involved during the period of the Call for Volunteers.1Those from the Repsol Group, Repsol Foundation, Repsol Impacto Social, and participating companies of the Repsol Group will beconsidered employees if they reside in countries where the Repsol Group is present and have a work contract with any of theseentities in force until at least December 2023.

6.2. Submission of Project proposals6.2.1. The submission period will take place from 20 June 2022 until 14 October 2022, at 23:59 (GMT 2).Project proposals submitted outside these deadlines will not be considered.6.2.2. In order to participate, Promoting Volunteers will have to submit the Projects through the formlocated at the following ipcion-voluntariado-emprendedor/Only Project proposals submitted through the form provided for this purpose will beaccepted. However, the Repsol Foundation may require additional information after receivingthe proposal. For this purpose, it will contact the Promoting Volunteers so they can provide it viathe e-mail address indicated in the proposal.6.2.3. For the submission and acceptance of project proposals, the form must be fully completed, withthe possibility of adding an explanatory report and including the complete and necessaryinformation to evaluate the following aspects related to the project: Identification of general and specific goals Description of activities, phases, and execution schedule (in those in whichvolunteers collaborate, detail their functions and estimated number ofparticipants). Identification of beneficiaries (estimated number and description) Detailed and itemized budget, taking into account both the contribution offered bythe Repsol Foundation and that received from other collaborating organizations. Identification of the Sustainable Development Goals (SDGs) on which the Project isexpected to have an impact. Establishing impact measurement criteria and indicators concerning social,economic, and environmental aspects, following the model to be provided by theRepsol Foundation.6.2.4. Only applications relating to specific Projects that meet the requirements established in the Termsand Conditions will be accepted.6.3. Evaluation of Project proposals6.3.1. Minimum requirements: The Projects proposals submitted must meet all of the followingminimum requirements to be assessed: They must be implemented with the collaboration of a legally established and registerednon-profit organisation (hereinafter the “Beneficiary Organisation”). They will be executed in an area where the Repsol Group has a presence. The Project must meet a social need related to the purpose of the BeneficiaryOrganisation.

It will count on the collaboration of a minimum of twenty volunteers to execute one ormore of the activities specified in the project proposal. Furthermore, the Project must include at least one volunteer activity that will bepublicized by the Repsol Foundation through its website, in which Repsol FoundationVolunteers will be involved, as specified in point 8.2. of these Terms and Conditions. It must be fully implemented between 15 December 2022 and 15 December 2023. Spanish beneficiary organizations must have been in operation for at least one fullbusiness year with available annual accounts: Foundations must have registered annual accounts and activity reports in theFoundations Register. Associations classified as being of public interest must have registered annualaccounts and activity reports in the corresponding register. Other organisations must have their annual accounts approved by their GeneralMeeting.Likewise, social organizations not domiciled in Spain must also have annual accountsapproved by their Governing Body. Together with the Project proposal, the Promoting Volunteers must provide the followingdocumentation regarding the Beneficiary Entity to the Repsol Foundation: Certificate of registration in the corresponding register or an equivalentdocument certifying the legal and non-profit status of the Beneficiary Organisationand, where appropriate, their registration in accordance with the regulationscurrently in force in their country. Certificate of beneficial ownership, according to the model provided by the RepsolFoundation in the Project proposal submission form. Annual accounts including, at least, the balance sheet and the profit-and-lossaccount, and where appropriate, the financial report for the last full business year.In the case of Spanish foundations and associations classified as being ofpublic interest, they must also provide the certificate of deposit of theaccounts or, where applicable, the submission of accounts to the respectiveregister.Religious associations and organizations and organizations domiciled outsideSpain must provide the certificate of approval of annual accounts from theGoverning Body. Copy of the powers of attorney of the persons representing the BeneficiaryOrganisation.

Due Diligence Questionnaire on Personal Data Protection, provided by the RepsolFoundation. Accreditation that the Beneficiary Entity has a bank account owned by theBeneficiary Entity itself.Under no circumstances may it be held by a natural person or located interritories classified as tax havens or tax-free jurisdictions, according to theprovisions of the list contained in Royal Decree 1080/1991, of 5 July and theamendments and criteria included both in Additional Provision 1, 10 andTransitional Provision 2 of Law 36/2006 (as amended by Law 11/2021) and itssubsequent updates, as well as the list of non-cooperative jurisdictions prepared byECOFIN that is currently in force. The following documents may also be required by Repsol Foundation from BeneficiaryOrganisations: Activity report for the most recent full business year Tax and social security contribution clearance certificate. Current list of members of their Governing BodyThis additional documentation must be provided within a period of seven (7) calendardays from the moment it is requested by the Repsol Foundation. If the aforementioneddocumentation is not provided within that period, is incomplete, or shows that theBeneficiary Organisation does not comply with the requirements established inthese Terms and Conditions, Repsol Foundation reserves the right to withdraw thefinancial aid from the Beneficiary Organisation and to select another Project fromthe finalists assessed by the Evaluation Committee.6.3.2. Evaluation criteria: The selection of Projects will be carried out taking into account thefollowing evaluation criteria: SCOPE OF ACTION The Projects have to contribute to an inclusive and fair energytransition, taking into account: The strategic lines of the Repsol Foundation are: Circular economyEnergy efficiencySustainable mobilityCO2 emission reduction. The following Sustainable Development Goals of the United Nations (SDG): SDG 4: Quality educationSDG 8: Decent work and economic growthSDG 10: Reduction of inequalitiesSDG 12: Responsible production and consumptionSDG 13: Climate action

SDG 15: Terrestrial ecosystem lifeSDG 17: Alliances to achieve goalsThus, specifically, the Projects must act mainly on the following lines of action or goals: Improvement of the employability of vulnerable groups with training projects,professional recycling, lifelong learning, and/or actions for the identification of newemployment and self-employment niches related to the energy transition, as well asactivities that promote permanence in the rural territory. Improvement of the environmental and economic sustainability of vulnerableenvironments and groups through social projects with an impact on socialorganizations (support for entrepreneurship, business plans, energy efficiency plans,awareness, actions to reduce their carbon footprint, etc.) and on vulnerable groups(awareness, study and advice in homes, sustainable reforms and access to energycommunities). SOCIAL IMPACT Projects must contribute significantly to the attention or solution of asocial problem, allowing them to improve their quality of life and access to opportunities.Therefore, the number of direct beneficiaries expected and the relevance of theProjects in this aspect will be assessed. In addition, favorable consideration will begiven to identifying the SDGs to which the Project would contribute. VOLUNTEER MOBILIZATION The Projects must have the potential to involve morevolunteers with a significant role, in accordance with the concept of volunteeringestablished in the Volunteering Law 45/2015, of 14 October. They will also highlight theskills and competencies of the volunteers in the service of the beneficiarycommunities. BENEFICIARY ORGANIZATION EXPERIENCE That the organisation in which the Projectis intended to be carried out has the experience and capacity to implement the project andcoordinate the participation of the Promoting Volunteers is valued. INNOVATION Projects must present innovative measures with high potential to providea solution to a social need. Thus, the use of novel strategies and resources with thegoal to address a specific social problem as well as offering alternative solutions byincorporating new processes will be assessed positively. SUSTAINABILITY. The incorporation of strategies for the transfer of capacities to thepopulation, or social organisation, so that they can give continuity to the Projects and/orbenefit others is valued. Therefore, the implementation of mechanisms that makeProjects socially and economically feasible after the intervention of the PromotingVolunteers will be taken into account. SCALABILITY. The Projects will have to have a clear structure that facilitates theirunderstanding and dissemination so that they can be shared with others forimplementation. Projects that are inspiring for others and whether subsequenteditions can be implemented with the same or lower costs anywhere the RepsolGroup is present will be taken into account.

6.3.3. Additional evaluation criteria: Furthermore, Projects will be positively assessed if theBeneficiary Organisations: Are classified as of being of public interest (in the case of organisations domiciled in Spain)or have a similar status in the country where the organisation has its headquarters. Conduct external account audits, where this isn’t a legal requirement. Have been certified with the Accredited NGO Stamp from Fundación Lealtad forBeneficiary Organisations domiciled in Spain, or certified with stamps for transparency andbest practices in the case of Beneficiary Organisations domiciled abroad.6.3.4. Exclusions and considerations: In addition to the minimum requirements above, thefollowing will be taken into account when submitting a Project to the Call for Proposals: All the projects that, ultimately, are only aimed at obtaining financial aid to pay themanagement costs of the Beneficiary Organisation, or for the recruitment of staffand/or professionals and/or for the financing of material resources will be excluded. Applications concerning Projects proposed and implemented by corporatefoundations and associations or groups of businesses, universities, educationalcentres and/or business schools, private individuals, savings banks ’ social projects orgovernment bodies are expressly excluded. The same Beneficiary Organisation may receive financial aid granted to differentProjects, submitted by different Promoting Volunteers, provided that each of themresponds to different social needs of the community. The Promoting Volunteers may submit as many different Projects as they wish, withthe same or different Beneficiary Organisations, provided that they guarantee theyhave the capacity to lead them and participate directly as coordinators of theactivities in the event all their Projects submitted in this Call for Proposals areselected. Project proposals that do not present the documentation related to thecorresponding Beneficiary Organisation will not be evaluated. This documentation isdetailed in item 6.3.1. of the Terms and Conditions.6.4. Selection of Projects6.4.1. Project proposals evaluationOnce the Project proposals submission period ends, the selection process will be dividedinto three phases:1º. Pre-selection phase: Fundación Lealtad will carry out a first evaluation of the Projects,taking into consideration, as provided in point 6.3 of these Terms and Conditions:1. The additional criteriaIf necessary, Fundación Lealtad will request additional information about the Projectproposals submitted, to make the proposals more specific and clarify any doubts aboutthem.Fundación Lealtad will ensure the quality and suitability of the proposals, selecting those withthe best evaluation.2º. Evaluation phase: An Evaluation Committee made up of experts appointed by RepsolFoundation will assess the Projects that have been chosen in the first evaluation phase, andwill select up to ten of them.3º. Evaluation Committee Decision : It will be made public on the Repsol Volunteeringwebsite as of 18 November, before 23:59 (GMT 2), as well as through the channels thatRepsol Foundation sees fit. The Promoting Volunteers will first be notified in writing throughthe email address provided in the application form.Likewise, the Evaluation Committee reserves the right to select the number of Projects thatit considers appropriate, according to the quality of the Projects received.Furthermore, Repsol Foundation may declare the Call for Proposals null and void if itconsiders that the level of demand for the Project proposals submitted does not meet theexpectations of the objectives of the Call for Proposals.6.4.2.Required documentation for the selected ProjectsThe selected Projects, once the decision of the evaluation committee is issued, must provideRepsol Foundation with the following documentation, duly completed and signed, within amaximum period of 15 calendar days from the date it was requested: Certificate of ownership of the bank account, issued within the last twelve months before itssubmission, in which the payment will be made. The name of the bank, its SWIFT code,IBAN, account number, and account holder shall be shown on it.The bank account holder must be the Beneficiary Organisation collaborating with theselected Project. Under no circumstances may it be held by a natural person orlocated in territories classified as tax havens or tax-free jurisdictions, according tothe provisions of the list contained in Royal Decree 1080/1991, of 5 July and theamendments and criteria included both in Additional Provision 1, 10 and TransitionalProvision 2 of Law 36/2006 (as amended by Law 11/2021) and its subsequentupdates, as well as the list of non-cooperative jurisdictions prepared by ECOFIN thatis currently in force. A collaboration agreement, according to the model provided by the Repsol Foundation,regulating the collaboration between the Foundation and the Beneficiary Organisation. An affidavit according to the model provided by Repsol Foundation, certifying that theorganisation is not involved in any legal proceedings or irregular activities, as well as

confirmation of understanding and acceptance of the Repsol Foundation Supplier Code ofEthics and Business Conduct.7.7.1.Financial AidThe selected projects may receive a financial aid of up to eight thousand five hundred euros( 8,500). This amount will be credited directly into the accounts of the BeneficiaryOrganisations of the selected Projects.The Beneficiary Organisations of the Projects selected must earmark the amount received solelyand exclusively for the implementation and development of the Projects.The Beneficiary Organisation will deliver to the Repsol Foundation the corresponding certificatesaccrediting the Financial Aid received from the Repsol Foundation and a report detailing thedocumentary proof of the financial and operational scope of the application of the Financial Aidreceived from the Repsol Foundation.7.2.In accordance with current legislation on the prevention of money laundering, as set out in Law10/2010 and the implementing regulation in force at any given time, as a party obligated to complywith said regulation, Repsol Foundation will comply with its obligations to identify the BeneficiaryOrganisations.7.3.The Repsol Foundation will pay the Financial Aid to the Beneficiary Organisations of the selectedProjects once they have provided in due time and form the documentation requested in section6.4.1.7.4.Each party will be responsible for any tax liabilities arising from the Projects selected, inaccordance with applicable tax legislation.8.Execution of the selected Projects8.1.The Promoting Volunteers of the selected Projects will execute them from the date of payment ofthe Financial Aid, throughout December 2022, until December 2023.8.2.The Project proposal will include at least one volunteering action that the Repsol Foundation willdisseminate through the Repsol Volunteering website, in which the Repsol FoundationVolunteers will collaborate. However, these persons must register as Repsol FoundationVolunteers through the Repsol Volunteering website and sign up for these actions.To this end, the Promoting Volunteers will submit the calendar of volunteer activities to theRepsol Foundation as part of the Project proposal. If necessary, in the event that the Projectproposal is selected, the Repsol Foundation will meet with the Promoting Volunteers andthe Beneficiary Organisation in order to finalize the details of the suggested volunteeractivities.8.3.The Repsol Foundation will monitor the selected Projects' development, for which it will requestat least one report in June. Advance notice will be given to the Promoting Volunteers so they canprepare and present it in a brief meeting, indicating the measurement of impact and the progressmade to date.

The measurement of impact, proposed by the Repsol Foundation, will be adapted to eachselected Project, being the Promoting Volunteer, together with the Beneficiary Organisation, whowill adjust the indicators used to monitor and evaluate the progress of the Projects.8.4.After the selected Projects are executed, the Promoting Volunteers will submit the final report tothe Repsol Foundation with the results of each one before December 15, 2023. This report mustcontain a report of activities and economic support and must be following the budget andactivities described in the Project proposal submission form.Once the Projects have been completed, the Repsol Foundation may ask the PromotingVolunteers to present each Project and its results to the Management Committee of theRepsol Foundation.9.Promoting Volunteers DeclarationIn submitting Project proposals, the Promoting Volunteers guarantee that: The Projects submitted are original and/or that they have discretionary usage rights for any ideas,texts, images, or any other element subject of intellectual and/or industrial property that may beincorporated in them. The information provided in the Projects contains no confidential or secret information aboutthird parties or, where appropriate, that they have the authorisations and licences allowing fortheir disclosure as part of this Call for Proposals. They have full legal capacity to act and take part in the Call for Proposals and their participationdoes not infringe any rule or regulation. Repsol Foundation will not be held liable for any damage, losses, costs, expenses, claims,sanctions, etc. as a result of submitting a Project.10. Data Protection10.1. Participation in the Call is voluntary and requires the processing of personal data, which, incompliance with the provisions of the applicable regulations on this matter, will be carried out inaccordance with the following points: Data controller: Repsol Foundation, domiciled at Avenida de Méndez Álvaro, withpostal code 28045, Madrid. Data processed and origin: those provided by the Promoting Volunteers and RepsolFoundation Volunteers during the registration process, as well as those derived fromtheir participation in the Call (name, surname, telephone number, e-mail address, dateof birth, and ID card/passport). Your image and/or voice obtained from yourparticipation in interviews and reports organised by the Repsol Foundation inaccordance with the provisions of these Terms and Conditions may also be subject toprocessing.

Purpose: The execution of the necessary steps for the participation of the PromotingVolunteers and Repsol Foundation Volunteers in the Call, including contact with them,and the execution of the Call. Lawful basis for processing: the consent expressly given by participating in this action. Data recipients: Those required by law and the suppliers who provide services and actas data controllers as well as Fundación Lealtad, the Repsol Group, and all partiescollaborating in managing and developing the Call for Proposals, receiving applications,and preselecting candidates. Rights of the data subject: access, rectification, objection, erasure, restriction ofprocessing, portability, and withdrawal of consent. These rights may be exercised bywriting to the Data Controller at their registered office or toprotecciondedatos@fundacionrepsol.com. Complaints may also be lodged with thesupervisory authority at any time before the supervisory authority, corresponding to theSpanish Data Protection Agency. Duration of processing: while the Call for Proposals takes place and, once over, untilthe statutes of limitations for all types of legal liability have passed. Additional information: according to the Privacy Policy available atwww.fundacionrepsol.com.10.2. The Promoting Volunteers must inform the persons whose personal data is provided of thecontent of this section and must ensure that the data provided is true, necessary, andproportionate to the purpose for which it is provided; that they have a legitimate basis forcommunicating the personal data of that third party; and that they have provided this informationand in the event of any problem they agree to exempt us from any liability for having complied withthe requirements provided above.11. Liability waiver and reservation of rights11.1. Promoting Volunteers agree not to use any content for the initiative that is unlawful, obscene,pornographic, abusive, defamatory, slanderous, racist or otherwise contrary to morals or publicorder, publicity or any content that may be offensive and/or damage the image of RepsolFoundation, as well as any third-party individuals or legal entities, and/or that may infringe upon orotherwise violate their rights.11.2. Likewise, Promoting Volunteers and Repsol Foundation Volunteers agree not to insert any type ofcomputer virus or corrupt files which could damage or provoke unauthorised changes of thecontents, programmes, or information systems.11.3. In the event that these provisions are breached, Repsol Foundation may immediately suspendtheir participation and, where applicable, remove the supposedly unlawful contents without givingrise to any type of claim in favour of the Participant.11.4. Furthermore, the Repsol Foundation reserves the right to cancel, prevent participation or evenwithdraw the Financial Aid granted to the collaborating Beneficiary Organisations of the selectedProjects that:

Are improperly using the means made available to participate in the initiative. Are preventing the normal development of the plant. Carry out any fraudulent acts or acts that harm other Promoting Volunteers orRepsol Foundation Volunteers that contravene the transparency of the Foundation,as well as those Promoting Volunteers who have benefited directly or indirectlyfrom this type of fraudulent actions.11.5. Repsol Foundation reserves the right to not grant Financial Aid if there are reasonable and wellfounded grounds to think that a Promoting Volunteer has infringed upon any of these terms andconditions.11.6. Repsol Foundation may act in the sense indicated in the preceding paragraphs either at its soleand exclusive discretion or at the request of the third party concerned. The above is withoutprejudice to Repsol Foundation ’s right to pursue any and all civil or criminal action that maybe applicable.11.7. In the event that the Call for Proposals cannot be carried out, whether due to fraud, technicalerro

documentation regarding the Beneficiary Entity to the Repsol Foundation: Certificate of registration in the corresponding register or an equivalent document certifying the legal and non-profit status of the Beneficiary Organisation and, where appropriate, their registration in accordance with the regulations currently in force in their country.
