1. NAMEA. The official name shall be “Cape Coral Softball, Inc.”, referred to herein as either “CCSB” or “TheLeague.”B. Cape Coral Softball, Inc. is a not for profit youth athletic organization dedicated to the promotion anddevelopment of girls’ fast pitch softball in Cape Coral, FL and surrounding areas.C. The CCSB Board shall be the governing body of Cape Coral Softball, Inc.2. OBJECTIVESA. The objective of CCSB shall be to provide a supervised and competitive fast pitch softball program forthe benefit of young female athletes within the community.B. The League shall aspire to implant in the youth of the community the ideals of good sportsmanship,honesty, loyalty, courage, and respect for authority, teamwork, and commitment.C. To achieve this objective, The League will promote, organize and support athletes in development andpreparation for, and during, local, regional, state, national and/or international competition by providing asupervised program under the rules and regulations of USA Softball, Inc.D. All Directors, Officers, and Members shall bear in mind that the attainment of exceptional athletic skill orthe winning of games is secondary to the teaching of good sportsmanship.E. In accordance with the Section 501 (3) (c) of the Federal Internal Revenue Code, Cape Coral Softball,Inc. shall operate exclusively as a non-profit educational organization providing a supervised program ofcompetitive softball games. No part of the net earnings shall inure to the benefit of any privateshareholder or individual. No substantial part of the activities of which is carrying on propaganda, orotherwise attempting to influence legislation, and which does not participate in or intervene in anypolitical campaign on behalf of any candidate for public office.3. AFFILIATIONA. Cape Coral Softball, Inc. shall be affiliated with USA Softball, Inc. It shall be governed by, and complywith the principles, rules and regulations decreed by USA Softball, Inc.4. SITES OF OPERATIONA. The principle operation of CCSB is in Lee County, at 1502 NE 3rd Terrace, Cape Coral, Florida 33909,but may extend into such areas as provided by the USA Softball, Inc. rules and regulations.B. Territory/Boundaries: The League has no boundaries.5. POWERSA. The League shall have the following powers in addition to powers expressly or implicitly conferred onlaw:1. To make and enforce rules and regulations with which to govern itself on a local, and asneeded, beyond local basis.2. To solicit funds for the proper operation of the league.6. MEMBERSHIPA. The membership of The League shall be composed of the Executive Committee members, Board ofDirectors, Coaches, Players, and their Parents or Legal Guardians.6.1 Voting MembershipA. The voting membership of The League for elections shall be composed of the Executive Committeemembers, Board of Directors, Coaches, and Parents or Legal Guardians of the Players in goodstanding, who have successfully completed a minimum of 10 volunteer hours in the previous twelvemonths and are eighteen (18) years of age or older.7. EXECUTIVE COMMITTEEA. The embodied members of the Executive Committee shall consist of the following Officers: President Treasurer Vice President SecretaryB. No positions on the Executive Committee (EC) may be held by individuals not associated with theLeague. Association with The League for Executive Committee purposes is defined as being amember of the Board.

C. A quorum to conduct business at any Executive Committee Meeting shall require attendance bythree or more of the Executive Committee Members. A tie vote means the issue DOES NOTcarry.D. The Executive Committee shall have responsibility for:1. Filling any vacancies on the Executive Committee between scheduled election meetings.2. Approval of league insurance.3. Review and approval of a preliminary budget.4. Approval of team entries in tournament play.5. Approval of appointed positions on the Board of Directors.6. Review and approval of submitted changes to By-Laws for presentation to the Board.7. Other duties as they may arise from time to time if brought forth for business.E. Members of the Executive Committee should have responsibility to act on behalf of the Presidentif the President is unavailable. Unavailable is defined as incapacitated or cannot be reached viaphone or email.8. BOARD OF DIRECTORSThe embodied Members of the Board of Directors shall consist of the following: PresidentVice PresidentTreasurerSecretaryCoaching Coordinator Equipment MangerTeam Parent CoordinatorUmpire-In-ChiefDivision RepresentativesA. Individuals not associated with The League may hold no more than one (1) position on the Boardof Directors.1. Association with The League, for Board purposes, is defined as being either a part of theTeam’s Coaching Staff, a parent of an active player, or a League Volunteer.B. Individuals not associated with The League may not hold Executive Committee positions.C. A quorum to conduct business (vote) at any Board of Directors Meeting shall require attendanceby more than 50 percent of the active/filled Board positions.D. The Board of Directors shall have responsibility for:1. Approval of fundraising events.2. Selection of League awards to be given.3. Planning and carrying out of all special activities.4. The administrative function of the League, including all business decisions affecting itsoperation and welfare.5. Review and approval of a yearly forecast.(budget)6. Approval of team entries in tournament play.7. Voting on the dismissal of an Officer, Coach, or any other League positions.8. Voting on amendments to the By-Laws.9. Approval of all Coaches.10. Being good stewards of the League’s money, time, and efforts.11. Approval of all appointed committee chairpersonsE. Upon Resignation of a Board member, by death, resignation or otherwise, the vacancy will befilled as follows:1. The members of the Board have first right for the position by order of President.2. If no Board members wish to fulfill the vacancy it may be filled by a majority vote of theremaining officers at a regular meeting or at any special meeting called for that purpose.This person will fill this position until the next regular election.3. All members of the Board elected shall have a vote.

9. BY-LAWSThe Board of Directors shall review the Cape Coral Softball By-Laws for adequacy and correctnessannually. All Board Members should become familiar with the By-Laws, which are to be available on theCCSB Website.9.1 By-Law ChangesA. Any voting Member of The League may submit written requests to add, modify or delete By-Lawsto the Executive Committee.B. The Executive Committee, for applicability, will review all written requests and content to ensurethe request is in the best interest of The League.C. The Executive Committee shall review the request and recommend further actions to the Board ofDirectors, including incorporation in full, part, or no action on the request before the next BoardMeeting, notwithstanding a continuance as approved by the Board of Directors by majority vote.D. The Executive Committee will have the authority to make clerical changes, or changes forconsistency with approved changes, without the need to have the Board vote on such changes.E. Once the Executive Committee approves recommended revisions, the League Secretary willnotify the proposed changes to all Board Members prior to the Board Meeting for the final voteand approval.10. LEAGUE POSITIONSLeague positions, term of office, Board Membership, and reporting structure are defined in Table 1,“League Positions.”10.1 General DutiesThe following duties are applicable to all Board of Directors and Committee Members, in addition to thosespecific duties identified for each position:A. Adhere to the objectives and general requirements of the CCBS By-Laws.B. Agree to submit to a league approved criminal background check every year. Currentlycompleted through City of Cape Coral Park and Recreation.C. Attend all scheduled league Board Meetings.1. Failure to attend three consecutive Board Meetings without prior notification may lead todismissal.D. Submit to the Treasurer, all receipts and records of expenditures within 10 days of occurrence.E. Obtain approval from the Executive Committee on all expenses greater than 500.00.F. Obtain approval from the President on all expenses less than 500.00.G. Any dispute or matter involving a Board Member must result in reclusion of him or herself fromthe vote.H. Work rotating scheduled shifts as Board Member on Duty at the Burton Memorial Park fields, orfind appropriate coverage by another Board Member.I. Sign to acknowledge the Code of Conduct Forms annually.10.2 Executive CommitteePresidentThe President will be a one (1) year elected position and preside over the Executive Committee, and theBoard of Directors, In addition to the general duties of all League Officers, the duties of the President are:A. Conduct the affairs of the organization and execute the policies established by the BoardB. The President shall be empowered to interpret the by-laws and rules of the Cape Coral Softball,Inc. so as not to interrupt the daily operations of the organization.C. Schedules and prepares all agendas for all League meetings.D. Coordinate meeting rooms for all Board of Directors and Executive Committee Meetings, andCoaches Meetings as requested.E. Present to the Board for final approval, all selections for appointed positions.F. Notify Members, Directors, Officers, and Committee Members of their election or appointment asapplicable.G. Approve expenditures of 500.00 or less for normal league requirements.

H.I.J.K.L.M.N.O.Coordinate all operating procedures for the Board of Directors.Appoint all committees and supervise the activities thereof.Review finance with the Treasurer and audit the annual Treasures’ ReportAct as one of three signatures allowed to sign checks along with the Vice President andTreasurer.Attend all scheduled USA Softball, Inc. meetings that pertain to running of Cape Coral Softball,Inc.Coordinate and conduct sponsorship meetings in order to raise money for facilities improvementsand league operations.Maintain association mail box.Perform other duties as assigned by the board of directorsVice PresidentThe Vice President will be a one (1) year elected position member of the Executive Committee and Boardof Directors. In addition to the general duties of all League Officers, the duties of the Vice President are:A. Act as the President of The League if the President is unavailable.B. Report on all injuries received from players, parents, or coaches to Executive Committeeimmediately and present injury report at each Board Meeting.C. Ensures background checks for all CCSB Executive Committee, Board Members, Coaches andVolunteers are completed and approvedD. Act as one of three signatures that can sign checks along with the President, Vice President andTreasurer.E. Assist with coordination of sponsorship meetings in order to raise money for facilitiesimprovements and league operations.F. Is responsible for managing the safety of players, staff and spectators and will work with theCity’s Facility Manager to ensure the fields and property are well maintained and free fromhazards.a. Creates and implements plans for increasing safety of activities/equipment/facilities.G. Maintain association mail box.H. Perform other duties as assigned by the president or board of directorsTreasurerThe Treasurer will be a one (1) year elected position and Member of the Executive Committee and Boardof Directors. In addition to the general duties of all League Officers, the duties of the Treasurer are:A. The Treasurer shall maintain the banking accounts in the name of Cape Coral Softball, Inc.B. Shall have charge of the funds of the organization and pay all the bills for expenditures approvedby the Executive Committee.C. Provide a report documenting the current status of The League’s financial affairs at each BoardMeeting.D. Maintain a legible and accurate set of records covering all financial transactions of The League.E. Review finances with the President, Vice President, and Secretary as necessary and applicable.F. Act as one of three signatures that can sign checks along with the President and Vice President.G. Prepare and send any league financial obligations (i.e., Tax Returns, Letters of Incorporation, optout payments and any other disbursements needed for the League and approved by theExecutive Committee).H. Coordinate with the Umpire-In-Chief for disbursement of funds for umpires prior to games.I. Coordinate issue resolution and payment of state and local registrations, fees, and taxesincluding (but not limited to) the Florida Department of State Division of Corporations, FloridaDepartment of Revenue, etc. Inform Executive Committee upon completion.J. Assist with coordination of sponsorship meetings in order to raise money for facilitiesimprovements and league operations.K. Complete and document analysis of all fundraising activitiesL. Maintain association mail box.M. Perform other duties as assigned by the president or board of directors

SecretaryThe Secretary will be a one (1) year elected position and Member of the Executive Committee and Boardof Directors. In addition to the general duties of all League Officers, the duties of the Secretary are:A. Record and transcribe the minutes of all Executive Committee and Board of Directors meetingswithin two weeks of sessions.B. Maintain a list of all regular, sustaining and honorary Members, Directors, and CommitteeMembers, and give notice to all meetings of The League, Board of Directors, and Committees.C. Assist with voting and nominations as requested.D. Assist the Treasurer with processing all forms pertaining to the preparing and sending of anyleague financial obligations. (i.e., Tax Returns, Letters of Incorporation, etc.)E. Assist with Website as requested.F. Maintain the continuity of historical records.G. Act as the By-Laws CustodianH. Store and archive all registration information.I. Maintain association mail box.J. Keep all records regarding the business of the organization including a master list of names andaddresses of board members, coaches, and participants, and maintain a roster of all players.K. Maintain documentation of all fundraising activities, grievance and dispute matters, all writtenpolicies set by the organization, completed Code of Conduct from for coaches, players, andparents and all other records appropriate to and required by codes and laws regarding nonprofit,tax exempt corporationsL. Perform other duties as assigned by the president or board of directors10.3 Board of DirectorsCoaching CoordinatorThe Coaching Coordinator will be a one (1) year appointed position as a Member of the Board ofDirectors. In addition to the general duties of all League Officers, the duties of the Coaching Coordinatorare:A. Ensure there are enough coaches for the Association’s requirements.B. Arrange appropriate coach training sessions, locations, dates and times.C. Be available to assist at games if necessary.D. Foster a positive spirit amongst all coaches and encourage them to participate in a positivemanner.E. Meet regularly with coaches to discuss performance and provide feedbackF. Arrange for, and conduct where appropriate, assessments of the association’s coaches.G. Encourage maximum participation from the association’s coaches.H. Have a sound understanding of the association’s rules, regulations and code of conduct.I. Assist Coaches with handling player/parent grievancesJ. Perform other duties as assigned by the president or board of directorsEquipment ManagerThe Equipment Manager will be a one (1) year appointed position as a Member of the Board of Directors.In addition to the general duties of all League Officers, the duties of the Equipment Manager are:A. Responsible for inventory, maintenance, distribution, and collection of all League equipment.B. Arrange for the procurement, disposition and maintenance of all playing equipment in a timelyand safety orientated manner.C. Responsible for maintaining Equipment tracking sheets.1. Shall prepare and collect equipment bags from coaches at the beginning and end of theseason.D. Responsible for the coordination of maintenance of all fields and necessary equipment andsupplies to be used by The League for games and practices.E. Assist the Treasurer with the collection of funds for damaged, lost or stolen CCSB equipment.F. Distribute first aid kits to managers.G. Perform other duties as assigned by the president or board of directors

Team Parent CoordinatorThe Team Parent Coordinator will be a one (1) year appointed position as a Member of the Board ofDirectors. In addition to the General Duties of all League Officers, the duties of the Team ParentCoordinator are:A. Coordinate team uniform orders and distributionB. Coordinate team photo scheduling.C. Present the recommended award types to the Board for selection and approval.D. Order plaques and banners for sponsors.E. Coordinate the training of scorekeepers.F. Assist the Board of Directors in the coordination and communication of league activities, i.e.,fundraising events, scheduling of volunteers, and other operational processes of The League toits Members.G. Assist with on-site registrations and uniform sizing.H. Coordinate Concessions Volunteer ScheduleI. Perform other duties as assigned by the president or board of directorsUmpire-In-ChiefThe Umpire-In-Chief will be a one (1) year appointed position as a Member of the Board ofDirectors. In addition to the General Duties of all League Officers, the duties of the Umpire-In-Chief are:A. Arrange and secure umpires for 10U, 12U, and 13 Division games.B. Schedule necessary umpires for all regular, makeup, playoff, and post-season games andprovide a copy of the schedule to the Board of Directors.C. Attend the Coaches meeting prior to the beginning of each new season.D. Track games worked by each umpire and submit information to the Treasurer so that the umpirescan be paid.E. Enforce the League rules when called upon.F. Responsible for ensuring that all umpires are USA Softball certifiedG. Perform other duties as assigned by the president or board of directorsConcessions CoordinatorThe Concessions Coordinator will be a one (1) year appointed position as a Member of the Board ofDirectors. In addition to the General Duties of all League Officers, the duties of the ConcessionsCoordinator are:A. Responsible for full management of concession stand on game days/nights, tournamentweekends and any other time that concessions are required.B. Promotes and coordinates volunteer opportunities.C. Purchasing and inventory control for concession stand.D. Rotation of stock and receiving delivery orders.a. Goes shopping to wholesale stores to purchase supplies and snacks as needed.E. Cleaning and detailing of the concession stand to the highest safety and cleanliness standards.F. Oversees prep and flow of food items in concession stand.G. Ensure game day concessions are running according to schedule, including opening and closing.H. Responsible for record keeping, deposits, and submitting invoices for paymentI. Perform other duties as assigned by the president or board of directorsDivision RepresentativesEach Division Representative will be a one (1) year appointed position as a Member of the Board ofDirectors.
