Proposed Bylaw AmendmentYour current Board of Directors is proposing an amendment to the Bylaws in an effort to improve the financial future ofthe Club. Over 90% of our membership dues are spent to provide trip credits for your nine Board members. Theamount allocated in 2013 for this purpose was 13,300 (however most current Board members have donated back tothe Club, so the actual amount is less than 2,500) This amendment would substantially decrease the burden ofthe trip credits on the Club.Under the current bylaws, in 2013 all elected Board members except the Member at Large receive a trip credit with acalculated value of 1,661 for 2013. Appointed Directors receive a trip credit of half this amount. This amendmentwould reduce the trip credit received by most Board members to 500, with the exception of the President and PastPresident who would receive none. Also this amendment would officially allow a Board member who declinesaccepting the trip credit to designate how that money should be spent for the good of the membership – with Boardapproval.If you vote for this amendment, you will not have to spend 14,000 on free trips for the Board of Directors and thesefunds will be used to benefit the membership. If you vote against this amendment, you will pay 14,000 for free tripsfor the board.After Board approval, the next step is to notify all members, by reasonable means, of the proposed changes at least 30days prior to the open discussion, which is the purpose of this email. Hard copies of this Proposed Amendment willalso be mailed to all members who choose to pay for the newsletters to be mailed to them and again as part of theApril Gator Tales which includes proxy ballots for the candidates seeking election. Copies are also available on theclub's website: www.gatorsnowskiclub.com, and at the General Membership meeting on February 13th. Note that you must be present at the April meeting to vote on this significant and definingamendment.The following is the actual amendment:Amendment - Reduction in Amount of Trip Credit Benefits for Board of DirectorsCOMES NOW the Gator Snow Ski Club. Inc., a Florida Not for Profit Corporation formed by its original Articles ofIncorporation filed with the Department of State of Florida on January 24, 1977 Amended in theFirst Amended and Restated Articles of Incorporation and By-Laws filed with the Department ofState of Florida on April 12, 1991, and August 10, 2006 and April 10, 2014 and now provides acomplete restatement of Club Articles and By-Laws dated August 10, 2006 April 10, 2014. Thiscomplete restatement of Club Articles and By-Laws has been duly adopted by the Directors andMembers. The complete restatement of Club Articles and By-Laws restate and integrate and thereis no discrepancy between the Articles of Incorporation and the Amended and Restated Articles ofIncorporation and By-Laws other than the inclusion of amendments adopted pursuant to Section617.1002, Florida Statutes.

ARTICLE IX- Section 4:BENEFITS TRIP DISCOUNTSExecutive Committee and Appointed Directors (a) Executive Committee - All members of the Executive Committee, with the exception of thePresident and the Past President, during their year of service shall be entitled to go a 500discount on one trip, either a ski or non-ski trip, with the following limitations:(i) If the benefit discount is used on a ski trip, said member of the Executive Committeeshall be entitled to go cost free a 500 discount to be applied to the trip, including, but notlimited to airfare, lodging, lift tickets, and other activities included in the trip package thatis offered to Club members, with the maximum value of the benefit being the calculatedaverage amount of the upcoming ski trips not exceeding eight nights. The list of trips andcosts used shall be as of December 1 of each year. Trip extensions shall not be used in theabove described benefit calculation. The member of the Executive Committee may chooseany ski trip for which to apply their benefit if they pay the difference between the averageski trip cost and the cost of the trip they choose. If a ski trip valued less than the calculatedaverage 500 is chosen, the participant shall not receive the difference, or any partthereof. In times of financial need, the amount of the benefit trip discount can be adjustedin an emergency by the Executive Committee and the Member at Large.(ii) If the benefit discount is used on a non-ski trip, the maximum value of the benefitdiscount shall be as calculated stated in Section 4(a)(i) above.(b) Directors - All Appointed Directors during their year of service on the Board of Directors shall beentitled to a fifty percent 500 discount on any Club trip. The benefit for an AppointedDirector shall be fifty percent of the calculated average ski trip for an Appointed Directorshall be fifty percent of the calculated average ski trip described in Section 4(i) above. If aski trip valued less than fifty percent of the calculated average 500 is chosen, theparticipant shall not receive the difference, or any portion thereof.Section 5:Benefit Trip Discount Limitations – Any member of the Executive Committee, Trip Leader, AssistantTrip Leader, or Appointed Director will be entitled to choose only one trip to which the benefitdiscount will apply within the Club fiscal year. In other words, the benefit discount may not be splitin half and applied to two different trips. Upon approval of the Executive Committee, a member ofthe Executive Committee or Appointed Director may defer the benefit trip discount for up to oneyear.Section 6:Donation of Trip Discount Funds – If a member of the Board chooses not to go on a trip, thatmember may designate how the unused funds are to be used for the good of the membershipwith Board approval. The member may not receive any personal benefit from the funds.Effective Date: These amendments shall take effect on August 10, 2006 June 1, 2014.

GROUP TRAVEL what does that really mean? Weare a Group of Club Members that enjoy skiing together and as such our Club offers “Group Travel”. With GroupTravel comes many, many perks: Discounted Air, Discounted Lodging & Discounted Lifts are the 3 major componentsof our “Group Packages”. Because of this we get to stay inLodging that, by ourselves we would not be able to afford ORwould pay A LOT more for! The same goes for our Air Fare& definitely our Lift Tickets. That is the PLUS side of GroupTravel.Unfortunately there can be down side as the * at thebottom of your Trip Application indicates. What arethey? When it comes to Air, which is booked 9months in advance by the Tour Operator to be ableto block large amounts at a reasonable rate, we areat the Airlines mercy. They at any point in time canchange our flight times, add on fuel surcharges, extend our layovers, or in the worst case scenarioeliminate our flight all together. That has happened!!When it comes to Lodging, every resort and everyproperty is different. And the majority of units areprivately owned, with the management companieskeeping track of inventory. This means that at anypoint in time an owner can pull their unit from theblock and all the nice bedding arrangements that thetrip leader worked diligently on must be redone. It isalso very important to be aware that “bedding is notguaranteed”. We are contracted with a “Block” ofrooms, but we are not guaranteed the bedding.However most resorts work very hard to be sure weare accommodated and all are happy. And usuallythey will offer you an upgraded option if you are willing to pay for it. If you are a Single going on ourtrips, it is very important for you to know how manysingle beds are blocked, as not all resorts areequal. Your Trip Leader is educated in that numberso be sure to ask them!Therefore if getting a great vacation, skiing withyour friends & family, at “group rates”, and recognizing that anything could change, works for you, thenwelcome to Group Travel! Meet 10AM at Yamato road and I-95 at the Tri-Rail station parking lot. Lookfor Gator sign on brown van and familiar faces. Ride will be onpaths and light traffic roads, maybe 10 miles @ 8-10 mph. There isa tunnel under I-95 to FAU. Afterwards eat lunch at Boca AleHouse 1 mile west of starting point. This has been permanently moved tothe second Monday of the month so we can get the private room.Tiki Bar - Happy HourOur Valentine’s Day Dance Party is coming up on Friday, February 14th 7 PM 12 AM at the American Legion Hall in Tequesta. Tickets are 20 for membersand 25 for non-members. Please see the flyer in this newsletter. I need volunteers to help decorate the hall starting at 1 PM.What better way to experience the excitement of the Daytona 500 RaceWeekend than to join the Gators on Feb. 21-23! We are staying at the La Playa Resort and the cost is 295 per person. This includes race tickets and awelcome party. We have 1 room left.
