July 07, 2015The Honorable Board of SupervisorsCounty of Los Angeles383 Kenneth Hahn Hall of AdministrationLos Angeles, California 90012Dear Supervisors:APPROVE AMENDMENTS TO AGREEMENTS WITH SECURITAS SECURITYSERVICES USA, INCORPORATED FOR PROPOSITION A SECURITY GUARDSERVICES FOR COUNTY HEALTH CARE FACILITIES(ALL DISTRICTS) (3 VOTES)SUBJECTThe Los Angeles County (County) Sheriff¶s Department (Department) seeks approval and executionof Amendments to Agreement Numbers 76290, 76291, 76292, 76293, and 76294 (Agreements) withSecuritas Security Services USA, Incorporated (Securitas) to extend the term of the Agreements ona month-to-month basis, not to exceed six months, in any increment. This extension period willenable the Department to complete the solicitation process for new Proposition A Agreements.IT IS RECOMMENDED THAT THE BOARD:1. Approve and instruct the Mayor of the Board to sign the attached Amendments with Securitas tocontinue providing armed and unarmed Security Guard Services (Guard Services) at various healthcare facilities throughout the County. These Amendments will extend the term of the Agreementswith Securitas, on a month-to-month basis, not to exceed six months, in any increment, fromAugust 1, 2015, through January 31, 2016.2. Delegate authority to the Sheriff, or his designee, to terminate the Agreements earlier, in whole orin part, with 30 calendar days advance written notice, once the Department has completed thesolicitation process for new Agreements.3. Delegate authority to the Sheriff, or his designee, to execute amendments to the Agreements tomeet the needs of the Department, if it is in the best interest of the County, including the addition ofnew or revised standard County contract provisions adopted by the Board during the term of theAgreements.

Authorize the Sheriff to amend the Agreements, in an amount not to exceed 10 percent of thecontract amount, for additional security guards or facilities within the scope of the Agreements.PURPOSE/JUSTIFICATION OF RECOMMENDED ACTIONThe Agreements have a base term of three years with two one-year options; a one year extensionwith a six-month extension option; and an additional one year extension with a six-month extensionoption. The Agreements are currently in their last extension option and will expire on July 31, 2015.Approval of the recommended actions will ensure there is no interruption of Guard Services forCounty healthcare facilities for the Department of Health Services and Department of Public Health(Health Departments). The extension will allow the Department to complete the solicitation processfor new Proposition A Agreements.The Maximum Contract Sum for all Agreements is increased by 14,168,516 for the six-monthextension option, which includes an adjustment of 2 percent as follows:Agreement NumberSecurity Guard SecuritasSecuritasSecuritasExtension Option Not toexceed Six (6)Months,in any increment 4,929,155 2,192,711 2,198,566 1,908,545 2,939,539Total: 14,168,516To manage unforeseen service level increases affecting the Health Departments, such as changes tooffice hours, emergent security requirements, or the addition of new facilities and services, theDepartment is recommending the Board authorize the Sheriff to approve additional services withinthe scope of work, up to 10 percent.Implementation of Strategic Plan GoalsThe Guard Services provided under these Agreements support the County¶s Strategic Plan, Goal 1,Operational Effectiveness/Fiscal Sustainability; and Goal 3, Integrated Services Delivery. TheseAmendments will ensure that Guard Services are provided for the Health Departments, and safety ofthe public is maintained.FISCAL IMPACT/FINANCINGContracted Guard Services are funded through billing to the Health Departments. The HealthDepartments must demonstrate that sufficient funds are budgeted for any service request throughthe provision of a Departmental Service Order (DSO) prior to initiation of any service. The HealthDepartments have included sufficient appropriation to fund the cost associated with therecommended Amendments. The Department has included the cost, offset by DSOs for GuardServices, in the Department¶s operating budget. The Department will continue to allocate thenecessary funds throughout the duration of these Agreements.

The Honorable Board of Supervisors7/7/2015Page 3FACTS AND PROVISIONS/LEGAL REQUIREMENTSOn July 24, 2007, the Board approved the current Agreements with Securitas and North American onbehalf of the former Office of Public Safety, for the provision of Guard Services for the HealthDepartments.On December 15, 2009, the Board approved the consolidation of the Office of Public Safety dutiesand functions into the Department, and the replacement of the Chief and Deputy Chief with theSheriff or designee.On July 10, 2012, the Board approved amendments to extend the term of the Agreements for anadditional one-year, with an option to extend the term of the Agreements for an additional period notto exceed six months.On August 28, 2013, the Department released Request for Proposals (RFP) 456-SH, to solicit foragreement(s) with vendor(s) to provide Guard Services for County departments in eight ServicePlanning Areas (SPA), grouped within the three operational zones overseen by the Department¶sCounty Services Bureau.On January 21, 2014, the Board approved amendments to extend the term of the Agreements for anadditional one-year, with an option to extend the term of the Agreements for an additional period notto exceed six months, in any increment.On January 20, 2015, the Board approved an amendment to Agreement 76293 with Securitas toassume SPAs three and five from North American and execute the last six-month option term.The Amendments to the Agreements extend the term of the Agreements for a period not to exceedsix months, in any increment.These extensions will enable the Department to complete the solicitation process for new PropositionA Agreements.Securitas is in compliance with all Board and Chief Executive Office requirements.The Amendments have been approved as to form by County Counsel.IMPACT ON CURRENT SERVICES (OR PROJECTS)Approval of this action will ensure uninterrupted Guard Services for the Health Departments.

AMENDMENT NUMBER FOURTEEN TO AGREEMENT NUMBER 76290BY AND BETWEENCOUNTY OF LOS ANGELESANDSECURITAS SECURITY SERVICES USA, INC.FOR PROP A SECURITY GUARD SERVICESThis Amendment Number Fourteen (hereinafter "Amendment") is entered into by and betweenCounty of Los Angeles (hereinafter "County") and Securitas Security Services USA, Inc.(hereinafter "Contractor''), effective upon execution by all parties.WHEREAS, on July 24, 2007, the County and Contractor entered into AgreementNumber 76290 (Contract) to provide the County with security guard services for the LAC USC Medical Center and Health Centers; andWHEREAS, the Contract authorizes the Chief of the Office of Public Safety, ordesignee, to amend the Contract annually in an amount not to exceed ten (10) percent of thecontract amount for scope of work changes; andWHEREAS, contract amendment number one (1}, effective May 8, 2008, amended thecontract amount to 5,028,764 for the first contract year and 5,120,196 for the secondcontract year to manage unforeseen service level increases affecting the Department of HealthServices and Public Health; andWHEREAS, on June 4, 2008, the Board of Supervisors authorized the Chief of theOffice of Public Safety to increase the contract amount to 6,134,345 for the first contract yearand 7,456,698 for the second contract year; andWHEREAS, contract amendment number two (2}, effective June 4, 2008, increased thecontract amount, as authorized by the Board of Supervisors; andWHEREAS, contract amendment number three (3), effective November 6, 2008,increased the contract amount to 7,972,300 for the second contract year, to manageunforeseen service level increases to client departments; andWHEREAS, contract amendment number four (4}, effective August 26, 2009,decreased the service level at LAC USC; andWHEREAS, contract amendment number five (5), effective January 5, 2010, decreasedthe service level at LAC USC; andWHEREAS, contract amendment number six (6}, effective February 8, 2010, amendedthe Contract, increasing the contract amount by ten (1 0) percent to 8,928,976 for the thirdcontract year and added the Defaulted Property Tax Reduction Program provision; andWHEREAS, contract amendment number seven (7), effective February 17, 2010,amended Exhibit E - County's Administration; and revised Exhibit N - Contractor's Obligationsas a Business Associate Under the Health Insurance Portability and Accountability Act of 1996to address the Health Information Technology for Economic and Clinical Health Act; andAMENDMENT FOURTEEN CONTRACT# 76290Page 1 of 4

WHEREAS, the Contract has a term of three (3) years with two (2) one-year renewaloptions; andWHEREAS, the Contract authorizes the Chief, Office of Public Safety, or designee, toexercise the Contract renewal options annually; andWHEREAS, on December 15, 2009, the Board of Supervisors approved theconsolidation of the Office of Public Safety (OPS) duties and functions into the SheriffsDepartment, and the replacement of the Chief and Deputy Chief, Office of Public Safety, withthe Sheriff or designee; andWHEREAS, contract amendment number eight (8), effective, July 15, 2010, added subsection 6.7.9 to sub-section 6.7 Training, the Statement of Work; and added Exhibit P- LosAngeles County Sheriffs Department Manual of Policy and Procedures: Policy of Equality andAcknowledgement of Receipt; and extended the term of the Contract from August 1, 2010through and including July 31, 2011; andWHEREAS, contract amendment number nine (9), effective June 29, 2011, extendedthe term of the Contract for one (1) year from August 1, 2011 through July 31, 2012; andWHEREAS, on July 10, 2012, the Board of Supervisors approved contract amendmentnumber ten (1 0) to modify the Contract to extend the term of the Contract for an additional one(1) year with an option to extend for an additional period not to exceed six (6) months, andgave the Sheriff the authority to exercise and execute the extension options; andWHEREAS, contract amendment number eleven (11), effective July 12, 2013,extended the Contract for an additional period of six (6) months commencing on August 1,2013 through January 31, 2014; andWHEREAS, on January 21, 2014, the Board of Supervisors approved contractamendment number twelve (12) to extend the term of the Contract for an additional one (1)year with an option to extend for an additional period not to exceed six (6) months,commencing on February 1, 2014 through July 31, 2015; andWHEREAS, contract amendment number thirteen (13), executed on January 7, 2015,extended the Contract for the additional option period of six (6) months commencing onFebruary 1, 2015 through July 31, 2015; andWHEREAS, the Contract is currently in its last six-month extension option period andexpires on July 31, 2015; andWHEREAS, County and Contractor desire to modify the Contract to extend the "term ofthe Contract for an additional period on a month-to-month basis, in any increment not toexceed six (6) months, to avoid an interruption of services while the Department completes itssolicitation process for a new contract. The maximum Contract Sum is increased by 4,929,155 for the additional month-to-month option period. County may terminate theContract, in whole or in part, with thirty (30) calendar days advance written notice.NOW THEREFORE, in consideration of the foregoing recitals, all of which are herebyincorporated as part of this Contract, the mutual covenants set forth herein, and for other goodand valuable consideration, the receipt and sufficiency of which are hereby acknowledged,County and Contractor hereby agree to amend the Contract as follows:AMENDMENT FOURTEEN CONTRACT# 76290Page 2 of4

1.Paragraph 4.0, Term of Contract, sub-paragraph 4.1, sub-paragraph 4.2, and subparagraph 4.3 only of the Contract, are deleted in their entirety and replaced asfollows to extend the term of the Contract, on a month-to-month basis, in anyincrement not to exceed six (6) months.4.1 The term of the Contract shall commence on August 1, 2007, and shallterminate January 31, 2016, unless sooner terminated or extended, in whole orin part, as provided in this Contract.4.2 The County maintains databases that track/monitor contractor performancehistory. Information entered into such databases may be used for a variety ofpurposes, including determining whether County will exercise a contract termextension option.4.3 The Sheriff or his designee, may terminate this Contract earlier, in whole or inpart, with thirty (30) calendar days advance written notice of such termination,which shall be in the form of a written Amendment executed by both Sheriff andContractor.2.Exhibit A2, Minimum Staffing Plan, is deleted in its entirety and replaced with therevised Exhibit A2a, Minimum Staffing Plan, as attached herein.3.Exhibit 81, Pricing Schedule, is deleted in its entirety and replaced with the revisedExhibit 81 a, Pricing Schedule, as attached herein.4.Exhibit 82, Pricing Sheet, is deleted in its entirety and replaced with the revisedExhibit 82a, Pricing Sheet, as attached herein.5.EXCEPT FOR THE CHANGES SET FORTH HEREIN, ALL OTHER TERMS ANDCONDITIONS OF THE CONTRACT SHALL REMAIN IN FULL FORCE ANDEFFECT.6.Contractor and the person executing this Amendment on behalf of Contractorhereby represent and warrant that the person executing this Amendment forContractor is an authorized agent who has actual authority to bind Contractor toeach and every item, condition, and obligation of the Amendment and that allrequirements of Contractor have been fulfilled to provide such actual authority.IIIIIIIIIIIIIAMENDMENT FOURTEEN CONTRACT# 76290Page 3 of4
