Ozark Gateway Association of REALTORS , a Regional MLSBoard of Directors MinutesPage 8Thursday, April 28th, 2020 at 10:30 amPresent: Brandi Haddock, Allen Hall, Chris Nickle, Jessica Hubbard, Forrest Stodghill,Courtney Denney, Amy Hunt, Levi Utter, Susi Yust, Michael Wicklund andJennifer Reaves; some members participated via Zoom.Staff Present: Kim CoxRoll call was taken from attendance in the room and on the Zoom screen.President read the following statement: Let the record show that we are currently under a Stay-at-Home Order by the Governor ofMissouri, Mike Parson, due to the coronavirus pandemic. Several meetings were canceled, as well as other business functions, forthis month, and only meetings of utmost importance were held. Meeting was then called to order by President Brandi Haddock.Motion was made to approve the agenda as emailed.Motion made to approve the minutes from the March BOD meeting and the April 3rd special BOD meeting, as emailed.Jessica Hubbard, Officer/Treasurer1. Received financials as emailed. Motion made and approved to accept financials for March 2020 and YTD.2. Reviewed Edward Jones portfolio. No motions made at this time.3. Just a reminder that the Executive Committee will be reviewing the 1st quarter bank statements, instead of the FinanceCommittee. Kim to get the information sent over to them for their review once reopened.Michael Wicklund, MLS Chair/1 Year Director1. Meeting was rescheduled to next month.President’s Report – Brandi Haddock1. Gave extensive report on MR’s April Business Conference and will be writing up a piece to share with the entire membership.AE’s Report – Kim Cox1. Answer from NAR that we can indeed go into an Executive session, anytime during a board meeting, to discuss detailedissues that will not be placed in the minutes. Just a topic or subject matter can be used instead.2. Local Leadership Academy grant has not yet been approved.3. Clear Cooperation Policy clarifying agents selling their own homes as FSBOs; NAR gave an answer; but BOD would also liketo hear from MREC.4. Kim has an hour long recorded session with MREC that she would like to share with members who wish to view it; Will put ashowing together.5. NAR says wire fraud is rampant right now and agents should be aware.6. NAR released a statement that they will not be requiring all sections of Core Standards to be met; community engagement andadvocacy items.7. Governor Parson just released a Phase 1 rollout to begin on May 4th; continuing social distancing. Recommendation from theboard to have the office staff continue to serve the agents via “appointment only” from May 4th thru May 17th (some staff willwork remotely during this time) and then fully reopen on Monday, May 18th. Kim to determine what day all staff will bereturning to work.Allen Hall, President-Elect’s Report1. Strategic Planning – Meeting being rescheduled.2. Program & Events – Meeting being rescheduled.3. Governing Docs – Meeting being rescheduled.4. Membership & Community Service – Reviewed minutes. A motion was made to approve the conditional memberships for theagents listed below:New Agents/Appraisers/Offices:Denise Briez Office, Broker - Denise Briez is the DR (MLS Only)New Affiliates:B-Rite Home Inspections - Justin DegoniaScholarships were approved for the following college students: Adlyn Thomas, Katelyn Hunter & ZacharyKitchen.Continued on next page

Nominating – Meeting being rescheduled.5. Local Leadership Academy – Meeting is on May 13th at 8:30 am.Recurring Business:1. Accounts past due presented; 1 agent, 1 company.2. Random listing audit for every 100th listing is continuing.New Business:1. A Facebook policing was sent in and reviewed; no motion made.2. A member brought forward an issue of an agent leaving a self advertisement in a listing they had just shown. Agentapologized, no further motion made.3. Kim filed for the Paycheck Protection Program in early April during economic uncertainty. We never had our staff stop workingand were able to continue paying them during this pandemic. Kim to run numbers of closed and pending now versus a yearago to see if there is a true loss in business for our members; this item has been tabled for further review. Kim to speak to ourCPA and lender about questions from the BOD.4. Motion made to start up the lockbox audit again on June 4th. A motion was also made to start charging 125 for lost lockboxesthat we have to replace. Another motion was made to add to our annual budget, a line item for the purchase of new lockboxeson an annual basis.5. A motion was made to sell our silver Sentrilock lockboxes to members who would like to have some for themselves, for 75 apiece from May 18th to June 18th. Sara to find out of boxes sold outside of the board office will have continued support andability to see Accesses. Money from this sale would be used towards a purchase of new Bluetooth lockboxes.6. A motion was made to have Sentrilock repair 21 of our cracked lockboxes at a total of 628.95 to help replace some of ourneeded Bluetooth boxes.7. A Director request came forward about the possible tracking of who gets penalties in our board and for what reason; A motionwas made to add the types of penalties, and how many for that month, be added to the Accounts Past Due list that goes to theBOD on a monthly basis. No names. An amended motion was made after the meeting via email that we would use a freesoftware program for the tracking.8. Brandi asked that the staff create some sort of directory for our members to view that shows what agents have licenses forstates other than MO.9. A board member brought forward the idea of recognizing C2EX recipients; Sending onto the Program Committee to come upwith some ideas. The state association most recently decided to do a Wall of Fame.10. A recommendation is being made to the Gov Docs Committee to add that during extenuating circumstances, the ExecutiveCommittee would have the ability to do whatever business they deem necessary (in an emergency) and then seek approvalfrom the Board at the next meeting. This business would also need to be able to be done via electronic means.11. A recommendation is also being made to Governing Docs to update the duties of the Finance Committee and the ExecutiveCommittee, separating out what each of the committees are allowed and expected to do each month and/or quarter, or evenannually if any apply.All of the above motions passed with majority vote.Meeting adjourned.
