ART 1.OBJECT OF THE CONTRACTThe present contract allows the customer to subscribe the activation of a bi-directional connection to internet through the satellite. This connection will be active 24 hoursa day, without any traffic limits, with a reception/transmission band which will vary depending on the type of contract chosen by the customer and marked on the orderform. The supplier of this service il T&T Tecnologie e Telecomunicazioni S.r.l (indicated as T&T S.r.l in the following document). The reception by T&T of the presentcontract, fully completed and signed by the costumer on every page will be the necessary condition to validate the contract itself. The order form is an integral part of thepresent contract.ART 2.SERVICE DESCRIPTIONThe band indicated as “ Massima” (Maximum) on the form is the effective band of the channel used by the customer and shared with other users; the maximum quantityof users will be indicated under the entry “max concorrenza”. Therefore the minimum guaranteed band is the quotient between the maximum band and the maximumquantity of users. The connection enables the customer to use all the net protocols and the following principal functions: TCP connections (surfing the web), receptionand transmission of the e-mail, FTP, telnet, ssh, voIP. If requested by the custumer an IP Public static address can be assigned through nat.ART 3.SUPPLIED MATERIALThe INSAT KID supplied by T&T includes the following elements:1xRouter Satellitare iDirect serie 3000 with door Ethernet 10/100;1x GPS for georeferenzazione ship’s position;1x MSTxxx VS1 – Antenna stabilizzata un banda con BUC da 3W e LNB ;1xControl Unit Antenna;The equipment of support (carpentry and cables) supplied the costumer comprises:a)One stirrup for reinforced anchorage in inox acciao;b)until 2x50 mt of coaxial cable type PRG11 and connectorsART 4.DELIVERY TIMESThe transport of the material near the installation center will happen to cargo of the customer and the installation will come carried out from our installation technicianswithin three weeks from the moment of the emission of the invoice (Italy). The transport of the material near the installation center will happen to expenses of thecustomer with stipulates of insurance policy and the installation will come carried out from our installation technicians within three weeks from the moment of the emissionof the invoice (Foreign). These indications do not hold account of the times of supplying of the apparatuses.ART 5.INSTALLATIONThe installation will subsequently happen within one week to the delivery of the materials. It rests of the system will happen with the aid of installatori technicians in therespect of previewed how much from law 626/94 on the emergency in the job places. The installatori technicians will have to decide of an optimal access, for same theyand the equipment, to the situated one of installation of the antenna. Necessary condition to that the logon to satellitare is attivabile is indispensable that on the situatedone of installation the entire arc is visible to satellitare; the verification of the said condition is from being carried out obligatorily in advance payment on the installationand is of responsibility of the Customer, which it will have to communicate the eventual subsistence of various conditions from those demands. The installation procedurestandard previews:a) disimballaggio of the apparatusesb) assemblage and installation of the external unit MSTxxxVS1(IDU);c)check of the antenna;d) rests of coaxial cables of connection between the router to satellitare (IDU) and the unit external (ODU)e) installation of the router to satellitare and the control unit in a premises where it is already present feeding electrical worker 110/220VACf)attivazione del collegamento;g) reception of the notification from the NOC (Network Operation Center) on the full operativity of the system to satellitareh) Preparation of a report of the activities carried out, to be signed as acceptance from part of the Customer or who of ago the veci near the situated one of installation.It remains to cargo of the Customer the insertion of the router to satellitare in the own local net, included the eventual connection with net cables or arranges wireless andthe configurations to hardware/software of the case.They are considers extra jobs you in course of work, that is outside from the parameters of the installation standard, following:i) the help of mechanical machinery, or other equipments, necessary in order to catch up the positionig point of installationl) it rests in work of canalizations indoor or outdoor for the passage of cables;m)Poles or other supports different from the ones supplied with the standard kit;n)Any other operation carried out under specific request from the customer or rendered necessary due to objective and peculiar difficulties connected to the installationsite.All the expenses of working extras, occurred at works started, will be sustained by the customer. If at the time of testing, the product or parts of it will resultmalfunctioning, T&T will immediately start the procedures to change the malfunctioning parts, under guarantee, with new ones. At the end of the installation thetechnicians will hand over to the customer a synthetic resume with the list of the operations carried out the possible extras occurred, which the customer, or someoneelse in authority, has to sign per acceptance, on the installation site.ART 6.INVOICING AND PAYMENTThe invoicing of the initial costs will be through a money transfer in advance. The customer can choose, at the time of signing the contract, the method of payment for themonthly fees; the three methods of payment are: credit card, R.I.D, and money transfer.a)Initial cost. T&T will invoice the total cost of goods and installation on the date of reception of the integral payment, the ampunt of which is shown on the orderform under the entry “initial cost”. The above mentioned payment will be the sole condition to deliver and install the system.b)Monthly fees. The beginning of the monthly fees willbe calculated from the day of the activation of the connection. The related invoicing will be: on amonthlybasis, payment in advance, in case of a credit card method; on a bimonthly basis, payment in advance in case of a R.I.D. method; on a four-monthlybasis, payment in advance in case of a money tranfer method. The first invoice related to the monthly fees will be included in the initial cost invoice. In case of theoption of payment through credit card the customer will receive an application form to authorize automatic debiting on the card, which should be signed by thecustomer and sent in good time to T&T. Attached to this application form the customer should send a fotocopy back and front of the credit card and the fotocopyback and front of a valid identity document of the customer.In case of the option of RID payment the customer will receive an application form to authoreze automatic debiting, which should be signed by the customer andstamped by the bank and sent back in good time to T&T. The time of payment have to be regularly complied, to keep the service active. In the event of non-payment,T&T reserves the right to interrupt the service, which will not be riactivated until all the due payments are complied. T&T also reserves the right to charge the customerfor interest on arrears. The interest on arrears will be calculated on the basis of the legal rate increased by 5%, except for the maximum damages compensation. Theriactivation of the service implies a penalty of Euro 400,00 (three hundred/00). ART 7.“Next Business Day” MAINTENANCE (optional)The maintenance will be supplied, with a maximum limit of 16 working hours, between 9:00AM and 6:00PM (excluding Sundays and public holidays). The request fromthe customer should be made via fax to the number .800-131-093 or via e-mail to the address: supporto@tetsrl.it.The service includes:a)Remote diagnostic from NOC, to determine if these is a malfunctioning and what are its causes, and to sort out the problem if possible;b)Send a technicial to remove or change the malfunctioning parts;c)Bringing the malfunctioning parts back into the factory for repairing or changing.In case of a request of maintenance not within the standard characteristics, T&T will invoice the costs sustained. Among various cases but not the only ones, just asexamples: Damaged structure due to carelessness, circumstances beyond one’s control, lightnings, weather related events, usage not in accordance to the indications of theusers’ handbook, customers negligence, causes external to the supply by T&T, non respect of the operative environmental conditions; modifications wich were not authorized by T&T or which were made not in accordance to the specifics given by the supplier; de-installation, relocation or removal of equipments installed by T&T. ART 8.FRAUDULENT OR ILLEGAL USET&T reserves the right to immediately terminate the service and to inform the authorities in the event that the connection was to be used for illegal or fraudulent purposes.In that event all the invoices still to be paid until the end of the contract are to be paid in full.ART 9.DURATIONThis contract will last for one year, starting on the date of activation of the service, with a tacit renewal for periods of time of 12 (twelve) months in 12 (twelve), unlessthere is a notice of termination of the contract to be sent via registered mail at least 2 (two) months before the expiry of the original date on the contract or the date ofexpiry on a renewal. The customer can back out of the contract without any further expenses by sending a letter sent via registered mail to T&T within 30 (thirty)daysfrom the activation of the service, but he will have to pay the fee for the month in which the service was active. If the customer decides to terminate the contract at anytime before the expiry date of the contract, he will have to pay to T&T the remaining monthly fees, as compensation for the termination of contract. The withdrawal fromthe contract will have to be notified to T&T with a letter sent via registered mail.ART 10.RESPONSIBILITIESFor a correct supply of the service and to keep the guarantee conditions valid, it will be the duty of the customer to take good care of the equipment supplied and installedby T&T. It is obvious that if a malfunctioning occurs due to a non correct usage of the satellite system, T&T s.r.l can not be held responsible for this malfunctioning, but onthe contrary T&T will request to be reimbursed for the damages and expenses sustained; T&T S.r.l guarantees to the customer that, if notified via fax or e-mail, it will betheir care to promptly intervene in the event of a malfunctioning or other inconvenients related to the hardware suplied by T&T. In the evet of mulfunctionning and/ordamages due to causes independent from T&T (such as, but not only, persisting black-outs, malicious actions by a third party), neither party can retaliate against theother.ART 11.OPERATIVE ENVIRONMENTAL CONDITIONSThe satellite router needs power supply through cable VDE/SCHUKO plug 10 ampere from the electrical network with a tension ofm 110/220 vac autosensing,autoranging and it needs a minimum change of air for cooling off. The temperature of the operative conditions of the router are between 0 C and 40 C with a maximumrelative humidity of 90%. The power consumption of the whole system is of about 140W.ART 12.RELIABILITYThe satellite operator guarantees a 99.50% availability of the service on a yearly basis. The satellite operator could occasionally interrupt the consumers will be informedof such palnned maintenance interruptions which will be carried out, when possible, outside the normal working hoursART 13.VATAll the prices quoted in the present contract and on the order form are net prices, with vat not included. The Vat will be added on the invoices when due.ART 14.PRIVACYInformation according to the D.Lgs n.196/2003 – Privacy Code. All the data acquired will be used exclusively by T&T S.r.l to divulge their initiatives, As known you willhave all the rights included in the art.10 of the D.Lgs. n.196/2003 and therefore you can access your data at any time and ask for it to be corrected, integrated, or, whenthe situation reqires and allows it, you can require the block or cancellation of the above mentioned personal data.ART 15.COMPETENT COURT OF JUSTICEThe court of Justice of Arezzo is competent for the resolution of any controversy related to the perfectioning, validity, effectiveness, interpretation and implementation ofthe present contract.T&T Tecnologie e Telecomunicazioni S.r.l.Lungarno G.
