UNIVERSITY BANKING SERVICES AGREEMENTTHIS UNIVERSITY BANKING SERVICES AGREEMENT ("Agreement") is effectiveas of the I st day of July 2015 ("Effective Date"), and entered into by and between the Trustees ofThe University of Pennsylvania, an institution of higher education organized and operated underthe laws of the state of Pennsylvania, having offices at 3401 Walnut Street, Philadelphia, PA19104 ("University") and PNC Bank, National Association, a national banking association, withits principal office at One PNC Plaza, 249 Fifth Avenue, Pittsburgh, Pennsylvania 15222 ("PNCBank").WHEREAS, this Agreement shall replace and supersede all prior agreements between the partiesfor University Banking Services.WHEREAS, the University wants PNC Bank to offer its Program on the University's Campus.NOW, THEREFORE, in consideration of the mutual covenants herein contained andintending to be legally bound hereby, it is agreed as follows:I.DEFINITIONSFor the purposes of this Agreement, the following terms shall have the following meanings:(a)"Account" shall mean any new University-affiliated student, faculty, or staff PNCBank personal checking account.(b)"Accountholder" shall mean a person who has an Account with PNC Bank.(c)"Affiliate" shall mean, with respect to either party hereto, any entity which, directlyor indirectly, owns or controls, is owned or controlled by, or is under common ownership orcommon control with PNC Bank or University; "control" shall mean the power to direct themanagement of the affairs of the entity; and "ownership" means the beneficial ownership of morethan 50% of the equity of the entity.(d)"Automated Teller Machine" or "ATM" shall mean an electronic terminal, togetherwith such wiring, connections and hook-ups necessary to connect it to the STAR or otherappropriate network, that may perform one or more banking functions on behalf of customers,including, without limitation, dispensing cash, accepting deposits, making transfers betweenaccounts and giving account balances.(e)"Campus" shall mean the area bordered as follows: beginning at Walnut and 33,dStreet, 33rd Street South (including any ATM location having direct access from the publicsidewalk on the east side of33 rd Street) to the southern boundary of the University of PennsylvaniaHospital Building; the southern boundary of the University of Pennsylvania Building andHamilton Walk, west to 38th Street; 38th Street, north to Spruce Street; Spruce Street, west to 41 stStreet; 41'1 Street, north to Walnut Street; and Walnut Street from 415' Street east to 33rd Street,(including any ATM locations having direct access from the public sidewalk on the nmth side of
