01/20General InformationTerms and ConditionsOrder InformationApplication of Standard TermsOnly the standard terms of sale stated in thiscatalog apply to any transaction unless thoseterms are modified or supplemented by awritten document signed by an officer of GeigerInternational, Inc. (“Geiger”). Any terms containedin Customer’s purchase order, including standardprinted provisions, that are additional to or contraryto these terms, are not effective.Use of Furniture and MaterialsGeiger assumes that textiles, leathers andproducts are intended for commercial use and arenot being bought for use primarily for personal,family, or household purposes. When installedand used as intended, products remain chattelproperty, are not considered fixtures, and nointerest in them should arise under applicablereal estate law.Furniture PricesPrices are determined by using the published listprices in effect when Geiger receives Customer’scompleted purchase order. If Customer’srequested ship date is more than three monthsafter Geiger receives Customer’s order, it maybe repriced using the list prices in effect whenproducts ship. If Customer designates specialfinishes or options, additional charges may apply.Services such as design, project management,packaging, storage, inside delivery, doublehandling, installation, or inventory managementare not included in Geiger’s list prices.COM / COL ProceduresIf an order includes Customer-supplied materials,Customer must ship those materials to Geiger atCustomer’s own expense. The materials must betagged with Geiger’s confirmation number, itemnumber, Customer’s name, and purchase ordernumber. Geiger is not liable for inadequacies inCustomer’s materials. Geiger will notify Customerof any apparent defects in Customer’s materialsbefore manufacturing.TaxesCustomer is responsible for any local sales taxesor other similar taxes imposed on transactions.DelaysGeiger is not liable for failure to ship by theacknowledged shipping date or any other date.Geiger is not liable for a delay or failure inshipment or performance if the delay or failureis caused by acts of omission of Customer, itsagents, employees, contractors, a governmentalauthority, or God; delays in transportation; orother similar causes that are not within Geiger’sreasonable control. Geiger is excused from furtherperformance of its obligations for the duration ofa force majeure cause.01.04.22Changes and CancellationGeiger’s acceptance of an order is final andbinding and an order may not be changed orcanceled without Geiger’s written consent.Orders placed on any of Geiger’s expeditedshipment programs and orders of custom-dyedor custom-woven materials may not be changedor canceled. To change or cancel other orders,contact Geiger Customer Care in writing forauthorization and applicable charges.Packaging and Shipping (continued)Customer obtains title to products and materialsand assumes the risk of loss for them uponshipment from Geiger’s plant. Geiger reservesthe right to make partial shipments, of truckloadquantities, as products are manufactured.Shipping SurchargeStorageIf Customer cannot accept delivery when productsare ready, it is the customer's responsibility totransfer products to storage and products areinvoiced at that time. Customer is responsible foractual storage charges and any other expensesrelating to the storage of products or materials.Customer bears all risk of loss for products ormaterials in storage.Freight TermsFor casegoods and seating orders shipped withinthe 48 contiguous United States, surface freightcharges are included. For textile and leatherorders actual freight charges will be invoiced.Orders are shipped via ground carrier unlessrequested otherwise.For orders shipped to Alaska or Hawaii, thefreight terms stated above apply only to the portof embarkation. Shipments beyond that point arefreight collect. Domestic deliveries are shippedFOB Geiger’s plant to a destination designatedby Customer by a method Geiger selects.All textile shipments will be made FOB GeigerTextiles, Yaphank, NY 11980. All leathershipments will be made FOB Geiger Textiles,Hildebran, NC 28637.Packaging and ShippingGeiger’s casegoods products are shipped incomponent form. Shipments over 50,000 netare blanket wrapped. Tops and panels are shrinkwrapped with cardboard corner protection.Pedestals, storage units, overheads and verticalstorage units are wrapped in blankets and shrinkwrapped with cardboard corner protection.Blankets are to be returned to Geiger for reuse.If the customer request cartoning on orders over 50,000 net, there will be a charge of five percentof the net order. Packing materials are recyclable.Shipments from Geiger Atlanta under 50,000 netare cartoned. Cartoned shipments are packagedwith cardboard channels and shrink wrap.Geiger seating is cartoned in boxes for allshipments. Blanket wrapping is available uponrequest.If Customer requests special shipping or deliverymethods, Customer is responsible for any extracosts that result.Canada)International ShippingOrders for export are shipped Ex Works factory(Incoterms 2000). The charge for export packingis five percent of the net order value. There are noexport packing charges on shipments to Canada.ClaimsAll blanket wrapped shipments must be unwrappedand inspected at the dock, in the presence of thedriver. Claims for "concealed damage" or "subjectto inspection" will not be honored on blanketwrapped shipments.All cartoned shipments mustbe inspected for visual outside damage to thepackage.Damages and piece count shortages must benoted on the bill of lading. Freight claims must befiled within 30 days (including cartoned shipmentswith concealed damage).
