PURPOSEThe purpose of this Articulation Agreement{the "Agreement") is to acknowledge that students of thePhna County Community College District ("PCC") may transfer to an Iowa College Acquisition, LL.Cd/b/a Kaplan University; ("KU"), on-line or grouJid campus program, following completion of anassoc.late's degree program at PCC.The parties also desire to allow PCC students that are· on track towards completing their associates toenroll in c.ourses at KU prior to conwleting their degree at PCC. Like all KU appljcants, students whohave ilot completed a degree are .eligible for course-by-course review and transfer int.a degree programs atKU. To be eligible for course-by-coursettansfor, students will be expected torecelve at le.ast a "C" gradeJn each course from PCC for transfer credit ac.ceptance at KU, or the required grade as outlined in KU'sthen current catalog. This is only applicable to those classes that l U acknowledges as being acceptableto transfer from PCC during its course-by-course review. Credit will not be given for a mark of "Credit"on a ''Credit/Fail'; option or .for a grade of "Pass" on a "Pass/Fail" option, unless those marks aretranscribed as equivalent to a "C-" or be1ter. Academic worksheets m11pping PC:C.associate programs intoKU'S Advanced Start programs may be developed to aid in the transferproc(lss.PCC and K:U have previously entered Into an "Articulation Agreement between Kaplan University andPima County Community College District" between the parties and last execu.ted by KU on January 1,2010 (the "Previous Agreement"). The parties hereby agree and acknowledge that upoi1 the execution ofthis Agreement, the Previous Agreeinent is terminated by the mutllal agreement of PCC and KU, withoutfurther force or effect.II. ELEMENTS FOR ADVANCED START BACHELOR'S COMPLETION J?llOGllAMSa. Graduates of PCC who have completed an Associate's Degree consisting of at least 60 semestercredits may apply for a block transfer of up to 90-quaiter credits int.a a KU Advance Start degreept'ogralil. So1i1e programs,may require additional admissions criteria. Students will be held to theadmissions policies as listed in the K:U Catalog attime of eMoUment. Credits from PCC will beevaluated by KU in a coiirse by course review of all transfer credits submitted via an official PCCtranscript, to determine applicability to major req\iirement, core requirements, pre-requisiterequirements, or open elective .Credit for a student's en!'oil.ed pr.ogram of.study. KU reserves. theright to make all final detenninations of matters related to the transfer of any credits to KU, in itssole and absolute discretion.b. PCC students must fulfill all KU requirements, which incl\1des but is not limited to completion ofno less than 25-percent oftheh' progra111 requirements at KU, including the capstone cm1rse, atKU. PCC students who areunable to fulfill KU program prerequisites at PCC must complete them at KU.c. Specific programmatic transfer information may be provided to PCC in the fonn of AcademicWorksheets agreed upon by KU. Any such approved Academic Worksheets are subject tochange, but modifications to such worksheets must be approved by KU and provided to PCC inwriting for continuation of the obligation to articulate pursuant to the terms of this Agreement.Further, any approved Acadernic Worksheets exchanged between the parties detailing specit1cJlrogrammatic articulation course equivalencies are hereby incorporated into this Agreement bythis reference.UI. COORDINATION1. Kaplan University and PCt: agree to:11.Coordinate their efforts to facilitate a collegial and mutually beneficial relationship;b.Provide accurate and timely infom1ation about the relationship to prospective students, whoare either current PCC students, alumni, or PCC employees; andc.Designate .aca.demic a!Hanc.e .coordinators as primary contact persons for the respectiveinstitutions to facilitate coordination of this agreement; andd.Comply fully with t!)e privacy regulations outlined in the Family Education Rights andPrivacy Act(FERPA), 2Q U.S.C. § 1232g; 34 CFR Part 99, fat the handling of studentinformation, to the extent applicable. The patties will not disclose or use any studentinformation, except as necessary to carry out its obligations under this Agreement and aspermitted by FERPA.2, Kaplan University agrees to;a.Provide PCC relevant transfer information and cun'ent KU brochures or transfer guides;b.Communicate with PCC students,alumni and employees via e-mail, postal maH, telephoneand other means to offer, them the oppo1tunity of enrolling in a baccalaureate program atKU;c.Encourage PCC students who are attending classes at a PCC campus or on line to enroll atKU after completing their curreilt progr1un; andd.Provide PCC with a toll-free number (866) 397-9456 so that PCC alumni and employeescan discuss educational goals with a KU advisor.3. PCC agrees to:a.Assist KU by communicating the benefits of this relationship to PCC students, alumni, andemployees;b.Allow KU representatives to Collduct on-campus presentations and marketing regardingKU programs for PCG students, alumni and employees.c.Cooperate with KU to establish electronic data transfer of curriculum and of studentrecords, when applicable, and with student pe1mission (where required) In accordance withall applicable laws and regulations.4. Both KU and PCC agree. to allow .current students to concurrently take courses at bothinstitutions, as well as have access to admission and other services. at both institutions as limitedby each institution's then cufrerit .catalog's policy; however,, federal regulations require thatstudents receive financial aid from only a single college from which courses are taken In a giveflquarter or semester. Should a student attend both institutions in a single semester, financial aidmay be grnnted from only one institution in compliance with federal law.5, KU and PCC will share data on student achievement as necessary to. assess program effectivenessin accordance with the Family Education Rights and Privacy Act (FERPA) guidelines,KUArticulation /\greeincnt5-5-14

Becaµse of this agreement to articulate, KU will extend professional courtesy discounts to PCCstudents, alumni and employees concomitant with the date ofthisfuily executed document (datelast signed below),a.F'CC students, alumni .and employees will receive a twenty (20%} percent discount on theirKU tuition. PCC students, alumni and employees must inform KU admissions directorsabout their affiliation with PCC to receive their discount;b.KU will extend to PCC students, alumni and employees all of its onlit1e certificates,undergraduate, and graduate .programs, as and when offered;l. This Agreement is effective for the closest KU academic term expected to begin on or after thecl.ate of the. fully executed document, and shall continue unlil terminated. Both parties mustapprove amendments to the Agreement in wdti11g. Admission criteria, academic and otheradmission requirements will be,subject to the applicable KU Catalog at the time of the students'admission to KU for any applicable degree program. Students will also be subject to all KUpqllcies, codes of conduct, college procedures, and requirements as detailed in the most recentKU Catalogs as posted or 11rovided to students. This Agreement shall be governed by the laws ofthe State of Arizona, without regards to conflict of laws principles.3. Eitlier party may terminate the Agreement without cause at any time \1pon 90 days written noticeto the other party or the parties may terminate this Agreement by niutual written consent to beeffective L1pon the date stated in such mutual consent. Notwithstanding the foregoing, either partymay terminate the Agreement immediately in the event that participation Linder the Agreementmay give rise to a violation of any requirement of federal or state law or regulation or therequirements of any accreditilig age11cy having jurisdiction. Students who have begun theirprogram of study or students. in the process of enrolling prior to the effective date of any withoutcause tetmiiiation will be .grandfathered in to continue receiving the discount offered in thisAgreement until such lime such students complete or othe!'wise become discontinued from iheitprogram.4, The parties hereto will have the relationship or independent contractors for all purposes. Eachwill have complete control over its own performance and the details for accomplishing its ownobligations under this Agreement. In no event will the agents, representatives or employees ofone party be deemed to be agents, representatives or employees of the other.5, The parties grant to each other a non,exclusive, non-transferable license to use each other'stradema1·ks in furtherauce of the articulatioi1 coordination detailed herein or in a manner solely forthe purpos() of identifying a11d cqmmunicating the existence of the. relationship to PCC students,alumni and employees. The parties.shall discontinue the use ofthe licensed marks and return anyand all files and materials contaiilingthe licensed marks supplied by the owner at termination orexpiration of the Agreement. Use of the names and logos will be in accordance with any useguidelines provided by each party to the other. Each party shall provide the other with examplesofany materials using such other party's name or logo prior to releasing such other party's name,logo and other intelle ;tual property of whatever form or format before it is distributed, ai\d willobtain written approval for such use. Neither party grants to the 0th.er any interest in the otherpa1ty's trademarks. Each party agrees that the other's. use of the mark(s) must be approved bysuch party and used in accordance with the terms of this Agreement, applicable law, and anytrademark usage guidelines as may be provided by any party to the other. Neither party will, at.any time, contest or aid in contesting the validity or ownership ofany of the other party's marksor take any action in derogation of !he owner's rights therein, incloding, without limitation,KUA11ict1 lationAgre rnc·n15-5-14
