ORDER CALLING A BOND ELECTION AND NOTICE OF ELECTIONTHE STATE OF TEXASPARKER, TARRANT AND WISE COUNTIESAZLE INDEPENDENT SCHOOL DISTRICTWHEREAS, the Board of Trustees of the Azle Independent School District (the “District”) deems it advisable to callthe bond election hereinafter ordered (the “Election”); andWHEREAS, the bond referendum is subject to the provisions of Section 45.003, Texas Education Code, and the Districtis contracting with Tarrant County, Texas ("Tarrant County") and Parker County, Texas ("Parker County", and together withTarrant County, the "Contracting Counties") for the administration of the Election pursuant to an interlocal agreement with theContracting Counties (the "Election Contract"); andWHEREAS, Tarrant County, acting through the Tarrant County Elections Administrator (the "Tarrant County ElectionsAdministrator") in accordance with the Election Contract will provide for the administration of the Election for residents of theDistrict residing in Tarrant County and Parker County, acting through the Parker County Elections Administrator (the "ParkerCounty Elections Administrator", together with the Tarrant County Elections Administrator, the "Elections Administrators") inaccordance with the Election Contract will provide for the administration of the Election for residents of the District residing inParker County, Texas and Wise County, Texas; andWHEREAS, the additions and renovations to the Azle High School performing arts department consists of classroomand instructional spaces for required and enrichment curriculum, are not spaces with a predominant purpose for stagingperformances to an audience and, therefore, are not projects listed in Section 45.003(g)(4), Texas Education Code; andWHEREAS, it is hereby officially found and determined that the meeting at which this Order was adopted was open tothe public, and public notice of the time, place, and purpose of the meeting was given, all as required by the Texas GovernmentCode, Chapter 551.THEREFORE, BE IT ORDERED BY THE BOARD OF TRUSTEES OF THE AZLE INDEPENDENT SCHOOLDISTRICT:Section 1. Findings. The statements contained in the preamble of this Order are true and correct and adopted asfindings of fact and operative provisions hereof.Section 2. Election Ordered; Polling Places. The Election shall be held in the District between the hours of 7:00 a.m.and 7:00 p.m. on May 1, 2021 (“Election Day”). The Election is to be conducted by the Contracting Counties, as provided byChapter 271, Texas Election Code (the “Code”) and the Election Contract. Voting for Election Day and Early Voting shall occuron the dates and during the hours and at the designated polling places as set forth in Exhibit A attached hereto, which exhibit ishereby made a part hereof for all intents and purposes. Exhibit A shall be modified to include additional or different ElectionDay polling places required to conform to the Code and the Election Contract.Section 3. Early Voting. Early voting shall be administered by the Contracting Counties. Early voting by personalappearance shall begin on April 19, 2021 and conclude on April 27, 2021 and will be conducted at the Early Voting locations onthe dates and at the times specified in Exhibit A attached hereto. The early voting polling places shall remain open during suchhours for early voting by personal appearance for any registered voter of the District at such voting place. Exhibit A shall bemodified to include additional or different early voting polling places required to conform to the Election Contract and the Code.Section 4. Election Officials. The appointment of the Presiding Election Judges, Alternate Judges, Early Voting Clerks,the Presiding Judge of the early ballot board and other election officials for the Election shall be made by the ElectionsAdministrators in accordance with the Election Contract and the Code. The Elections Administrators may employ other personnelnecessary for the proper administration of the Election, including such part-time help as is necessary to prepare for the Election,to ensure the timely delivery of supplies during early voting and on Election Day, and for the efficient tabulation of ballots at thecentral counting station. The Board of Trustees hereby authorizes the Superintendent, President, Vice President or the Secretaryof the Board of Trustees to execute or attest on behalf of the District the Election Contract with the Contracting Counties.Section 5. Voting by Mail. At the Election the following PROPOSITIONS shall be submitted in accordance with law:AZLE INDEPENDENT SCHOOL DISTRICT SPECIAL ELECTIONAZLE INDEPENDENT SCHOOL DISTRICT PROPOSITION AShall the Board of Trustees of the Azle Independent School District be authorized to issue bonds of the District,in one or more series, in the aggregate principal amount of 46,833,000 for the purpose of constructing,renovating, improving and equipping school facilities consisting of a new elementary campus; Eagle HeightsElementary; Liberty Elementary and Hoover Elementary, with any surplus proceeds remaining aftercompletion of such projects to be used for the construction, acquisition, renovation and equipping of otherschool facilities in the District, with the bonds to mature, bear interest, and be issued and sold in accordancewith law at the time of issuance; and shall the Board of Trustees be authorized to levy and pledge, and causeto be assessed and collected, annual ad valorem taxes, on all taxable property in the District, sufficient, withoutlimit as to rate or amount, to pay the principal of and interest on the bonds and the cost of any credit agreementsexecuted in connection with the bonds?AZLE INDEPENDENT SCHOOL DISTRICT SPECIAL ELECTIONAZLE INDEPENDENT SCHOOL DISTRICT PROPOSITION BShall the Board of Trustees of the Azle Independent School District be authorized to issue bonds of the District,in one or more series, in the aggregate principal amount of 41,852,000 for the purpose of constructing,2
renovating, improving and equipping Azle High School consisting of science classrooms and labs, kitchen,cafeteria, fine arts department, and the co-educational fieldhouse (physical education/classrooms/lockerrooms/training) with any surplus proceeds remaining after completion of such projects to be used for theconstruction, acquisition, renovation and equipping of other school facilities in the District, with the bonds tomature, bear interest, and be issued and sold in accordance with law at the time of issuance; and shall the Boardof Trustees be authorized to levy and pledge, and cause to be assessed and collected, annual ad valorem taxes,on all taxable property in the District, sufficient, without limit as to rate or amount, to pay the principal of andinterest on the bonds and the cost of any credit agreements executed in connection with the bonds?AZLE INDEPENDENT SCHOOL DISTRICT SPECIAL ELECTIONAZLE INDEPENDENT SCHOOL DISTRICT PROPOSITION CShall the Board of Trustees of the Azle Independent School District be authorized to issue bonds of the District,in one or more series, in the aggregate principal amount of 16,918,000 for the purpose of renovating,improving and equipping Hornet Stadium, with any surplus proceeds remaining after completion of suchproject to be used for the construction, acquisition, renovation and equipping of other school facilities in theDistrict, with the bonds to mature, bear interest, and be issued and sold in accordance with law at the time ofissuance; and shall the Board of Trustees be authorized to levy and pledge, and cause to be assessed andcollected, annual ad valorem taxes, on all taxable property in the District, sufficient, without limit as to rate oramount, to pay the principal of and interest on the bonds and the cost of any credit agreements executed inconnection with the bonds?Section 9. Ballots. THIS IS A PROPERTY TAX) INCREASE.)AGAINSTSection 10. Compliance with Federal Law. In all respects, the Election shall be conducted in accordance with theCode. Pursuant to the federal Help America Vote Act (“HAVA”) and the Code, at each polling place there shall be at least onevoting system that is equipped for disabled individuals, and each such voting system shall be a system that has been certified bythe Texas Secretary of State as compliant with HAVA and the Code. The District hereby finds that the voting system to be usedby the Elections Administrators in administering the Election is such a system, and orders that such voting equipment or otherequipment certified by the Texas Secretary of State shall be used by the District in its elections.3
Section 11. Debt Obligations. The following information is provided in accordance with the provisions of Section3.009(b), Texas Election Code.(a) The proposition language that will appear on the ballot is set forth in Section 9 hereof.(b) The purpose for which the bonds are to be authorized is set forth in Section 8 hereof.(c) The principal amount of the debt obligations to be authorized is 46,833,000 for Proposition A, 41,852,000 for Proposition B, and 16,918,000 for Proposition C.(d) If the bonds are approved by the voters, the Board of Trustees will be authorized to levy annual ad valoremtaxes, on all taxable property in the District, sufficient, without limit as to rate or amount, to pay the principal of andinterest on the bonds and the cost of any credit agreements executed in connection with the bonds.(e) Based upon the bond market conditions at the date of adoption of this Order, the maximum interest rate forany series of the bonds is estimated to be 3.00%. Such estimate considers several factors, including the issuanceschedule, maturity schedule and the expected bond ratings of the proposed bonds. Such estimated maximum interestrate is provided as a matter of information but is not a limitation on the interest rate at which the bonds or notes, or anyseries thereof, may be sold.(f) If the bonds are approved, they may be issued in one or more series, to mature serially, over a period notto exceed twenty-five years from the date of issuance of each series of bonds.(g) The aggregate amount of the outstanding principal of the District’s debt obligations as of the date of thisOrder is 78,790,000.00.(h) The aggregate amount of the outstanding interest of the District’s debt obligations as of the date of thisOrder is 49,339,412.50.(i) The ad valorem debt service tax rate for the District as of the date of this Order is 0.1966 per 100 oftaxable assessed valuation.ORDEN PARA CONVOCAR UNA ELECCIÓN DE Y AVISO DE ELECCIÓNEL ESTADO DE TEXASCONDADOS DE PARKER, TARRANT Y WISEDISTRITO ESCOLAR INDEPENDIENTE DE AZLEEN VISTA DE QUE la Junta de Síndicos del Distrito Escolar Independiente de Azle (el “Distrito”) consideraaconsejable convocar la elección de bonos que se ordena más adelante en la presente (la “Elección”); yEN VISTA DE QUE el referéndum de bonos está sujeto a las disposiciones de la Sección 45.003 del Código deEducación de Texas, y el Distrito está celebrando un contrato con el Condado de Tarrant, Texas (“Condado de Tarrant”) y conel Condado de Parker, Texas (“Condado de Parker” y junto con el Condado de Tarrant, los “Condados Contratados”) para queadministren la Elección en virtud de un convenio interlocal con los Condados Contratados (el “Contrato Electoral”); yEN VISTA DE QUE el Condado de Tarrant actuando a través del Administrador de Elecciones del Condado de Tarrant(el “Administrador de Elecciones del Condado de Tarrant”) de acuerdo con el Contrato Electoral proveerá la administración dela Elección para los residentes del Distrito que viven en el Condado de Tarrant y el Condado de Parker actuando a través delAdministrador de Elecciones del Condado de Parker (el “Administrador de Elecciones del Condado de Parker”, junto alAdministrador de Elecciones del Condado de Tarrant, los “Administradores de Elecciones”) de acuerdo con el Contrato Electoralproveerá la administración de la Elección para los residentes del Distrito que viven en el Condado de Parker y en el Condado deWise, Texas; yEN VISTA DE QUE las adiciones y renovaciones al departamento de artes escénicas de la Azle High School queconstan de espacios de salón de clase y de instrucción para el currículo obligatorio y enriquecido no son espacios para el propósitopredominante de presentar espectáculos a un público y en consecuencia, no son proyectos enumerados en la Sección 45.003(g)(4)del Código de Educación de Texas; yEN VISTA DE QUE por la presente se halla y determina oficialmente que la asamblea en la cual esta Orden fue adoptadaestuvo abierta al público, y que se dio aviso público de la hora, el lugar y el propósito de la asamblea, todo según lo exige elCapítulo 551 del Código de Gobierno de Texas.POR LO TANTO, LA JUNTA DE SÍNDICOS DEL DISTRITO ESCOLAR INDEPENDIENTE DE AZLE ORDENA:4
Sección 1. Hallazgos. Las declaraciones contenidas en el preámbulo de esta Orden son verdaderas y correctas y seadoptan como determinaciones de hechos y como disposiciones operativas de la presente.Sección 2. Elección ordenada; lugares de votación. La Elección se llevará a cabo en el Distrito en el horario de7:00 a.m. a 7:00 p.m. el 1 de mayo de 2021 (el “Día de Elección”). La Elección será realizada por los Condados Contratados,de acuerdo con el Capítulo 271 del Código Electoral de Texas (el “Código”) y el Contrato Electoral. La votación el Día de laElección y la votación anticipada se llevarán a cabo en las fechas, horarios y lugares de votación designados de la forma indicadaen el Anexo A adjunto a este documento, el cual, por la presente, se incorpora a esta Orden para toda intención y propósito. ElAnexo A será modificado para incluir lugares de votación adicionales o diferentes para el Día de Elección requeridos para cumplircon el Código y el Contrato Electoral.Sección 3. Votación anticipada. La votación anticipada será administrada por los Condados Contratados. ESTO ES UN AUMENTO AL IMPUESTOPREDIAL.ELECCIÓN ESPECIAL DEL DISTRITO ESCOLAR INDEPENDIENTE DE AZLEPROPOSICIÓN C DEL DISTRITO ESCOLAR INDEPENDIENTE DE AZLEA FAVOREN CONTRA))))LA EMISIÓN DE 16,918,000 EN BONOS POR PARTE DEL DISTRITOESCOLAR INDEPENDIENTE DE AZLE PARA MEJORAS AL ESTADIOHORNET Y LA IMPOSICIÓN DEL IMPUESTO PARA EL PAGO DE LOSBONOS. ESTO ES UN AUMENTO AL IMPUESTO PREDIAL.Sección 10. Conformidad con las leyes federales. En todos sus aspectos, la Elección se llevará a cabo de acuerdo conel Código. En virtud de la Ley federal Ayude a América a Votar (“HAVA”) y el Código, cada lugar de votación dispondrá comomínimo de un sistema de votación equipado para personas con discapacidad, y cada uno de los sistemas de votación de ese tiposerá un sistema que cuente con la certificación de cumplimiento de HAVA y del Código emitida por el Secretario de Estado deTexas. El Distrito halla por la presente que el sistema de votación que será utilizado por los Administradores de Elecciones paraadministrar la Elección es uno de dichos sistemas, y ordena que el Distrito, en sus elecciones, utilice tal equipo de votación oalgún otro equipo certificado por el Secretario de Estado de Texas.Sección 11. Obligaciones de deuda. De acuerdo con las disposiciones de la Sección 3.009(b) del Código Electoral deTexas, se provee la siguiente información:(a) El lenguaje de la proposición que aparecerá en la boleta de votación se establece en la Sección 9 de estedocumento.(b) El propósito por el cual se han de autorizar los bonos se establece en la Sección 8 de este documento.(c) La cantidad del capital de las obligaciones de deuda que se ha de autorizar es de 46,833,000 para laProposición A, 41,852,000 para la Proposición B y 16,918,000 para la Proposición C.(d) Si los votantes aprueban los bonos, la Junta de Síndicos estará autorizada a imponer impuestos anuales advalorem sobre toda propiedad gravable en el Distrito, suficientes, sin límite en cuanto a tasa o cantidad, para pagar elcapital y el interés de los bonos y el costo de cualquier convenio crediticio celebrado en relación con los bonos.(e) Según las condiciones del mercado de bonos en la fecha de adopción de esta Orden, la tasa de interésmáxima para cualquier serie de los bonos se estima en 3.00%. Dicho estimado considera diversos factores, incluidos elprograma de emisión, el programa de vencimiento y las clasificaciones de bonos esperadas de los bonos propuestos.7
