Section 2 – Services2.1 Description of Services – It is visp.net’s intent to provide ISPs awide variety of high-quality, easy to manage ISP services, andnew services as they become available and commercially viableto offer on visp.net’s platform.These services may beaggregated from various sources or provided by visp.net. Thesemay include but are not limited to: Web access, dial-up access,DSL access, cable access, broadband-over-power-line access,wireless access, personal disk space, email, aliases, web email,and FTP access.ISP AgreementThe following visp.net ISP Agreement is a legal agreement between you(hereafter “ISP”) and visp.net that is governed by the following ISP Policiesand Procedures. VISP.NET EXTENDS TO ISP THE RIGHTS ANDBENEFITS OUTLINED IN THIS ISP AGREEMENT AND THESE ISPPOLICIES AND PROCEDURES ONLY UPON THE CONDITION THATYOU ACCEPT ALL OF THE TERMS CONTAINED IN THE FOLLOWINGISP POLICIES AND PROCEDURES.FURTHER, YOUR USE OFVISP.NET SERVICES CONSTITUTES YOUR AGREEMENT TO BEBOUND BY THE TERMS OF THIS ISP AGREEMENT AND THESEPOLICIES AND PROCEDURES IN THEIR ENTIRETY.ISP Policies and ProceduresSection 1 – Mission & Overview1.1 Mission – visp.net’s mission is Building Better ISPs . Visp.net is aunique national wholesale Internet Service Provider that offerscomplete Internet service and back office management solutions forISPs. Visp.net Provides ISPs and other organizations the ability tooffer “private-label” Internet solutions from Internet access to webhosting.1.2 Ownership of Internet Access Accounts – ISP will own the rightsto ISP’s accounts according to the terms of the ISP Agreementprovided ISP is not in default of any part of the ISP Agreement.1.3 Triple Guarantee – Visp.net strives to provide the highest qualityservices available in the industry.Visp.net’s services areguaranteed as follows:a) 100% Subscriber Satisfaction Guarantee – If for any reasonyour subscriber is not satisfied with ISP services you providethrough your partnership with visp.net and you provide thesubscriber a refund, visp.net will provide you a full refund for thewholesale cost you paid for that subscriber’s services for up to 60days prior to your written request for refund not to exceed thesame period you refunded the subscriber. Such requests can bemade to billing@visp.net.b) 100% Uptime Guarantee – Visp.net employs a wide array ofredundancy technologies to maximize uptime of its network. Atyour request, visp.net will provide you with a pro-rated refund fordowntime that negatively impacted your subscribers according tothe terms of these Policies and Procedures (see the ServiceOutages section below).c) 100% Migration Retention Guarantee – If a migrated subscriberterminates due to dissatisfaction with visp.net provided servicesduring or up to 90 days from the start of the migration process,visp.net will credit the ISP 12 months of the wholesale rate for thatsubscriber’s service over the subsequent 12 months. To exercisethe guarantee, ISP will provide a copy of a verifiable writtencancellation notice from the subscriber stating the reason for thesubscriber’s termination, which must be attributable to themigration. Applies to ISPs with 12 month or longer term.Services are considered “Active” if the services have been usedor made available to a subscriber, or are reflected by ISP in theISP in-a-box database.2.2 License Cost – ISP agrees to pay to visp.net the License Feeselected by ISP at visp.net’s website. By entering into this ISPAgreement, ISP authorizes visp.net to charge the credit cardaccount provided by ISP (if applicable). The License Fee or othersetup fees will be considered as fully earned by visp.net from themoment that visp.net has setup ISP’s private labeled InternetService. There are no refunds on License Fees once they havebeen fully earned.2.3 Change of Email Address, Mailing Address, or Telephone –To facilitate communication between visp.net and ISP, it is veryimportant that the visp.net’s files are current. ISP must updateISP’s email, mailing addresses, and telephone numbers, as thiscontact information changes, through the ISP Management &Billing software, and by emailing billing@visp.net with currentcontact information.2.4 Monthly Minimum – ISP agrees to meet the Monthly Minimumpurchase requirement effective the first full calendar monthfollowing the date the ISP entered into the ISP Agreement unlessotherwise agreed in writing. If ISPs invoice for services fromvisp.net is less than the Monthly Minimum as may be indicatedwith an Addendum, ISP agrees to pay the Monthly Minimum.2.5 No Territory Restrictions – Visp.net acknowledges that thereare no geographic or Territory restrictions with which ISP isrestricted or bound by visp.net. There are no exclusive territoriesgranted to ISP. No franchise fees are required.2.6 Purchase of Internet Products & Services – ISP’s cost forvarious wholesale Internet services that ISP may purchase fromvisp.net will be reflected in ISP’s monthly invoices to which ISPand visp.net have agreed by this reference. Special pricing forhigh volume ISPs may be accommodated by written addendum ormay be set by a written agreement or email from visp.net’sPresident and/or CEO.In the event there is a significant change in visp.net’s coststructure or a change in government regulation or tax affecting thecosts to provide various Internet services, visp.net reserves theright to change the cost for services at its sole discretion. Suchchanges shall require at least thirty (30) days advanced notice toISP.2.7 Billing & Payment for Services – visp.net will bill ISP eachmonth for services provided to ISP and ISP’s subscribers in oneof the following manners:a) Pay-as-you-Go (POG) Billing: ISP agrees to maintain abalance equal or greater than the wholesale value of servicesISP expects to use during the month. In the event ISP’s POGaccount balance has insufficient balance, ISP’s subscribersmay automatically be denied services until sufficient balanceexists to pay for those services. Unless otherwise specified,any credit balance will carry forward to the following month orrefunded to ISP at ISP’s written request, which may be sent byemail to billing@visp.net.b) Late Payments – All payments to visp.net must be paid priorto service. discretion. In addition, interest charges of 2% per month (or thehighest rate permitted by law) will accrue daily on any unpaidbalance.c) Collection – Notwithstanding any other provision in thesePolicies and Procedures requiring the arbitration of disputes,visp.net may take any collection measures as may be permittedunder law for the recovery of amounts due, including withoutlimitation filing suit in the appropriate courts. ISP agrees to payvisp.net’s costs of collecting overdue amounts from ISP, includingcourt costs, and visp.net’s reasonable attorney fees, regardless ofwhether suit or action is required.d) Royalty Payments – An ISP purchasing Fully Managed InternetServices from visp.net may choose a Royalty payment instead ofPOG billing. At ISP’s request, visp.net will estimate ISP’s royaltybased on ISP’s retail rates. Royalties will be paid only onservices where visp.net has received payment from theSubscriber for the current month, less any refunds or creditsprovided to the Subscriber. Any changes to ISP’s retail ratesthereafter may affect ISP’s royalty payment.2.8 REAP Discounts – ISP may qualify for Ratio Efficiency Adjustmentfor Profit (“REAP”) discounts ranging from 0 to 50% off of the CostPer Dialup Account. REAP discounts are based upon effectivemanagement of ISP’s dialup Subscriber base and may be forfeited,if ISP fails to timely make payments to visp.net. REAP is furtherdescribed at http://www.visp.net/faq/#REAP2.9 End-user Payment & Prices – ISP will set ISP’s own retail pricesand process ISP’s Subscriber payments by credit card, invoice orother suitable method according to ISP’s agreements with ISP’sSubscribers. Where credit cards are used, ISP will abide by itsagreement(s) with its merchant account provider(s).2.10 Online Subscriber Payment Refunds – When Subscribers usevisp.net’s online payment processing services, Visp.net offers a100% money-back guarantee for all ISP Services for unusedmonths. Visp.net will refund a Subscriber when a Subscriber usesvisp.net’s payment processing services or Fully Managed InternetServices and the Subscriber requests a refund for unused monthsand may, at its discretion, refund the month of cancellation and up to60 days and sometimes 90 days prior if the Subscriber paid by creditcard.2.11 ISP Refunds to Subscribers – Customer satisfaction is theresponsibility of the ISP who acquired the Subscriber. ISPs mustrefund payments received from a subscriber when the subscribercancels and has prepaid the ISP for unused months according to theterms of the Terms of Use. The ISP may at its discretion give theSubscriber a refund for the current month and request a credit fromvisp.net for the wholesale amount of that service for that month.2.12 Accounting Fees – ISP’s subscribers may utilize visp.net’s onlineautomated payment processing to pay for visp.net providedProducts and Services which may be subject to a small processingfee determined by visp.net.2.13 Operational Policies – From time to time visp.net’s vendors changetheir policies or other business circumstances compel a change inoperational policies. Visp.net strives to manage these changesquickly and in a manner that is win-win for all parties. To reduce theoverhead of managing this formal Policies and Proceduresdocument, visp.net posts changes to http://wiki.visp.net. Over timethese policies may evolve and hopefully improved for the benefit ofall parties involved and eventually incorporated into these Policiesand Procedures.2.14 Privacy Policies – All web sites and portals operated by visp.net ormade available to ISPs by visp.net are subject to visp.net's PrivacyPolicy. ISP agrees that any such Privacy Policy posted at portalsprovided by visp.net and at www.visp.net are broadly drafted to offerthe greatest possible protection to visp.net, ISP, and the Subscribersserved by these Policies and Procedures and are not intended togovern ISP's use of Subscriber information. With respect to suchinformation, ISP agrees as follows:a) ISP shall not share any personally identifiable Subscriberinformation with any third party;b) ISP shall not share Subscriber profile information with any thirdparty;c) ISP shall not market or promote or attempt to market orpromote, via electronic mail or otherwise, the products orservices of any third party to any Subscriber;d) ISP may market or promote products or services that areoffered by ISP provided ISP was in the business of providingsuch products or services prior to the date of the ISPAgreement and ISP honors all opt-out or unsubscribe requestssubmitted by Subscribers to ISP; ande) ISP shall not use clear gifs, web beacons, or web bugs to verifySubscriber email addresses or to otherwise gather Subscriberor user information.Violation of any of the foregoing may be grounds at visp.net’sdiscretion for termination of the ISP Agreement.2.15 Subscriber ‘Terms of Use’ – Services furnished by visp.net aresubject to the Terms of Use, a copy of which is located athttp://www.smartwire.net/main/terms.htm. Each of ISP’s end-userSubscribers, by using services provided by ISP and visp.net, aredeemed to have accepted the Terms of Use. If ISP uses theSubscriber Portal, the Terms of Use are included by default, but ifISP provides their own subscriber portal or home page, ISPagrees to post the Terms of Use on ISP’s web site. Visp.netprovides many of the services referenced by the Terms of Use,ISP may make changes to the legal text of the Terms of Use onlywith express written approval of visp.net. ISP agrees that ISPshall accept all responsibility and will indemnify and hold harmlessvisp.net for any liability resulting from a user who has notreceived, or otherwise agreed to, the Terms of Use.ISP also agrees to abide by the Terms of Use. ISP agrees toassist visp.net in the enforcement of the Terms of Use which maychange from time to time.Power User Premiums (dialup only): Network providers andISPs often offer “unlimited” dialup access and define “unlimited”as 150 hours or less. Most providers then bill hourly or otherwisecharge additional fees per subscriber. Visp.net provides ISP witha wide range of tools to simplify the management of these highusage subscribers, which may include usage reports, hourly capsper subscriber or per network, automated high-usage notification,and more. When a subscriber exceeds 150 hours, visp.netnotifies ISP so ISP can contact the subscriber and encouragebetter usage habits, such as logging off when not in use. Visp.netalso absorbs the first month of these charges and sends ISP anautomated warning. If the behavior continues a second month,the ISP will be automatically charged a PUP or Power UserPremium to defray the additional network costs. Visp.net alsooffers dedicated dialup accounts for ISP’s subscribers that needto be continuously connected.2.16 DSL Modem Sales & Rentals – Visp.net may offer modemresale options for ISP to provide a lower price or attain a highermarkup on DSL modem sales to ISP’s subscribers. The followingspecial terms apply:a) Modem purchases – Modem purchases by ISP’s subscribersmay be billed to ISP’s Pay as-you-go account instantly uponorder. If ISP’s account has insufficient funds, the modempurchase may be denied. Any applicable shipping & handlingfees will be added to the cost of the modem.b) Modem rentals – Modem Rentals will be billed on a monthlybasis beginning the month following the shipment at the ratelisted on the DSL ordering page and subsequently reflected onISP’s invoice. Shipping and handling charges will be billedinstantly against ISP’s Pay as-you-go account. If ISP’s accounthas insufficient funds to pay the shipping and handling charge,modem rental may be denied. Modem rental rates will continueuntil the modem is either returned to visp.net in the originalPage 2 of 7

packaging with all included accessories or purchased by ISP forthe original or current purchase price, whichever is less.In the event the subscriber cancels service that requires themodem, it is ISPs responsibility to ensure the modem is returnedto visp.net in the original packaging with all included accessoriesto stop the monthly rental fee for the modem. ISP may alsopurchase the modem at this time for the original or currentpurchase price, whichever is less.c) Cancellation – In the event ISP terminates this agreement withvisp.net, ISP agrees to return all modems in working condition inthe original packaging with all included accessories or pay theoriginal or current purchase price, whichever is less. All modemsneed to be returned to visp.net before the final termination date.d) Payment – At visp.net’s option, visp.net may require that ISP payfor monthly modem rentals automatically each month with a creditcard.2.17 Equipment Maintenance – Visp.net will provide, install, maintain,repair, operate, control and or outsource the equipment necessaryfor various wholesale services. Unless otherwise provided, visp.netwill pay the cost of purchasing and installing all equipment and suchequipment will be and remain the property of visp.net.2.18 Other Services – Visp.net may perform Other Services or providesupport for services not specifically resold by visp.net. Visp.net willprovide such consulting and services as time allows at a discountedwholesale rate as determined by visp.net. Requests for servicesand support may be sent by email and billed with ISP’s regularmonthly bill.2.19 Domain Hosting – Domains are competitively priced to ISP basedon average usages & oversubscription.Therefore, if ISP’saggregate usage substantially exceeds the averages of othervisp.net ISPs, ISP may be required to take actions such as movingcertain high-usage accounts off visp.net’s servers, or pay a premiumfor a particular domain to bring ISP’s overall averages in line withreasonable norms as determined by visp.net.2.20 Domain Name and Renewal – If ISP does not already own adomain, then visp.net will provide to ISP at visp.net’s expense, adomain name for exclusive use by ISP to provide Internet Servicesto ISP’s Subscribers. ISP agrees to pay for subsequent renewalcosts (usually 10 to 25 per year) for its domain name and visp.netwill authorize this renewal with no corresponding visp.netadministrative charges to ISP. In the event the ISP Agreement iscanceled, ownership of this domain name will be determined as setforth in these Policies and Procedures Term and Terminationparagraph herein.2.21 Technical Support and Customer Service – Unless ISP hasotherwise subscribed to Technical Support and/or Customer Serviceoptions provided by visp.net, ISP shall provide all general customersupport and technical assistance, at ISP’s own cost and expense, toISP’s Subscribers who have purchased the above-describedInternet access accounts from ISP. Except for system administrationbroadcasts, visp.net will not deal directly with ISP’s Subscribers.If ISP does not subscribe to these services, visp.net will provideadvanced support and technical assistance during regular businesshours to ISP’s employees or authorized agents.Technical support is charged a flat rate per user, per monthand includes all ISP’s subscribers. If visp.net provides all services tosubscribers, the technical support rate is guaranteed; however, ifany service provided to subscribers is outside of the visp.netnetwork the following overage may be applied. Tech supportcharges are calculated based on a call volume not exceeding 1% ofthe ISP’s total subscriber base per day. Example: ISP has 1000subscribers, 1% equals 10 calls per day. Any overage on technicalsupport is calculated at 1.00 per minute or as otherwise agreed inadvance and in writing by the parties, and will be posted to the ISPPOG account the month following the usage. The first three (3)days of overages are waived to account for periodic networkproblems.2.22 Service Outages – Visp.net guarantees 100% uptime onMission-critical services provided by visp.net. Mission-criticalservices include: Radius, DNS, Qwest DSL, spam filtering, dial-upaccess, and email.Scheduled maintenance, cable cut(s) or reasons set forth in theForce Majeure paragraph herein are specifically excluded.Scheduled maintenance will not exceed ten (10) continuous orcumulative hours, or any combination thereof per month withrespect to Mission Critical Services.Service Outage Credits – ISP will be entitled to an outage creditin the event of certain outages. Credits for outages will becalculated on the following basis:a) Calculation of Time – For the purposes of Service OutageCredits, all months contain thirty days. Service and equipmentare on a twenty-four hour-per-day, seven day-per-week basis.For purposes of credit computations, every month will beconsidered to have 720 one-hour periods. An “interruptionperiod” starts when a report is received by visp.net of anoutage and ends when access to the affected service isrestored.b) Interruption of Service – With ISP’s written request, submittedby email, ISP will be credited for outages in the case of anInterruption caused by visp.net if the outage lasts more thanone (1) hour. “Interruptions” include hardware failure, cablecuts, equipment enclosure fires, explosions, or any othercircumstances that result in an interruption of service to morethan ten percent of ISP’s subscribers. The credit will take theform of a pro-rated deduction from the next monthly billingequal to the outage time and for the portion of service that wasunavailable.c) Exceptions – No credit will be given for outages which are: (1)caused by an event of Force Majeure; (2) caused by othertelecommunications companies or entities or persons; (3)caused by ISP or ISP’s End User(s); or (4) caused by circuitsor services being taken out of service for ordinarymaintenance. Credits are limited to the affected service.Parties agree that no credit will ever exceed the wholesalemonthly rate charged by visp.net for a particular service for anygiven month.2.23 Force Majeure – In no event will a Party have any claim or rightagainst the other Party for any failure of performance by suchother Party if such failure of performance is caused by or is theresult of causes beyond the reasonable control of such otherParty, including, but not limited to such causes as, cable dig-up orcut by a third Party; act of God, fire, flood or other naturalcatastrophe; laws, orders, rules, regulations, directions or actionof governmental authorities having jurisdiction or any civil ormilitary authority; national emergency, insurrection, riot or war; orstrike, lockout, work stoppage or other labor difficulty; or othersimilar occurrence beyond the control of a Party. If the excusabledelay exceeds (60) sixty days, the ISP Agreement or the affectedservices may be terminated upon written notice.2.24 Disclaimer on Network Warranties – In many areas, visp.nethas expanded geographic internet access coverage available toISP through third party network providers.However, serviceuptimes on third-party networks cannot be guaranteed. Visp.netwill use commercially reasonable efforts to resolve problems withthird party network providers or specific issues with their POPs.Visp.net makes no warranties and will not be responsible for thirdparty network shutdowns, POP closures, or other third-partynetwork acts that may disrupt ISP’s business.2.25 Commissions – For those ISPs that have received Commissionsfor referrals or other sales, visp.net will continue to payCommissions to those ISPs at its discretion.2.26 Unlawful Purpose – The ISP Services provided by visp.net toISPs are subject to the condition that such services are not usedfor any unlawful purposes.Page 3 of 7

2.27 Returned Checks – All checks returned by an ISP’s or Subscriber’sbank for insufficient funds will be re-submitted for payment. A 25.00 returned check fee will be charged to the account of the ISPor Subscriber. After receiving a returned check from an ISP orSubscriber, visp.net may require that all future payments be madeby Credit Card, money order or cashier’s check. Any fees resultingfrom ISP’s (or ISP’s Subscriber’s) NSF check (or returned checkfees) will be charged to ISP.To execute this option, ISP agrees to provide written notice. ISPwill then assign ISP’s domain name and all Subscribers usingvisp.net Products and Services to buyer. ISP further agrees toprovide all data and Subscriber materials including but not limitedto signed Subscriber agreements and application forms related toISP’s Active accounts to Buyer and will assist Buyer in making anorderly transition of the accounts.Section 3 – Term and TerminationThereafter, Buyer will directly invoice these active accounts forInternet services. Each month for the next 12 months, Buyer willremit to ISP payments not to exceed the income received minusISP’s cost for services required to support ISP’s subscribers.3.1 Term – The Term of the ISP Agreement will continue on a month tomonth basis from the date of execution unless an additional termwas otherwise agreed.3.2 Inactivity – Where no other Monthly Minimum has beenestablished, ISP must manage at least 100.00 per month inwholesale billable services from visp.net, or the ISP Agreement maybe terminated by visp.net at its sole discretion.3.3 Pause a Monthly Minimum with a Term Addendum – A new ISPthat has committed to a Term Addendum may request their monthlyminimum and all services be “Paused,” or “Suspended” for up to 12months. Approval of this request is solely at the discretion ofvisp.net.To suspend, the ISP must be current with a non-refundable depositon account with visp.net which will apply to ISP’s invoices followingISP’s re-activation. If the ISP does not re-activate within 12 months,any funds on deposit will be forfeited.The Term Expiration Date will be extended by the number of fullcalendar months the ISP is suspended. ISP may remain suspendedfor up to one year. After one year, the ISP’s license may beterminated by visp.net subject to the Termination provisions of theISP License Agreement.3.4 Termination – An ISP’s violation of any of the terms of the ISPAgreement, including any amendments that may be made byvisp.net, may result in termination of the ISP Agreement. Failure tomake timely payment to visp.net for any amount due under thesePolicies and Procedures may result in immediate termination of anyor all services by manual or automated means. Termination ofservices shall not constitute the sole remedy of visp.net for collectionof amounts due.So long as parties have not otherwise agreed to a term and the termhas not expired, either party may terminate the ISP Agreementwithout cause at any time with at least sixty (60) days notice. Once aterm has expired the ISP Agreement will continue month to monthunless canceled by either party according to the provisions of thesepolicies and procedures.3.5 Termination Liability – If parties have agreed to a term, either partymay terminate the ISP Agreement for cause, provided written noticespecifying the cause for termination and requesting correction withinthirty days. Cause is any material breach of the terms of the ISPAgreement. If cause the reported is resolved within the 30 dayperiod, the ISP Agreement will continue.If parties have agreed to a term and if visp.net terminates the ISPAgreement for cause or if ISP terminates the ISP Agreement inwhole or in part WITHOUT cause, ISP shall pay early terminationcharges as follows.a)As specified in the Term Addendum, orb)If a termination charge was not established in the TermAddendum, 50% of the Monthly Minimum multiplied by thenumber of months remaining in the term.3.6 Buyout by visp.net – At any time during the Term of the ISPAgreement, provided ISP is not in default of any part of the ISPAgreement, ISP may request that visp.net and/or assigns (herein,Buyer) purchase ISP’s accounts. Buyer may then, at its optionpurchase ISPs accounts according to the terms below or as may benegotiated between the parties and terminate the ISP Agreementwith the ISP.For Example: If ISP has 1000 Active dial-up accounts who eachpay monthly, and ISP sells dial-up access for 20.00 per month,with a cost for services of 10.00 each, the formula would be1000 x 10.00 or 10,000 per month for a total of 120,000 overthe following 12 months, assuming 100% retention. Actualretention will vary.Section 4 – Software License4.1 In General – ISPs must use visp.net’s ISP Management & Billingsoftware in order to sell ISP Services to Subscribers. Whenregistering as an ISP, the software is delivered to each ISP viadownload and ISP’s use of such software is subject to thisSoftware License Agreement. THIS SOFTWARE LICENSEAGREEMENT IS A LEGAL AGREEMENT BETWEEN ISP ANDVISP.NET. READ IT CAREFULLY BEFORE COMPLETING THEINSTALLATION PROCESS AND USING THE SOFTWARE. ITPROVIDES A LICENSE TO USE THE SOFTWARE ANDCONTAINS WARRANTY INFORMATION AND LIABILITYDISCLAIMERS. BY INSTALLING AND USING THE SOFTWARE,ISP CONFIRMS ACCEPTANCE OF THE SOFTWARE ANDAGREES TO BE BOUND BY THE TERMS OF THIS SOFTWARELICENSE AND THE ISP AGREEMENT. IF AN ISP DOES NOTAGREE TO BE BOUND BY THESE TERMS, THEN THE ISPMUST NOT INSTALL THE SOFTWARE.THIS LICENSE SHALL APPLY ONLY TO THE SOFTWARESUPPLIED BY VISP.NET HEREWITH REGARDLESS OFWHETHER OTHER SOFTWARE IS REFERRED TO ORDESCRIBED HEREIN.4.2 Definitions – As used in this Section (ISP Management & Billingsoftware License), the following terms shall have the followingmeanings:a) “Visp.net” or “visp.net” means visp.net and its licensors, if any.b) “Software” means only the visp.net software program(s) andthird party software programs, in each case, supplied byvisp.net herewith, and corresponding documentation,associated media, printed materials, and online or electronicdocumentation.4.3 License Grants – The licenses granted hereunder are subject tothe terms and conditions of this ISP Management & Billingsoftware License and this ISP Agreement.a) ISP may install and use the Software on as many computers asISP has purchased simultaneous licenses. If this was notspecified when ISP purchased their original license, then ISPmay install the Software on up to five (5) computerssimultaneously. ISP may not sell or transfer any copy of theSoftware except as otherwise provided herein.b) ISP agrees that visp.net may audit ISP’s use of the Softwarefor compliance with these terms by the use of automated logsor other method determined to be commercially reasonable byvisp.net. In the event that such audit reveals any use of theSoftware by ISP other than in full compliance with the terms ofthese Policies and Procedures, ISP shall reimburse visp.net forall reasonable expenses related to such audit in addition to anyother liabilities visp.net may incur as a result of such noncompliance.Page 4 of 7

c) ISP’s rights under this License are non-exclusive.Section 5 – General Provisionsd) Mandatory Product Activation. ISP will need to activate theSoftware through the Internet. There are technological measuresin this Software that are designed to prevent unlicensed or illegaluse of the Software. ISP agrees that visp.net may use thosemeasures and ISP agrees to follow any requirements regardingsuch technological measures. Product activation is based on theexchange of information between ISP’s computer and visp.net.5.1 Consent to Electronic Record – The Electronic Signatures inthe Global and National Commerce Act (15 U.S.C. § 7001, etseq.), requires that each ISP applicant consent to use of anelectronic record of the ISP Agreement before the ISP Agreementis entered into. offer "private-label" Internet solutions from Internet access to web hosting. 1.2 Ownership of Internet Access Accounts - ISP will own the rights to ISP's accounts according to the terms of the ISP Agreement provided ISP is not in default of any part of the ISP Agreement.
