Board Agenda - August 2016Attachment 16-132Midwestern State UniversityBoard of RegentsWichita Fails, TexasRESOLUTION AUTHORIZING A REQUEST FOR FINANCINGAND THE EXECUTION AND DELIVERY OF DOCUMENTSREQUIRED TO EFFECT SUCH FINANCINGWHEREAS, the Texas Public Finance Authority (the "Authority") is authorized to issue revenue bondsto finance the cost of certain projects for the use and benefit of Midwestern State University (the"University") pursuant to Texas Government Code, Chapters 1207 and 1232, and Texas Education Code,Chapter 55, particularly Sections 55.13 and 55.1787, (collectively, the "Authorizing Law");WHEREAS, the Authority has previously issued one or more series of its Texas Public FinanceAuthority Midwestern State University Revenue Financing System Revenue Bonds (collectively, the"Refundable Bonds") on behalf of the University pursuant to the Authorizing Law;WHEREAS, pursuant to a resolution approved on May 13, 2016, the Board of Regents of the Universityapproved the submission to the Authority of a request to finance project costs in the estimated amount notto exceed 58,400,000 through the issuance of the Authority's University Revenue Financing Systembonds (the "New Money Bonds");WHEREAS, the University now desires and intends to request the Authority to issue bonds (the"Refunding Bonds" and together with the New Money Bonds, the "Bonds") and that certain of theproceeds of the Refunding Bonds be used to refund all or a portion of the Refundable Bonds and to paycosts of issuance and such other costs and expenses as permitted by the Authorizing Law; and;WHEREAS, the University desires and recognizes that the Authority select all or any portion of theRefundable Bonds (the "Refunded Bonds") for refunding based on market conditions and availableinterest rates in order to achieve a positive gross debt service savings and a net present value savings of atleast one percent (11/) of the principal amount of the Refunded Bonds:NOW THEREFORE BE IT RESOLVED by the Board that:Section 1. The purpose of the refunding is to achieve a positive gross debt service savings and net presentvalue savings of at least one percent (1%) of the principal amount of the Refunded Bonds and thefinancing thereof is appropriate at this time. Accordingly, the execution and delivery of the SupplementalRequest for Financing to the Authority pursuant to the Authorizing Law is hereby ratified, approved andconfirmed.Section 2. The President of the University, or her designee, is hereby authorized, empowered and directedto:a. Sign and deliver a Request for Financing to the Authority;b. Sign and deliver or cause to be delivered any and all documents necessary or desirable to effectthe financing and provide the projects, including but not limited to the financing documentsrequired by the Authority's rules;c. Cooperate with the Authority and its consultants to prepare an Official Statement in connectionwith the sale of the Bonds;d. And to take such other actions as are necessary and appropriate in connection with the issuance,sale, and delivery of the Bonds.

All actions not inconsistent with the provisions of this Resolution heretofore taken by theUniversity, its officers, employees, agents or consultants, directed toward the financing of the Projectsand the issuance of the Bonds, is hereby ratified, approved and confirmed.Section 4.
