2016 GRASSHOPPERVOLUME BONUS PROMPT PAY PROGRAMDEALER QUALIFICATIONS(a) initial season wholegoods order follows 75% rule guidelines; (b) take delivery of 100% of stock order by February28, 2017; (c) participate in Parts Stocking Program; (d) sign Grasshopper Dealer Agreement; (e) adhere to FISTProgram (G-SB1288) and other Grasshopper-sponsored Programs; (f) retail equipment in dealer’s designated inquiryreferral area; (g) maintain current account throughout the year.QUALFYING UNIT EXAMPLES Dealer takes delivery of total of 25 machines during 2016 Season. Five of 25 machines are taken later in the season. Dealerpays for 20 units by 8-15-2016, and receives rewards on 20 units for 2016. The remaining 5 units will be eligible for the2017 volume season. Dealer takes delivery of their entire 2016 stock order of 75 units by 12-15-2015. Dealer pays 65 units before 8-152016. Dealer receives rewards of a 60 unit dealer, and is paid rebate on all 65 machines. The unpaid carryover machineswill be eligible for the 2017 Season. If the units are not paid by 8-15-2017, the machines lose their volume eligibility. Dealer takes delivery of 24 stock machines in October, 2015, and 24 units in January of 2016. Dealer pays for 42 machinesby July 10, 2016. The remaining 6 units are not due until October 10, 2016, but the dealer wants to achieve the 45 unitlevel and pays for 3 units by August 15, 2016. Dealer receives rewards based on the 45 unit level. 3 unpaid machines willbe eligible for the 2017 Volume Season.2016 earned rewards based on level of units paid by August 15, 2016A dealer may attain a qualified level or achieve a higher program level by ordering and prepaying machine(s) in the 2016season, even though these units have not shipped. These machines must be paid by August 15, 2016, and Grasshopper willdeliver this equipment by September 30, 2016. Because accounting of the 2016 season closes at the end of business, August15, 2016, the program does not allow for flexibility regarding the final payment date. Monies received after this date willnot count on the 2016 Volume program, however, qualifying prepaid equipment will be eligible for the 2017 season.Dealers will receive all the benefits and Volume Bonuses of all the levels they have earned when the completed warranty cardson all the retailed units included in this program have been received by the factory on or before December 15, 2016 and thedealer maintains a prompt pay account. Rebates will be paid within one hundred twenty (120) days following the program.To receive all dealer’s deserved awards, dealers must resolve any discrepancies or questions on billings, before the Programcloses. It is cost-effective for both the dealer and the factory to have Demonstrators, Collection Systems, Implements and FreeMachines, ordered and shipped with your 2017 Spring Stock Order.PROGRAM EXCEPTIONSMachines sold on State or Federal contracts and are below 50% of dealer’s total volume, will be included in the quantity count toreach various bonus levels, but will not be paid volume rebates. If, however, the number of machines sold to State or Federalagencies equal 50% and above of the dealer’s whole goods volume, these units will not be included in the volume machine count.PROGRAM DISQUALIFICATIONAny accounts placed on COD or had past due occurrences, were sold and unpaid resulting in delinquent interest charges,or tendered an Insufficient Funds Check for payment on the account, may not be eligible to participate in this program or willlose their volume bonus on a quarterly basis, which cannot be reinstated for that quarter.Dealerships that sell their business, are acquired or relinquish the Grasshopper Line, will not be eligible for rewards, bonusesor rebates they had earned prior to the sale/relinquishment. These rewards/bonuses and rebates are not transferrable to thesuccessor dealer. 2016 GRASSHOPPERVOLUME BONUS PROMPT PAY PROGRAMDealer Demonstrator Claim FormDealer must take delivery of demonstrator and implement no later than December 10, 2016.This form initiates terms adjustment on stock unit that is to be used as a demonstrator and implement model.Qualifications: Applicant must meet all the guidelines specified in the Grasshopper Volume Bonus Prompt Pay program, andhave reached the 10 Unit level of the program.The Grasshopper model indicated below represents the most active model sold at the dealership during the 2016 product season and is requested as a Year 2017 demonstrator/zero-downtime unit. The above mentioned Grasshopper equipment (“Loaner”) is available fromto at /hour to the undersigned.Title to Loaner: Except as may otherwise be provided for in this Agreement and subject to Undersigned’s right to utilize theLoaner as provided for herein, title to the Loaner shall remain vested in Grasshopper.In consideration of the Loaner, Undersigned agrees to the following terms, warranties and representations:Undersigned has read and voluntarily signs this loaner agreement, waiver of liability and indemnity agreement.In consideration for the Loaner, Undersigned for himself, his personal representatives, heirs and next of kin, acknowledges,agrees and represents that he has, or will immediately prior to using the Loaner and will continuously thereafter use the Loanerin accordance with the operator’s manual and any instructions given by Dealer or Grasshopper representative. If theUndersigned or any of the Undersigned’s designees operate this equipment, such operation affirms that the operator has readthe manual, been instructed as to the safe use of the equipment and had all operational and safety questions answered prior tosuch operation. Undersigned acknowledges that he operated the Loaner while in the presence of Dealer, understands itsoperation and had opportunity to ask any operation or safety questions prior to taking possession of the Loaner.Undersigned will contact Dealer in the event the Loaner is not operating in accordance with the manual and Dealer instructions.Undersigned will not use the Loaner until the Dealer has repaired any such conditions.Undersigned expressly acknowledges that operating the Loaner in any manner inconsistent with the Manual and Dealerinstructions may be dangerous and involves the risk of injury and/or death and/or property damage.Undersigned hereby releases, waives, discharges, and covenants not to sue Dealer, Grasshopper, its officers, employees,owners, or any subdivision of Grasshopper (hereinafter referred to collectively as “Releases”) from all liability to Undersigned,his personal representatives, assigns, heirs, and next of kin for any and all loss or damage, and any claim or demands theref oreon account of injury to the person or property or resulting in the death of Undersigned. Undersigned expressly agrees toindemnify and hold harmless Dealer and Grasshopper from any and all claims, from any source, for personal injury, wrongfuldeath and/or property damage.Insurance: Undersigned will, for the benefit of Grasshopper, keep the Loaner insured against casualty losses for thereplacement cost of the Loaner and, in event of a casualty involving the Loaner, will pay the proceeds of such insurance toGrasshopper to the extent the proceeds relate to the Loaner; provided, however, that Grasshopper acknowledges and agreesthat Undersigned shall not be responsible for normal wear and tear or for the loss, damage, or destruction of all or any part ofthe Loaner during the Term except to the extent the same a) is covered by such insurance or b) is proximately caused by thegross negligence or intentional misconduct of Undersigned.
