IT SERVICES AGREEMENTBY AND BETWEENTAMPA BAY WORKFORCE ALLIANCE, INC.D/B/A CAREERSOURCE TAMPA BAYANDRYMAN, INC. D/B/A COMPLETE TECHNOLOGY SOLUTIONS2021-600-001THIS IT SERVICES AGREEMENT ("Agreement") is made and entered into between Tampa Bay WorkforceAlliance, Inc. d/b/a Career Source Tampa Bay, a Florida not-for-profit Corporation headquartered at 4902Eisenhower Blvd, Suite 250, Tampa, FL 33634 (the "Customer" or “CareerSource Tampa Bay”) and Ryman,Inc. d/b/a Complete Technology Solutions, a Florida For-Profit Corporation, located at 12153 Cortez Blvd,Brooksville, Florida, 34613 (the "IT Services Provider" or “CTS” or “Contractor”)RECITALSWHEREAS, CSTB issued a Request for Proposal (RFP) No. 19-0273 on March 22, 2019 for IT, EDMSand Website Services; andWHEREAS, the Board of Directors of CSTB has approved CTS as the provider of those services; andWHEREAS, CTS has the expertise and necessary qualifications, experience and abilities to provide IT,EDMS and Website Services; andWHEREAS, CSTB desires to engage CTS to provide certain services in the area of the IT ServiceProvider’s expertise and CTS is willing to provide such services to CSTB; andWHEREAS, CTS and CSTB previously entered into an Agreement dated September 1st, 2019 and June24, 2020 for fiscal years ending June 30, 2020 and June 30, 2021, respectively, defining the Contractor’s dutiesand responsibilities for the provision of those services; andNOW, THEREFORE, in consideration of the mutual covenants, promises and representations containedherein and for other good and valuable consideration, the receipt and sufficiency of which are herebyacknowledged, CSTB and CTS agree as follows:ARTICLE 1Recitals1.1The aforesaid recitals are true and correct and are incorporated herein by reference.ARTICLE 2Term and TerminationCareerSource Tampa Bay Professional Services – 2021-600-0011 Page

2.1The term of this Agreement shall take effect immediately as of the Effective date and terminate on June30, 20222.2Either Party may terminate this Agreement with or without cause by providing the other Party aminimum of 90 days advance written notice.2.3Upon the effective date of termination of this Agreement, all legal obligations, rights and duties arisingout of this Agreement shall terminate except for such legal obligations, rights and duties as shall haveaccrued prior to the effective date of termination and except as otherwise expressly provided in thisAgreement.ARTICLE 3Scope of Services3.1The Customer hereby agrees to engage the IT Services Provider to provide the Customer with services(the "Services") consisting of management and staffing as related to the overall administration anddevelopment of the CAREERSOURCE TAMPA BAY IT network.3.2CTS will staff the following Personnel that are trained and experienced in Workforce Developmentoperations, with the purpose of supervisory and/or management of the current CAREERSOURCETAMPA BAY IT staff. CTS shall provide the following personnel. CTS maintains the right tointerchange these positions or specific staff as it deems necessary to accomplish tasks.---Contract Manager: Average of 10 hours per week or .25 full-time equivalent (Maurice Ryman)System and Network Administrator: These roles will be performed by CTS Senior Administrator(Steve Ash) and CTS Junior Administrator (Jeff Woodruff):o Senior Administrator: Average of 30 hours per week or .75 full-time equivalento Junior Administrator: Average of 10 hours per week or .10 full-time equivalentIT Technician: 1 full-time equivalent (Hector Huertas)Support Specialists:o 1 full time equivalent support specialist (Fabian Brathwaite)o .25 full-time equivalent support specialist to provide training and new application support,as needed (Michael Bundy)IT Project Manager: Average of 20 hours per week or .50 full-time equivalent (Jeff Woodruff)CTS shall maintain and have available upon request a monthly payroll report that includes the employeesfirst/last name, title and number of hours worked for the applicable month that is supported by CTS’payroll register.3.3Help desk Management & Monthly Reporting CTS will manage a customer centric help desk supportsystem. This system will be based primarily on an E-Ticket based tracking system. The IT ServiceProvider shall perform services with promptness and diligence in a manner and at a level of proficiencyto be expected of a consultant with the background and experience that Consultant has represented ithas. During normal business hours, expectations are that E-Ticket should be acknowledged/answeredwithin 10 minutes of submission and resolved within 1-3 hours of acknowledgment.CareerSource Tampa Bay Professional Services – 2021-600-0012 Page

CTS will provide monthly reports to CPPO, Director of MIS & Data Services and IT/MIS Coordinator,by the 5th of the following month, on volume of tickets by center, category and identify any trends. Asnecessary, meetings will be scheduled with CTS staff to discuss issues, trends, etc.3.4Infrastructure Management including Inventory. CTS will manage all IT infrastructure, including theyearly (or as needed) process of doing inventory of IT related equipment within the CareerSource TampaBay region. CSTB will provide staff to be present during physical inventory process. CTS willimplement inventory methods that are similar in nature to other Local Workforce Development Boards,assuring accuracy and State compliancy. Inventory will be verified IT/MIS Coordinator and will becompleted by Jun. 1,2022. Audits that must be conducted include the Fixed Assets Verification as wellas On Hand Inventory. Quarterly On-Hand Spot Check Audits will occur on Sept.1, Dec.1, Mar. 1.Audit Reports need to be submitted to CEO, CFO, CPPO, Directory of MIS & Data Services and IT/MISCoordinator. These reports must include Date, Asset Tag #, Serial # (if applicable), CSTB Location andDepartment/Area within Location.Infrastructure Management includes:- Staff profile and data management- Server installation, maintenance and upgrades- Server Virtualization utilizing VM-Ware, Virtuoso, Virtual Box- Network Infrastructure design and maintenance- PC hardware installation and upgrades- PC software installations and upgrades- Server OS installation, maintenance, updates- Disaster recovery data management- Software Licensing management- Network Infrastructure design and maintenance- Network switch installation and maintenance- Management of BlackBerry and Active Sync mobile device software- Management of MIP accounting and other board administrative software- Management of Wide-Area-Network devices, including the MPLS fiber and associate CAREERSOURCE TAMPA BAY managed equipment- Coordination and management of CAREER SOURCE TAMPA BAY partner provided services- DNS related tasks to effectively manage the Name Resolutions Services within the CAREERSOURCE TAMPA BAY region- SSL related tasks to effectively manage SSL services within the CAREER SOURCE TAMPA BAYnetwork, including website, EDMS (Electronic Document Management System) and email firewallinstallation and maintenance- Spam filtering devices. I.E.: Mail Foundry, Barracuda- Enterprise email management- Storage Area Network (SAN) administration- Connectivity support for State Ad-Hoc reporting connectivity- Connectivity support for VPN configuration to Department of Economic Opportunity (DEO)- CSA administration for State routing and infrastructure management- Management of kiosk network connectivity- Management of Server room equipment, including HVAC, Uninterruptable Power Supply, cabling,rack management and surge suppression- Management of EDMS hardware and supporting software- Management of Multi-Function-Devices (MFDs)- Support services related to the needs of CAREER SOURCE TAMPA BAY staffing contractorswithin the One-Stop environmentCareerSource Tampa Bay Professional Services – 2021-600-0013 Page

-Setup of IT related equipment at new CAREER SOURCE TAMPA BAY locationsVendor negotiations and coordination of IT related services associated with new location setup,renovations, office relocationsWebsite management and supportPenetration testingInventory Management & Reporting on an annual basis or as needed3.5Audio and video support services. CTS will provide audio and video support services for the numerousdisplay screens and smart boards throughout the one-stops and executive administrative office, asneeded.3.6Remote access. By utilizing remote access technologies, CTS can rectify many day-to-day issues within1-3 hours of being notified. However, CTS believes that the IT support team should engage and workwith staff daily. Even though remote access support will most likely be the quickest method of solvingmany issues, CTS intends to implement a weekly visit routine to assure remote locations are being servedproperly and customer satisfaction is maintained. CTS will report to IT/MIS Coordinator a log of sitesvisited every Friday during weekly progress meetings.3.7Remote site support. CTS will administer all IT equipment located at each One-Stop as well as the CSTBExecutive Administrative offices.3.8Cabling. Most small-scale cabling can be done by the proposed CTS staff. For large scale cablingprojects, CTS will work with CSTB Facilities Coordinator to complete cabling projects in a timelyfashion. Upon 24 hours of completion of project, CTS will send verification via email to CPPO, Directorof MIS & Data Services and IT/MIS Coordinator.3.9Installation and maintenance. Installation and maintenance of IT related equipment will be performedas needed. Working with CSTB guidance and resource availability (physical locations, funding,timelines) CTS plans to develop and implement a refresh plan for aging equipment and software. Thisrefresh should include equipment/software that needs to be replaced, the reason for replacement,projected replacement equipment/software and the projected cost to replace equipment/software andproject timelines. Timelines should include procurement, disposition of existing equipment/software,and new equipment/software rollout. CTS will submit refresh plan to CFO, CPPO, Director of MIS &Data Services and IT/MIS Coordinator by March 4, 2022.3.10 VOIP phone system. CTS will administer the current (and future) VOIP system. CTS has over 10 yearsof VOIP administration experience. By utilizing best case practices learned from other support projects,CTS can offer alternative methods of operation to ultimately increase efficiency and reducecommunication operation costs. CTS will provide monthly reports, by the 5th of the following month toCPPO, Director of MIS & Data Services and IT/MIS Coordinator, on call volume for both inbound andoutbound calls and identify any trends affecting performance.3.11 EDMS integration and support. CTS will provide IT support related to the connectivity and hardwarerequired to operate the EDMS system including all kiosks. CTS will implement ATLAS Kioskmodifications within one month of the requested date from CPPO, Director of MIS and Data Servicesor IT/MIS Coordinator. If requested modifications fall outside of the standard feature-set of ATLAS orthe EDMS system, CTS will provide options to accomplish implementation.3.12 Continuous Improvement Strategies. CTS will conduct annual meetings with CSTB to discuss newproducts and services. CTS will make recommendations for software and hardware solutions that willCareerSource Tampa Bay Professional Services – 2021-600-0014 Page

enhance CSTB service delivery flow (e.g. new kiosk design options). CTS will also develop a strategicplan to align with CSTB priorities, goals for the future, and best practices for local workforcedevelopment IT needs. CTS will meet with CEO, CFO, CIO, CPPO, Director of MIS and Data Servicesand IT/MIS Coordinator by January 3, 2022to present recommendations and strategies via scope of workdocumentation and any other visual media including PowerPoint presentation.3.13 Special Projects. CTS will assist CSTB on a variety of special projects throughout the Program Yearincluding but not limited to: Employer Portal Incumbent Worker Training (IWT) Summer Job Connection Atlas E-cardsCSTB agrees to provide all necessary form elements to CTS for input and testing within the application.Project timelines will be determined by initial project discovery discussion by CTS and CPPO, Directorof MIS and Data Services and IT/MIS Coordinator. Any delay in gathering required elements will slideexpected timelines accordingly. A project progress report will be drafted with agreed upon timeline.Project timelines should include the application/portal programming development time, the qualitycontrol and beta testing of project as well as any requested edits and modifications after initial launch.CTS will make every effort to adhere to timeline, however, CSTB understands that the nature of newdevelopment, specific feature requests, incompatibility of software or other factors out of the control ofthe developer may cause for revision in timeline or render a requested feature incompatible or outside arealistic scope of work parameter. CTSB agrees to not hold CTS liable for such cases. CTS will providemonthly summary reports on special projects progress and status updates on targeted implementationtimelines to CPPO, Director of MIS and Data Services and IT/MIS Coordinator. CTS will make everyattempt to deliver all features as requested however, additional feature requests or scope creep will beevaluated, and CTS maintains the right to move additional requested features to a new deliverabletimeline agreed on by both parties. CTSB understands that CTS will not be held responsible for 3rdparty fees derived from services or features requested by CTSB. CTS will provide all necessary detailsto CSTB to make decisions on 3rd party fees.3.14 Network and equipment upgrade project: CTS will complete the following once ISP providercompletes circuit migration and signed contracts are in place. CTS will upgrade all routing equipment, replace core switches at data center. CTS will take over the routing for all internal site to site telecom communications. CTS will spin down unused servers and virtualize as much as possibleCTS will report to CPPO, Directory of MIS and Data Services, and IT/MIS Coordinator uponcompletion of each phase via email, as well as visual inspection by IT/MIS Coordinator. The projectcompletion date is highly dependent on the ISP provider, but a reasonable completion datewould be Mar. 1, 2022.3.15 Keep finance systems software current and up to date with the assistance of Sage (MIP) and MicroixSupport. These upgrades will follow best practices provided by software developers and in conjunctionwith update schedules. CTS will provide IT/MIS Coordinator monthly status reports for manuallyapplied updates.3.16 Network Security Report: CTS will supply CEO a perimeter/internal network securityscan report using software like OpenVAS, Nessus Essentials, Nexpose Community Editionand Qualys Community Edition. The security scan should include open common ports, any nonCareerSource Tampa Bay Professional Services – 2021-600-0015 Page

patched servers, and endpoints that run retired operating systems. Included with this report should beremediation steps to mitigate any security vulnerabilities the scan reveals. CTS will provide report toCEO, Director of MIS and Data Services, and IT/MIS Coordinator via email. Due dates for this reportwill be December 3, 2021, and June 3, 2022.3.17 On Premise Microsoft Exchange full cloud migration. CTS will work with 3PrdP party vendor(s) ifneeded to retire on premise Microsoft Exchange server and move all mailboxes and Microsoft Exchangedata to Microsoft Office 365. Included in this migration will be ensuring that all relevantlocal email reliant services are configured for cloud integration or replacing service with a cloudbased solution. Examples of services may include fax server and multifunction devices. This projectmust be completed by Mar. 1, 2022.3.18 Additional services and support as needed requested by CSTB leadership team throughout the ProgramYear.ARTICLE 4Issue Escalation4.1CTS will utilize a three (3) level approach to support plan that is flexible but contains operationalstructure to assure CSTB network and staff are able to operate at peak efficiency as follows:a)Level one shall consist of on-site personnel trained and experienced in any workforcedevelopment, contractor or State application that CareerSource Tampa Bay utilizes. Level onesupport will assist users with common problems such as e-mail, word processing or other desktopapplications, as well as support OSST, OSMIS, EF or other specialized application. Level Onesupport response will typically be within 24 hours, unless mission critical. A mission critical issueis one that prevents users from being able to perform work responsibilities in a timely fashion.b)Level two will involve local IT staff as well as network technicians or administrators trained andknowledgeable of the State and local networks and systems. Including state RTS network, STOarrangements and contract/vendor arrangements such as Hughes (VPN provider). Level twosupport is generally not desktop related but consists of support for site level or enterprise levelissues. Level Two support response will typically be within 12 hours, unless mission critical. Amission critical issue is one that prevents users from being able to perform work responsibilitiesin a timely fashionc)Level three utilizes CTS Network Administration staff for infrastructure, firewall, email, intrusionprevention/detection or other high-level mission critical component. Upon failure of any missioncritical system, a CTS Network Administrator will begin troubleshooting and resolutionprocedures to resolve issue. SLA arrangements with network providers that will provideemergency replacement of failed components. Level Three support response will be immediate,as most infrastructure issues are mission critical.ARTICLE 5Performance5.1The parties agree to do everything necessary to ensure that the terms of this Agreement take effect.CareerSource Tampa Bay Professional Services – 2021-600-0016 Page

5.2CSTB shall continuously evaluate and monitor CTS’ performance of the deliverables defined in Article3. Scope of Services.ARTICLE 6Compensation6.1In consideration for the services to be rendered hereunder, CSTB shall pay IT Services Providercompensation amounting to 413,486.16 for the period July 1, 2021 through June 30, 2022. Billable bymonthly payments of 34,457.18. Additional annual terms will be subject to a 2% annual increase basedon current annual compensation fee.6.2The IT Services Provider understands compensation is contingent upon satisfactory contractperformance, defined as providing the Scope of Service as stated herein. And, if performance is belowsatisfactory, the compensation stated in 6.1 may be reduced as described in 6.3.6.3CSTB will provide written notification to CTS Contract Manager of performance issues, as applicable.And, CSTB and CTS Contract Manager shall meet to discuss said performance issues and establishreasonable time frame for issues to be rectified. If after the reasonable time frame has passed andperformance issues are not remedied, CSTB and CTS Contract Manger shall meet and discuss thecompensation that shall be reduced commensurate to the contract performance that has not beenachieved.ARTICLE 7Assignment7.1The IT Services Provider will not voluntarily or by operation of law assign or otherwise transfer itsobligations under this Agreement without the prior written consent of the Customer.ARTICLE 8Independent Contractor8.1It is expressly agreed that the IT Services Provider is acting as an independent contractor and not as anemployee in providing the Services under this Agreement. The IT Services Provider and the Customeracknowledge that this Agreement does not create a partnership or joint venture between them and isexclusively a contract for service.ARTICLE 9Modification of Agreement9.1Any amendment or modification of this Agreement or additional obligation assumed by either party inconnection with this Agreement will only be binding if evidenced in writing signed by each party or anauthorized representative of each party.ARTICLE 10General Provisions10.1 EEO. During the performance of this contract, the contractor agrees as follows: (1) The contractor willnot discriminate against any employee or applicant for employment because of race, color, religion, sex,sexual orientation, gender identity, or national origin. The contractor will take affirmative action toensure that employees are treated during employment, without regard to their race, color, religion, sex,CareerSource Tampa Bay Professional Services – 2021-600-0017 Page

sexual orientation, gender identity, or national origin. Such action shall include, but not be limited to thefollowing: Employment, upgrading, demotion, or transfer, recruitment or recruitment advertising; layoffor termination; rates of pay or other forms of compensation; and selection for training, includingapprenticeship. The contractor agrees to post in conspicuous places, available to employees andapplicants for employment, notices to be provided by the contracting officer setting forth the provisionsof this nondiscrimination clause. (2) The contractor will, in all solicitations or advertisements foremployees placed by or on behalf of the contractor, state that all qualified applicants will receiveconsideration for employment without regard to race, color, religion, sex, sexual orientation, genderidentity, or national origin. (3) The contractor will not discharge or in any other manner discriminateagainst any employee or applicant for employment because such employee or applicant has inquiredabout, discussed, or disclosed the compensation of the employee or applicant or another employee orapplicant. This provision shall not apply to instances in which an employee who has access to thecompensation information of other employees or applicants as a part of such employee's essential jobfunctions discloses the compensation of such other employees or applicants to individuals who do nototherwise have access to such information, unless such disclosure is in response to a formal complaintor charge, in furtherance of an investigation, proceeding, hearing, or action, including an investigationconducted by the employer, or is consistent with the contractor's legal duty to furnish information. (4)The contractor will send to each labor union or representative of workers with which it has a collectivebargaining agreement or other contract or understanding, a notice to be provided by the agencycontracting officer,10.2 Contract Work Hours and Safety Standards Act (40 U.S.C. 3701-3708). Where applicable, all contractsawarded by the non-Federal entity in excess of 100,000 that involve the employment of mechanics orlaborers must include a provision for compliance with 40 U.S.C. 3702 and 3704, as supplemented byDepartment of Labor regulations (29 CFR Part 5). Under 40 U.S.C. 3702 of the Act, each contractormust be required to compute the wages of every mechanic and laborer on the basis of a standard workweek of 40 hours. Work in excess of the standard work week is permissible provided that the worker iscompensated at a rate of not less than one and a half times the basic rate of pay for all hours worked inexcess of 40 hours in the work week. The requirements of 40 U.S.C. 3704 are applicable to constructionwork and provide that no laborer or mechanic must be required to work in surroundings or under workingconditions which are unsanitary, hazardous or dangerous. These requirements do not apply to thepurchases of supplies or materials or articles ordinarily available on the open market, or contracts fortransportation or transmission of intelligence.10.3 Clean Air Act. Contracts and subgrants of amounts in excess of 150,000 must contain a provision thatrequires the non-Federal award to agree to comply with all applicable standards, orders or regulationsissued pursuant to the Clean Air Act (42 U.S.C. 7401-7671q) and the Federal Water Pollution ControlAct as amended (33 U.S.C. 1251-1387). Violations must be reported to the Federal awarding agencyand the Regional Office of the Environmental Protection Agency (EPA).10.4 Byrd Anti-Lobbying. Contractors that apply or bid for an award exceeding 100,000 must file therequired certification. Each tier certifies to the tier above that it will not and has not used Federalappropriated funds to pay any person or organization for influencing or attempting to influence an officeror employee of any agency, a member of Congress, officer or employee of Congress, or an employee ofa member of Congress in connection with obtaining any Federal contract, grant or any other awardcovered by 31 U.S.C. 1352. Each tier must also disclose any lobbying with non-Federal funds that takesplace in connection with obtaining any Federal award. Such disclosures are forwarded from tier to tierup to the non-Federal award.CareerSource Tampa Bay Professional Services – 2021-600-0018 Page

10.5 A contract award (see 2 CFR 180.220) must not be made to parties listed on the government-wideexclusion in the System for Award Management (SAM), in accordance with the OMB guidelines at 2CFR 180 that implement Executive Orders 12549 (3 CFR part 1986 Comp., p. 189) and 12689 (3 CFRpart 1989 Comp., p. 235), “Debarment and Suspension.” SAM Exclusions contains the names of partiesdebarred, suspended, or otherwise excluded by agencies, as well as parties declared ineligible understatutory or regulatory authority other than Executive Order 12549.10.6 An IT Service Provider that applies or bids for an award exceeding 100,000 must file the requiredcertification. Each tier certifies to the tier above that it will not and has not used Federal appropriatedfunds to pay any person or organization for influencing or attempting to influence an officer or employeeof any agency, a member of Congress, officer or employee of Congress, or an employee of a member ofCongress in connection with obtaining any Federal contract, grant or any other award covered by 31U.S.C. 1352. Each tier must also disclose any lobbying with non-Federal funds that takes place inconnection with obtaining any Federal award. Such disclosures are forwarded from tier to tier up to thenon-Federal award.10.7 Time of the Essence. Time is of the essence in this Agreement. No extension or variation of thisAgreement will operate as a waiver of this provision.10.8 Entire Agreement. It is agreed that there is no representation, warranty, collateral agreement or conditionaffecting this Agreement except as expressly provided in this Agreement.10.9 Governing Law. It is the intention of the parties to this Agreement that this Agreement and theperformance under this Agreement, and all suits and special proceedings under this Agreement, beconstrued in accordance with and governed, to the exclusion of the law of any other forum, by the lawsof the State of Florida, without regard to the jurisdiction in which any action or special proceeding maybe instituted.10.10 Severability. In the event that any of the provisions of this Agreement are held to be invalid orunenforceable in whole or in part, all other provisions will nevertheless continue to be valid andenforceable with the invalid or unenforceable parts severed from the remainder of this Agreement.10.11 Access to Records. The Contractor will comply with public records law (Chapter 119 Florida Statutes)and agrees to: Keep and maintain public records required by CSTB to perform the services. Upon request from CSTB, provide CSTB with a copy of the requested records or allow the records tobe inspected or copied within a reasonable time at a cost that does not exceed the cost provided inChapter 119 Florida Statutes or as otherwise provided by law. Ensure that public records that are exempt or confidential and exempt from public records disclosurerequirements are not disclosed except as authorized by law for the duration of the Agreement termand following completion of the Agreement if Contractor does not transfer the records to CSTB. Upon completion of the Agreement, transfer at no cost to CSTB, all public records in possession ofCSTB or keep and maintain public records required by CSTB to perform the service. If Contractortransfers all public records to CSTB upon completion of the Agreement, Contractor shall destroy anyduplicate public records that are exempt or confidential and exempt from public records disclosurerequirements. If Contractor keeps and maintains public records upon completion of the Agreement,Contractor shall meet all applicable requirements for retaining public records. All records storedelectronically must be provided to CSTB, upon request from CSTB, in a format that is compatiblewith the information technology systems of CSTB.CareerSource Tampa Bay Professional Services – 2021-600-0019 Page

At any time during normal business hours and as often as CSTB, the State of Florida, Department ofEconomic Opportunity, Comptroller General of the United States, or their designated representative maydeem necessary, the Provider shall make available all such books, documents, papers, records (includingcomputer records) which are directly pertinent to payments made by CSTB to the Provider under thisagreement for examination, audit, or for the making of excerpts or copies of such records. This provisionshall also include timely and reasonable access to the Provider’s personnel for the purpose of interviewsand discussions related to such documents.10.12 Indemnification. To the extent not otherwise limited by applicable law, each party shall indemnify, holdharmless, and defend the other and its respective agents and employees (all of the foregoing shallhereinafter collectively be referred to as the "Indemnified Parties")
