Generally, the formation of a contract requires a bargain inwhich there is a manifestation of mutual assent to an exchange. An analysis ofcontract formation is as follows: (1) was there a proper offer and acceptance ofthe offer; (2) was there proper consideration or an appropriate substitute forconsideration; and (3) are there any applicable defenses to the formation ofthe contract.
