January 20, 2015The Honorable Board of SupervisorsCounty of Los Angeles383 Kenneth Hahn Hall of AdministrationLos Angeles, California 90012Dear Supervisors:APPROVE AMENDMENT TEN TO AGREEMENT 76293 WITHSECURITAS SECURITY SERVICES USA, INCORPORATED FOR PROPOSITION ASECURITY GUARD SERVICES FOR COUNTY HEALTH CARE FACILITIES(ALL DISTRICTS) (3 VOTES)SUBJECTThe Los Angeles County (County) Sheriff¶s Department (Department) seeks approval and executionof Amendment Ten (Amendment) to Agreement 76293 (Agreement) with Securitas Security ServicesUSA, Incorporated (Securitas) to execute the option term for an additional six months. This optionterm extension will enable the Department to complete its solicitation process for new Proposition AAgreements. This Board letter also seeks approval to add Service Provision Areas (SPA) three andfive to the Agreement.IT IS RECOMMENDED THAT THE BOARD:1. Approve and instruct the Mayor of the Board to sign the attached Amendment to the Agreement,adding Security Guard Services (Guard Services) previously provided under North AmericanSecurity, Incorporated (North American) under Agreement Numbers 76295 and 76297 due to theexpiration of these two Agreements, and executing the option term of the Agreement for six months,from February 1, 2015, through July 31, 2015.2. Delegate authority to the Sheriff or his designee to terminate the Agreement earlier, in whole or inpart, with 30 calendar days advance written notice, once the Department has completed thesolicitation process for new Agreements.

Delegate authority to the Sheriff, or his designee, to execute amendments to the Agreement tomeet the needs of the Department, if it is in the best interest of the County, including the addition ofnew or revised standard County contract provisions adopted by the Board during the term of theAgreement.4. Authorize the Sheriff to amend the Agreement, in an amount not to exceed 10 percent of thecontract amount, for additional security guards or facilities within the scope of the Agreement.PURPOSE/JUSTIFICATION OF RECOMMENDED ACTIONApproval of the recommended action will extend the term of the Agreement for its last six-monthoption and ensure there is no interruption of Guard Services for County health care facilities for theDepartment of Health Services and Department of Public Health (Health Departments). Theextension will allow the Department to complete the solicitation process for a new guard servicesagreement.The Maximum Contract Sum for the Agreement is increased by 501,008 for the six-month extensionoption.To manage unforeseen service level increases affecting the Health Departments, such as changes tooffice hours, emergent security requirements, or the addition of new facilities and services, theDepartment is recommending that the Board authorize the Sheriff to approve additional serviceswithin the scope of work, up to 10 percent per year.Implementation of Strategic Plan GoalsThe Services provided under this Agreement supports the County¶s Strategic Plan, Goal 1,Operational Effectiveness/Fiscal Sustainability; and Goal 3, Integrated Services Delivery. ThisAmendment will ensure that Guard Services are provided for the Health Departments, and safety ofthe public is maintained.FISCAL IMPACT/FINANCINGContracted Guard Services are funded through billing to the Health Departments. The HealthDepartments must demonstrate that sufficient funds are budgeted for any service request throughthe provision of a Departmental Service Order (DSO) prior to initiation of any service. The HealthDepartments have included sufficient appropriation to fund the cost associated with therecommended Amendment. The Department has included the cost, offset by DSOs for GuardServices, in the Department¶s operating budget. The Department will continue to allocate thenecessary funds throughout the duration of this Agreement.FACTS AND PROVISIONS/LEGAL REQUIREMENTSOn July 24, 2007, the Board approved the current Agreement with Securitas for the provision ofServices to the Health Departments.

The Honorable Board of Supervisors1/20/2015Page 3On December 15, 2009, the Board approved the consolidation of the Office of Public Safety dutiesand functions into the Department, and the replacement of the Chief and Deputy Chief with theSheriff or designee.On July 10, 2012, the Board approved an amendment to extend the term of the Agreement for anadditional one-year, with an option to extend the term of the Agreement for an additional period notto exceed six months.On August 28, 2013, the Department released Request for Proposals (RFP) 456-SH, to solicit foragreement(s) with vendor(s) to provide Guard Services for County departments in eight SPAs,grouped within the three operational zones overseen by the Department¶s County Services Bureau.On January 21, 2014, the Board executed Amendment Number Nine to extend the term of theAgreement for an additional year, with an option to extend, for a period not to exceed six months, inany increment.The Amendment exercises the last option of the Agreement for an extension period of six months.This extension will enable the Department to complete its solicitation process for new Proposition AServices Agreements. The pricing structure as stated in the current Agreement remains unchanged.Securitas is in compliance with all Board and Chief Executive Office requirements.The Amendment has been approved as to form by County Counsel.Effect of ExpirationOn December 12, 2014, the Department received written notification from North American requestingtermination of Agreements 76295 and 76297.The County will allow Agreements 76295 and 76297 to expire on January 31, 2015. AMENDMENT NUMBER TEN TO AGREEMENT NUMBER 76293BY AND BETWEENCOUNTY OF LOS ANGELESANDSECURITAS SECURITY SERVICES USA, INC.FOR PROP A SECURITY GUARD SERVICESThis Amendment Number Ten (hereinafter "Amendment") is entered into by and betweenCounty of Los Angeles (hereinafter "County") and Securitas Security Services USA, Inc.(hereinafter "Contractor"), effective upon execution by all parties.WHEREAS, on July 24, 2007, the County and Contractor entered into AgreementNumber 76293 (Contract) to provide the County with security guard services for the Rancho LosAmigos Medical Center and Health Centers; andWHEREAS, the Contract authorizes the Chief of the Office of Public Safety, or designee,to amend the Contract annually in an amount not to exceed ten(1 0) percent of the contractamount for scope of work changes; andWHEREAS, contract amendment number one (1 ), effective May 8, 2008, amended thecontract amount to 2,437,591 for the first contract year and 2,481,910 for the second contractyear and staffing plan to provide for unforeseen operation requirements; andWHEREAS, contract amendment number two (2), effective July 14, 2008, amended theContract to reduce security guard service levels due to fiscal constraints at Rancho Los AmigosMedical Center; andWHEREAS, contract amendment number three (3), effective August 15, 2008, amendedthe Contract Statement of Work Exhibit A2 - Minimum Staffing Plan, increasing the service levelat Rancho Los Amigos Medical Center; andWHEREAS, contract amendment number four (4), effective February 17, 2010,amended Exhibit E - County's Administration; added the Defaulted Property Tax ReductionProgram language and revised Exhibit N - Contractor's Obligations as a Business AssociateUnder the Health Insurance Portability and Accountability Act of 1996 to address the HealthInformation Technology for Economic and Clinical Health Act; andWHEREAS, the Contract has a term of three (3) years with two (2) one-year renewaloptions; andWHEREAS, the Contract authorizes the Chief, Office of Public Safety, or designee, toexercise the Contract renewal options annually; andWHEREAS, on December 15, 2009, the Board of Supervisors approved theconsolidation of the Office of Public Safety (OPS) duties and functions into the Sheriff'sDepartment, and the replacement of the Chief and Deputy Chief, Office of Public Safety, withthe Sheriff or designee; andWHEREAS, contract amendment number five (5), effective July 15, 2010, amended theContract to extend the term of the Contract for one (1) year, added Statement of Work, subAMENDMENT TEN CONTRACT# 76293Page 1 of 4

section 6. 7.9 to sub-section 6. 7 Training, in its entirety, and added Exhibit P, Los AngelesCounty Sheriff's Department Manual of Policy and Procedures: Policy of Equality and theAcknowledgement of Receipt; andWHEREAS, contract amendment number six (6), effective June 29, 2011, extended theterm of the Contract for one (1) year from August 1, 2011 through July 31, 2012; andWHEREAS, on July 10, 2012, the Board of Supervisors approved contract amendmentnumber seven (7) to modify the Contract to extend the term of the Contract for an additional one(1) year with an option to extend for an additional period not to exceed six (6), and gave theSheriff the authority to exercise and execute the extension options; andWHEREAS, contract amendment number eight (8), effective July 12, 2013, extended theContract for an additional period of six (6) months commencing on August 1, 2013 throughJanuary 31, 2014; andWHEREAS, on January 21 , 2014, the Board of Supervisors approved contractamendment number nine (9) to extend the term of the Contract for an additional one (1) yearwith an option to extend for an additional period not to exceed six (6) months to avoid aninterruption of services while the Department completes its solicitation process, and gave theSheriff the authority to exercise and execute the extension options; andWHEREAS, the Contract expires on January 31, 2015; andWHEREAS, County and Contractor desire to modify the Contract to add ServiceProvision Areas (SPA) three and five and extend the term of the Contract for an additional six(6) months. The maximum Contract Sum is increased by 501,010 due to the addition of thetwo SPAs for the six (6) month option period.
