Washington State Potato CommissionExecutive Committee MeetingDavenport Grant Hotel, Spokane WABirch BallroomWednesday December 8, 2021, 9:00AMCall to Order and Roll Call- Chair Heath Gimmestad called the meeting to order at 9:02am and gave theroll call. Attending the meeting were Heath Gimmestad, Chris Olsen, Mark Hammer, Grant Morris, KraigKnutzen and Albert Stahl. Staff attending included Chris Voigt, Brandy Tucker, Matt Harris, MatthewBlua, Angie Griffith, and Tressa Radach as recorder. A quorum was declared present. There were noguests.Approval of Minutes- The minutes from the 9-1-21 Executive meeting were presented for approval.Action: Grant Morris moved that the meetings from the 9-1-21 Executive meeting beapproved as written. Mark Hammer seconded the motion. The motion passed unanimously.Finance Committee Report:YTD Budget- Chris reviewed the 2021-2022 budget. We have collected 1,459,055.70 in assessmentsthis year. We are currently operating in the black. There is a credit in the staff training line item due to areimbursement on Angie’s old credit card. We just completed our annual financial review. Mike Harrisonwill be giving a report on the review at the Quarterly meeting tomorrow. We will have our usual stateaudit this spring as well as a commodity commission performance audit. The budgets are tracking well.Our biggest expense in MIA is the Ag Communications/WA Grown account. We have spent just over208k out of that line item. Grant Morris suggested looking at International Fresh promotions in thefuture. Grant also suggested sponsoring the NPC Expo if we have leftover funds in the NPC Expo lineitems. He suspects that they will need the funds due to another scaled back Expo event.Grant asked how long our contract is with groups like the Russel group and Mark/Diana? Chris statedthey are year-long contracts. Grant asked if we should expect their rates to increase next year due toinflation? The group agreed to consider this if approached by our contractors.Investments/Reserves- Chris reviewed the investment summary. We had a few investments mature.We are looking into a few different options for reinvestment. We have just over 4 million dollars ininvestments.Operations Update:Collections- Chris reviewed the collections report. The collections are looking good. We have one groupin the 90 days past due column. We expect to collect that 20k soon.2

Review Quarterly Agenda- Chris reviewed the Quarterly agenda. Marvin Wollman will be unable toattend. Chris Olsen asked if we could begin coordinating our meetings with the Potatoes USA meetingschedule? It is difficult for people to attend both meetings/choose between meetings. We will do that.Day 2 of the Quarterly meeting will begin at 8am. We will approve our PVMI representative, look at theBob Thornton Fellowship, our funding commitment for Washington Grown and the Amazon OTTeducational commercials.Chris asked if there were any changes the group would like to see made to the Quarterly agenda?After some discussion the group agreed to keep the agenda as presented.ACTION: Mark Hammer moved to accept the Quarterly agenda as presented. Grant Morrisseconded the motion. The motion passed unanimously.Status of WSPC Reserve Policy- Chris reviewed the status of the reserve account policy. We are hopingto create this policy as a guideline to create funding levels for emergencies, revenue shortfalls, andspecial projects. We would like to create two different accounts-an emergency fund and a specialprojects reserve account. The emergency fund will be used for “all hands-on deck” issues such as themarket shutting down due to pests, dam breaching or a shortfall in revenue. The special projects reserveaccount will be used for short term special projects such as start up funds for a researcher or a socialmedia campaign. Any funds beyond that would be considered for enhanced WSPC programs to betterserve the growers.The goal is to always tap into the special projects reserve account before dipping into the emergencyfund. There would be minimums and maximums for each account.The group came to the consensus that the policy needs to be black and white. For example “we will” or “we won’t” Grant Morris stated that the reason for this account is to promote the spending of the reserve funds, sothe commission is utilizing grower dollars.The group came to the consensus that we need to define the separate accounts before presenting theidea to the full commission. Before voting on specific numbers the group needs a clear definition of eachaccount and what they will be used for. After some discussion the subcommittee is going to revisit thisissue later.The group decided that at the Quarterly meeting we will discuss ways to effectively spend the money inour reserve account to benefit the growers rather than looking at changing the policy.3

WSPC Budget Development for 2022-2023- Chris asked the group what kind of budget they would liketo see the Commission create for 2022-2023?Grant stated that everything we know we will be spending money on in the FY should be included in thebudget. Chris stated that is what we currently do and will continue to do so.Commission issues updateStatus of New Potato Wart Find on PEI- Chris gave an update on Potato Wart on PEI. Each year there ismore wart found than the previous year. This is causing some concern. The US government has shutdown Canadian exports from PEI. Chris is going to provide the group with more technical information onPotato Wart as this national issue will continue for many years.Potato Day/Ag Activities for Legislative Session- Chris stated that there will be a hybrid legislativesession this year. Chris asked the group for some input on how to handle Potato Day this year. Chrisstated that we can host another virtual cooking event, or we can host something off-site at Mark andDiana’s office. Chris Olsen asked Matt if he believes people would be willing to visit the off-site location?Matt stated it is 2-3 blocks away, he believes people would attend. Matt stated that any extra food canbe donated to the local food banks.The group came to the consensus that whatever Mark and Diana think is best will be the most effectivepath forward.Increasing Consortium Funding Contributions- Chris asked the group if they are interested in increasingour contribution to the Consortium. The group came to the consensus to bring this topic to the fullcommission.CRADA/PVMI Progress- Chris gave an update on the CRADA/PVMI process. Everything is comingtogether. CRADA is separate from PVMI. There are 7 partners involved in CRADA. ARS asked theCommissions if they would like to take ownership of the varieties? Chris stated that we would likeownership of the varieties so we can directly put those funds back into breeding programs.Grant stated that he believes it is a good idea for the Commission to manage the variety royalty fundsrather than the Universities.Other Issues- None at this time.Exec Session: Heath Gimmestad called for an Executive Session to discuss personnel matters forapproximately ten minutes. No action was expected to be taken.As there was no further business the meeting was adjourned at 11:55pm.4
