Minutes of Rutland Regional Health Services Annual Meeting of MembersApril 7, 2021 – 5:30pm Virtual via ZoomPresiding: Joe Kraus, Board Chair Secretary: Denise Clark Recording: Pat BairdWELCOME/CALL TO ORDERCEO and President Claudio Fort provided introductory comments and reviewed the agenda for the 2021 AnnualMeeting of the Corporators.A quorum being present, the meeting was called to order by Chair Joe Kraus.INTRODUCTION of BOARD MEMBERSBoard Chair Joe Kraus introduced current directors of the RRHS/RRMC Board. Mr. Kraus thanked directorsfor their service and leadership to the hospital and the Rutland Community.RRHS CHAIR’S REPORTBoard Chair Joe Kraus provided an executive summary of what 2020 presented to our country, our state, andthe Rutland community during COVID-19.Mr. Kraus reviewed challenges that Rutland Regional faced and how leadership worked together to effectivelycoordinate care for both COVID-19 patients and non-COVID-19 patients and adapted to quickly changingguidelines, while responding to challenges, including issues with staffing, supplies, testing and treatment.Mr. Kraus acclaimed many successes, one of them being Magnet redesignation for a third time as well as thecompletion of the Thomas W. Huebner Medical Office Building.MEDICAL STAFF PRESIDENT’S REPORTDr. Phil Lapp began by welcoming and reviewing a list of 14 new members who have joined Rutland RegionalMedical Center’s medical staff in 2020 – 2021. Dr. Lapp provided an overview of how Rutland RegionalMedical Center’s medical staff faced 2020 head on, pulling together, adapting to many challenges, risks, anduncertainties. Dr. Lapp provided an overview of implementation of new care offerings including the use ofvideo and telephone checkups to maintain continuity of care while still preserving patient and communitysafety. Dr. Lapp reported on how Rutland Regional Medical Center is forging ahead in 2021 as a beacon ofhope for the community.JAMES T. BOWSE HEALTH TRUST COMMITTEE REPORTCommittee Chair Joan Gamble provided an overview of the composition of the Bowse Health TrustCommittee and their two major responsibilities a) their annual grant process for startup programs and b)collaboration of community-based programs aimed at creating a healthier community in 2020 – 2021.

PRESIDENT’S REPORTCEO and President Claudio Fort provided an overview of the immediate priorities which were establishedto carry Rutland Regional through the pandemic. Mr. Fort indicated that over a span of just a few weeks thenovel coronavirus fundamentally changed the world but ‘in true Rutland fashion’ Rutland Regional wastedno time articulating a new purpose, a new set of challenges, requiring an extremely agile response. Mr. Fortreported on Rutland Regional moving forward from response to recovery, and finally on to rebuilding, guidedby the lessons we have learned. Mr. Fort reported on Rutland Regional’s new strategic plan as well as ourdecision to enter into the Medicare Alternative Payment Program under the OneCare Vermont AccountableCare Organization. In addition, another highlight in 2020 is the hospital’s partnership with the RutlandHousing Authority transitional housing program.APPROVAL OF 2019 MINUTESUse of Zoom polling feature. Rutland Regional Health Services/Rutland Regional Medical CenterCandidates for the Board of DirectorsMatthew Kinsman – Candidate for Initial Three-Year TermMatt is the Director of Finance at Killington/Pico Ski Resort. He has been in this role since 2012. Previous to hiscurrent role, he also held similar positions with Sherman V. Allen, Inc and Mount Snow Ski Resort. Matt also holdsboard positions on the Marble Valley Regional Transit District, Pico Ski Education Foundation, Killington GrandHotel Homeowner’s Association, and Rutland Country Club. Matt is a graduate of the University of Vermont andlives in Rutland with his wife and three children.Philip Lapp, MD – Candidate for Initial Three-Year TermPhilip R. Lapp, MD, FACE, started the Rutland Endocrinology and Diabetes Clinic in 1995 after completing hisEndocrinology fellowship at the Maine Medical Center in Portland, Maine. He graduated Summa Cum Laude,with Phi Beta Kappa honors from Colby College and received his MD from the University of Vermont College ofMedicine. He is a fellow of the American College of Endocrinology, is board certified in Diabetes Endocrinology andMetabolism, and received Endocrine Certification in Neck Ultrasound in 2009. Dr. Lapp is President of the RutlandRegional Medical Center’s Medical Staff, Vice Chair of the Rutland Regional Medical Management Committee, amember of the Rutland Regional Leadership Council, and has previously served as Rutland Regional’s Chief MedicalInformation Officer from 2012-2014. His practice interests include thyroid disease and general endocrinology.Dr. Lapp lives in Ira, Vermont with his wife, Michele.
