1.These general conditionsThese General Conditions are part of your Merchant Agreementwith Worldline.The Merchant Agreement (“Agreement”) consists of:(i)Order Form;(ii)General Conditions;(iii)Secure Internet Site Declaration (where applicable) andMerchant Prepayment Exposure Declaration (whereapplicable);(iv)all applicable Terminal Guides;(v)any Special Conditions set out in the Order Form orotherwise agreed in writing by the Merchant andWorldline to be Special Conditions as varied from time totime in accordance with these General Conditions; and(vi)any documents relating to the Security (where applicable).It is advisable that the Merchant reads all documents comprisingthe terms and conditions under which the Merchant Facilities areprovided by Worldline.Some words and expressions have special meanings in theseGeneral Conditions. The meanings are described in Condition 43and when the Merchant is reading these General Conditions, theMerchant should refer to Conditions 43 and 44.Each party must act reasonably in determining any matter orexercising any discretion or contractual right or power, under or inconnection with the Merchant Agreement.2. (i)(ii)(iii)(iv)3.Provision of merchant facilitiesWorldline agrees to provide the Merchant with theMerchant Facilities in accordance with the Agreement.Worldline agrees to do this in exchange for the Merchantcarrying out the Merchant’s obligations under theAgreement.Worldline will provide the Merchant Facilities unless:(a) the Agreement is terminated;(b) the Merchant Facilities are suspended in accordancewith the Agreement; or(c) there is a change in Law or to the regulations,by-laws or rules of a Nominated Card Scheme thatprevents Worldline providing the Merchant Facilities.The Merchant Facilities may only be used by the Merchantand may not be used by, or on behalf of, any third party(including any associated company or related bodycorporate of the Merchant), without the prior writtenauthorisation of Worldline.The Merchant Facilities may only be used within Australia,unless s pecifically authorised under the Nominated CardScheme rules.Conditions precedentWorldline’s obligation to make any of the Merchant Facilitiesavailable to the Merchant is conditional on Worldline beingsatisfied that:(i)the Merchant has accepted Worldline’s offer in accordancewith the method of acceptance required by Worldline inthe Order Form;(ii)except for the ANZ Transferred Merchants, Worldline hasreceived a properly completed periodical direct debitauthority in favour of ANZ if the Merchant Account is heldwith another financial institution;General Conditions5

(iii)(iv)(v)(vi)Worldline has received all documents requested byWorldline in the Order Form or otherwise at the time of theapplication for the Merchant Facilities;if the Merchant is a trustee of a trust, Worldline hasreceived a copy of the trust deed, and any variations oramendments to the trust deed, each certified to be acomplete, correct and up-to-date copy;if the Merchant is a partnership, Worldline has receiveda copy of the partnership deed and any variations oramendments to the partnership deed, each certified to bea complete, correct and up-to-date copy; andany other conditions set out in the Order Form or asotherwise advised to the Merchant by Worldline have beenfulfilled.4.Nominated cards5.Honouring nominated cards and permitted uses(i)The Merchant must:(a) accept Nominated Cards in accordance with theAgreement; and(b) stop accepting a Nominated Card immediately if:– Worldline gives the Merchant a notice to do so; or– any of the events described in Condition 2(ii) occur.(ii)To remove any doubt the Merchant must not:(a) accept a Nominated Card as payment for goods orservices by mail, telephone or Internet Order; or(b) take Cardholder details via mail, telephone, facsimile orthe Internet,unless specifically authorised in writing by Worldline.(i)(ii)(iii)6The Merchant must accept valid Nominated Cards.A Nominated Card is valid if:(a) the Nominated Card has current validity date (ifapplicable);(b) the Nominated Card has not been visibly altered ortampered with in any way;(c) it is signed on the back in the designated area forcard signatures (if the Nominated Card contains adesignated area for card signature);(d) the name of the Cardholder and the Card number,whether or not embossed, are printed on theNominated Card;(e) the account number appearing on the Nominated Cardcorresponds with the number printed, encoded orotherwise shown on the Nominated Card;(f) the signature on the Nominated Card has not beenaltered or defaced (if the Nominated Card contains adesignated area for card signature); and(g) the Nominated Card meets each of the criteria forvalidity set out in the relevant Terminal Guides.The Merchant must not:(a) make any representation in connection with any goodsor services or any Nominated Card which may bindWorldline;(b) make any representations to any Cardholderconcerning Worldline’s or ANZ’s products or policies;(c) pledge the credit of Worldline or ANZ in any way;(d) take part in the preparation of any documentspurporting to provide for credit to be provided byWorldline or ANZ to the Cardholder;General Conditions

(e) engage in any conduct which is false, misleading ordeceptive concerning goods or services supplied bythe Merchant, Worldline’s or ANZ’s products or policiesor in any other dealings with the Cardholder;(f) use a Nominated Card in a Credit Transaction to give aCardholder cash. The Merchant may use a NominatedCard in a Debit Transaction to give a Cardholder cashprovided the Merchant has prominently displayed inthe Premises the Merchant’s policy on cash out andpartial cash out services including any applicable fees;or(g) use a Nominated Card issued in the name of theMerchant in any Transaction to pay for goods orservices or to provide cash where the Transactionis not a bona fide sale or where the Transaction isfor the purpose of funding the working capital ofthe Merchant’s business. Where the Merchant is apartnership, no Nominated Card issued in the name ofa partner is to be used in any such Transaction. Wherethe Merchant is a company, no Nominated Card issuedin the name of a director or secretary is to be used inany such Transaction.Any Cardholder making enquiries concerning the matters raised inparagraphs (b) to (d) above must be directed to contact WorldlineMerchant Services.6.(i)(ii)(iii)(iv)Processing transactionsThe Merchant must only use Transaction Vouchers,Card Imprinters and Electronic Terminals authorised byWorldline.If Worldline has agreed that the Merchant can processTransactions electronically, the Merchant must not usea Card Imprinter and Electronic Terminal to process thesame Transaction. The Merchant may only process aTransaction manually using the Card Imprinter if theElectronic Terminal is malfunctioning or it is impossible forTransactions to be processed through it.If the Merchant processes Transactions manually, theMerchant must follow any directions given in a TerminalGuide and use any products or tools in the mannerdirected by Worldline.The Merchant must ensure any goods purchased viamail, telephone or Internet order are despatched tothe Cardholder immediately after processing that salesTransaction either manually or through an ElectronicTerminal to Worldline.The Merchant must not use two or more TransactionVouchers to process one Transaction or process aTransaction where only part of the amount due is includedon the Transaction Voucher except:(a) where the balance of the amount due is paid in cash orby cheque; or(b) where the goods or services are to be delivered orperformed at a later date and one Transaction Voucherrepresents a deposit and the second TransactionVoucher represents payment of the balance. Thesecond Transaction Voucher must not be presentedor processed until the goods are delivered or theservices performed.General Conditions7

(v)(vi)(vii)(viii)(ix)(x)(xi)8The Merchant must not process a Transaction on behalfof another person including another merchant or allowanother person to use the Merchant Facilities except undera bona fide agency arrangement.The Merchant must use reasonable care in processing aTransaction to detect forged or unauthorised signaturesor the unauthorised use or forgery of a Nominated Card.In particular, the Merchant must comply with specificrequirements set out in the Terminal Guides or reasonabledirections notified by Worldline to the Merchant in writing.You are advised to read the Fraud Minimisation guidelineswhich can be found at anzworldline.com.au/fraud.Following each Transaction (other than mail, telephoneand Internet Orders) the Merchant must immediatelygive the Cardholder a copy of the Transaction Voucher.When the Transaction is an Internet Transaction, theCardholder must be able to print a Transaction Voucherfrom the Internet and when the Transaction is a telephoneTransaction, the Merchant must provide the Cardholderwith a receipt number for the Transaction and theMerchant must maintain a record of that receipt number.Unless otherwise authorised by Worldline in writing, theinformation on the Transaction Voucher must be identicalwith information on any other copy of the TransactionVoucher and must include all information required by therelevant Terminal Guide.The Merchant must not:(a) split the value of any proposed Credit Transactioninto two or more separate Credit Transactions whichwould, when added together, be in excess of theAuthorised Floor Limit[; or(b) split the value of transactions or engage in any formof “load balancing” (that is, any form of distributingtransactions between or over different merchantaccounts with Worldline and/or any one or more otheracquirers) with the aim of avoiding any transactionlimits imposed by any Nominated Card Schemes].If Worldline determines that the conduct of a Merchantin processing Transactions in accordance with theAgreement may cause loss to the Merchant or Worldline(through fraudulent activities or otherwise), Worldline may:(a) where the Merchant is using a Card Imprinter, requirethe Merchant to replace that Card Imprinter with anElectronic Terminal nominated by Worldline; and/or(b) where the Merchant is authorised by Worldline toaccept a Nominated Card as payment for goodsor services ordered by mail, telephone or Internetin accordance with Condition 4(ii), withdraw thatauthorisation and require the Merchant to only processTransactions where the Nominated Card is presentedby the Cardholder.The Merchant must prominently and clearly inform theCardholder of the identity of the Merchant so that theCardholder can readily distinguish the Merchant from anysupplier of goods or services to the Merchant or otherthird party. The Merchant must also notify the Cardholderthat the Merchant is responsible for:(a) the sales Transaction including any goods or servicesthat are the subject of the sales Transaction;(b) all customer service relating to the sales Transaction;General Conditions

(c) dispute resolution in connection with the salesTransaction; and(d) performance of the terms and conditions of the salesTransaction.(xii)If the Merchant is specifically authorised by Worldlineto accept a Nominated Card as payment for goodsor services ordered by mail, telephone or Internetin accordance with Condition 4(ii) or the Merchantis authorised by a Cardholder to process RecurringTransactions, the Merchant must ensure that theTransaction is correctly identified as a mail, telephone,Internet Order or Recurring Transaction.(xiii)If a Merchant is authorised to process RecurringTransactions, the Merchant must maintain appropriatebusiness practices to ensure that the Cardholder’sNominated Card information remains current, accurateand complete (including where applicable, the NominatedCard’s expiry date).(xiv) If the Merchant is authorised to process RecurringTransactions, the Merchant must also ensure thatRecurring Transactions are processed with theCardholder’s consent.(xv)The Merchant is required to provide Cardholders witha means of informing the Merchant of changes to cardaccount details and/or the Cardholder’s wish to cancelpayment arrangements. The Merchant is required to actionany Cardholder request to change and/or cancel paymentarrangements within 5 Business Days of receipt of theCardholder’s request.(xvi) The Merchant must not, without the prior writtenconsent of Worldline, process Transactions for anygoods or services unless delivery to the Cardholder willbe completed within twelve months of the date of theTransaction.(xvii) The Merchant must comply with all applicable Laws, anyobligations in this Agreement and any reasonable directionof Worldline in carrying out its obligations in processingTransactions under the Agreement. For the avoidance ofdoubt, a breach of any Law including any code of conductspecifically regulating or prohibiting the retention bymerchants of Cardholders’ personal identification numbers,passwords or other codes or information that can be usedto access a Cardholder’s account will constitute a breach ofthis undertaking.(xviii) The Merchant must ensure that it processes allTransactions in accordance with the requirements of anyNominated Card Scheme rules that Worldline notifies tothe Merchant.(xix)The Merchant must ensure that each Transaction isrecorded in Australian dollars except where Worldline hasgiven prior written approval to the Merchant to recordTransactions in other currencies.7.(i)AuthorisationFor non-Recurring Transactions – the Merchant must seekprior authorisation from the Authorisation Centre for anyTransaction where:(a) in the case of a Credit Transaction:(A) the value is in excess of the Authorised Floor Limit;orGeneral Conditions9

(ii)(iii)(iv)(v)(vi)(vii)10(B) the Transaction is key-entered into an ElectronicTerminal;(b) the Merchant is aware that, or considers it is possiblethat, a signature is a forgery or is unauthorisedor there is an unauthorised use or forgery of theNominated Card;(c) the account number appearing on the NominatedCard does not correspond with the number printed,encoded or otherwise shown on the Nominated Card;(d) the Cardholder presents a Nominated Card at atime which is not currently valid as shown on theNominated Card (where applicable);(e) the signature panel on the Nominated Card is blank orthe signature has been altered or defaced;(f) the Electronic Terminal instructs the Merchant tocontact the Authorisation Centre; or(g) the Transaction is of a certain type or class which hasbeen notified to the Merchant by Worldline as a typeor class of Transaction requiring authorisation.For Recurring Transactions – the Merchant must obtainauthorisation for all Recurring Transactions and ensureit has the Cardholder’s consent to process RecurringTransactions. Where applicable, the Merchant mustensure the Nominated Card has a current validity dateand that the CVV2 is provided when processing the firstRecurring Transaction against that Nominated Card. Afterprocessing the initial Recurring Transaction, the Merchantmust destroy the CVV2 in one of the manners set out inCondition 9(iv).When the Merchant seeks authorisation, the Merchantmust ensure that the authorisation code appears on eachTransaction Voucher applicable to a Transaction.The Merchant should seek to retain the Nominated Carduntil authorisation is given. If the Merchant is requested bythe Authorisation Centre to retain the Nominated Card, theMerchant should use reasonably peaceful means to retainthe Nominated Card and deal with the Nominated Cardin accordance with the instructions of the AuthorisationCentre.In the case of a Transaction involving a mail, telephoneor Internet order, authorisation is not a representation orwarranty to the Merchant that the purchase is made by theCardholder.Authorisation of a Transaction is not a representation orwarranty by Worldline to the Merchant that a Transactionis not an Invalid Transaction.Worldline may change a Merchant’s Authorised Floor Limitimmediately upon notice:(a) where Worldline has approved a change requested bythe Merchant;(b) where in Worldline’s reasonable opinion, the changeis required to protect Worldline, the Merchant and/or Cardholders from actual or suspected fraudulentactivity;(c) to enable the processing of transactions duringtechnical difficulties; or(d) where required by a change in Law or to theregulations, by-laws or rules of a Nominated CardScheme.General Conditions

Where the Merchant’s Authorised Floor Limit is changed for anyother reason, Worldline will provide the Merchant with reasonablenotice of at least 30 days of the change.8.(i)(ii)(iii)(iv)(v)RefundsThe Merchant must:(a) Establish a fair policy for giving Refunds and forexchanges or return of goods for sales Transactions,which complies with all applicable Laws including butnot limited to the “Australian Consumer Law”, as setout in Schedule 2 of the Competition and ConsumerAct 2010 (Cth).(b) The Merchant must disclose the Merchant’s Refundpolicy to the Cardholder prior to the Transaction.(c) Where the Merchant is authorised to processTransactions via the Internet in accordance withCondition 4(ii), prominently display the Merchant’sRefund policy on its website; and(d) at all times act in accordance with the Terminal Guidesin processing Refunds.In respect of any Transaction processed via theMastercard or Visa Nominated Card Schemes, if aMerchant:(a) gives a Refund to a Cardholder, where possible,the Merchant must process the Refund to the sameNominated Card on which the original Transaction wasmade;(b) is unable to reasonably comply with Condition 8(ii)(a), subject to any applicable Laws and any relevantrequirements in the Terminal Guides, a Merchantmay process the Refund to a different NominatedCard, which belongs to the same Cardholder as theNominated Card on which the original Transaction wasmade; or(c) is unable to reasonably comply with either Condition8(ii)(a) or Condition 8(ii)(b), subject to any applicableLaws and any relevant requirements in the TerminalGuides, a Merchant may process the Refund using analternate means.In respect of any Transaction processed via a NominatedCard Scheme other than the Mastercard or VisaNominated Card Schemes, if a Merchant gives a Refundthe Merchant must process the Refund to the sameNominated Card on which the original Transaction wasmade or otherwise in accordance with the process set outin the relevant Terminal Guides, unless otherwise requiredby Law.The Merchant must not, without Worldline’s prior consentprocess a Refund for:(a) any purpose, other than to provide a Refund for anoriginal Transaction under and in accordance with thisCondition 8; or(b) an amount that is greater than the original Transaction.If a Merchant:(a) processes a Refund other than to a Nominated Cardwhich belongs to the same Cardholder who made theoriginal Transaction;(b) processes a Refund for an amount which is different tothe amount of the original Transaction;(c) processes a Refund to an incorrect Nominated Card;General Conditions11

or(d) makes any other errors or omissions when processinga Refund, the Merchant may be liable for any losses,claims, damages or costs (including consequentialloss) arising directly or indirectly in connection with theRefund or original action informationThe Merchant must lodge Transactions with Worldlinefor settlement in accordance with the Terminal Guidesand any other reasonable directions from Worldline or aNominated Provider and:(a) in the case of a Transaction processed manually within3 Business Days after the Transaction;(b) in the case of a Transaction processed through anElectronic Terminal other than a Credit AuthorisationTerminal, immediately by entering the Transaction; and(c) in the case of a Transaction processed electronicallyby use of a Credit Authorisation Terminal, within 3Business Days after the Transaction.The Merchant must retain information about a Transactionwhether processed manually or electronically for a periodof 30 months from the date of the Transaction or suchother period required by Law or reasonably notified byWorldline. The Terminal Guides set out the informationabout a Transaction which the Merchant must retain.The Merchant must destroy any information about theTransaction on the later of:(a) the expiry of the 30-month period; or(b) the date on which the Merchant has no furtherbusiness or legal reason for retaining the information.The Merchant must ensure that Cardholder data isdestroyed in the following manner:(a) shred, incinerate or pulp hardcopy materials so thatCardholder data cannot be reconstructed; and(b) render Cardholder data on electronic mediaunrecoverable so that Cardholder data cannot bereconstructed.The Merchant must provide information about aTransaction which is requested by Worldline within 5Business Days of receipt of the request.The Merchant must provide any information or reportingreasonably required by Worldline.Settlement of transactionsWorldline agrees:(a) to accept all sales and cash Transactions processedby the Merchant in accordance with the Agreementand, subject to Condition 13.2, to credit the MerchantAccount with the full amount of such Transactions onthe basis that the debt due by the Cardholder to theMerchant in respect of the Transaction is extinguished.Worldline will endeavour to process Transactions andcredits to the Merchant Account in a timely manner.Despite this, in certain circumstances however, thedate on which Worldline processes Transactions maynot be the same as the date on which a Transactionoccurs and the calculations of fees may be based onthe date a Transaction was processed; and(b) to accept all Refund Transactions processed by theGeneral Conditions

(ii)(iii)(iv)(v)Merchant in accordance with the Agreement and todirect ANZ to debit the Merchant Account with thefull amount of each Refund Transaction. Worldlinewill endeavour to process Refund Transactions in atimely manner. Despite this, in certain circumstanceshowever, the date on which Worldline processesRefund Transactions may not be the same as the dateon which a Refund Transaction occurs.Worldline will issue a monthly record of Transactionsstatement including a summary of the number of DebitTransactions and the number and total amount of all CreditTransactions processed by Worldline to the MerchantAccount during the previous month.Where Worldline is aware or has reason to believe thata Transaction or Invalid Transaction is fraudulent ora counterfeit Nominated Card has been used for thatTransaction, Worldline reserves the right for a period whichwill usually not exceed 30 days to:(a) withhold payment to the Merchant Account [; and(b) unless it otherwise agrees in writing, prevent the debitof that part of the balance of the Merchant Accountor any account held by the Merchant with Worldline,as is equal to the amount Worldline estimates maybecome owing to it by the Merchant in respect of thatTransaction].During that period which will usually not exceed 30 days,Worldline will investigate the Transaction to determinewhether Worldline will either:(a) refuse to process the Transaction and return theTransaction to the Merchant; or(b) if the Transaction has been processed, charge thatTransaction back to the Merchant, and will set-offamounts owing to it by the Merchant in respect ofthat Transaction against funds held in the RetentionAccount or against funds of any future transactionsprocessed by Worldline for the Merchant.Where:(a) Worldline is aware or has reason to believe that aTransaction or Invalid Transaction is fraudulent;(b) Worldline assesses the Merchant as a high credit orfraud risk;(c) the Merchant has breached the Agreement; or(d) Worldline otherwise determines on reasonablegrounds that deferred settlement is justified in order toprevent loss to the Merchant or Worldline,Worldline may do any or all of the following:(e) block the Merchant from processing a Transaction; or(f) defer settlement of any Transaction for up to 2Business Days.It may do these things during a period of up to threemonths following the occurrence of the circumstance setout in (a) to (d) above (the “deferred period”). Immediatelyprior to the end of any deferred period, Worldline willreview the relevant circumstance set out in (a) to (d)above, to determine whether blocking Transactions and/ordeferred settlements should continue and what period thatdeferral should be. Worldline will advise the Merchant inwriting of its decision on completing the review.General Conditions13

11.Invalid transactionsA Transaction is invalid if:(i)the Transaction is illegal, including, without limitation,because it is in breach of any Law governing, for example,the sale of prescription medicines, controlled substancesor other regulated products;(ii)the date of the Transaction is a date after the Agreementwas suspended or the Merchant Account frozen inaccordance with Condition 29 or terminated in accordancewith Condition 30;(iii)the Merchant processes the Transaction knowing (or incircumstances where the Merchant should have known)that the signature on the Transaction Voucher is forged orunauthorised;(iv)the Merchant processes the Transaction knowing (or incircumstances where the Merchant would reasonablybe expected to know) that the Nominated Card is usedwithout the authority of the Cardholder or in the case of amail, telephone or Internet order authorised by Worldlinein accordance with Condition 4(ii), the Transaction is notauthorised by the Cardholder;(v)the Merchant was notified by Worldline not to accept theNominated Card used in the Transaction;(vi)for non-Recurring transactions, the Nominated Card usedin the Transaction is not used at a time which is currentlyvalid as shown on the Nominated Card (unless otherwiseadvised by Worldline);(vii)for Recurring Transactions – the expiry date (whereapplicable) and CVV2 of the Nominated Card is notprovided with the initial Recurring Transaction;(viii)the Transaction Voucher is not completed in accordancewith the Agreement or is illegible;(ix)the particulars on the copy of the Transaction Vouchergiven to the Cardholder are not identical with theparticulars on any other copy and the Merchant has notbeen authorised by Worldline in writing to accept copyvouchers which are not identical;(x)the Transaction is recorded in a currency other thanAustralian dollars, except where Worldline has given priorwritten approval to the Merchant to record Transactions inother currencies;(xi)the price charged for the goods or services to which theTransaction relates is more than the Merchant’s normalprice which is charged to the general public, except wherethe additional amount represents the amount of anycredit card surcharge properly incurred or charged by theMerchant;(xii)for:(a) non-Recurring Transactions – the Transaction requiresauthorisation by Worldline and the Merchant does notobtain such authorisation; and(b) Recurring Transactions – the Transaction isunauthorised and/or does not contain a RecurringTransactions flag;(xiii)the Transaction value exceeds the Authorised FloorLimit, and the Merchant did not obtain authorisation for aTransaction above the Authorised Floor Limit;(xiv)the Transaction requires authorisation by Worldline and theTransaction Voucher does not contain the authorisation code;14General Conditions
