OD-7Physician Compensation After The Regulatory Sprint and in Post-Pandemic TimesThe COVID‑19 pandemic raised concerns among healthcare leaders about the adequacy of existing physician compensation models to adaptto and manage large-scale environmental disruptions. Current physician compensation models often do not align incentives with the dynamic and unique strategic priorities of health systems, especially in the face of unforeseen circumstances. The regulatory sprint to coordinatedcare from HHS resulted in final rules that clarify and add exceptions in the Stark and Anti-Kickback Statute regulations providing hospitalsnew tools and greater certainty for structuring physician compensation models. This session will review the red flags for when high-end physician compensation packages significantly elevate Stark and Anti-kickback risks, design elements for new and more responsive compensationmodels, how the proposed rules may mitigate compliance risks, and how to build your best defense to explain any red flags.Session Panelists:Gerald M. However, the excitement aroundjoint ventures often causes business leaders to rush into discussions and initial agreements (i.e., LOIs), without having fully surveyed theiroptions, or understanding the key business and legal issues unique to joint ventures, and potentially inadvertently creating issues that willhinder the development of a successful post-closing relationship. This session will focus on equipping in-house and outside counsel with theknowledge necessary to effectively act as a “strategic advisor” to their business partners early in the joint venture process in order to ensurethe appropriate foundation is established for a long-lasting joint venture partnership. The goal will be to equip counsel with the knowledgeand questions needed to help their business leaders see around the corners, avoid creating situations that could sour the post-closing relationship, and keep the focus on the strategic objectives.Session Panelists:Brad Dennis, Partner, McDermott Will & Emery LLPAdnan Qureshi, Vice President, Kaufman Hall39th Annual IAHA Health Law Symposium

As with many other aspects of ourhealthcare system, the pandemic exposed fundamental flaws in the statutory and regulatory physician immigration system. However, ifCongress is willing to address the issue thoughtfully, there are simple statuary reforms that could vastly improve the system, to the benefit ofU.S. healthcare providers and patients.Session Panelist:Ram Sanjeev Alur, President, Physicians for American Healthcare AccessCharles Wintersteen, Partner, Wintersteen Law GroupOD-15The First Bite at the Healthcare Transaction Apple: Negotiating the Letter of IntentThrough the use of a mock negotiation of a letter of intent, this session will introduce participants to key terms and components typicallyincluded in provider and supplier healthcare transactions.
