These changes affect the handling of Claims whenelements of a Claim are also covered by an Educators Legal Liability Policy (ELL), and broadenthe available coverage when both policies are issued by UE.2.We have incorporated for your reference related changes to the Educators Legal Liability Policy(ELL) which affect the application of coverage.3.If the Educational Organization is covered only by an ELL Policy or a CGL Policy issued by us,but not both Policies at the time of the applicable Occurrence and Claim, then this Endorsementis no longer valid.APPLICATION OF COVERAGE WHEN BOTH POLICIES APPLY TO A CLAIMWhen a Claim covered by this Policy is also covered by an Educators Legal Liability Policy (ELL)issued by us, the following apply:4.Only one Self-Insured Retention/Deductible will apply, which will be the lower applicableSelf-Insured Retention or Deductible.5.The Defense and Settlement provisions of the policy with the lower applicable Self-InsuredRetention or Deductible will apply to that Claim under both policies. University of Southern IndianaCGL201500100300Effective: 10/19/2015AMENDED DEDUCTIBLE AND REPORTING PROVISIONS(Definition and Reporting Requirements)In consideration of the premium charged, and subject to all other provisions of this Policy, we agreewith the Educational Organization that:1.The Definition of Deductible in Paragraph 2. of this Policy is amended to read:Deductible means the amount of Damages, Defense Costs and Medical Payments Expensefor which the Insureds are liable and must reimburse us promptly with respect to eachOccurrence and is in the amount shown in Item 5(a). of the Declarations. The Insureds'Deductible obligation is deemed to be immediately satisfied with respect to the Deductible forOccurrences covered by this Policy during the Policy Period after the Insureds shall have paidthe total Annual Aggregate amount shown in Item 5.(b) of the Declarations. The Insured shallmake no payment for any Deductible without our consent, and under Section 111 of theMedicare, Medicaid and State Children's Health Insurance Program Extension Act of 2007, Weare not the Recognized Reporting Entity (RRE) for any payments for medical services made bythe Insured.2.Paragraph 11. of this Policy is amended to read:NOTICE OF OCCURRENCE OR CLAIM11. As a condition precedent to the rights of any Insured under this Policy, if a Claim reasonablylikely to involve this Policy is made against an Insured or, except as otherwise provided inExclusion 10. m. (2)(a), if any employee of the risk management department, or any ReportingOfficer or legal counsel of any Included Entity becomes aware of an:(a) Occurrence reasonably likely to involve this Policy, or(b) regardless of the Insured's opinion of whether this Policy is likely to be involved, anOccurrence or Claim involving any of the following:(1) fatality;(2) major paralytic conditions such as paraplegia and quadriplegia;(3) second or third degree burns to 25% or more of the body;(4) amputation, permanent loss of use or permanent loss of sensation of a majorextremity;(5) head or brain injuries resulting in coma, behavioral disorders, personality changes,seizures, aphasia or permanent disorientation;(6) loss of sight in one or both eyes or loss of hearing;(7) injury resulting in incontinence of bowel or bladder;(8) Sexual Molestation, sexual assault or rape;(9) Bodily Injury resulting from health care services provided in a clinic, infirmary, studenthealth center, treatment room or other similar facility that provides medical or healthservices to students or at other locations in the event of a medical emergency;The Insured must:(a) notify us as soon as practicable in writing;

If the Educational Organization is covered only by an EducatorsLegal Liability Policy or this Policy, but not both Policies at the time of a ProResponse Event, then thisEndorsement is no longer valid and does not apply to that ProResponse Event. In the event that bothpolicies are not concurrent, the earlier effective date will govern coverage and Policy Period forProResponse Coverage.CRISIS RESPONSE AND INCIDENT SERVICES SUPPLEMENTAL PAYMENTS PROVISION1.We will reimburse the Educational Organization (or pay on behalf of the EducationalOrganization at our sole option) certain supplemental amounts as ProResponse Costs resultingfrom a ProResponse Event first commencing during the Policy Period. The ProResponse Limitis in addition to the Limit of Liability of the General Liability and Educators Legal Liability Policiesand is not subject to any deductible or retention.2.The following definitions are added to this Policy:Crisis Communications Firm means any firm listed on our current list of Approved Crisis PRFirms, available at www.ue.or.The Educational Organization is not required to notify us prior toengaging the firm.Crisis Response Cost means:a. only fees and expenses that the Educational Organization is legally obligated to pay to aCrisis Communications Firm for services in mitigating a ProResponse Event; orb.in the event of a ProResponse Event resulting from a death in the EducationalOrganization's community, the costs of grief/trauma counseling services provided at thedirection of the Educational Organization by a Grief Counseling Provider for theEducational Organization's students, faculty, staff or the decedent's immediate family within60 days following the ProResponse Event.Grief Counseling Provider means any firm listed on our current list of Designated GriefCounseling Providers available at www.ue.org. The Educational Organization is not required tonotify us prior to engaging the Grief Counseling Provider.Incident Service Provider means any:a. e-Discovery Consulting Services Provider selected by us. Information on UE's preferrede-Discovery Consulting Services Providers can be found at www.ue.orq,b. preferred Sexual Misconduct Investigation Firm selected by us, orc. Threat Assessment Provider listed on our current list of Approved Threat AssessmentProviders, available at www.ue.org,Except for any amounts for which no payment is sought under this Endorsement, the EducationalOrganization must notify us and obtain our approval prior to engaging an e-Discovery ConsultingServices Provider or a Sexual Misconduct Investigation Firm. The Educational Organization isnot required to notify us prior to engaging a Threat Assessment Provider from our list of approvedproviders.

ButProResponse Costs does not include:a. any other legal fees or Damages;b. any retainer fee for a Crisis Communications Firm or Incident Service Provider;c. the costs of notifying individuals who are the subject of the loss or theft of a natural person'sidentity information;d. any salaries or expenses of the Educational Organization's staff; ore. any contracted counseling services paid for prior to the ProResponse Event.ProResponse Event means:a. an actual or threatened event or interrelated series of events which results in the actual orimminent publication of information that, in the reasonable judgment of the Reporting Officersor Trustees, has or would have a material, harmful effect on the Educational Organization'sreputation, standing and support in the community, and which:i.may reasonably result in an Occurrence or Wrongful Act under the Policies to which thisEndorsement applies; orii. regardless of any potential liability, involves the death, incapacity or criminal indictment ofany Trustee or Reporting Officer;b. the death of a member of the Educational Organization's community as determined by theEducational Organization's Reporting Officers; orc. an actual, alleged or threatened event that may reasonably result in an Occurrence, WrongfulAct or harm to the Educational Organization's community and which in the reasonablejudgment of the Reporting Officers or Trustees requires the assistance of an IncidentService Provider.ProResponse Limit means the maximum amounts provided by this coverage to pay in theaggregate for all ProResponse Costs during the Policy Period.Incident Service Costs means only fees and expenses that the Educational Organization islegally obligated to pay to an Incident Service Provider for services in mitigating a ProResponseEvent;3.The EXCLUSIONS Sections of the respective General Liability and Educators Legal LiabilityPolicies do not apply to this ProResponse Coverage.4.A ProResponse Event shall not include:a.b.c.5.any matter, fact or circumstance that occurred more than 3 years prior to the effective date ofthis Endorsement;any matter, fact or circumstance that occurred during a period when the EducationalOrganization was not covered by both a General Liability Policy and an Educators LegalLiability Policy issued by us; orany Claim previously reported to us.A ProResponse Event shall be deemed to commence when the Education Organization firstbecomes aware of a ProResponse Event during the Policy Period and shall terminate at theearlier ofa. the point when we determine that all feasible steps have been taken to resolve theProResponse Event, orb. the exhaustion of the ProResponse Limit.

For Crisis Response Costs,i. 15,000 is available as immediate expense without our prior approval for payment of aCrisis Communications Firm and/or Grief Counseling Provider,ii. an additional 35,000 is available with prior written approval by us and solely at ourdiscretion, and which is available only after the immediate expense is exhausted.b.For Incident Service Costs, the following sublimits are included in and not in addition to theProResponse Limit:i. 10,000 for all Incident Service Costs incurred for each ProResponse Event duringa Policy Period for payment of an e-Discovery Consulting Services Provider,ii. 10,000 for all Incident Service Costs incurred for each ProResponse Event duringa Policy Period for payment of a Threat Assessment Provider, andiii. 10,000 for all Incident Service Costs incurred for each ProResponse Event duringa Policy Period for payment of a Sexual Misconduct Investigation Firm.The Educational Organization may incur Incident Service Costs without prior approval.However, Crisis Response Costs and Incident Service Costs incurred after we have paid 50,000 in ProResponse Costs are subject to prior written approval by us, and a 50% co-pay bythe Educational Organization applies.Only one ProResponse Limit is available per Policy Period and our combined liability for boththe General Liability and Educators Legal Liability policies is 100,000 regardless of the number ofProResponse Events or policies issued by us to which this coverage is attached.7.Other Provisionsa. As a condition precedent to the rights of any Insured, the Educational Organization mustnotify us in writing as soon as possible after becoming aware of a ProResponse Event and inno event later than 7 days following the ProResponse Event. The Insured must provideparticulars sufficient to identify the Insured(s), person(s) or organization(s) involved in theProResponse Event and such reasonably detailed information as we may request.b.The use of an Incident Service Provider, Crisis Communications Firm or GriefCounseling Provider by the Insured or any payment made by us under this Endorsementdoes not constitute an indication of any other coverage under any Policy to which thisEndorsement applies.c.Conflict of InterestIf the ProResponse Event arises from any alleged Wrongful Act or criminal act committed byan Insured, we will only pay for those services by a Crisis Communications Firm or IncidentServices Provider which are solely in the best interest of the Educational Organization.All other Policy provisions remain the same.4ksdthorized RepresentativeCGL727SUnited Educators Insurance, a Reciprocal Risk Retention GroupEdition Date: 4/1/2013

University of Southern IndianaCGL201500100300Effective: 10/19/2015AMENDED DEFINITION OF OCCURRENCEIn consideration of the premium charged, and subject to all other provisions of this Policy, we agreewith the Educational Organization that:1.The Definition of Occurrence in Paragraph 2. of this Policy is amended to read:Occurrence means:a. an accident during the Policy Period or the continuous, intermittent or repeated exposure toconditions that commence during the Policy Period that causes Bodily Injury or PropertyDamage neither expected nor intended by the Insured; orb. an event that first occurs during the Policy Period that causes Personal Injury orAdvertising Injury.The use of reasonable force to protect persons or property shall be deemed "neither expected norintended" within the meaning of a. above.Breach of contract is not an Occurrence.All Bodily Injury, Property Damage, Personal Injury or Advertising Injury attributable directlyor indirectly to the same accident, event, cause, defect or hazard, or failure to warn of such, or tothe same or similar conditions, shall be deemed to constitute one single Occurrence, irrespectiveof the time period or area over which alleged or actual injuries or damages arise; the number ofalleged or actual injuries or damages sustained; the number of persons who sustain alleged oractual injuries or damages; or the number of Claims made against one or more Insureds.In addition to the above, for all Occurrences related to or arising out of:i.Sexual MolestationAny incidents related or connected to or arising out of Sexual Molestation, sexual orphysical assault, or abuse shall be deemed to constitute one Occurrence for eachperpetrator, irrespective of the time period or area over which alleged or actual incidents orinjuries arise, the number of alleged or actual incidents, injuries or damages, the number ofpersons who sustain alleged or actual injuries or damages, or the number of Claims madeagainst one or more Insureds.ii.Included Entity's ProductsAny alleged or actual injuries or damages that are directly or indirectly attributable to thedesign, formulation, manufacture, distribution, use, operation, maintenance or repair of anIncluded Entity's Products or the failure to warn as to its use, operation or maintenanceshall be deemed to constitute one single Occurrence, irrespective of the time period orarea over which alleged or actual injuries or damages arise; the number of such alleged oractual injuries or damages sustained; the number of persons who sustain alleged or actualinjuries or damages; or the number of Claims made against one or more Insureds.iii. Athletic Traumatic Brain InjuryThe following circumstances listed below which in any way cause, result in, and/or arerelated or connected to Athletic Traumatic Brain Injury, including any related MedicalServices, shall collectively be grouped together and deemed to constitute one single

University of Southern IndianaCGL201500100300Effective: 10/19/2015Occurrence, irrespective of the time period or area over which alleged or actual injuries ordamages arise, the number of such alleged or actual injuries or damages sustained, thenumber of persons who sustain alleged or actual injuries or damage, or the number ofClaims made against one or more Insureds:(1) any and all related accidents during the Policy Period;(2) the continuous, intermittent or repeated exposures to the same or similar conditionsthat commence during the Policy Period; or(3) formal or informal policies, practices, procedures or courses of conduct that commenceduring the Policy Period.2.The following definitions are added to this Policy:Bodily Injury is amended explicitly to include Traumatic Brain Injury.Traumatic Brain Injury means any of the following:a. a concussion or sub-concussive brain injury or brain trauma;b. a reaction by the brain to a bump, blow or jolt to the head or body that is transmitted to thehead; orc. any brain injury or brain trauma which results, either immediately or later in time, in changes inbehavior, thinking, and/or physical or cognitive functioning.Athletic Traumatic Brain Injury means any Traumatic Brain Injury to an Athletic Participantin connection with, arising out of, relating to or attributable to any tryout, conditioning, practice,preparation, scrimmage, exhibition or game which is related to the Included Entity's organizedathletic programs.Athletic Participant means an individual who takes part or who took part with the expressed orimplied consent of an Included Entity in any tryout, conditioning, practice, preparation,scrimmage, exhibition or game which is related to the Included Entity's organized athleticprograms.Medical Services means any acts that may be legally performed only by a physician, nurse orother licensed medical professional performed within the scope of his/her medical license,regardless of whether the person is licensed or not. However, the application of First Aid shall notbe considered Medical Services.3.In the event that, prior to the beginning of the Policy Period, an Athletic Participant suffered anAthletic Traumatic Brain Injury, our liability under this Policy with respect to AthleticTraumatic Brain Injury suffered by that Athletic Participant shall be reduced by the amount weare obligated to pay or have already paid under any other primary or buffer excess ("BLX") generalliability policy issued by us.All other Policy provisions remain the same.kauthorized RepresentativeCGL740FUnited Educators Insurance, a Reciprocal Risk Retention GroupEdition Date: 6/1/2014
