IFB # 15-09Hazardous Materials Disposal ServiceSECTION ISCOPE OF WORKFOR TRANSPORTATION AND DISPOSAL OF HAZARDOUS WASTE1.General DescriptionMonterey-Salinas Transit has a need to select a Contractor that can legally and properlyprovide pickup, removal, clean up and disposal services of hazardous waste, andenvironmentally regulated waste.Work under this Agreement may include hazardous waste assessment, identificationand characterization of stored hazardous waste by the Contractor in advance of pickupand subsequent disposal. Contractor shall furnish all labor, equipment, and materialsrequired to test, identify, reduce contamination, neutralize, waste and to remove,transport legally dispose of waste substances and other materials generated atMonterey-Salinas Transit (MST) maintenance facilities.Contractor shall, throughout the terms of this Agreement, maintain all applicableCalifornia and Federal: licenses, endorsements, registrations, identification numbersand permits for the removal, transport and/or storage of hazardous and regulatedmaterials as described herein.2.Service ScheduleThe two MST maintenance shop divisions are: Monterey Maintenance Shop Divisionand the Salinas Maintenance Shop Division. Normal operating hours are from 8:00 a.m. to 4:30 p. m. Monday through Friday. Monterey steam rack sump is1000-gallon capacity; Salinas steam rack sump is also1000-gallon capacity. Also, cleanout sumps at the fuel islands with a 600-gallon capacity and bus washers with a 2000gallon capacity. Monterey and Salinas fuel islands and bus washer sumps are of thesame capacity.2.32.4On an as needed basis the selected bidder will pump and clean out themaintenance shops in ground hoist sumps (50 to 75 gallons each) and lawfully disposeof these hazardous materials. Monterey has two hoist sumps and Salinas has threehoist sumps.3.Permits and LicensesThe Contractor shall possess and furnish a copy of each of the following permits,licenses and certifications with its bid.3.1The Contractor must certify as required by Title 22, Section 66264.12, that it hasthe appropriate permits for, and will accept the manifested to its facilities.3.2The Contractor shall certify that the used oil, used antifreeze, oily water,contaminated absorbent and used oil filters collected from MST shall be fullyrecycled in accordance with all applicable state law and federal regulations.3.3Transporters of hazardous waste permits and licenses:A.B.C.3.4EPA ID NumberHazardous Waste Transporter Registration Number issued by theDepartment of Toxic Substance Control (DTSC)Hazardous Materials Transportation License issued by the CaliforniaHighway Patrol (CHP)Facilities for the treatment of hazardous waste permits and licenses:A.B.C.D.E.EPA ID NumberAir Permit, if applicableSewer Permit, if applicableHazardous Materials Storage Permit usually issued by local regulatoryagency such as the city fire department or Certified Unified ProgramAgency (CUPA)Storm-water Discharge Permit, if applicable

IFB # 15-09Hazardous Materials Disposal ServiceSPECIAL CONDITIONS OF THE SCOPE OF WORK AS IT WILL PERTAIN TO THECONTRACT IF ONE IS AWARDED4. BASIC SCOPE OF WORK4.1Basic Scope of WorkContractor shall, without limitation, furnish all necessary equipment and services inaccordance with the Scope of Work section of the Invitation for Bids, dated September28, 2015.5. BUY AMERICA CERTIFICATEContractor shall comply with the requirements of Section 165(a) of the SurfaceTransportation Assistance Act of 1982 and the applicable regulations in 49 Code ofFederal Register Part 661. As evidence of Contractor's knowledge and understandingand certification of intention of compliance, Contractor has executed a Buy AmericaCertificate, which is included as part of the "Bid Packet" and incorporated herein byreference. If Contractor needs steel and manufactured products for its performanceunder the provisions of the Contract, Contractor shall only use steel and manufacturedproducts that were produced in the United States.6. LIQUIDATED DAMAGESIf the work is not completed within the time required, MST will sustain damage. It is,and will be impracticable and extremely difficult to ascertain and determine the actualdamage which MST will sustain by reason of such delay; and it is therefore agreed thatthe Contractor shall pay to MST one hundred and fifty dollars ( 150.00) for each andevery day's delay in finishing the Work beyond the time prescribed. See Scope of WorkItem # 2. If the Contractor fails to pay such liquidated damages, MST may deduct theamount thereof from any money due or that may become due the Contractor under theContract.The Work shall be regarded as completed upon the date MST has accepted the samein writing.7. STATE CONTRACT PROVISIONS7.1In the performance of work under these provisions, Contractor and itssubcontractors will not discriminate against any employee or applicant for employmentbecause of race, religious creed, medical condition, color, marital status, ancestry, sex,age, national origin, or physical handicap (Government Code Section 12940 et seq.).

IFB # 15-09Hazardous Materials Disposal ServiceContractor and all its subcontractors will take affirmative action to ensure that applicantsare employed, and that employees are treated during employment, without regard totheir race, religious creed, medical condition, color, marital status, ancestry, sex, age,national origin, or physical handicap. Such action shall include, but not be limited to, thefollowing: employment, upgrading, demotion or transfer; recruitment or recruitmentadvertising; layoff or termination; rates of pay or other forms of compensation; andselection for training, including apprenticeship. Contractor and its subcontractors shallpost in conspicuous places, available to employees and applicants for employment,notice to be provided by STATE setting for the provisions of this section.7.2Contractor and its subcontractors will permit access to all records of employment,employment advertisements, application forms, and other pertinent data and records bythe State Fair Employment Practices and Housing Commission, or any other agency ofthe State of California designated by STATE, for the purpose of investigation toascertain compliance with Section 1 of this Article.7.3Contractor shall establish and maintain an accounting system and records thatproperly accumulate and segregate incurred costs by line item for the project.Contractor's accounting system shall conform to generally accepted accountingprinciples (GAAP), enable to determination of incurred costs at interim points ofcompletion, and provide support for reimbursement payment vouchers or invoices. Allaccounting records and other supporting papers of Contractor connected withperformance under this Agreement shall be maintained for a minimum of three yearsfrom the date of final payment to MST under these provisions and shall be held open toinspection and audit by representatives of STATE and the Auditor General of the Stateand copies thereof will be furnished upon request.7.4Contractor agrees that contract cost principles at least as restrictive as 48 CFR,Federal Acquisition Regulation System, Chapter 1 Part 31, shall be used to determinethe allow ability of individual items of costs. Contractor also agrees to comply withFederal procedures as set forth in 49 CFR, Part 18, Uniform AdministrativeRequirements for Grants-in-Aid to State and Local Governments.7.5For the purpose of determining compliance with Public Contract Code Section10115, et seq., Military and Veterans Code Sections 999 et seq. and Title 2, CaliforniaCode of Regulations, Section 1896.60 et seq., when applicable, and other mattersconnected with the performance of MST's contracts with third parties pursuant toGovernment code Section 10532, Contractors and subcontractors shall maintain allbooks, documents, papers, accounting records, and other evidence pertaining to theperformance of such contracts, including but not limited to, the costs of administeringthe various contracts. Contractor and its subcontractors shall make such materialsavailable at their respective offices at all reasonable times during the contract periodand for three years from the date of final payment under such contract. STATE, theState Auditor General, the Federal Highway Administration, or any duly authorizedrepresentative of the Federal Government shall have access to any books, records and

A party who has quoted prices onmaterials or work to a Bidder is not thereby disqualified from quoting prices to otherBidders, or from submitting a bid directly for the materials or work if otherwise qualifiedto do so.All Bidders are put on notice that any collusive agreement fixing the prices to be bid soas to control or affect the awarding of this Contract is in violation of MST's competitivebidding requirements and may render void any Contract let under such circumstances.EXPENSES TO BE INCLUDED IN BID PRICE: Unless otherwise specified in the IFB,the bid price shall include all expenses necessary that go into making the itemsprocured under the IFB complete and ready for immediate use by MST withoutadditional expense. Bid price shall include, without limitation, all costs for labor,services, equipment, materials, supplies, transportation, installation, overhead, packing,cartage, insurance, license, fees, permits, bonds, inspection, and other expensesnecessary to satisfy the provisions of the IFB, expressed and implied.WITHDRAWAL OF BID: Bidder may withdraw the bid before the expiration of the timeduring which bids may be submitted, without prejudice, by submitting a written requestfor its withdrawal to MST Purchasing Manager.TIME OF DELIVERY: Time of delivery is part of the bid and must be strictly adhered toby the Bidder. Bidder obligates itself to complete the work within the number of daysspecified in the Contract.BID OPENING: At the hour specified in the Notice of Invitation to Bidders, MST, inopen session, will open, examine and publicly declare all bids received. Bidders, theirrepresentatives and others interested, are invited to be present at the opening of bids.Award will be made or bids rejected by MST within the time period specified on the BidForm or, if none is specified, within ninety (90) days after the date of bid opening.RIGHT TO REJECT BIDS: MST may reject any and all bids at its discretion, and mayreject the bid of any party who has been delinquent or unfaithful in any former contractwith MST. The right is reserved to reject any or all bids and to waive technical defects,as the interest of MST may require. MST may reject bids from Bidders who cannotsatisfactorily prove the experience and qualifications outlined in the Instructions toBidders.SINGLE BID: If only one bid is received in response to the IFB, Bidder may be requiredto submit to MST within five (5) days of MST demand, a detailed cost proposal. MSTmay conduct a cost or price analysis of the cost proposal to determine if the bid price(s)are fair and reasonable. Bidder shall cooperate with MST in compiling and submittingdetailed information for the cost and price analysis.

IFB # 15-09Hazardous Materials Disposal ServiceEXPERIENCE AND QUALIFICATIONS: The Bidder may be required upon request ofMST to prove to MST's satisfaction that the Bidder is responsible. Criteria used by MSTto determine Bidder responsibility includes, without limitation, whether Bidder and itsproposed contractors have the skill, experience, necessary facilities and financialresources to perform the Contract in a satisfactory manner and within the required time.AWARD OF CONTRACT: The award of the Contract, if awarded, will be to theresponsive, responsible Bidder whose bid complies with the IFB in all respects, andwhose ADJUSTED BID PRICE is the lowest of all qualified bids received. Themethodology for determining the adjusted bid price is described in the Bid Form. If thelowest responsive, responsible Bidder refuses or fails to execute the Contract, MSTmay award the Contract to the next lowest responsive, responsible Bidder or solicit newbids.EXECUTION OF CONTRACT: The Contract shall be provided by MST in substantiallythe same form as provided in Part 5 and shall be executed by the successful Bidder andreturned to MST Purchasing Manager, One Ryan Ranch Road, Monterey, CA 93940 nolater than ten (10) calendar days after the date of receipt of the Notice of Award.Successful Bidder shall submit the required insurance certificate(s) no later than ten(10) days after receipt of Notice of Award. Successful Bidder's execution and deliveryof the insurance certificate(s) specified in the IFB is a condition precedent to thefinalization of the Contract. In no event shall the successful Bidder commence workuntil it has received the signed Contract and notification from MST that the requiredinsurance certificate(s) have been approved.ERRORS AND ADDENDA: If omissions, discrepancies, or apparent errors are found inthe IFB prior to the date of bid opening, the Bidder shall request a clarification from MSTwhich, if substantiated, will be given in the form of addenda to all Bidders. MST musthave received written requests for questions and/or clarifications no later than October23, 2015. MST will respond to questions and/or clarifications in writing by October 30,2015.NON-DISCRIMINATION: MST will not discriminate with regard to race, color, ancestry,national origin, religion, sex, sexual orientation, marital status, age, medical condition ordisability in the consideration for an award.DISADVANTAGED AND BUSINESS ENTERPRISES: The Board of Directors of MSThas adopted a Disadvantaged Business Enterprise Policy to promote the participation ofdisadvantaged business enterprises (DBE) in all areas of MST contracting to themaximum extent practicable. GOVERNING LAW1.1Governing Law & Compliance with All LawsThis Contract shall be governed and construed in accordance with the laws of the Stateof California. Venue shall be within County of Monterey, California. Each party willperform its obligations hereunder in accordance with all applicable laws, rules, andregulations now or hereafter in effect.1.2Right to Modify ContractMST may extend the term of this Contract, expand the Scope of Work, or otherwiseamend the Contract. Any such extension, expansion or amendment shall be effectiveonly upon written agreement of the parties in accordance with Section IV Number13.14.2. TERMINATION2.1Termination for ConvenienceThe performance of Work under this Contract may be terminated by MST uponfifteen (30) days' notice at any time without cause for any reason in whole or in part,whenever MST determines that such termination is in MST's best interest.Upon receipt of a notice of termination, and except as otherwise directed byMST, the Contractor shall: (1) stop work under the Contract on the date and to theextent specified in the notice of termination; (2) place no further orders or subcontractsfor materials, services, or facilities, except as may be necessary for completion of suchportion of the Work under the Contract as is not terminated; (3) terminate all orders andsubcontracts to the extent that they relate to the performance of work terminated by thenotice of termination; (4) assign to MST in the manner, at the time, and to the extentdirected by MST all of the rights, title, and interest of the Contractor under the ordersand subcontracts so terminated, in which case MST shall have the right, at itsdiscretion, to settle or pay any or all claims arising out of the termination of such ordersand subcontracts; (5) complete performance of such part of the Work as shall not havebeen terminated by the notice of termination.
