Group 40523-22945 – BUSES, TRANSIT (Adult Passenger)Page 2THIS AGREEMENT (hereinafter the “Contract” or the “Agreement”) is made by and between the Peopleof the State of New York, acting by and through the Commissioner of the New York State Office of GeneralServices (“OGS”), acting pursuant to authority granted under State Finance Law §163, whose office is onthe 41st Floor, Tower Building, Governor Nelson A. Rockefeller Empire State Plaza, Albany, New York12242 (hereinafter “OGS” or “State”), and WNY Bus Parts Inc. DBA Gorman Enterprises (herein after“Contractor”) with offices at 691 Bullis Road, Elma, NY 14059. OGS and the Contractor are collectivelyreferred to herein as “the Parties.”WITNESSETH:WHEREAS, OGS issued a competitive solicitation, referenced as Invitation for Bids (IFB) #23013 forBuses, Transit (Adult Passenger), which was advertised in the January 12, 2016 edition of the New YorkState Contract Reporter as required by the New York State Economic Development Law.WHEREAS, the IFB was for four (4) Transit Buses and associated Optional Equipment, and in accordancewith State Finance Law §163(4)(b)(ii)(C) a decision was made to divide the Transit Buses into four (4)separate Lots.WHERAS, the IFB provided that the contracts will be awarded to one (1) statewide bidder for each Lot,and that contract awards for IFB 23013 will be supplemental awards for Award 22945 – Buses, Transit(Adult Passenger).WHEREAS, OGS conducted a competitive process to identify the bidder that provided the lowest GrandTotal For Lot, for each Lot.WHEREAS, the State has determined the Contractor submitted a responsive proposal, and had the lowestGrand Total For Lot for the Lot(s) identified in the Contract (Appendix D: Transit Bus Contract Documents,Number 2 Contract Pricelist. The Contractor is willing to provide the Transit Bus(es) and associatedOptional Equipment set forth in the Contract.NOW THEREFORE, in consideration of the terms hereinafter mentioned and also the mutual covenantsand obligations moving to each Party hereto from the other, the Parties hereby agree as follows:Contract PC12345, WNY Bus Parts Inc.
