V.3Zakiyyah BakerMs. Zakiyyah Baker is the proposed candidate for the position of principal of Kendall ElementarySchool.Ms. Baker joins Norwalk from New Haven Public Schools, where she has worked since 2002 inpositions of increasing responsibility. Her accomplishments in New Haven resulted in herselection as New Haven’s Public School Teacher of the Year in 2010. She was awarded theNAACP Freedom Fund Educator award in 2011.In 2013, Ms. Baker completed New Haven’s Residency Program for School Leadership, aninnovative program designed to develop the next generation of school leaders. Her rotation inthe program, which culminated in her certification as an intermediate administrator (092),included experience as an administrative intern at the Clinton Avenue School, as well aspositions as resident principal of both Brennan-Rogers School of Communications and Media,and Elm City College Preparatory Middle School.Most recently, Ms. Baker has been serving as principal of James Hillhouse High School, whereshe has facilitated the development of action plans to raise the graduation rate by 6% from theprevious year. From 2006 to 2012, she served as a social studies teacher at Cooperative Arts &Humanities high school, where she taught college prep and honors classes. During this period,she also served as a member of the state appointed Board of Directors for New Haven’sHighville Charter School, a public preK-8 charter school. She began her New Haven career asa theater instructor at Cooperative Arts & Humanities, where 100% of the students performed inone or more productions.Ms. Baker earned a master of science in education from the University of New Haven. Sheholds a bachelor of science in sociology from Southern Connecticut State University.

V.5Annex 1NEW CLASSROOMSMASTER SERVICES AGREEMENTMaster Services Agreement (“Agreement”), dated as of by andbetween New Classrooms Innovation Partners, Inc., (“New Classrooms”), and NorwalkPublic School District, a public school district located in 125 East Avenue, Norwalk,Connecticut 06851 (“District”).New Classrooms has developed and operates Teach to One: Math, a proprietaryprogram for teaching math using personalized, blended learning (the “Program”).This Agreement sets forth the terms and conditions pursuant to which NewClassrooms will make the Program available to the District’s schools identified on AnnexI (the “Participating Schools”).1.1.Standard Services To Be Provided by New Classrooms.New Classrooms will provide to the District the following standard services(the “Services”) in connection with the Program each year that Services areprovided. Standard Services(a)Access to Teach to One: Math platform, which enables users toaccess a wide range of program information, including lessons,assessments, and data visualizations, as well as access to theProgram’s grade management system.(b)Live and digital instructional content for students, including contentfrom a diverse range of instructional modalities and providers.(c)Daily program schedules for both students and teachers thatincorporate individual student assessment data, available schoolresources, a mix of multiple instructional modalities, and otherfactors.(d)Access to regular assessments of students to inform the contentprovided to students in subsequent instructional days.1.2.Initial School Set-up Services

V.5(a)Conduct site visits and space evaluations with District to determinerequired facilities modifications at Participating Schools.(b)Review technology and scheduling with Participating Schools.(c)Provide preliminary budgetary and procurement inputs to District tosupport the District decision-making regarding its investments intechnology hardware and infrastructure, personnel and staffing, and(d)furniture and equipment.1.3.Hosting Services. New Classrooms will (i) install andconfigure at District’s facilities, and provide operational assistance for, thesoftware necessary to access its hosting site and Services through theInternet, (ii) provide access to its hosting site from District’s facilities, (iii)store data transferred to the hosting site, (iv) provide system administrationand maintenance services for the hosting site, (v) perform standard databaseadministration functions to maintain efficient and secure operation of itshosted databases and (vi) use security measures with respect to items (ii)and (iii) that are reasonably consistent with industry standards.2.The following services shall be provided in the first year of the program aswell as subsequent years the program is run (“Additional Services”). The amountof Additional Services that will be provided will be determined jointly by Districtand New Classrooms.2.1.First Year Support-2-

V.5(a)Consulting services in order for the District to procure:(i)Required initial modificationsto Participating School facilities.(ii)Set-up of thetechnology and technological infrastructure.required(iii)Design and placement/set-upof required furniture and necessary construction and otherrequirements to prepare space for the Program.(b)Consulting services to support any modifications or updates to theoverall school schedule, if necessary.(c)Professional development and training support that may include:(i)Pre-program training forparticipating teachers and school leadership that includestraining prior to the start of the Program at the beginning ofthe school year.(ii)Ongoingprofessionaldevelopment support(d)Operational and technical support services that include site visitsand consultation from New Classrooms’ team specialists to providethe following:(i)Ongoing operational supportand training.(ii)Support and training when theprogram adds/updates new features.(iii)Issuemanagementandsupport of lesson materials, including lesson staging,production, and distribution.(iv)Support ongoing managementof Program hardware (laptops, tablets, etc.) and relatedrepairs.(e)Remote help desk support to students and teachers.-3-

V.5(f)Instructional support services to provide ongoing professionaldevelopment and coaching to a school’s math director and teachersthat include:(i)Partner with school’s mathdirector to lead and co-facilitate ongoing professionaldevelopment with teachers.(ii)Support the math director tobuild an effective professional learning community that iscollaborative, reflective, and data-driven.(iii)Help teachers develop andimplement sound and effective routines/procedures.2.2.Second and Third Year Support. In addition to the supportservices provided in Year One, Additional Support options, in subsequentyears only, would include more of the Support provided in the sectionsabove, as determined to be necessary, jointly by New Classrooms and theDistrict every year of the Program, as outlined in Annex I, to be amendedon an annual basis.3.Responsibilities of the District. In order to facilitate the ability of NewClassrooms to effectively provide the Services, the District will:3.1.Facilities Configuration, Equipment and Supplies.-4-

V.5(a)Make facility modifications and capital purchases reasonablyrequested by New Classrooms to support the Services prior to thestart of the Program and throughout the school year as needed, in atimely manner. Technical Requirements are outlined in Annex II, tobe amended every year of the Program prior to the start of the schoolyear.(b)Provide working space (comparable to working space provided forinstructors employed by District) on the premises of eachParticipating School to accommodate New Classrooms’ personnel.(c)Make a reasonable effort to create and maintain a professional workenvironment for New Classrooms’ personnel where discriminatorypractices, including harassment, are prohibited and make reasonableefforts to promote and defend such a work environment.(d)Obtain, maintain and support all computer hardware, software,communications and other equipment reasonably requested by NewClassrooms’ personnel to access and use the Services, includingInternet connectivity and other local/District configurations.(e)Comply with the Program Technical Requirements set out on AnnexII.(f)Provide, [and liaise with the District Procurement Office on behalfof the Program as necessary to provide] and maintain sufficientstock for each day of program operations, all supplies reasonablydetermined to be required by New Classrooms in connection withdelivery of the Services, including math manipulatives, toner,printers (including multi-function, high speed printers), copiers,paper and other general office supplies.3.2.Access.(a)Provide sufficient access to its facilities to enable New Classroomsto perform all applicable Services.(b)Grant New Classrooms access to its facilities for the purpose ofhosting reasonable visits with respect to the Program, uponreasonable advance notice to the District and/or applicable schoolcontact and without materially interfering with the ParticipatingSchool’s activities.3.3.Administration.-5-

V.5(a)Use, and take any and all actions reasonably necessary to causeparticipants in the Program to use, the Program solely ascontemplated by this Agreement.(b)Provide access and information reasonably necessary to enable NewClassrooms to evaluate District’s schools to determine whichadditional schools, if any, might be candidates to participate in theProgram.(c)Designate a senior administrator within the District to serve as themain contact person for New Classrooms.(d)Provide and maintain effective staffing at each participating schoolto ensure effective Program delivery, including ensuring therequisite number of certified math teachers, special educationteachers, and paraprofessionals or other assisting personnel(including unpaid resources such as student teachers) are dedicatedto teach and support students; and that there is a Math Directorhired/identified (who is not scheduled for instruction) to provide aleadership and supervisory role for the program at each school forat least 50% of his or her time; and to ensure all staff attend requiredtraining sessions and other professional development, as well as actappropriately towards all New Classrooms on site staff.3.4.Students.-6-

V.5(a)Cause each Participating School to provide New Classrooms withthe name, identification number of each participating student(“Participating Students”) prior to the start of the Program, and onan ongoing basis promptly following each additional student’senrollment, as well as any other relevant and reasonable studentattribute information including, but not limited to, historical studentperformance information such as the prior years’ state test schools,and any special needs of a student including whether the student isan English Language Learner (“ELL”) and whether their mode ofmathematical instruction requires ELL support or bilingualinstruction or whether a student has an Individualized EducationPlan (“IEP”) that mandates instructional or testing supports and/oraccommodations.(b)If requested by New Classrooms, District will obtain, or work withNew Classrooms to obtain, all necessary permissions, including thepermission of each Participating Student’s parent or legal guardianto allow New Classrooms to photograph or videotape such studentat the District’s facilities for use by New Classrooms; it beingunderstood that if such permission is not obtained, District willpromptly notify New Classrooms in writing (id
