When you use your Card you aredeemed to have accepted these Conditions.DEFINITIONSIn these terms and conditions:Account means the card account kept by us in the name of thePrincipal Cardholder in which debits and credits in respect ofTransactions are recorded.Additional Cardholder means a person who has beenauthorised in accordance with Condition 20 to effectTransactions on the Account.Agreement means the agreement between the PrincipalCardholder and us for the opening of an Account andthe issue of a Card and incorporates these Conditions,the application form, each Card Carrier, the Digital WalletAgreement (as applicable), all fees and charges booklets andschedules and all other documents that are incorporated intothese Conditions or otherwise become part of our agreementwith you.AIB Visa Card means all AIB Visa Corporate and BusinessCards as well as all AIB Visa Purchasing Cards.Available Credit means at any time the unutilised amount ofthe Credit Limit and resulting unutilised amount of the CreditLine.Business Day means a day (other than a Saturday, Sunday orpublic holiday) on which we are generally open for businessin Ireland and, where a payment to an account with anotherfinancial services provider is involved, on which the Payee’sfinancial services provider is also open for business.Card means any AIB Visa Card issued by us to the PrincipalCardholder or any Additional Cardholder for the purpose ofeffecting Transactions on the Account pursuant to the terms ofthe Agreement, including any virtual or digital representationsof such cards registered in a Digital Wallet (a “Digital Card”).This incorporates all elements of that card, including withoutlimitation, the Chip and Card number. Where the context orprovision so requires, reference to “Card” or “Cards” withinthese Conditions shall be limited to a physical credit card.Card Carrier means the separate confidential mailing slip orcover sent with a Card, containing instructions regarding itsauthentication and security.Card Type means the particular type of AIB Visa Card issued tothe Principal Cardholder or as the case may be, an AdditionalCardholder.Cash Machine means a machine which dispenses cash and/or, in some cases, receives lodgments and/or performs otherbanking functions.Chip means an integrated circuit embedded in a Card.Conditions means these terms and conditions as amended,extended, supplemented or replaced from time to time.Contactless Transaction means a Transaction that is carriedout by holding your Card and/or a Device upon which aDigital Card is stored, if in each case it is enabled to effectcontactless Transactions, near a terminal which is enabled toaccept contactless Transactions.Credit Limit means the maximum debit balance permitted byeach Additional Cardholder in respect of the Card issued to4them, as determined by the Principal Cardholder and notifiedto us by the Principal Cardholder from time to time.Credit Line means the maximum debit balance permittedon the Account as determined and notified to the PrincipalCardholder by us from time to time.Device means a mobile phone, tablet or other device on orin respect of which a Digital Card has been registered or thatyou use to access a Digital Wallet.Digital Card shall have the meaning set out within thedefinition of Card.Digital Wallet means a digital wallet or any other electronicpayment system which facilitates the use of your Card or anelectronic record of your Card for the purposes of carrying outTransactions and in which your Card has been registered.Digital Wallet Agreement means any terms and conditionsapplicable to a Digital Wallet which is either offered by us orby a third party provider in agreement with us.EEA means the current members of the European EconomicArea as may be amended from time to time.Individual Liability Cardholder means an AdditionalCardholder to whom we have agreed to issue a Card inaccordance with Conditions 23-36 on the basis that they willbe personally liable for the Outstanding Balance.Merchant means any business or individual who acceptspayment made with a Card.Micro-Enterprise is as defined in the Payment ServicesDirective and essentially means an enterprise which at thetime of the relevant contract, employs fewer than 10 peopleand whose annual turnover and/or annual balance sheettotal does not exceed 2 million. This includes self-employedpersons, family enterprises, partnerships and associations thatare regularly engaged in an economic activity.Outstanding Balance means, at any time, the debit balanceoutstanding on the Account at that time.Payee means the receiver of the payment.Payer means the maker of the payment.Payment Services Directive or PSD2 means EU Directive2015/2366 relating to payment services as amended orreplaced from time to time and transposed into Irish law.PIN means the secret Personal Identification Number thatis used with a Card as allotted by us and/or subsequentlychosen by you.Principal Cardholder means a body corporate, a partnership,other unincorporated body, or an individual(s) in whose namesan Account is maintained.Safeguard System means a system to aid the secure use ofyour Card over the internet, such as Verified by Visa, as thatsystem or its name may change or be replaced from time totime.Security Details means any security procedure you follow oruse to make an instruction, confirm your identity or access aDevice or certain functionality on that Device (for example apassword, passcode, access code, security code, or biometricdata such as a fingerprint).SMS Message means a text message sent using a shortmessage service to or from telecommunication devices thatuse global system for mobile (GSM) communication.Drop in to any branch 01 668 5500 www.aib.ie/businessAIB Bus CC 06/20

Customer CopyStatement means a paper or electronic statement issued byus, in respect of the Account.Third Party Agreements shall have the meaning set out inCondition 68.Transaction means a transaction in which a Card is used toobtain goods, services or cash on credit (including throughthe use of a Digital Wallet) and (includes all debits and creditsmade to the Account pursuant to this Agreement).“You” and “your” refers to the Principal Cardholder and,unless the context otherwise requires, any AdditionalCardholder. Any references to “we”; “us”; and “our” or “Bank”means Allied Irish Banks, p.l.c. and this includes our successorsand assigns. We are regulated as a credit institution by theCentral Bank of Ireland of PO Box 559, Dublin 1 and ourprincipal business is the provision of financial services. Ourhead office and registered office is at 10 Molesworth Street,Dublin 2. We are registered at the Companies RegistrationOffice, Dublin under registration number 24173. Our VATnumber is IE8E86432H.For the purposes of these conditions, “person” includes bothnatural and legal persons and “Principal Cardholder” includesthe successors and personal representatives of the PrincipalCardholder.In these Conditions where the context so allows, reference toany gender includes all genders and the singular includes theplural and vice versa.Your Card1. Subject to these Conditions, our credit card serviceallows you to pay for goods and services purchased fromMerchants, or to withdraw cash including cash from CashMachines or by any other means where the appropriatecredit card logo is displayed. A Credit Limit is applied andinterest is payable after any relevant interest free period.2. There is a variety of means by which you can authorisesuch Transactions, these include: authorisation by means of your Card used inconjunction with your PIN for point of sale Transactionsor Transactions using a Cash Machine; authorisation by means of your Card for Transactionsby mail, telephone, mobile phone or other portabledevice, internet or by use of a Safeguard System(including the use of your Digital Card through a DigitalWallet); authorisation by means of your Card and/or Device(upon which a Digital Card is registered) to effect aContactless Transaction, where your Card and/orDevice is enabled to effect Contactless Transactions asset out in Condition 52; and authorisation by means of your Card and signature.Looking after your Card and PIN3. Unless otherwise specified by us these Conditions applyto all Card Types. We may from time to time extend theseConditions to apply to other types of credit or charge cardissued by us.4. The Card and PIN must be used in accordance with theseConditions.5.You must: sign your Card as soon as you receive it using a ballpoint pen; exercise all reasonable care to keep your PIN andSafeguard System passcode secret and your Card, yourSecurity Details and any Devices secure at all times; only use your Card (a) within the Credit Limit, (b) withinthe period for which it is stated to be valid and (c)strictly in accordance with the Agreement; and5 tell us immediately if there is a change of name,bankers, business, home or mobile telephone numbers,e-mail address, or your address to which Statementsare sent in accordance with the ‘Monthly Statementand Payment Arrangements’ section of theseConditions.6.You must not: let anybody else obtain, know or use your Card or yourPIN, Security Details or Safeguard System passcode; disclose your Card number to anyone, except whencarrying out a Transaction or to verify your identity tous or to register or activate a Card for use in connectionwith a Digital Wallet or to report it lost, stolen or likelyto be misused; and/or write or record in any other manner your PIN, SecurityDetails, or Safeguard System passcode.7. Each Card is and remains our property and may becancelled, suspended, recalled or retained by us inaccordance with the provisions of the Agreement.8. By signing or using the Card you agree to comply withthese Conditions and you acknowledge that you will usethe Card solely for the purposes of your business, tradeor profession and that you are not acting as a consumerwithin the meaning of the Consumer Credit Act, 1995or the European Communities (Unfair Contract Terms inConsumer Contracts) Regulations 1995.Credit Limit9. We will set a Credit Line on the Account. We may, subjectto applicable law or regulation, vary the Credit Line fromtime to time at our discretion or at your request. We willnotify you of any such variation. You will be given notless than 10 days’ notice of any proposed decrease in theCredit Line on the Account, except where such decrease isrequested by you.10. When issuing a Card to an Additional Cardholder you willnotify us of the Credit Limit to be set in respect of thatCard. We will act on an instruction from you to increaseor decrease a Credit Limit. An increase to a Credit Limitcannot bring the total Credit Limit outside of the overallCredit Line.11. If a Card is used for a Transaction which would bringthe outstanding debit balance (“Outstanding Balance”)in excess of the Credit Limit, we reserve the right toauthorise or decline such Transactions. If we authorisea Transaction in excess of the Credit Limit currentlyapplying to that Card, this will not affect the Credit Limitand subsequent Transactions bringing the OutstandingBalance in excess of the Credit Limit or where the CreditLimit has been exceeded may be declined.12. When you make a Transaction using your Card, thebalance on the Account will usually be increasedimmediately by the amount of the Transaction.Sometimes, a Merchant, (for example, a self-service petrolstation or hotel) may obtain a specific pre-authorisationfor an amount agreed with you. This pre-authorisedamount may not immediately increase the balance butmay reduce your Available Credit. The pre-authorisedamount may only be charged to your Account by theMerchant in certain circumstances (for example, whereyou have obtained goods or services to the value ofthe pre-authorised amount) if agreed by you with thatMerchant. A Card must not be used: if the Agreement is ended; after a Card has expired or been reported lost, copiedor stolen or has been cancelled or suspended; in respect of a Digital Card, after that Digital Card and/or your account relating to that Digital Card has expiredor has been cancelled or suspended or any applicableDevice in respect of which that Digital Card has beenregistered has been compromised, lost or stolen; at any Cash Machine abroad in violation of localregulations; or for any illegal purchase or purpose whatsoever. We reserve the right to decline to authorise anyTransaction in accordance with Condition 46 of theAgreement.Cash Withdrawals14. Your Card may be used for cash withdrawals, advancesmade by Card and cash related Transactions, such as thepurchase of cash. A cash advance fee may also apply andwhere the Transaction is not done at a Cash Machine youmay also be asked for proof of identity.15. Cash withdrawals are subject to both transaction and dailylimits. The transaction limit can vary between financialinstitutions and from time to time. The cash limit will bedetermined by us and may vary from time to time. Detailsof the daily cash limit are available from us.16. We will not be obliged to provide Cash Machine facilitiesat any particular time and may withdraw or terminate suchfacilities without notice. We will not be liable for any lossor damage resulting from failure to provide any service, orfailure or malfunction of a Cash Machine.17. We may, at our discretion or on the written request of thePrincipal Cardholder, disable the cash withdrawal facilityfor a Card. Certain Merchants and Cash Machines may stillallow you to withdraw cash when the cash withdrawalfacility has been disabled. Any such withdrawals will betreated in all respects as though they were Transactions.18. A Card may be used outside Ireland subject to any limitsor regulations that may be imposed by the appropriateregulatory authorities from time to time.19. Where
