Respect for human rights, environmentalstewardship and animal welfare are fundamentalprinciples of our business practices and standards.We expect our suppliers to share those principlesand uphold our standards. Suppliers mustalso comply with Target’s Ethics Policy, conducttheir business with a high level of integrity andmaintain transparent and accurate records.Please refer to Target’s Applying the Standardsof Vendor Engagement document for additionalinformation pertaining to each standard, includingthe applicability of local laws and internationalconventions as well as implementation expectations.3

Allworkers have the right to engage in workwillfully, without surrendering identificationand without the payment of fees. Workershave the right to freedom of movement andour suppliers must ensure it is afforded tothem. Suppliers must also procure theirraw materials and/or components for Targetproducts solely from sources that do notutilize forced labor or engage in humantrafficking.No Underage LaborWe do not tolerate the use of underagelabor and will not knowingly work withsuppliers that utilize underage workers. Wedefine underage workers as any individualyounger than the local minimum workingage or the age of 15, whichever older, and/or those not abiding by the internationalstandards as defined by the InternationalLabor Organization (ILO) regarding ageappropriate work governing family farming.Suppliers must comply with all age-relatedworking restrictions as set by local law andadhere to international standards as definedby the International Labor Organization (ILO)regarding age appropriate work.Health and SafetySuppliers must provide a safe and healthyworking environment that complies with locallaws and minimizes occupational hazards. Ifsuppliers provide residential facilities for theirworkers, they must be safe and sanitary.No DiscriminationWe respect cultural and individual differences,and believe discrimination should not betolerated. Suppliers are expected to maintaina discrimination-free workplace and toemploy legally-eligible workers based uponon their abilities, rather than their race,color, sex, pregnancy status, gender identity,marital status, political opinions, religion, age,disability, sexual orientation, social origin,national origin or any other characteristicsunrelated to an individual’s ability to performthe work required by the job.week or the amount specified by local law,whichever is less. Only in exceptional cases,may working hours exceed 60 per weekand only in the exceptional circumstancesdescribed within Applying the Standards ofVendor Engagement. Overtime work mustalways be voluntary and paid at a premiumrate. Workers must have at least 1 full nonworking day in every 7-day period.WagesSuppliers must provide wages and benefitsthat meet or exceed local law requirementsand are paid/provided in a timely manner.We encourage suppliers to commit to thebetterment of wages and benefits to improvethe lives of workers and their families in thecommunities where they live.Freedom of AssociationWe believe that all workers should be treatedwith dignity. Suppliers must not engage in,condone, or tolerate physical, verbal, mentalor sexual harassment against or among theirworkers.We seek suppliers who productively engageworkers and value them as critical assets tosustainable business success. This includesrespecting the rights of workers to make aninformed decision as to whether to associateor not with any group, consistent with allapplicable laws.Working Hours and OvertimeEnvironmental SustainabilityNo HarassmentSuppliers must not allow working hours thatexceed the applicable legal limit, or 60 hoursper week, whichever is less. Regularly paidhours must not exceed 48 per week andovertime hours must not exceed 12 hours perWe seek suppliers that operate in compliancewith all applicable environmental lawsand work to minimize their use of naturalresources and any negative impact theiroperations have on the environment.Animal WelfareWe believe in the humane treatment ofanimals and expect suppliers engage inpractices that promote the welfare of animals.This includes providing an environment that isfree from distress, cruelty, abuse, and neglectand that is consistent with all applicable lawsand industry guidelines.No BriberyWe seek business partners who aspire to thehighest ethical standards in their businesspractices and their interactions with Target.Target does not allow any exchange of favors,money, or gifts with our team members. Aswith the other standards outlined herewith,Target Team Members are held to the samestandards and are strictly prohibited fromengaging in solicitation of anything of valuefrom business partners.Reporting Misconduct: If you encounter whatyou believe to be a potential violation of locallaws or regulations, Target’s Standards ofVendor Engagement, or unethical behavior,you may confidentially report your concernsto Target by emailing integrity@target.com.Retaliation of any kind against an individualwho reports concerns in good faith violatesTarget’s principles and will not be tolerated.Additional information can be found on page 9of this guide.4

Vendorsmust ensure that all product markingsand documentation are true andaccurate and that appropriate recordsare maintained to validate informationprovided on all documents.For more information about BusinessIntegrity expectations, read the U.S.Customs C-TPAT and Canada CustomsPIP guidelines and visit Partners Onlineto access the following forms: customscompliance, import classification, andimport shipping.We work with our business partnersto strengthen the international supplychain by operating in compliance withour global security criteria, includingthe U.S. Customs Trade PartnershipAgainst Terrorism (C-TPAT) and CanadaCustoms Partners in Protection (PIP)guidelines. We expect our vendorpartners to be familiar with theseguidelines and to use the formsavailable on Partners Online.5

They also trust us tosell safe and compliant products. Weexpect our vendors to help us meetthat commitment by following ourConditions of Conduct and our ProductSafety and Quality Assurance Process.Our Conditions of Contract require thatour vendors guarantee that all goodssold to Target are made in compliancewith all applicable laws, and that allmanufacturers and subcontractors alsocomply with the law.Unethical ConductProduct Safety and Quality Assurance(PSQA) processes are not only businessrequirements, but help ensure productis safe and in compliance with the law.Target’s expectation is that no vendor,or factories producing product on behalfof the vendor, will attempt to circumventTarget’s PSQA process throughunethical conduct.For more information, read our EthicalQuality Assurance Behavior Statement.For Target brand products, we expectall vendors – or factories producingproduct on behalf of vendors – tocomply with our Product Safety andQuality Assurance process.6

Under nocircumstances may a vendor workingfor Target offer, promise or provideanything of value directly or indirectlyto a government official for the purposeof exerting improper influence or toobtain or retain an improper benefitor advantage.All invoices submitted to Targetfor payment or reimbursementrequire accurate and adequatesupporting documentation and maynot mischaracterize or disguise anytransaction or expenditure.For more information, see the U.S.Foreign Corrupt Practices Act.Vendors are required to complete ourdue diligence review process priorto representing Target before anygovernment official. Additionally, if avendor hires a third party to work on aproject that requires interaction with agovernment official on behalf of Target,the vendor must closely monitor theactions of the third party to ensurecompliance with anti-corruption laws.8

When we trust vendorswith confidential information, we expectthem to protect it just as carefully aswe would.We expect our vendors to complywith applicable security and privacylaws, regulations and retentionrequirements, and to ensure thatthey have appropriate technical andsecurity controls in place to protect ourconfidential information.Confidential information means allnon-public Target data, including:business plans, retail pricing strategies,marketing plans, team member personalinformation, guest personal informationand intellectual property. Vendors maynot outsource, disclose, share or use thisinformation outside the requirementsdefined in their contractual or nondisclosure agreement with Target.Unauthorized disclosures could harmTarget, breach the vendor conductcontract or even be illegal.9
